SECTION B – SUPPLIES OR SERVICES AND PRICE/COST

B.1 OVERVIEW

The Office of Personnel Management (OPM), through its Office of Procurement Operations (OPO) on behalf of the Federal Investigative Service (FIS), contracts here, in the broadest terms, for contractor provided investigative support services considered necessary to deliver, in part, the FIS mission. The following sections of this contract, as supplemented by attachments thereto, cover in significant detail the contemplated services required of the contractor. The contractor is responsible, unless otherwise provided for by contract, for all labor, materials, equipment and supervision necessary to deliver the work successfully. Contractor provided investigative support services include, but are not necessarily limited to, the following general tasks: 1) switchboard operations and telephone liaison support for OPM’s customer agencies, 2) screening and scheduling of investigations and investigative materials,

3) case file maintenance, 4) imaging and microfilm and 5) post-closing support.

B.2 MINIMUM/MAXIMUM ORDER LIMITATIONS

The Government intends to award, as a result of this solicitation, a single Indefinite Delivery, Indefinite Quantity Contract against which task orders shall be placed during the period of performance. Reference is hereby made to FAR 16.504 and FAR 52.216-22. A “task-order contract” means, in this application, a contract for non-personal services that does not procure or specify a firm quantity of services (other than a minimum or maximum quantity) and that provides for the issuance of orders for the performance of tasks during the period of the contract. The Government anticipates issuing fixed-price task orders, using the fixed unit-priced (FUP) CLINs identified in Section B.6 and estimated quantities, with ceiling prices which shall be adjusted using the actual number of completed CLINs during a given period of performance.

At time of contract award the Government shall simultaneously execute the first task order. Said task order shall satisfy the guaranteed minimum requirement for this contract.

In accordance with FAR 16.504 (a) quantity limits may be stated as number of units or as dollar values. The contract must require the Government to order and the contractor to furnish at least a stated minimum quantity of services. For this contract, the minimum quantity of investigative support services to be ordered by the Government are those fixed-price units associated with performance for the first quarter of Fiscal Year 2017. Said minimum quantity is estimated to be 550,000 units. Units may be distributed across the different FUP CLINs as determined by the Government during performance. Adjustments for actual units completed by the contractor during a given period of performance shall be made by the Government. In addition, if ordered, the contractor must furnish any additional quantities, not to exceed the stated maximum. The stated maximum for this contract is 12,200,000 units which may be distributed across any combination of FUP CLINs up to and including the last date to order.

B.3 FISCAL YEAR ESTIMATES.

OPM-Federal Investigative Services (FIS) will provide the Contractor with an estimate of work for each CLIN for the upcoming fiscal year (FY). Said estimates are provided for the contractor’s reference only. Throughout a given FY the Government will provide updates to these estimates.

B.4 PHASE IN PERIOD

The first six months of this contract are considered a phase in period commencing with the Notice to Proceed (NTP). NTP is hereby defined as authorization issued by the Government for the contractor to proceed with the work. It may be issued at the same time as the first task order or at some later date after which the Contractor has satisfied any and all contract pre-requisite submissions. The Contractor will be assigned work immediately following the NTP and the issuance of a task order. Any timeliness disincentives (F.3.3.1) will be waived during the phase in period. Any quality and program management disincentives (F.3.3.2, F.3.3.3) will be enforced during the phase in period.

B.5 TRAVEL COSTS

Contractors should incorporate all appropriate costs, including any anticipated travel costs, into their fixed unit prices. However, on very limited occasions, OPM may reimburse the Contractor for travel costs outside those incorporated into their firm fixed CLIN prices, but only if the travel in question could not have been reasonably anticipated as part of the contractors expected expenses for completing required contract deliverables. Any such travel and the amount of any travel reimbursement must be approved in advance by OPM. The Contractor personnel will be reimbursed for his/her time (per the appropriate CLIN), travel, and expenses in accordance with the Joint Federal Travel Regulations and Federal regulations governing compensation of witnesses. If a customer agency requires that Contractor personnel appear on their behalf, OPM will coordinate the request with the Contractor.

B.6 CONTRACT LINE ITEM NUMBER (CLIN)

The Contractor will perform all services as specified in the Statement of Work (SOW), attachments, and references to this Contract. Fixed unit prices are listed below.

SECTION C – DESCRIPTIONS / SPECIFICATIONS / SOW

C.1 SCOPE OF WORK

C.1.1 The Contractor will provide support services directly related to federal background investigation processing. The requirements listed herein and the associated pricing contained in the pricing tables include all submission forms (case papers) approved for use in the federal background investigations program.

C.1.1.1 Unless otherwise specified, the Contractor will provide services directly related to the background investigation process as outlined in C.10 [Support Services Requirements]. The Contractor is required to provide these Support Services as outlined, ensuring the quality of all products provided to OPM and its customers.

C.1.1.2 Workloads for each of the CLINs listed in Section B.6 are directly related to the volume of cases received and processed within FIS, as estimated in Section L.5.

C.1.1.3 The Contractor will provide work related to this contract in Boyers, PA and other

OPM approved facilities. The Contractor will not remove Personally Identifiable Information (PII) or case material from OPM approved facilities without OPM approval. Such approved removal of information, material, and equipment will meet OPM-FIS Security Manual and OPM-FIS Policy on the Protection of Personally Identifiable Information (PII) requirements.

C.1.2 The Contractor will utilize only OPM’s Processing Systems, referred to as Investigative

Enterprise Systems (IES), or any future OPM system that is directly associated with the investigative process. The IES application enables electronic ingestions of the personnel security questionnaire and subsequent scheduling, tracking, reporting, closing of investigations, processing accountability and timeliness information. The IES contains data provided by the requesting agency, subject-provided background information, investigative results data, agency adjudication data, and other relevant case data. OPM is moving toward a completely electronic case file and more background investigations are received electronically, which reduces the need for data entry on the front end of the investigative process, as well as filing investigative material. The Contractor will immediately operate and accurately input data into the IES automated tracking system, and other approved OPM systems, to monitor the investigations being conducted at any given time. OPM anticipates that changes in technology will affect the manner in which work is performed at any time during the life of the Contract. These changes will not affect an increase in cost of this contract.

C.1.2.1 If the Contractor uses their system to house any OPM related information or intends to connect to the OPM systems, they will be required to go through a formal information security Assessment and Authorization (A&A) process within Attachment 4 [OPM Specific Contract Clauses].

C.1.3 FIPC and Standard Forms - Forms are updated routinely. These updates in and of themselves do not constitute a change in Contract requirements. Form updates will only be considered for a change in the level of effort required by the Contractor in processing.

FIPC forms utilized by the Contractor will be stored by OPM in a manner of OPM’s discretion.

C.1.4 OPM reserves the right to perform the work outlined in this Contract when it is in the best interest of the Government.

C.1.5 Document Control Log - The Contractor will account for all hardcopy piecework items and

OPM material once it has been received by the Contractor. The Contractor will also account for any electronic OPM material that is printed for their personnel’s use. The Contractor will furnish periodic status reports, in accordance with C.9.5 [Adhoc Deliverables]. The Contractor will follow the approved plan for Quality Control. All hardcopy and electronic copies of OPM material need to be safeguarded. The Contractor will follow the OPM-FIS Security Manual and OPM-FIS Policy on the Protection of PII.

The Contractor will immediately notify the CO and COR of any case, portion of a case, OPM material, or OPM issued equipment, that is lost and/or compromised. The Contractor will take immediate action to retrieve the lost material and/or equipment, and will be financially responsible for the loss/compromise of the material and equipment, damages, and the cost of the investigation.

C.1.6 The Contractor will be responsible for the handoff and tracking of all material to OPM and other OPM Contractors. If OPM is unable to locate material, the Contractor will provide the tracking of this material, and search as necessary to recover said material, in accordance with C.9.5 [Adhoc Deliverables].

C.1.7 The Contractor is required to maintain strict security measures in all its operations and provide secure storage for investigative materials. This will be in accordance with the OPM-FIS Security Manual and the OPM-FIS Policy on the Protection of PII. The Contractor will consider investigative material as sensitive, unclassified material subject to the Privacy Act of 1974 if it is not marked classified, and it will be handled accordingly.

The Contractor and its employees will comply with all applicable provisions of the OPM-FIS Security Manual.

C.1.8 All information and deliverables provided by the Contractor to the Government will be accurate and complete.

C.2 OVERSIGHT OF CONTRACTOR PERSONNEL

C.2.1 Contractor personnel will receive their daily supervision/oversight from their own Contractor-assigned staff. Technical direction will be given by the COR, as outlined in Section G.2 [Contracting Officer’s Representative].

C.2.2 The Contractor’s integrity is the paramount requirement monitored by OPM. Integrity issues include: Employee falsification/gross negligence; Employee misconduct; Computer security violations; Facility security violations; PII Loss; mishandling/loss of Government materials and information; and mishandling/loss of data that violates and degrades the integrity of the Government data systems.

C.2.3 Rework - If the Contractor discovers allegations, suspects falsification, or any conduct that could impact the integrity of the OPM program, the Contractor will notify OPM within 24 hours of discovery or no later than the close of business the following business day. OPM will determine whether the Contractor or Federal investigative staff will conduct the initial investigation into the allegations of falsification. OPM will determine the appropriate course of action and level of rework needed; the amount of required rework and whether such work will be conducted directly by OPM or by the Contractor will be at OPM’s discretion. All such case rework will be completed at the Contractor’s expense and will be subject to further audit by OPM. The Contractor will reimburse the Government for any rework completed by Federal staff.

C.2.4 OPM’s Right to Suspend or Remove Personnel from the Contract - Because this Contract is essential to the National Security of the United States, all persons performing work under this Contract are held to the highest ethical standards. The Contractor will exhibit high ethical and professional standards as set forth in pertinent OPM guidance in the performance of all work under this Contract. At OPM’s discretion, any Contractor personnel may be immediately suspended or terminated from this Contract for any cause deemed detrimental by OPM. OPM may, for any reason, immediately suspend or revoke the Contractor or Contractor facility access authorization, security clearance, and/or general access to perform work under this Contract. If so directed, the Contractor will immediately discontinue the employee’s access to files supporting this Contract.

C.2.5 OPM Integrity Validations - Oversight of investigative personnel may be conducted by

OPM through various methods. In accordance with C.2.7 [Resolution of Complaints and Integrity Concerns], OPM may request the Contractor to assist in the resolution of any complaints made against the Contractor’s personnel, or with concerns that arise with the integrity of personnel and/or products.

C.2.6 Reporting of Complaints or Integrity Concerns - In accordance with C.9.4.4 [Reporting of

Complaints or Integrity Concerns], the Contractor will report to OPM any unfavorable information received on its personnel pertaining to work conducted under this Contract, including, but not limited to, information which does not reflect well on the personnel conducting an interview or record search; information that produces derogatory or issue information regarding the investigative subject that was not included in the original reported information; or information which indicates a discrepancy with the original reported information. All such complaints or integrity concerns will be handled in accordance with C.2.7 [Resolution of Complaints and Integrity Concerns].

C.2.7 Resolution of Complaints and Integrity Concerns - The resolution of all complaints and integrity concerns will be completed at the Contractor’s expense. OPM-FIS-Integrity Assurance (IA) will conduct the initial analysis into complaints concerning Contractor personnel and all integrity concerns. Such analysis will include the identification of cases possibly affected by the complaint or integrity concern, and a determination of whether the

Contractor will be responsible for conducting any work associated with researching and/or resolving the complaint or integrity concern. OPM reserves the right to research and/or resolve the complaint itself at the Contractor’s expense. Unless otherwise agreed to in writing by OPM, the Contractor will have 30 calendar days to complete any work assigned to it by OPM-FIS-IA under this C.2.7 [Resolution of Complaints and Integrity Concerns].

There may be instances where rework is required on an expedited basis, and OPM and the Contractor will negotiate a mutually acceptable deadline for completion of that rework.

OPM reserves the right, at any time, to conduct all, or any part of, the work itself and charge the Contractor for all costs associated with completion thereof.

C.2.8 Alleged or Suspected Falsification - If falsified casework is alleged or suspected at any time, the Contractor will notify OPM in accordance with C.9.4.5 [Falsification Allegations] of this Contract. OPM will determine whether the Contractor or Federal investigative staff will conduct the initial investigation into falsification allegations. If the Contractor is charged with completing the initial investigation into a falsification allegation, the investigation will be completed and the results submitted to OPM-FIS-IA within eight (8) calendar days. Depending on those results, OPM will determine the appropriate course of action and level of rework needed for case(s) previously worked by individual(s) who are suspected as having falsified casework. OPM reserves the right to conduct all, or any part of, the rework itself at the Contractor’s expense. If rework is completed by the Contractor, the rework (including the review thereof by OPM) is completed at the expense of the Contractor and is subject to further audit by OPM. OPM will establish a timeframe for expected completion of rework assigned to the Contractor on a case by case basis, based on the size and scope of each individual falsification investigation. OPM reserves the right, at any time, to conduct all, or any part of, the work itself and charge the Contractor for all costs associated with completion thereof. OPM will be reimbursed for these expenses by the Contractor either through the offset of a future Contract payment or in the form of a check. When an offset occurs, OPM will subtract the difference between a future payment and the debt owed back to OPM. The Contractor will be notified of the preferred method of recovery by the CO or the COR.

C.2.9 Prosecution of Falsification Cases - OPM may refer cases of confirmed falsification for

Federal prosecution for which the Contractor will bear financial responsibility.

C.2.10 The Contractor is not accountable for cases worked by another Contractor regarding integrity issues. The Contractor will not be held responsible for cases that were not assigned to the Contractor. However, OPM-IA may require that the Contractor address substantiated integrity concerns stemming from work completed for another Contractor to ensure that patterns and/or behaviors do not continue.

If OPM determines that there is an integrity concern involving a shared resource or former Contractor, the Contactor may be required to conduct follow-up as deemed necessary by OPM-IA on cases assigned by the Contractor to that individual as deemed necessary including, but not limited to, case sampling at the expense of the Contractor.

No exception can be made regarding the Contractor’s responsibility for follow-up on integrity issues.

C.2.11 Compliance with OPM-FIS Governing Documents - Contractor and all Contractor personnel will comply with the current OPM-FIS Security Manual, OPM-FIS Policy on the Protection of Personally Identifiable Information (PII), the OPM-FIS Investigator’s Handbook (IHB) and other documents incorporated herein by reference that pertain to the performance of work under this Contract.

C.2.12 Maintenance of Records - All records created under this section, C.2 [Oversight of

Contractor Personnel], will be maintained in compliance with Attachment 2 [OPM-FIS Integrity Assurance Control Files Retention Plan].

C.3 TRAINING

C.3.1 The Contractor will develop and implement an OPM reviewed program for initial, periodic refresher, and update training to ensure staff proficiency. It will include initial and yearly refresher training to identify and correct problems in proficiency by its personnel working under this Contract, training for any changes in technology, OPM-FIS IHB, policy guidance, OPM-FIS Security Manual and other pertinent instructions supplied or approved by OPM incorporated herein by reference, and the Annual IT Security and Privacy Awareness training.

C.3.2 The RFP and Processes and Procedures manual(s) (J.1.1.14) will constitute the basis of

Contractor developed training courses and process instructions. The Contractor will post a list of all available training materials in a manner of OPM’s discretion upon award. Any and all materials can be requested by OPM at any time, and the most current training materials will be provided within 24 hours of the request.

C.3.3 OPM may audit/inspect training material during the course of announced and unannounced site visits. At the beginning of each month, the Contractor will post a calendar with all scheduled events in a manner of OPM’s discretion. The Contractor will report this in accordance with C.9.3.3.4 [Monthly Training Certification] and C.9.3.3.5 [Monthly Training Calendar]. The Contractor will notify OPM of any class cancellation, in accordance with C.9.3.3.5 [Monthly Training Calendar].

C.3.4 An incumbent contract employee in good standing currently working on OPM Contracts may be transferred to another entity or to a new Contract into the same job function without any additional training. Additional training is left to the discretion of the Contractor when the incumbent has 18 months of consecutive OPM experience (in the respective job title with the same functions). If the incumbent has a break in service, it will be at the discretion of the contractor as to whether or not the employee will need to attend a complete training program for their respective position. However, regardless of the incumbent’s experience level, training (refresher at a minimum) is mandatory for any break in service where a modification has occurred during the period of inactivity.

C.3.5 The Government will provide annual mandatory information technology (IT) (Annual IT Security and Privacy Awareness training) for all Contractor employees working under this Contract. The OPM IT security staff will approve the training materials. The Contractor will complete the mandatory training by the assigned due date provided by the CO or COR.

If any Contractor personnel fail to complete the training by the due date, they will be removed from the Contract until the training has been completed.

C.3.6 OPM will also provide an orientation into available IES management reports.

C.3.7 OPM will host a train the trainer session for its automated systems.

C.4 CONTRACTOR QUALITY CONTROL

C.4.1 The Contractor is responsible for the quality control process and will institute procedures that produce the level of quality service required by this Contract. The Contractor will develop, implement, and modify the quality control process to ensure that Performance (F.3) is met. OPM will periodically review the Contractor’s quality control process, and report concerns for Contractor’s resolution.

C.4.2 The Contractor will provide a quality control plan (QCP) that contains, at a minimum, the items listed below. The QCP will be updated in accordance with C.9.2 [Contractor Plans].

The QCP will be comprised of three parts and emphasize the areas of Integrity, Quality, and Timeliness.

C.4.2.1 Integrity – The Contractor will demonstrate how the Contractor will ensure the integrity of the services delivered under this Contract. This should include how the Contractor will address the following items:

Employee falsification/gross negligence;

Employee misconduct;

Computer security violations;

Facility security violations;

PII Loss;

Mishandling/loss of Government materials and information; and Mishandling/loss of data that violates and degrades the integrity of the

Government data systems.

C.4.2.2 Quality - The Contractor will demonstrate how the Contractor will meet the quality standards for the respective performance standards outlined in Section F.3 [Performance]. This will include a description of the inspection or quality control system to cover all services listed in C.10 [Support Services Requirements]. The description will include specifics as to the areas to be inspected on both a scheduled and unscheduled basis, frequency of inspections, and the title and organizational placement of the inspectors.

C.4.2.2.1 The Contractor will provide a description of the methods to be used for identifying and preventing defects in the quality of services provided and for protecting the integrity of data in Government systems.

C.4.2.2.2 The Contractor will provide a description of the records to be kept to document inspections and corrective or preventative actions taken. The records of inspections will be kept and made available to the CO or COR, throughout the Contract performance period and for the period after Contract completion until final settlement of any claims under this Contract.

C.4.2.3 Timeliness - The Contractor will demonstrate how the Contractor will meet the timeliness standards for the respective performance standards outlined in Section F.3 [Performance]. This will include a description of the inspection system to cover all services listed in Section C.10 [Support Services Requirements]. The description will include specifics as to the areas to be inspected on both a scheduled and unscheduled basis, frequency of inspections, and the title and organizational placement of the inspectors.

C.4.3 Failure of the Contactor to follow and enforce their approved QCP is a basis for termination for default.

C.5 QUALITY ASSURANCE SURVEILANCE PLAN

C.5.1 In addition to the Contractor’s quality control program, OPM will initiate a quality assurance program to monitor the services provided and will identify issues, as appropriate. OPM may inspect and test the services called for by the Contract to the extent practicable at all times and places during the term of the Contract. OPM may vary the levels of surveillance depending on the Contractor’s conformance to the Performance Standards (F.3). This may include, but is not limited to, assessment of the Contractor’s performance based on customer satisfaction, process inspections, random or focused inspections, or data analysis of work processed. OPM will monitor the Contractor’s Integrity, Quality, and Timeliness. Section C.10 [Support Services Requirements] provides the work requirements for processing investigative material that will be the basis of OPM’s quality assurance and surveillance. All training material will be subject to inspection by OPM-FIS at any time. Noncompliance of training materials with Section C.10 [Support Services Requirements] will cause immediate failure of inspection. Section F.3 [Performance] contains performance standards, deviation requirements, and methods of surveillance. OPM will focus on outcomes through the use of performance management.

C.5.2 Integrity - The Contractor’s integrity is the paramount requirement monitored by OPM.

The Contractor will strive to achieve a 100% integrity rating throughout the life of the Contract. Criteria for the Contractor include, but are not limited to:

Zero allegations of falsification substantiated against any of its personnel or the company.

Zero computer security violations by any of its personnel.

Zero facility security violations or improper handling of OPM material or equipment by any of its personnel.

Zero violations of any PII policy.

In the event of an integrity violation, the Contractor will be responsible for completing all rework (see Section C.2.3) to address the specific integrity issues as directed by OPM.

OPM reserves the right to investigate integrity violations and to conduct all rework utilizing Federal staff. In cases where the Federal staff conducts investigative rework, or otherwise utilizes resources as a result of an integrity or misconduct concern, all costs associated with the investigation and rework will be charged back to the Contractor.

Repeated integrity violations will be the basis for termination for default.

C.5.3 Quality - OPM will monitor compliance with Contract requirements through a review of work performed. Any reports OPM relies on for purposes of evaluating the Contractor’s performance under this Contract may be shared with the Contractor as they are produced.

OPM may modify existing or develop new reports as necessary to operate and enhance OPM’s oversight of Contractor performance. OPM will monitor quality standards in accordance with Section F.3 [Performance].

C.5.4 Timeliness - Contractor will not be held accountable for timeliness delays outside of their control. The Contractor will report such delays immediately after learning of such occurrence. Only the actual delay timeframe will be removed from the timeliness calculation, so whole segments of work will not be waived for performance. OPM will monitor timeliness standards in accordance with Section F.3 [Performance].

C.5.5 Resolution of Problem Areas - OPM will notify the Contractor of any problem areas not identified through quality review, the complaints process, or through other appropriate channels. The Contractor will be responsible for researching the problem area and providing OPM with a detailed summary of the problem, to include the name of the Contractor personnel involved, any action taken against said personnel, complete information regarding any cases involved, the steps that will be taken to correct the problem area, and the measures that will be adopted to avoid future concerns in the area.

OPM will determine a set deadline for the response based on the complexity of problem.

C.6 PROGRAM MANAGEMENT

C.6.1 The Contractor will establish and maintain a Program Management Office under the authority of a Program Manager (PM) to manage the effort required by this Contract. The Contractor PM will have sufficient corporate authority to direct, execute, and control all elements of this Contract.

C.6.2 The Contractor will present a Program Management Review (PMR) to OPM quarterly or when otherwise directed, in accordance with C.9.3.4.1 [PMR]. OPM will consult with the Contractor to establish a mutually agreed upon date, time, and location for the PMR, but in the event the parties are unable to agree, OPM reserves the right to unilaterally establish the date, time, and location. All aspects of this Contract including progress, production status, cost, schedule, number of delinquencies, deficiencies, complaints and disposition of complaints, special projects, training, current issues of mutual interest, quality assurance, future plans, and any other issues/concerns will be presented and discussed at these reviews. Some reports may be requested independent of the PMR cycle to address management issues.

C.7 GOVERNMENT FURNISHED PROPERTY

C.7.1 Government Property – Life of the Contract

C.7.1.1 The Government will be responsible for the costs associated for the repair and non-routine maintenance requiring vendor specialized assistance caused by normal use. The Contractor will be responsible for the routine maintenance of Government Furnished Equipment (GFE) including, but not limited to, the daily cleaning of the copiers, scanners, microfilm machines, and other GFE in accordance with the manufacturer’s specifications. The Contractor will maintain a checklist and record of its maintenance performed on each piece of equipment, to include the date, which will be furnished to OPM upon request.
