COMBINED SYNOPSIS/SOLICITATION FOR COMMERCIAL ITEMS

General Information

Section 2.0 – Description:

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12.6, “Streamlined Procedures for Evaluation and Solicitation for Commercial Items,” as supplemented with additional information included in this notice. This procurement is being conducted IAW FAR Part 13 Simplified Acquisition Procedures; therefore, competitive range determinations as provided for in FAR Part 15 Contracting by Negotiation, are not applicable under this FAR Part 13 acquisition.

This solicitation is a Request for Quotations (RFQ). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC 2005-83). The associated North American Industrial Classification System (NAICS) code for this procurement is 519190.

Section 3.0 – Requirements:

Overview The Overseas Private Investment Corporation (OPIC), a U.S. government agency, seeks access to a structured & project finance deals database. OPIC is looking for a service that can provide comprehensive deal coverage and deal data spanning multiple industry sectors and world regions. As the U.S. government’s development finance institution (DFI), OPIC requires information on deals transacted by DFIs (a list of qualifying institutions are attached in Attachment 2- Appendix A) as well as commercial institutions. OPIC seeks a wide range of transactional information, but will place special emphasis on services that offer comprehensive data on deal pricing.

The service OPIC ultimately selects will provide a single search platform/interface. Access to the deal database service will be through the Internet. OPIC’s interest is primarily in developing countries and emerging markets in Africa, Latin America/Caribbean, Asia Pacific, Central and South Asia, Middle East and Europe. A list of countries where OPIC is operational is available on the OPIC web site (https://www.opic.gov/doing-business-us/OPIC-policies/where-we-operate).

OPIC works in a wide variety of sectors with a special emphasis on infrastructure projects and financial services projects that enable growth and access to capital where neither local nor international private capital markets are willing to enter. OPIC is also strongly interested in deal data pertaining to small and medium enterprise (SME) finance and impact investing. Deal data sought includes deals in various phases of the transaction life cycle from pre-launch to closed. The ability to search and filter for deals by various project types (e.g., greenfield or brownfield) and transaction attributes (e.g., deal size, currency, country, ratings) is essential. A detailed list of these attributes is provided below. Quotes must address each of these requirements.

A. General System Requirements:

• Available 7 days a week with minimal downtime.

• Menu driven and interactive access to all deal information.

• Ability to search deals by specific criteria such as: sector, country, deal size, sponsor, etc.

• The web-based database is full-text (key word) searchable.

• Access to a Help Desk or other interactive search assistance.

• Access to subject specialists to provide search guidance beyond the scope of the Help Desk.

• Ability to open, print or save the search results in appropriate formats such as Excel spreadsheets, Word documents or PDFs.

• Ability to set up project alerts that will notify the user of changes to the project.

• Training support in the form of customer oriented on-site training, off-the-shelf online training sessions and/or off-site training seminars.

• At the request of OPIC’s Information Center Manager, the contractor will provide quarterly and/or annual usage statistics indicating the number of sessions, number of searches conducted, number of documents downloaded.

• Billing and invoicing that is accurate, and if there is an error on the invoice, the ability to provide a revised invoice to the client.

B. Basic Deal Data Requirements:

Each deal query should be able to provide the following transactional data (OPIC recognizes that not all transaction profiles/records will contain all of the data elements listed below due to confidentiality and limited availability from sponsors, borrowers, lenders):

• Deal Country

• Deal Sector

• Sponsor Name

• Equity Provider(s)

• Project Costs

• Debt, sub-debt, mezzanine, equity tranches raised to fund the transaction and for each tranche:

• Amount

• Lender(s) or Investor(s)

• Mandated Lead Arranger(s) or Underwriter(s) as applicable

• Currency

• Pricing (all-in price, benchmark index (LIBOR, Treasuries, etc.) and applicable spread)

• Tenor

• Debt/Equity Ratio

• Debt Service Coverage Ratios (DSCRs)

• Any other tranche attributes such as financial covenants that may be available.

• Brief textual overview of the deal

C. Basic Project Data Requirements:

In addition to the financially oriented deal data required above, OPIC seeks project specific data based on the following categories:

• Sectors - Areas of interest include (essential sectors are highlighted in bold), but are not limited to:

o Power (including Renewable Energy) o Housing o Consumer Goods o Food (Agribusiness) o Hospitality o Manufacturing o Mining/Metals o Oil & Gas o Petrochemicals o Social Infrastructure (PPP) o Telecoms o Transport o Waste o Water o Financial Services o Other sectors and corresponding sub-sectors as appropriate

• Project Type: Greenfield or Brownfield

• Project Stage:

o Pre-Development o In Development o Deals In Tender o Deals In Syndication o Closed Deals o In Construction o Operational o Decommissioned o Other suitable categories

D. Desirable Features:

In addition to the above requirements OPIC is also interested in seeing the following information available:

• Detailed transaction and borrower profiles.

• Data tracking of both completed and pipeline (prospective or work-in-progress) transactions.

• Create custom analytic reports including league table rankings and volume analysis featuring

Development Finance Institutions such as OPIC.

• View daily news articles for latest market and project developments, also accessible via links from project data sets.

• Set up automated report updates.

Section 4.0 - Period of Performance: The period of performance is a three (3) year period – One (1) Base Year and two (2) option years.

Section 5.0 - Place of Performance: Delivery is via Internet access.

Section 6.0 – Contract Overview: OPIC anticipates awarding two (2) firm-fixed price contracts from this solicitation.

(a) The Government will award a contract(s) resulting from this solicitation to the responsible offeror(s) whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Technical Capability and Price. Technical capability is more important than price.

The Offeror’s quote will be evaluated based upon the degree that it addresses the technical requirements, whether pricing is representative of the market and therefore fair and reasonable, and whether it represents the best value to the Government.

In order for OPIC to be able to effectively assess and determine which deal database to use, OPIC requests, if we deem it is needed, a limited free trial of the database or a live demonstration of the database explaining how the user interface works and how to perform sample queries and view specific reports as well as download data in excel, pdf, or other forms of output.

The contract award(s) shall be made to the responsible offeror(s) whose quote(s), in conforming to this RFQ, provides an overall best value to the Government.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Section 9.0 - Submission Requirements and Quote Due Date:

Volumes 1 (Technical Quote) and Volume 2 (Price) of the quotes must be submitted electronically (pdf or word format) no later than May 31, 2017 at 1 PM Eastern Standard Time (EST). Submit via email to Emily.McLaughlin@opic.gov.

Volume 1 Technical Quote: Quotes should include the following-

A. General System Requirements as stated above.

B. Basic Deal Data Requirements as stated above.

C. Basic Project Data Requirements as stated above.

D. Desirable Features as stated above.

E. Required Statistics on Deal Database. In your quote you must provide the following information:

• Total number of transactions in the deal database.

• Total number of Development Finance Institution-related transactions in the deal database.

• Number of years covered by the deal database.

• Itemized list of OPIC countries that the database does not cover.

• Specific percentage (%) of deals in the database that have deal pricing.

• Specific percentage (%) of deals in the database that have deal pricing for transactions supported by

Development Finance Institutions.

OPIC also requests that the following queries be performed by the contractor and results shared with OPIC in excel or pdf format as part of the response to this solicitation. Please provide a summary sheet with the list of relevant transactions produced from the query supported by detailed information for each transaction (e.g., a tear sheet per deal).

• Renewable Energy projects financed, cancelled, or pending in Mexico, Romania, Nigeria, and Philippines in the past 3 years.

• All OPIC deals closed in the past 5 years.

• Project finance transactions closed, cancelled and pending for ContourGlobal spanning all geographies

Volume 2 Price Quote: Your price quote shall be a separate file from your technical quote for the base year period (1 year), and two (2) option years. Pricing plans submitted with the quote must include the following:

• Access for a single-user license.

• Access for multiple users – three (3) users, five (5) users, 10+ users, and/or any other multiple-user packages offered by the contractor. A pricing sheet (Attachment 3) is included in this solicitation.

• Contractors must include information on the basic level of access that includes a listing of all features and content that make up the basic plan.

• Breakout of any content add-ons outside of the basic level of service with specific pricing for each add-on.

Your quote MUST affirmatively acknowledge all RFQ amendments.

A. Each Volume must include a signed and dated cover letter that states the following:

(1) RFQ number and name

(2) RFQ issuance date

(3) OPIC issuing office and contact person

(4) Name and address of contractor submitting the quotation

(5) Acknowledgement of applicable amendments issued to the RFQ

(6) Quotation acceptance period of no less than 120 days

B. Each Volume’s cover letter must include no pricing or technical information.

C. Table of Contents and Organization of Volumes. Each Volume must contain a Table of Contents providing sufficient detail to allow evaluators to easily locate all important Volume elements. All pages, tables, figures, and charts must be clearly numbered using a consistent numbering system.

D. General Formatting. The specified format for the Technical Volume and Cost/Price Volume is:

(1) Pages must be standard 8 ½” by 11” size and the font must be 12 point Times New Roman. The font size for tables, figures, and graphics must be 8 point or larger and must be Times New Roman or Arial font.

(2) Margins must be one-inch at top/bottom and left/right of each page. Pages must not be reduced form. Headers and footers may be included in the margins.

(3) Paragraph line spacing must be single spaced.

(4) Pages must be printed single-sided.

(5) Foldouts are limited to 11” x 17” size paper and will count as two pages toward the page limit.

E. Page Limits: Volume 1: Technical Quote – 15 pages Volume 2: Price Sheet (Attachment 3)- None

F. This is an open-market combined synopsis/solicitation for services as defined herein. The government intends to award a contract as a result of this combined synopsis/solicitation that will include the terms and conditions set forth herein. To facilitate the award process, all quotes must include a statement regarding the terms and conditions herein as follows:

"The terms and conditions in the solicitation are acceptable to be included in the award document without modification, deletion, or addition."

OR

"The terms and conditions in the solicitation are acceptable to be included in the award document with the exception, deletion, or addition of the following:"

Quoter shall list exception(s) and rationale for the exception(s).
