About this file

This is a Notice of Intent to Award a Sole Source Purchase Order issued by the City of Portland, Oregon, Procurement Services, on behalf of the Bureau of Environmental Services (BES). The procurement seeks residual reuse services for biosolids material generated at the Columbia Boulevard Wastewater Treatment Plant (CBWTP). The sole source vendor identified is Madison Biosolids, Inc. (undergoing a corporate name change to Sustainable Ag Solutions). The notice was posted on December 6, 2024, and will remain posted for a minimum of seven calendar days prior to contract award. The estimated contractual term is approximately 90 days, or until a new price agreement can be established following the completion of the vendor's tax identification number change with the IRS. The contractor has indicated its intent to perform all services without the use of subcontractors.

The estimated contract value is $362,000 for the 90-day stop-gap period. This sole source procurement was necessitated by an urgent operational need: the current Price Agreement No. 31000496 expires on December 31, 2024, and insufficient time remains to solicit and train an alternative contractor. While BES issued RFP No. 00002398 on August 1, 2024, which resulted in Madison Biosolids, Inc. (doing business as Sustainable Ag Solutions) being named the successful bidder, the corporate name change has prevented formal award of the resulting contract until the IRS completes processing of the tax identification number change. The biosolids reuse service is highly specialized and requires contractor knowledge of CBWTP processes; failure to manage material timely could create operational emergencies and regulatory violations from the U.S. Environmental Protection Agency and Oregon Department of Environmental Quality. Protests must be filed within seven days of this notice to Cynthia Phillips, Sr. Procurement Specialist, at cindy.phillips@portlandoregon.gov.

NOTICE OF SOLE SOURCE PROCUREMENT

The following Sole Source Procurement is hereby published in accordance with Portland City Code 5.33.120.C. This notice was posted on Friday, December 6, 2024, and shall remain posted for a minimum of seven (7) calendar days prior to contract award.

Procurement Description: Provide residuals reuse services for material generated at the

CBWTP.

Vendor: Madison Biosolids, Inc.

Justification: BES requires residuals reuse services for the material generated at the CBWTP.

Without these services, material would build up at the treatment plant, creating an operational and potential regulatory emergency. BES currently manages Price Agreement No. 31000496 with Madison Biosolids, Inc. for these services and the Price Agreement will expire on December 31, 2024.

BES requires a stop-gap sole source contract for residuals reuse services. Beneficial reuse of biosolids is a highly specialized service and must be performed by a qualified and experienced contractor. The contractor is required to be knowledgeable of the CBWTP processes. Failure to manage the biosolids material in a timely manner could negatively impact microbiological health at the CBWTP and result in fines from regulatory bodies (U.S. Environmental Protection Agency and Oregon Department of Environmental Quality).

The Bureau of Environmental Services (BES) issued a Request For Proposals (RFP# 00002398 on August 1, 2024) for Residuals Reuse Services, resulting in Sustainable Ag Solutions, Inc.

being named the successful bidder. Sustainable Ag Solutions Inc. was the only supplier that submitted a bid.

Notice of intent to award to Sustainable Ag Solutions Inc. was posted on 9/4/24. However, due to a recent corporate name change whereby Madison Biosolids, Inc (changing to "Sustainable Ag Solutions"), a new contract cannot be awarded to Sustainable Ag Solutions Inc. until the name change process (tax identification number) is completed and available in the IRS’ database. As of November 26, 2024, the IRS still cannot provide a timetable for the completion of this corporate name change.

There is insufficient time to solicit another contractor and train them before Price Agreement No. 31000496 expires on December 31, 2024, and a new Price Agreement resulting from RFP# 00002398 cannot be established until the tax ID is available in the IRS database, therefore, the BES is requesting an emergency sole source PO to Madison Biosolids, Inc. to avoid this stop-gap.

Contractual Term: It is estimated that this stop-gap request is required for approx.

90 days or until a new price agreement is awarded.

Estimated Contract Value: $362,000.00 (for a 90-day period).

The Contractor has indicated their/its intent to provide the product and deliver all materials without the use of any subcontractors.
