About this file
This is a Non-Disclosure Agreement (NDA) between the Michigan Department of Technology, Management and Budget and a recipient entity for the protection of confidential state information. The agreement establishes obligations for recipients to maintain confidentiality of technical information, security-related information, infrastructure-related information, and personally identifiable information protected under the Michigan Identity Theft Protection Act. Recipients are permitted to use the confidential information solely for preparing a proposal in response to the State's Request for Proposal. The agreement requires recipients to exercise reasonable care in protecting the state's confidential information, notify the State within 48 hours of any legally compelled disclosure requests, and ensure that all employees and subcontractors with access to confidential information are bound by the same agreement terms.
The agreement survives termination of any relationship between the parties, and recipients must return all confidential materials or certify their destruction upon request. The NDA is governed by both United States federal law and Michigan state law and includes provisions enabling the State to seek injunctive relief and specific performance for any breach. The agreement is binding on the recipient and all entities that control or are controlled by the recipient, and supersedes all prior agreements concerning the confidential information. Execution of the agreement requires an authorized representative of the recipient to sign and affirm their authority to bind the organization.
