INTRODUCTION
THIS IS A COMBINED SYNOPSIS/SOLICITATION NON-COMPETITIVE (NOTICE OF INTENT) TO AWARD A CONTRACT OR PURCHASE ORDER WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION (INCLUDING BRAND-NAME).
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested, and a separate written solicitation will not be issued.
The solicitation number is 75N98026Q01195-05009. This solicitation is issued as a Notice of Intent (NOI) for a non-competitive combined synopsis/solicitation to award a contract or purchase order without providing for full and open competition (including brand-name, if applicable). This is intended to be a firm-fixed price contract and awarded using a lowest price technically acceptable approach.

The intended procurement is classified under NAICS code 334516 with a Size Standard 1,000.
REGULATORY AUTHORITY
The resultant contract will include all applicable provisions and clauses in effect through the Federal Acquisition Circular (FAC) 2005-99-1, July 16, 2018. This acquisition is conducted under the procedures as prescribed in FAR 12.603 at an amount not exceeding the simplified acquisition threshold ($350,000).
STATUTORY AUTHORITY
This acquisition is conducted under the authority of FAR 12.603, Streamlined Solicitation for Commercial Products or Commercial Services, and is not expected to exceed the simplified acquisition threshold. Additional authority includes 41 U.S.C. 1901 and FAR 6.302-3(a)(2)(ii).
GENERAL INFORMATION
1. Title: Automated Cell Counter and Analyzer Background Information: The Protein Expression Facility (PEF) at the National Institute of Environmental Health Sciences (NIEHS) requires the acquisition of a new automated cell counter and analyzer to replace the existing Nexcelom Cellometer Auto 2000. The replacement instrument is necessary to maintain reliable cell counting and analysis capabilities required to support ongoing research activities within the facility.
The PEF requires an instrument capable of performing multiple cell analysis functions within a single platform. These capabilities are essential for evaluating cell cultures and ensuring consistent and reliable measurements during routine laboratory workflows. The requested system must be capable of performing:
· Bright-field cell counting for routine cell concentration measurements.
· Fluorescent cell counting for analysis of fluorescently labeled cells and samples.
· Cell viability measurements to distinguish viable and non-viable cells.
· GFP quantification to support studies involving green fluorescent protein expression.
· Cell size and morphology analysis to characterize cell populations and assess changes in cellular characteristics.
The new system must also provide compatibility with the laboratory's existing Nexcelom Cellometer Auto 2000 measurements, data outputs, and established workflows to the greatest extent practicable. This compatibility is important for maintaining continuity and comparability of historical and newly generated data and for minimizing disruption to established laboratory procedures.
Period of Performance: This is a one-time supply acquisition with the duration of the maintenance agreement as specified in the resulting contract or purchase order.

CLOSING STATEMENT
This synopsis is not a request for competitive proposals. However, interested parties may identify their interest and capability to respond to this notice. Responses to this notice shall contain sufficient information to establish the interested parties' bona-fide capabilities for fulfilling the requirement and include a technical proposal, a cost-price proposal, the period of performance, the Unique Entity ID (UEI), the Taxpayer Identification Number (TIN), and the certification of business size. All offerors must have an active registration in the System for Award Management (SAM) www.sam.gov.
A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. The information received will normally be considered solely for the purposes of determining whether to proceed on a non-competitive basis or to conduct a competitive procurement.
· FAR 52.204-7, System for Award Management, applies to this acquisition.
· The provision at FAR 52.212-1, Instructions to Offerors—Commercial Items, applies to this acquisition. Add any additional instructions as required.
· The provision at FAR 52.212-2, Evaluation—Commercial Items, applies to this acquisition.
· A written notice of award or acceptance of an offer, issued to the successful offeror within the time specified in the offer, shall result in a binding contract without further action by either party.
The Government reserves the right to accept any offer (or part of an offer) before the expiration date, whether or not discussions are conducted, unless a written notice of withdrawal is received prior to award. Add additional evaluation criteria as required.
· FAR 52.212-4, Contract Terms and Conditions—Commercial Items, applies to this acquisition.
· Additional contract requirements or terms and conditions, as determined necessary by the Contracting Officer and consistent with customary commercial practices: None.
· The Defense Priorities and Allocations System (DPAS) is not applicable to this requirement.
Submission Requirements: Responses must include sufficient information to demonstrate the respondent’s capability to provide the required product or service. Price quotations shall include, at a minimum: unit price, list price, shipping and handling costs, delivery timeframe after award, delivery terms, prompt payment discount terms, F.O.B. point (destination or origin), product or catalog numbers, product descriptions, and any other relevant information. Evaluation factors may include, but are not limited to: Equipment Capability, Equipment Warranty and Maintenance Coverage, Delivery, Price, past performance, technical capability, special features, trade-in considerations, expected lifecycle, warranty, maintenance availability, and environmental or energy efficiency considerations.
Respondents claiming to be manufacturers or authorized resellers of a specified brand-name product must provide:
(a) Product, catalog, model, and/or part number(s);
(b) Product description;
(c) Documentation demonstrating that the offered item meets all required salient characteristics;
(d) Quantity;
(e) Estimated price or cost;
(f) Shipping, handling, and/or installation charges; and
(g) Delivery timeframe after receipt of order.
Responses must also include the Unique Entity Identifier (UEI), Taxpayer Identification Number (TIN), and business size certification. All offerors must be actively registered in the System for Award Management (SAM) at www.sam.gov.
