The purpose of this Amendment is to:
1) Answer questions from potential offerors regarding the solicitation;
2) Revise Section M of the Solicitation
3) Provide an addendum to Attachment 18 of the Solicitation
Offerors must acknowledge receipt of this Amendment by identifying this amendment number and date of the amendment on each copy of the proposal submitted. Failure to receive your acknowledgement may result in the rejection of your proposal. Except as provided herein, all terms and conditions of the solicitation remain unchanged and in full force and effect.

Responses to Questions from Potential Offerors:
1. Please reference Article G.7 Government Property: Will any government furnished equipment
(GFE) be provided to contractors for the performance of work under the contract? If yes, please identify the GFE and related quantities.
We do not anticipate that Government Furnished Property or Equipment will be provided to the contractor.
2. Please reference Section L, para 3. Data Other than Certified Cost or Pricing Data and para 4.
Requirements for Certified Cost and Pricing Data and Data other than Certified Cost or Pricing
Data, FAR 52.215‐20: Please clarify if submission of certified cost or pricing data with the
Business Proposal is required.
We anticipate adequate price competition, therefor Certified Cost and Pricing Data is not required to be submitted.
3. Please reference Attachment 1, Page Limitations and Section J, List of Attachments: Is
Attachment 7; List of Related Activities considered in the total page count for the Technical
Proposal?
The attachment “List of Related Activities” is excluded from the Technical Proposal page limitation.
4. General Inquiry: Please advise if this is a Service Contract Labor Standards covered contract? In addition, please advise if EO 13706 – Paid Sick Leave for Federal Contractors applies to the contract.
The resulting contract will be a Service Contract Labor Standards covered contract and EO 13706 will apply to this contract.
5. General Inquiry: Is there an incumbent workforce that will transition from an existing NIAID or other NIH contract to this one? Page 88 Section 4 (F) Management Approach
There is not an incumbent workforce to transition to this contract upon award.
6. Reference Business Proposal Instructions, section 13. Subcontractors: Considering the goal of
33% small business spend there will be a significant number of small businesses supporting the
NIAID contract. Is it the government’s intent for the Offeror to submit a complete cost proposals for each of the small businesses that that have committed to provide services under the contract?

Even though the Government doesn’t intend a full cost proposal for each small business proposed, please provide enter fully loaded rates for each position in Attachment 10 and enough information in your business proposal to determine reasonableness.
7. Please reference Attachment 10: The instructions for completing this document are a bit confusing. For those labor categories with an estimated number of hours in column C, are contractors required to multiply those hours by each fixed hourly rate in columns D through H and enter the sum of those calculations in Column I, Total Price/Cost. For those labor categories that have no hours in Column C, then no value would be entered Column I and only the fixed hourly rates entered into Columns D through H?
We need an hourly rate for every listed position on Attachment 10. Please complete all hourly labor rates in the spreadsheet and multiply by the number of estimated hours. The value will be zero if there are no estimated hours but an hourly labor rate is required as the position could be utilized during the life of the contract.
8. Please reference Business Proposal Instructions, section 3.b.a through g (pages 58 & 59): Other than the offeror providing the normal elements of costs used to develop fully loaded hourly bill rates (i.e. overhead, fringe rates, G&A and profit) please help us understand what is requested for Direct Labor, Materials and Subcontracted Items.
When proposing Direct Labor please utilize the spreadsheet found at Attachment 10 of the solicitation. Materials are not needed to be proposed, please utilize the ODC uniform cost assumptions already plugged into the bottom of Attachment 10. If Other Direct Cost is needed on subsequent Task Orders, cost assumptions will indicate these costs. Please refer to question
6 on Subcontractor Costs.
9. Please reference Attachment 10: Does NIAID anticipate utilizing any overtime under the terms of the contract? If yes, how would you like us to submit overtime rates?
While overtime will not usually be required under this award there is a possibility that a task order could be competed that would necessitate overtime. Overtime rates will be evaluated in the task order competition if required. Offerors do not need to submit overtime rates in response to this solicitation.
10. Please reference Attachment 10: The Statistician labor category begins with Level 4, was this intentional or are Levels 1 ‐3 missing?
Yes, the requirement for Statistician begins at level 4.
11. Reference Article H. 1, Human Subjects, specifies that research involving human subjects will not be conducted under this contract. Task Area A incorporates clinical trials activities and personnel that would conflict with this restriction. Is this a correct interpretation?

The contractor will not be conducting research involving human subjects under this award.
Although task area A does include clinical trial support services, all research is directed by the
Government.
12. Page 4, Article B.2. Price/Cost indicates this will be a multi‐award. How many awardees does the government anticipate. Will awards be made against individual Task Area? Do all Task Area’s need to be bid?
Please provide a proposal that covers all positions and task areas and is responsive to the entire
Statement of Work. The Government anticipates awarding more than one contract as a result of this solicitation however it is impossible to say exactly how many awards will be made a this time.
13. Does this contract include professional staffing services for NIAID IRF in Frederick, MD for both
Task areas A and B?
This contract does not include staffing services for NIAID IRF in any task area.
14. Please reference the proposal due date of July 6, 2018 at 3:00 pm: Considering that this is
Independence Day Holiday week, will NIAID consider a modest extension until July 13, 2018?
The proposal due date is extended to July 9, 2018 at 3:00 pm EST.
15. Regarding key personnel resumes and Letter of commitment for all proposed personnel who are not current employees. Do resumes of Key Personnel and Letters of Commitments count towards page count? If Key Personnel from small business partners are submitted do you want resumes and LOC’s is they are not a current employee?
There are no listed key personnel positions in the solicitation, even though one will be named for the Base Award at the time it is awarded. Please submit a resume and a letter of commitment for the individual that will be proposed as key personnel. This resume will count towards the Technical Proposal Page count.
16. Page 48, 12. Past Performance ‐ For the past performance, it is noted that "a list" of 5 contracts in the last five years AND 3 current contracts that are similar in scope/size. Would you like to see the full past performance information for all of these or only the 3 current/similar ones? Can the references overlap (meaning that the 3 current contracts can stem from the list of 5)?
References may over‐lap and full past performance information is requested for every contract listed.
17. What is the projected turn‐around time for TO RFP request for proposal. 3, 5, 7 10 days?
This will vary based upon the task orders but is likely to be estimated at about 14 days.

18. The following list of labor categories are included in Attachment 10 for pricing but there is no corresponding description included in Attachment 18. Will NIAID please provide corresponding experience, education and responsibility descriptions?

19. The instructions in Attachment 5, Section 3.B require offerors to propose fully loaded rates that are inclusive of all direct and indirect costs and profit. The Government intends to award contracts to multiple offerors and will certainly receive multiple competitive offers. Please confirm that there is no requirement to provide detailed pricing build‐ups (as you would expect in a cost reimbursement type contract) as the proposed rates will service as fixed labor rate ceilings?
Please enter full loaded rates into Attachment 10. Separately in the business proposal, please outline your indirect rates to help us determine reasonableness of the salaries proposed.
a. If this assumption is not correct, may Offerors modify Attachment 10 to provide the rate build‐up information to display the application of indirect cost rates or profit margins, including on both labor and other direct costs?
Please do not modify Attachment 10. Any additional information can be provided in the Business Proposal.
20. Section L.2.C.3 on page 58 asks offerors to provide, among other items detailed information on Direct Labor rates and Indirect costs. Please confirm the Government doesn’t require detailed information on bidder’s direct labor rates and indirect rate pools as the Government is soliciting a menu of fully loaded rates against the specified labor categories?

21. The RFP requires offerors to submit fully loaded rates for each of the labor categories listed in
RFP Attachment 10. For bidders that have one or more subcontract partners as required to meet the RFP‐specified small business subcontracting targets, does the Government want bidders to submit a separate set of rates for each subcontract partner, or does the Government want only a single set of rates from each prime offeror and it will be up to each winning prime contractor to negotiate appropriate rates between itself and its subcontractors?
Please enter fully loaded rate into Attachment 10. If an award is made, this document will become part of the Contract. The subsequent task orders will be using these rates, for the prime and any subcontractors.
a. If the Government wants an independent set of rates for each proposed subcontractor, to the extent that the subcontractors are required to disclose their rate build‐ups and do not want to disclose their rate build‐up information to the prime offeror, will the Government accept submission of sealed subcontractor rate information in support of the prime proposal?
Please reference above response.
b. If the Government does not want or require a separate set of rates for each subcontractor, and instead only wants a single set of rates from each prime contractor, please confirm that the Government does not require any pricing or rate analysis from the prime related to its proposed subcontractors as the rates that the prime will pay to each subcontractor for subcontractor labor costs will be independent of the costs charged by the prime to the Government (in other words, each prime contractor will bill the Government based on its own fully loaded rates and will not directly pass through subcontractor costs)?
As stated above, the Government intend to only pay negotiated fully loaded labor rates.
But, the need might vary on task orders and will be determined at that time. For this solicitation, we will be evaluating the fully loaded fixed rates in Attachment 10, and pass through cost will not be allowable for these positions.
22. Please confirm that contractor employees assigned to work at Government facilities will be provided by the Government with all appropriate office equipment (e.g., computers, printers, desks, telephones, etc.)?
Contractor employees assigned to work at Government facilities will be provided all materials and supplies needed to complete their task by the Government.
23. The instructions related to the Small Business Subcontracting Plan in subparagraph d.2 on page 62 indicates the subcontracting plan must include a statement of total dollars planned to be subcontracted (in addition to the requirement for goals expressed in terms of percentages of total planned subcontracting dollars from subparagraph d.1). Given that this will be a multiple vendor ID/IQ Task Order contract and the companies winning a prime contract have no way to

know how many Task Orders (or the dollar value of Task Orders) each ultimately will be awarded during performance, will the Government consider eliminating the requirement that offerors include the “total dollars planned to be subcontracted” or provide an estimated plug value that each winning company should assume it will receive in total task awards that can be used for purposes of converting the percentages of planned subcontracting into dollars? We assume the Government does not want bidders to assume a total contract value of $268 million for purposes of the subcontracting plan. Alternatively, please clarify how the Government expects bidders to estimate the total value of Task Order dollars it will be awarded?
The subcontracting goals should be an estimated percentage to be spent, based on the maximum dollar amount of the contract, which is $268,000,000. We have no way of determining the total value of Task Order dollars to be awarded. Please use estimates based on the Maximum dollars that could be awarded.
24. Article G.2 of the RFP on page 12 has the standard HHSAR Key Personnel clause. Please confirm that Key personnel will be required/identified as appropriate at the Task Order level and not at the prime contract level? It is our understanding that the actual work to be performed under this contract will be generated through the award of Task Orders and that it should not be necessary to list any key personnel unless and until there is such a requirement upon winning one or more Task Orders. If the Government intends otherwise, please clarify which positions the Government intends to be considered Key Personnel at the prime contract level, and if such positions are not listed on Attachment 10, please clarify the minimum skills and qualifications?
Please see question 15. Key Personnel will also be identified if required on the Task Order level.
25. In section 4 of Attachment 5, it is explained that the “offerors should propose inflationary increases as needed” to the other direct costs (ODCs). The values shown for ODCs in Attachment 10 include an inflation factor of 2.4% on each option year plug value. Should the offerors use the inflation factor provided in Attachment 10 or propose a substitute inflation factor, per Attachment 5? We recommend that all bidders use the same plug values to aid in appropriate price analysis.
Please use the 2.4% inflation factor utilized for the ODC costs for every option year when pricing your direct labor costs.
26. Please confirm the plug values for Travel, Occupational Health, Cost of Visas and Consultants in
Section 4 of the Uniform cost assumptions are the estimated direct costs before contractor indirect burdens?
These cost estimates are priced without indirect burdens.
27. The RFP includes the requirement for a Total Compensation Plan (TCP) on page 63. As this proposal will just result in a prime contract with no actual work, and just requires bidders to submit a schedule of fully loaded rates, will the Government consider making the TCP an element of each Task Order rather than this RFP? The evaluation of the TCP is aimed at ensuring the proposed compensation structure is sufficient to retain qualified personnel and assuring program continuity. An analysis of compensation levels to assure they are appropriate to maintain professional employees makes more sense when applied against Task Order proposals

where there is certainty over the professional employees that may be currently providing services or that may be needed to perform the specific work, and the specific labor categories and compensation rates can be provided.
Please include a Total Compensation Package with your proposal submission. We will evaluate this package to ensure that the offerings are competitive and will ensure positive employee attraction and retention.
28. Section L.2.C.6 regarding the Small Business Subcontracting Plan sets out goals on page 62.
Please clarify whether the goal of “3% for Veteran‐Owned Small Businesses and Service Disabled Veteran Owned Small Business” means that the prime contractor can meet this goal through the use of either VOSBs and SDVOSBs (or both), or if each of these categories requires its own 3% target?
The 3% goal is a total from both VOSB and SDVOSB subcontracting.
b. If the answer is that they are individual targets, our understanding is that an SDVOSB is also a VOSB. Please confirm?
A SDVOSB could also be considered a VOSB but a VOSB may or may not be a SDVOSB.
c. Section J has a link to an HHS subcontracting plan template. Are offerors required to use this template or can we provide our own plan? Note the template has references to FY2016 goals.
Please utilize this template as it is the latest format available.
d. There is also an HHS Subcontracting Plan in Microsoft Word format located at https://oamp.od.nih.gov/DGS/DGS‐workform‐information/attachment‐files. If the Government wants offerors to use an HHS plan template, may we use this MS Word version?
The word format plan found on OAMP is acceptable.
29. In Section L.2.a.12 regarding past performance, the instructions indicate that prime offerors should submit past performance information on a list of 5 contracts completed during the past 3 years and the last 3 contracts awarded currently being performed that are similar in nature to this RFP. This information is to be included in the Business Proposal. In Section L.2.C.11 under Qualifications of Offeror, the instructions for subpart d regarding Pertinent Contracts indicates the offerors should provide a listing of each related contract completed within the last 3 years or currently in process, but the instructions do not specify the number of contracts to be listed.
Both of these sections are essentially past performance information. Please confirm that the Government does not want duplicative sections with identical or nearly identical write‐ups and that offerors may combine the requested information into one section?
Please submit Past Performance information only under your business proposal and only once.

30. The RFP requires organizations to submit a copy of their most recent annual report. Our organization operates as a business unit of a publicly traded company. As such, we would submit an annual report for just our business unit operations, containing the items: balance sheet, income statement and aged receivables for the most recent year. Is this sufficient for the Government? If not, what additional items would you like to receive?
This is sufficient for the Government to make its determination of Financial Capability.
31. HHSAR Clause 352.231‐70 is included in the RFP. It indicates that “an individual’s direct salary is the annual compensation that the Contractor pays for an individual’s direct effort (costs) under the contract.” The RFP calls for a plug value of $5,000,000 for year 1 in the Uniform Cost Assumptions, which indicates the possibility of significant consulting activity. Consultants are not paid a “salary” and typically are just reimbursed by a company based on actual work performed. If a prime contractor uses a consultant with an hourly rate of $200 (which would appear to be in excess of the current Executive Level II salary divided by 2,080 hours) and the consultant only works 100 hours on the contract during a given year, their compensation for the direct effort under the contract will equal only $20,000. If the only direct effort this consultant performs under the contract in an annual period results in annual compensation of only $20,000, please confirm that in this situation there would be no violation of 352.231‐70, because the compensation paid for the direct effort under the contract is far below the Executive Level II threshold?
The total compensation for any one employee cannot exceed Executive Level II on any one contract mechanism.
e. If the Government determines that this rule would apply in the situation above, please confirm whether the salary rate limitation rule does not apply to consultants or subcontractors that are paid on a fixed price basis (per project or per deliverable) rather than on an hourly basis?
For this contract, the law would apply to all consultants and subcontractors as we are procuring the positions and likely will not be procuring any task orders on a project basis.
32. Regarding Attachment 5, Section 4, Item C ‐‐ Costs of Sponsoring Visas: This item specifically calls for fees to process visitor and business visas.
f. Are H1B, O‐1, F‐1, J‐2 or TN all considered business visas? or is reimbursement only applicable for fees incurred to obtain visas for staff that will travel abroad to conduct NIH sponsored activities? If a task order requires a Visa, all costs will be reimbursed. For cost evaluation purposes, please use the Cost Assumption in Attachment 5.
g. Assuming these type of sponsored work visas are contemplated for reimbursement under the contract, can the Government estimate approximately how many employees have required work visas under the current contract (or to support the contemplated work for NIAID)? This cannot be determined at this time, please use the cost assumption listed in Attachment 5 for proposal submission.
h. To the extent that visa programs, such as the H1B program, offer premium processing of visa applications in order to expedite the review/approval process, are these types of costs reimbursable with Government approval? The Government would like Visas to be

planned so there is no premium chargers but understand that some circumstances require premium processing.
33. Can the Government clarify which volume should include the Past performance write‐up. The instructions as they stand right now, are conflicting. The government indicates on page 70 that Technical encompasses experience and past performance, whereas, on page 48, the government states that Offerors shall submit past performance information as part of the Business proposal.
Attachment X is revised an attached to this amendment. The first sentence has been revised as follows:
“Selection of an offeror for contract award will be based on an evaluation of proposals against three factors. The factors in order of importance are: technical, cost, and past performance.”
34. Should the HHS Small Business Subcontracting Plan template be used to submit our small business subcontracting plan, referenced as Attachment 9?
Yes.
35. Section L on page 49 is explicit that it has to be addressed in a separate section of the business volume. But the subsequent language is only a list of security requirements we need to follow. Is it expected in the business volume to describe how the Contractor is to follow each of the requirements listed, or a statement that the Contractor will follow the security requirements listed in the RFP?
Please include any information that can help the Government determined that you will comply with these requirements.
36. Section L page 57 referenced instruction states that offerors must include the basic elements of the proposed cost or price. The "Proposal Submission" instructions clearly indicate that only 'Attachment 10' can be submitted in excel format while all other business proposal files, including attachments must be in pdf format. Please confirm that offerors may add supporting spreadsheets to Attachment 10 to illustrate the development of the rates proposed in support of the Government's evaluation.
Offerors can add supporting spreadsheets to the Attachment 10 in their business proposal submission, but please do not alter the current spreadsheet.
37. Can the Government explain how the "time‐phased (e.g., monthly, quarterly, etc.) breakdown of labor hours, rates, and cost by appropriate category" is supposed to be done when the 'Attachment 10' instructions clearly indicate that the Contractor is not to adjust the excel file and specific time‐based milestones have not been established prior to specific task orders being released?
This is revised to state: “Provide a breakdown of labor hours, rates, and cost by appropriate category”.

38. FAR 22.1103 states that FAR 52.222‐46 shall be used “in solicitations for negotiated contracts when the contract amount is expected to exceed $700,000 and services are to be provided which will require meaningful numbers of professional employees.”
FAR 22.1102 defines Professional Employee as “any person meeting the definition of “employee employed in a bona fide . . . professional capacity” given in 29 CFR 541. The term embraces members of those professions having a recognized status based upon acquiring professional knowledge through prolonged study. Examples of these professions include accountancy, actuarial computation, architecture, dentistry, engineering, law, medicine, nursing, pharmacy, the sciences (such as biology, chemistry, and physics, and teaching). To be a professional employee, a person must not only be a professional but must be involved essentially in discharging professional duties.”
Please confirm that offerors are to provide a Professional Employee compensation plan for only the offeror‐proposed labor categories associated with the FAR and 29 CFR 541 definition of Professional Employees.

39. If HOLA/COLA and/or Hazard/Hardship pay is applicable for a given area, will these be recovered under a separate cost‐reimbursable line item, or should offerors propose separate rates that include these allowances?
These costs will be negotiated under the task order for which these scenarios apply.
40. Can the Government confirm that a Prime or subcontractor does not have to provide a cost build rate for all 308 labor categories if that LCAT would be exclusively for only the Prime or subcontractor (e.g the Prime doesn’t provide a rate for Biologist 1 because the basis of the T&M rate is exclusively on subcontractor #1)?
Please see question 19.
41. The 'Scientific Program Analyst 2' repeats twice and then goes to 'Scientific Program Analyst 4'.
Can the Government confirm that the 2nd one should be a 'Scientific Program Analyst 3'?
This is a typo and the second Scientific Program Analyst 2 should read Scientific Program Analyst 3.
42. Given that prospective Offerors may have relevant contracts that support similar types of activities performed outside of the Washington, DC metro area and Hamilton Montana, are we correct to assume that corporate experience could still be considered “highly relevant” even if it is performed outside of those two regions?
The experience as described would be relevant. Highly relevant experience would consist of support in a similar activity in the requested regions.

43. Given that there are a different number of hours for a Laboratory Technician 3 and a Laboratory Technician 4 in Attachment 10, what are the other differences in the experience, education and functional responsibility. As written, the experience, education and functional responsibilities sections are identical for both labor categories.
The Laboratory Technician 4 will be considered a promotion from Laboratory Technician 3.
44. Given that there are a different number of hours for a Laboratory Technician 10 and a
Laboratory Technician 11 in Attachment 10, what are the other differences in the experience, education and functional responsibility. As written, the experience, education and functional responsibilities sections are identical for both labor categories.
Laboratory Technician 11 is updated to require Four (4) years of experience.
45. Please clarify the contractor's responsibilities in providing personnel that "must be certified to work with select agents". Typically, the agency has to sponsor individuals to be enrolled in the Select Agent (SA) program for them to become select agent cleared. To the best of their ability, the contractor can provide employees who are able to meet the occupational health requirements and initial background screenings. From prior experience, the NIH enrolls eligible individuals into their biosurity program and sponsors them through the process to become SA cleared (i.e., secret clearances, agent specific vaccines, behavioral screening)
Offerors should propose clearable staff when enrollment in the Select Agent Program is required. NIH will enroll individuals into the Program.
