About this file
This document is a Sole-Source Justification using Simplified Procedures for Certain Commercial Items for the Small Business Administration (SBA), Office of Veterans Business Development (OVBD). The justification is for renewing Neoserra software licenses from Outreach Systems, a specialized Customer Relationship Management (CRM) platform designed for non-profit economic development entities serving veteran-owned small businesses. The contract is estimated to cost $25,000 for the base year and $132,728.40 for a base year plus four additional years, with delivery required by 08/21/2025.
The sole-source procurement is justified by Neoserra's unique capabilities, including tracking detailed demographic and economic information for veteran business clients across 31 Veteran Business Outreach Centers (VBOCs) nationwide. The SBA has invested $90,000 over five years in this platform, and switching would incur significant retraining and development costs. Previous market research evaluated multiple software platforms, with Neoserra emerging as the most accommodating to the specific needs of veteran entrepreneurs. The contract will be awarded directly to Outreach Systems, which does not utilize resellers, and is compatible with SBA's Entrepreneurial Development Management Information System (EDMIS).

The Office of Veterans Business Development office has invested $90,000 over the last five years in purchasing Neoserra for SBA's OVBD 31 Veteran Business Outreach Centers (VBOCs) nationwide and are used widely by each VBOC for its veteran entrepreneur customers. Neoserra is ingrained in VBOC operations to better serve its niche clients and switching to another platform would cost $100,000 of thousands of dollars in development and retraining costs. Rather than being a purely Business to Business CRM, Neoserra focuses on being a CRM for non-profit economic development entities for its small

Neoserra is also in compliance with SBA's Entrepreneurial Development Management Information System (EDMIS). Neoserra is also used by SBA's Small Business Development Centers (SBDCs) nationwide as well as Veteran Business Outreach Centers (VBOCs) and has been the chosen proven platform for the SBA and its small business clients. Only one brand name can provide the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.
Specific characteristics of the requirement limit the availability to a brand name source. Only this suggested source can furnish the requirements, to the exclusion of other sources, for the following reasons:
□Brand Name.
□Urgency. The nature of the requirement has been deemed urgent due to unusual and compelling circumstances.
Ocompatibility to existing systems or equipment. The material or service must be compatible in all aspects (form, fit, and function) with existing systems presently installed.
D Exclusive Licensing Agreements. A patent, copyright, proprietary data, or licensing agreement limits competition.
IS]only One Source is Capable. Palo Alto does not have resellers, so the software licenses have to be purchased through Palo Alto. A critical need for OVBD nationwide network of Veteran Business Outreach Centers (VBOCs) is to have access to the most current and comprehensive analysis of different industries to help centers in their work with veteran clients to begin and grow their business. These studies shall focus on detailed supply chain information, trends, market trends, revenue data; operating strengths and weaknesses; analysis of external drivers including technologies and regulations; the competitive landscape and major players and industry profit and cost benchmarks. Palo Alto's Live Plan product has the right research and data features helpful to these small businesses. If the Live Plan software licenses aren't renewed, it will diminish the ability of OVBD VBOCs to provide relevant, useful, impactful business services to veteran owned small businesses.
6. A description of efforts made to ensure offers/quotes are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by FAR 5.2 and, if not, which exception under 5.202 applies.
This acquisition is for a recompete of an existing requirement. The SBA has previously contracted for the requirements detailed in the government Statement of Work. Outreach Systems are the producers of Neoserra software. Neoserra is a software that tracks detailed demographic and economic information a bot VBOC clients as well as the assistance provided to them. Previous market research for similar software platforms resulted in the decision to go with Outreach Systems Neoserra product. Outreach Systems does not have resellers. Software is purchase directly from them.
7. A determination by the contracting officer that the anticipated cost to the government will be fair and reasonable.
The contracting officer determines the anticipated cost will be fair and reasonable based on internet research, demos and IGCE.
8. Description of Market Research.
In the decision leading up to choosing Outreach System's NeoSerra product, several companies were contacted for non-committal demos of their products either through website demos or virtual meetings and going over features and capabilities. Some of the available platforms were more lead generating software such as lnbox Insight or sales development such as Cience. Some software companies were not keen on the idea of our VBOCs using the software for our veteran owned small businesses and rather wanting to sell their software to all who used the capabilities of the software per login. Outreach Systems Neoserra was very accommodating to the services provided by our VBOCs to the niche market of veterans and veteran small business owners.
9. Any other facts supporting the use of sole source.
As stated in Section 5, Neoserra is ingrained in VBOC operations to better serve its niche clients and switching to another platform would cost tens of thousands of dollars in development and retraining costs.
10. A listing of the sources, if any, that expressed written interest in the acquisition.

11. A statement of any actions the agency will take to remove or overcome any future barriers to competition.
