About this file

This is a Non-Disclosure Agreement (NDA) between the Michigan Department of Treasury and prospective vendors for Request for Proposal 271 190000002396 regarding Check Stock Manufacturing. The NDA establishes the framework for exchanging confidential information during the RFP evaluation period, which runs from May 31, 2019, to July 1, 2019. The agreement governs the handling of technical information, development plans, costs, financial data, technical configurations, security-related information, and trade secrets shared by either party in connection with the check stock manufacturing procurement. Each party agrees to protect the other's confidential information using at least reasonable care and to limit access to employees directly performing work related to the business purpose.

The NDA specifies standard confidentiality obligations and exclusions, including information that becomes public through no breach of the agreement, information developed independently, and information subject to disclosure under Michigan's Freedom of Information Act or other legal requirements. The agreement survives its expiration or termination with respect to any confidential information retained by either party. The NDA explicitly states that neither party grants rights or licenses to the other's confidential information beyond what is necessary for the stated business purpose, and it is governed by Michigan law. The agreement does not replace any separate Business Associate Agreement that may be required under HIPAA if applicable.
