About this file
This is a Justification and Approval (J&A) document for procurement of maintenance and sustainment services for the Littoral Battlespace Sensing – Glider (LBS-G) systems under other than full and open competition.
The Department of the Navy, Naval Information Warfare Systems Command (NAVWAR), is modifying existing contract N0003921D1003 with Teledyne Brown Engineering (TBE) located at 300 Sparkman Dr NW, Huntsville, AL 35805. The modification increases the contract ceiling by $3,100,000.00, raising the total estimated contract value from $6,807,568 to $9,907,568. The contract period of performance remains unchanged, ending on 24 FEB 2027. The estimated dollar value for FY27 is $3,100,000.00, comprised of $2,760,000.00 in Operations (OPN) and $340,000.00 in Operations & Maintenance Navy (O&MN) funding.
The LBS-G system is a small, long-endurance, semi-autonomous buoyancy-driven vehicle that samples and characterizes ocean water properties with spatial and temporal resolution capabilities. The services required include maintenance, sustainment, and system spares to provide continuous, mission-critical support to the Warfighter. The procurement employs sole source justification under 10 U.S.C. 3204(a)(1) because TBE is the only responsible source capable of performing these services. TBE possesses the exclusive Level III Technical Data Package and associated drawings developed at private expense, along with specialized expertise in hardware and software maintenance that no other vendor can replicate. The original requirement was synopsized on the Government-wide Point of Entry on 13 May 2020, closing on 28 May 2020, with no responses received. The Contracting Officer determined the anticipated cost is fair and reasonable. Future competitive procurement of new LBS-G production units will include life-cycle maintenance requirements to eliminate sole source sustainment contracts for those systems.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 3204(a)(1) the services needed by the agency are available from only one responsible source and no other type of services will satisfy the needs of the agency.
5. Rationale Justifying Use of Cited Statutory Authority.
The Government's current contract with TBE, N0003921D1003, will continue until 24 FEB 2027. The Government must maintain the current fleet of gliders to ensure uninterrupted operations. The original contract was awarded on a sole source basis to TBE, as TBE was the only design agent, manufacturer, and maintainer of the LBS-G system. A Level III Technical Data Package (TDP) and associated drawings of the LBS-G backbone are necessary to maintain the current LBS-G systems, and the Government does not have access to, or license rights associated with, the LBS-G Level III TDP. The Government only has Government Purpose Rights to manuals and drawings of the LBS-G; as a result, no other vendor can maintain the current gliders.
The Level III TDP and associated drawings were developed at TBE's private expense and are not available for purchase. As such, TBE is the only company possessing the unique expertise and specialized knowledge necessary to provide critical depot-level maintenance and sustainment support services for the current LBS-G system. Such support requires detailed knowledge of the manufacturing specifications (parts, dimensions, tolerances, and other material specifications), performance specifications, and logistics documents. As TBE has maintained both the hardware and software baselines since the initial development, it is the only vendor that currently has the capability to troubleshoot, conduct root cause analysis, and provide software and hardware solutions critical to maintaining the operational readiness of the fielded systems. Given the rationale presented above, the Government has determined that TBE is the only responsible source capable of providing the required services for the remainder of the contract PoP.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
J&A No. 26-158
NAVWAR 2.1
Navy Marine Corps Acquisition Regulation Supplement MARCH 2026 (Change 26-03)
The original requirement was synopsized on the Government-wide Point of Entry (GPE) on 13 May 2020, and the synopsis closed on 28 May 2020, in accordance with the provisions of FAR Part 5. No responses were received. This J&A is for a modification to increase the ceiling of the existing contract to prevent a break in service. As this is not a new requirement, a new synopsis was not issued.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
While the current technical data and license rights limitations on the existing LBS-G system prohibit the Government from competing this maintenance and engineering support requirement, PMW 150 intends to utilize full and open competitive procedures for the procurement of new production units of LBS-G systems. That competitive procurement will include requirements to provide maintenance to the new systems throughout their life cycle, eliminating the need for a sole source maintenance contract for those systems in the future.
