About this file

This document is a Records Management Obligations clause that applies to all contractors whose employees create, work with, or handle Federal records on behalf of St. Cloud VAMC. The clause defines Federal records as all recorded information made or received by a Federal agency under Federal law or in connection with public business, including St. Cloud VAMC records and contract-related deliverables and documentation. Federal records explicitly exclude personal materials.

Contractors must comply with the Federal Records Act (44 U.S.C. chapters 21, 29, 31, 33), NARA regulations (36 CFR Chapter XII Subchapter B), the Privacy Act of 1974, and the Freedom of Information Act. All records created for Government use or during contract performance must be maintained with sufficient technical documentation to permit understanding and use. Contractors are prohibited from removing, destroying, or alienating records except in accordance with agency records schedules and written approval from the Head of the Contracting Activity. Contractors must immediately notify the Contracting Officer of any unauthorized disclosures, implement appropriate safeguards to protect sensitive information, and obtain approval before engaging subcontractors requiring access to contract-related records. St. Cloud VAMC retains ownership and unlimited rights to all data and deliverables produced under the contract. Contractors must complete St. Cloud VAMC-provided records management training and flowdown all requirements to subcontractors with written acknowledgment. Violations by subcontractors are attributed to the prime contractor, and willful destruction of Federal records may result in fines and penalties under 18 U.S.C. 2701.
