Does the Government require that the contractor carry “aircraft” insurance per page 34 – under LIABILITY INSURANCE section (d): “Aircraft public and passenger liability: $200,000 per person and $500,000 per occurrence for bodily injury"? Aircraft work is not mentioned anywhere in the proposal other than under 5252.228-9501 LIABILITY INSURANCE (NAVAIR) (MAR 1999).
Section I Page 34
The Government has determined that the clause is no longer applicable to this requirement.
The clauses 52.228-7 and 5252.228-9501 have been removed from the RFP.

L – [ 1 ] CONTENT OF PROPOSALS (SERVICES) (April 2020)
PART A GENERAL INSTRUCTIONS
1.0 GENERAL
The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.
The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may result in the assessment of a deficiency to the proposal.
Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 20% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract or provides one or more Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.
Questions: Offerors may submit questions requesting clarification of solicitation requirements by emailing the contract specialist at rachel.fortney@navy.mil. It is required that all questions be received within 5 calendar days of the date this solicitation is issued or the Government may choose to not consider the question.
2.0 ELECTRONIC PROPOSAL FORMAT
This section is intended to provide information to the Offeror on the electronic format and application software to be used for submitting proposals. Do not submit hardcopy proposals for this solicitation. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.
Proposals must be formatted using a Time New Roman 12 pt normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted to standard 8.5” x 11” paper. All pages should be numbered with section and page numbers. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphs and Tables that fit on an 8.5” X 14” printed page will be counted as one page. Drawings may be of any size and will count as one page. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented.
The offeror shall submit all volumes of its proposal electronically via DoD Safe (https://safe.apps.mil/). All proposal documents must be compatible with the Microsoft 97-2003 and/or the latest Adobe Acrobat Reader Portable Document Format (PDF), where applicable. An email shall be submitted to rachel.fortney@navy.mil no later than 01:00 PM PST on 19 June 2020 requesting a “Drop-Off Request Code.” The “Drop-Off Request Code” email must specify a point of contact name and email address for the Prime contractor and for each individual Subcontractor. The Prime and Subcontractor(s) will each be provided a unique “Drop-Off Request Code” which will allow them to submit proposal documents to the Government independently as needed. The Prime and Subcontractor points of contact will receive an email that contains their unique “Drop-Off Request Code” no less than 3 days prior to the proposal due date. This code authorizes access to submit proposal documents securely via DoD SAFE.
The Offeror is responsible for ensuring electronic proposals are virus free. Offerors may use hyperlinks within and among proposal volumes that do not include price information. However, there shall be no links from any other volume into the Price Volume or into any other portion of the proposal that contains price information. In order to reduce file sizes, the Offeror shall not embed sound or video (e.g., MPEG) files within the proposal submission. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images

PART B SPECIFIC INSTRUCTIONS
1. VOLUME 1: TECHNICAL
The Offeror shall provide all information and data required to conduct a thorough and complete technical evaluation. The Offeror shall address the following in the proposal:
The Offeror shall complete Table 2 (Technical Cross Reference Matrix), and submit it as the first page within this section. The Technical CRM is included to help the Offeror develop its proposal and to ensure traceability of Section L paragraphs to the requirements. The Offeror’s Technical CRM may be identical to the one provided or revised to add information. For example, the Offeror’s Technical CRM may cross-reference its proposal volumes, paragraph numbers, and pages to specific solicitation requirements identified within the table, as well as other parts of the proposal that contain relevant information.
Throughout the Technical Volume the Offeror should identify any proposed capability, approach or feature that exceeds a requirement or provides merit associated with a performance or operational benefit to the Government. The Offeror should also identify any proposed capability, approach or feature that reduces risk inherent in the program. Specifically, explain the benefits to the Government in technical terms and the degree of impact it will have to performance, operations and/or risk. Offerors are advised that any offer to exceed a requirement or to provide a feature with performance and/or operational benefits may be included in the resulting applicable Contract within the proposed cost/price.
1.1 Management Approach
Offerors shall address the following:
(a) Adequacy of corporate management and resources to support the technical requirements of the solicitation.
(b) Proposed management roles of the Offeror’s proposed workforce and the lines of responsibility, authority, and communication through which the tasks will be managed for this requirement;
(c) Procedures to be taken to ensure quality and cost control;
(d) Plan for early identification and resolution of problems;
(e) Identification of potential performance risks and proposed risk mitigation strategies;
(f) Subcontract Management detailing how each subcontractor will be integrated and managed to ensure cohesive integration into the overall management approach; and
(g) Qualification/recruitment/retention plan and procedures that demonstrate how the Offeror will meet the minimum requirements of the PWS.
0. Manning Approach
Demonstrate the proposed manning/personnel skill levels, and expertise to perform the work required by this solicitation. The Offeror shall provide an approach that includes, but is not limited to, the following:
(a) Manning – The Offeror shall complete a Manning table, and submit it as part of Annex 1 (Manning). Identify by labor category the number of FTEs and requisite skill level mix broken down by periods of performance and by CLIN including both onsite and offsite management (excluding temporary personnel assisting with the transition phase) to meet the requirements of this solicitation. NOTE--All manning data shall be proposed in terms of Full Time Equivalent (FTE) personnel. This should not be construed as a personnel headcount. One FTE is considered to be 1,920 hours per year.
Within Annex 1 (Manning), the Offeror shall provide a rationale for how the manpower requirements were determined and consider the Government manpower estimate. Describe the method by which the FTEs for each labor category were calculated or determined and identify all the data sources and industry standards used to derive the FTEs. If proposing FTEs in accordance with the Historical LOE provided in Section L, Part B, Paragraph 3.5.2 , so state. Describe any adjustments made from the Government estimate, other data sources and industry standards. Describe the rationale for why those adjustments are reasonable. Also specifically identify any process efficiencies that are being relied upon and justify the reasonableness of resulting FTE reductions. Substantiation shall include historical data, or detailed comparison analysis with similar equipment maintenance services. If the substantiation also includes “new or improved” methods or standards as the basis for adjustments from the Historical LOE, a detailed discussion shall be provided describing why those "new or improved" methods or standards should be deemed reliable as a basis for accurately projecting manning requirements. In addition, the substantiation must discuss the impact of any “learning” and “efficiencies” claimed and justify associated assumptions or conclusions.
The Offeror’s total proposed manning in Annex 1 (Manning) must be consistent with the Offeror’s total manning and labor category breakout proposed in the price attachments. Any differences in these attachments may result in the Offeror’s Technical Proposal being assigned up to a High Technical Risk, which may potentially make the Offeror’s proposal unacceptable and unawardable.
(b) Provide qualification, certification, and skill level distribution within the manning approach and explain how this approach ensures accomplishment of all required maintenance requirements of the PWS with the expected manning hours described in the PWS.
(c) Describe how qualifications and certifications will be gained and maintained. Describe how personnel will receive continual training and recurring training with no additional direct labor charges (i.e. overtime) to the Government.
(d) Provide resumes for the Key Personnel listed in the PWS and shown below.

0. Transition Plans
(a) Transition – The transition period begins 30 days prior to the beginning of the period of performance and will end the day prior to the start of the period of performance. Note that it is not the Government’s expectation that Offerors be fully staffed during transition, only that they are able to adequately perform. The Offeror shall describe the approach to initiating this program and provide a 30-day plan of action with milestones required to begin performing the requirements in this solicitation to start full performance on the first day of the period of performance. Include the following information:
0. Start-Up/Learning. Identify the major challenges with regard to start-up and learning. Describe the Offeror’s approach to minimizing start-up time as well as the effects of learning on accomplishing the work effort.
0. Development of Procedures and Plans - Provide a plan of action and milestones for the development of the procedures and documents, as identified in the PWS, needed to start full performance on the first day of contract performance.
0. Describe the approach used to fill all positions required for each labor category in the Manning Approach presented in Annex 1 (Manning). Identify the labor pools from which recruiting is expected and demonstrate the ability to hire. Provide an assessment by labor category and responsibility level required of each position and expectation for hiring the number of people with the required qualifications without impacting start-up schedule.
(b) Phase in - The phase in period begins on the first day of the period of performance and extends for 60 days. The Offeror shall present a plan of actions and milestones for accomplishing the phase in plan and provide a detailed plan illustrating how Operational safety is maintained during the phase in period while supporting full performance from the first day of the period of performance. The phase in plan shall address the following:
1. Submit a time phased manning plan that indicates manning by site, work center and function during phase in. Indicate a "ramp-up" to achieve full manning levels and performance. Analysis shall account for workload requirements/fluctuations, operational commitments/tempo, work in progress, and other area impacts.

2.0 VOLUME 2 - PAST PERFORMANCE
Note: This volume shall not contain any reference to the cost/price aspects of the offer.
Sources of past performance evaluation information include information provided by the Offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information Systems, Electronic Subcontract Reporting System, or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.
The Offeror shall complete the Past Performance Information Form, Attachment L-2, for each past performance reference performed within three years of the solicitation release date. The Offeror shall submit no more than five Past Performance Information Forms as the Prime Contractor, no more than two forms for each principal subcontractor, and/or no more than two forms for each JV team member. The Offeror shall submit written consent from its principal subcontractor(s) and JV team member(s) that will allow the Government to coordinate any past performance issues directly with the Offeror. If the Offeror does not submit the written consent, the Government will address any past performance issues directly with the principal subcontractor or JV Team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractor and JV team member that does not provide the written consent, the Offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.
The Offeror shall provide a narrative on each Past Performance Information form in the “Contract Effort Description” area that clearly describes how each contract reference has relevant work effort( e.g., service, maintenance, CNC Mills, Lathes, Water Jet, heat treat, 3D printing, SMT line, sawing, metal cutting, and Conventional machine tools, inventory control, hazardous waste, type of effort, contract tasks, contract type, contract dollar value) that matches the relevancy definitions specified in Section M of the solicitation. Additionally, the Offeror shall provide one electronic copy of the Statement of Work/Performance Work Statement for each contract reference as Annex 1 (Statements of Work) to this Past Performance Volume.
The primary source of past performance information will be PPIRS. If a Contractor Performance Assessment Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the recency period specified above, for that contract/order, will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the Offeror shall submit a Contractor Performance Assessment Questionnaire (CPAQ), Attachment L-3, to the Program Manager who is the Assessing Official. The Offeror shall include instructions for the Program Manager to send completed questionnaires within 10 days of its receipt via e-mail to Rachel Fortney, Contract Specialist, at rachel.fortney@navy.mil, thereby allowing the customer approximately 10 days to complete their response. All CPAQs should be received by the Government concurrently with the Offeror’s proposal submission.

1. Offeror Summary Table: The Offeror shall complete the table below. The Offeror shall include all subcontractors and JV team members who will be involved with the performance of the contract and list all sites where the work will be performed. If a JV teaming or subcontracting arrangement is proposed, identify the work share, distribution elements, and ratios that each contractor will perform using the table below. Also provide a definition of the legal relationship between the entities if it is other than a Prime/subcontractor relationship.
Contractor Name (Indicate Prime, JV Team Member, or Sub)
Place of Performance/
CAGE CODE/DUNS #
Brief Work Description and/or Program Responsibility
% of Total Proposed Price
1. Signed SF1449 for basic solicitation and acknowledgment of each amendment, including completion of any RFP clause or provision that requires a fill-in or response.
1. Signed Representations, Certifications, and Acknowledgements and/or System for Award Management (SAM).
1. Guarantee the length of proposal validity (for at least 180 days after proposal submission).
(b) This Volume shall also contain a copy of Section B with the Contract Line Item (CLIN) and Sub-CLIN Unit Prices and, for evaluation purposes, the Total Prices filled in using the estimated quantities value in the solicitation and the instructions below. Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected.
(c) All price/cost and price/cost supporting information shall be contained in Section B and the price/cost proposal. No price or pricing information shall be included in any other technical volume including cover letters. Offerors are responsible for submitting sufficient information to enable the Government to fully evaluate their price/cost proposal.
3.2 Ground Rules and Assumptions:
(a) As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors.
(b) The Offeror shall provide sufficient information to support its price/cost as well as an explanation of all ground rules and assumptions that affect the price/cost estimates.
(c) If subcontractors are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted below.
3.3 Price/Cost Information:
The Offeror shall provide a copy of Section B of the solicitation populated with the CLIN unit prices and CLIN total prices using each CLIN’s quantity value.
Provide the proposed price for each CLIN/SLIN using Price Attachment L-1. The Offeror shall provide a narrative for all labor CLINs describing the build-up of the proposed unit price, assumptions used for each CLIN, and the basis of estimate for the unit price proposed showing build-up calculations of the unit sell price.
The Offeror shall explain any appearance of unbalanced pricing.
The Offeror's labor classifications should cross-reference to the DOL Area Wage Determination classifications provided Section J, Attachment 5.
Prepare and complete Attachment L-4, (Annual Fully Burdened Labor), detailing the fully burdened labor rates for all prime contractors and their subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Proposed fully burdened labor costs may be subject to the NAVAIR salary tripwire. Offerors that propose a per-employee, yearly, fully-burdened salary exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire cost for the applicable employees.
(a) Reasonableness and Consistency between the Technical and Price/Cost Volumes. Demonstrate that the total proposed price/cost are reasonable, realistic, and commensurate with the work required by the solicitation and the technical and management approaches identified in the Technical Volume of the proposal. Show traceability with the CLINs, SubCLINs, PWS, proposed effort, proposed manning levels, and prices/costs. Refer to specific sections in the Technical Volume as needed to illustrate the consistency between the Price/Cost Volume and the Technical Volume. The Offeror shall explain any inconsistency between promised performance and price/cost, as well as any appearance of unbalanced pricing, in the proposal.
(b) The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.
(c) Direct/Indirect Rates: The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel. The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror shall propose in compliance with the current hourly rate set forth in the Department of Labor Wage Determination as applicable. The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct. For key personnel contingent hires, the offeror shall provide contingent offer letters outlining salary information. For any prospective hires for non-key personnel, provide information to substantiate the rates proposed. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.
If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. The Offeror shall also provide documentation verifying that it has a DCMA approved Accounting System in accordance with DFARS clause 252.242-7006, or state that it’s Accounting System has not been approved by DCMA. Offerors shall provide the last three (3) years of actual indirect rate information. The Government may compare a prospective Offeror’s labor category rate to the average labor rate from industry.
(d) The Offeror shall fully disclose the buildup of cost/price of each CLIN.
(e) When completing the Cost Summary Spreadsheet (Attachment L-1), the Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees.
(f) Offeror's labor classifications should cross-reference to Department of Labor (DOL) wage determination classifications as much as possible.
(g) This solicitation is, and the resulting contract will be, subject to the Service Contract Act of 1965, as amended, and to FAR clause 52.222-41, contained in Section I of this solicitation. Offerors shall propose employee’s wages in accordance with the attached Wage Determination. As part of the cost/price proposal, the Offeror shall furnish the names of the proposed labor categories and the corresponding labor categories from the attached Wage Determination as well as documentation of compliance with the minimum monetary wages and fringe benefits for service employees as specified in the Wage Determination (provided as an attachment in Section J of this solicitation). Offerors are required to submit a total compensation plan setting forth salaries and fringe benefits proposed for employees (including temporary and part time employees) who will work under the contract and are subject to the Act, and explain how the compensation plan complies with the Service Contract Act. Offerors are reminded that in accordance with FAR clause 52.222-43, proposals shall not include any allowance for any contingency to cover increased costs for which adjustment is provided under this clause.
If the Offeror’s proposed employees are under a collective bargaining agreement, the Offeror shall provide a copy of the agreement.
Limitation on Subcontracting (per 13 CFR §125.6(e)(2), compliance with the limitation on subcontracting shall be an element of responsibility).
This requirement is being set-aside for the small business program. Provide a breakout to demonstrate how the prime contractor will perform at least 50% of the cost of the contract incurred for personnel with its own employees for each period of performance in accordance with FAR clause 52.219-14. Cost of contract incurred for personnel includes direct labor cost, overhead that has only direct labor as its base, and the small business’s General and Administrative (G&A) rate multiplied by the labor cost.
(h) Provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:
· Direct labor rates by category. The Offeror is required to submit labor rates for all proposed current, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, historical / provisional billing rates for indirect rates for the last 3 years, and a description and amount of proposed other direct costs. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN.
· Escalation on labor. Offerors, including subcontractors, shall propose 2% escalation for all Non-SCA labor categories.
· Indirect costs (e.g., Overhead, Fringe Benefits, General & Administrative (G&A), etc.)
· Information needed to explain the offeror’s estimating practices
· Profit/Fee: Identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. Profit, Base, Award, and Incentive fee rates, as applicable in Section B, must be clearly distinguishable. Profit/Fee shall not be applied to ODCs.
· Other Direct Costs (ODCs) by specific cost element (e.g., Travel and Material). Reimbursement for Travel will be in accordance with FAR 31.205-46. If the Offeror proposes burdens on the Government provided ODC estimates, the Offeror shall provide a percentage breakdown of the Offeror’s indirect costs and burdens added to the Government estimates for any and all Cost Reimbursable CLINs in Section B.
· When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the Offeror must submit a COM form and show the calculations of the proposed amount.
3.4 Total Professional Compensation Plan:
The Offeror shall provide a Total Compensation Plan in accordance with FAR 52.222-46 for each proposed professional employee. The Plan shall include, but is not limited to, the following items:
(a) The proposed direct labor rate for each professional employee proposed;
(b) The total cost of the proposed fringe benefits package for each professional employee proposed, including:
1. List and brief summary of the benefits that make up the fringe package (e.g. vacation time, sick leave, stock, incentive plans, family leave, life insurance, severance pay, bonus plans, health insurance, holidays, location allowance, retirement benefits); and
1. An itemization of the benefits that require employee contributions, and the amount of that contribution as a percentage of the cost of the particular benefit; and
(c) Data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used by the Offeror in establishing the total compensation structure.

3.5.2 Labor Categories / Hours
The hours provided below are based on Government historical data inclusive of options for the entire work effort. The Offeror may use the following table for informational purposes only.
