L-TXT-01
Instructions to Offerors:
PART A GENERAL INSTRUCTIONS
1.0 GENERAL
Clarity and completeness of the proposal are of the utmost importance. The proposal must be written in a practical, clear and concise manner. It must use quantitative terms whenever possible and must avoid qualitative adjectives to the maximum extent possible. Proposal volumes must be internally consistent or the proposal may be considered unrealistic and may be considered unacceptable.
Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
Any data previously submitted in response to another solicitation will be assumed unavailable to the Government. This data must not be incorporated into any portion of the proposal by reference.
The offeror may submit questions requesting clarification of RFP requirements by emailing the Contract Specialist, Mr. Daryl Magdangal, at daryl.magdangal@navy.mil, by 19 October 2020 8:00 am PST.
2.0 ELECTRONIC PROPOSAL FORMAT
This section is intended to provide information to the Offerors on the electronic format and application software to be used for submitting proposals. DO NOT submit hardcopy proposals for this solicitation. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.
Proposals must be formatted using a Times New Roman 12 pt Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphs and Tables that fit on an 8.5” X 14” printed page will be counted as one page. Drawing may be of any size and will count as one page. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented. When using Government supplied templates (e.g. Attachment 4), no modifications to font or scaling required.
The offeror shall submit all volumes of its proposal electronically via DoD SAFE (https://safe.apps.mil/). All proposal documents must be compatible with the Microsoft Office 2016 and/or the latest Adobe Acrobat Reader Portable Document Format (PDF), where applicable. An email shall be submitted to daryl.magdangal@navy.mil no later than 10:00 AM/PDT on 17 November 2020 requesting a “Drop-Off Request Code.” The “Drop-Off Request Code” email must specify a point of contact name and email address for the Prime contractor and for each individual Subcontractor. The Prime and Subcontractor(s) will each be provided a unique “Drop-Off Request Code” which will allow them to submit proposal documents to the Government independently as needed. The Prime and Subcontractor points of contact will receive an email that contains their unique “Drop-Off Request Code” no less than 3 days prior to the proposal due date. This code authorizes access to submit proposal documents securely via DoD SAFE. The proposal shall be submitted via DoD SAFE no later than 10:00 AM/PDT on 30 November 2020
The Offeror is responsible for ensuring electronic proposals are virus free. Offerors may use hyperlinks within and among proposal volumes that do not include price information. However, there shall be no links from any other volume into the Price Volume or into any other portion of the proposal that contains price information. In order to reduce file sizes, the Offeror shall not embed sound or video (e.g., MPEG) files within the proposal submission. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images.
3.0 PROPOSAL CONTENT AND VOLUMES
Each volume of the proposal shall be submitted as one electronic copy as specified in the table below. All volumes shall be delivered to DoD SAFE provided in Section 2.0. PART B SPECIFIC INSTRUCTIONS
1.0 VOLUME 1: EXECUTIVE SUMMARY/GENERAL INFO
Note: This volume shall not contain any reference to cost or price.
The purpose of the Executive Summary is to provide the evaluators with an overview of the Offeror’s proposal and strategy. The Offeror shall include the following in this volume:
| a. | A concise abstract of the Offeror’s strategy for Attachment 3 – Statement of Work to the solicitation. |
| b. Signed SF33 for basic solicitation and each amendment | |
| c. Signed Representations, Certifications and Acknowledgements or Online Representations and Certifications Application (ORCA) reference |
2.0 VOLUME 2: TECHNICAL
Note: This volume shall not contain any reference to cost or price.
(a) Compliance Matrix. The Offeror must provide a matrix detailing plans for compliance with all elements of the Statement of Work (SOW).
(b) Exceptions, Deviations, and Waivers. In this Volume, the Offeror must certify that it contains all exceptions, deviations, and waivers that the Offeror takes from the provisions of the solicitation and its applicable documents. An “exception” is where an Offeror states it will not comply with a requirement, usually involving contract terms and conditions. A “deviation” is where an Offeror states it will not comply with a requirement but proposes an alternative to meet the intent of the requirement, usually involving a specification. A “waiver” is where an Offeror requests authorization for the Government to accept an item, which will depart from, specified requirements, but would nevertheless be considered suitable. Exceptions, deviations, and requests for waivers may cause proposals to be considered deficient. An assumption or condition shall not be considered an exception, deviation, or request for waiver as defined herein.
Provide a detailed description for each exception, deviation, or request for waiver, as applicable. The Offeror shall indicate the Offeror’s difficulty with the applicable requirement and the Offeror’s proposed solution. The Offeror shall specifically identify the portion of the solicitation and the Offeror’s proposal which are affected. If there are no exceptions, deviations or waivers, the Offeror shall provide a one-page Executive Summary stating so.
(c) Security. The contractor shall provide a rationale or plan to implement the security requirements to their proposed work force in support of SOW paragraph 5.1.
3.0 VOLUME 3: PRICE/COST PROPOSAL
(a) The Offeror shall submit their fully completed cost/price proposal utilizing the Attachment 4, Cost Summary Format. The spreadsheet shall be unprotected and unlocked, with formulae intact to show mathematical operations. The offeror shall use the CLIN Summary tab to breakout total proposed costs by CLIN. The Offeror shall fully disclose the buildup of cost/price of each CLIN. Instructions on how to fill out each spreadsheet is provided as a separate tab within the Sample Spreadsheet Attachments respectively.
(b) Within all Excel spreadsheets, the offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected. No hidden cell, row, and column. The Government will not take action to remedy any hidden proprietary data submitted by the offeror.
(c) Complete Attachment 5, Fully Burdened Labor Rates, detailing the fully burdened labor rates for all prime contractors and their subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (i.e., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor.
(d) To facilitate the establishment of streamlined task orders, the Offeror shall complete Attachment 6, Streamlined Rates for Order Pricing. This attachment will consist of composite fully burdened rates for each of the labor categories, inclusive of fee. These rates will be incorporated into Section B of the contract. The Government will utilize the rates when developing estimated labor ceilings for orders by using the estimated hours multiplied by the composite rates found in Section B*.
*Clause 52.217-8, Option to Extend Services, is incorporated in the solicitation. Total evaluated cost will also include the six-month performance period permitted under the clause (CLINs 0013, 0014, 00015, 0016, 0017, 00018, 0019, 0020, 0021, and 0022), to account for a situation where invoking of the clause, in whole or part, becomes necessary. Specifically, the evaluated cost of this six-month period will be calculated by dividing the average total annual cost on CLINs 0001, 0002, 0003, 0004, 0005, 0006, 0007, 0008, 0009, and 0010 by 12 months to establish an estimated monthly amount. The monthly amount will then be multiplied by six to establish the estimated cost for the six-month option to extend services.
(e) All proposed costs must be consistent and demonstrate a clear understanding as to how both prime and subcontractor hours and rates were derived. Inconsistencies in the proposal between prime and subcontractor hours and rates may be considered a risk to the Government.
(f) All proposed costs must be adequately supported. The proposal must include sufficient background to show derivation. If the cost proposal cannot be understood, it may result in the entire proposal being found to be unacceptable.
(g) Hardware. The offeror shall insert the unit price for each quantity amount.
(h) Labor Hours. The Offeror shall use the hours estimated in the Table 1 below. If the Offeror does not agree with the labor hours, the Offeror shall include a detailed explanation and supporting documentation regarding labor hours. Subcontractor labor hours shall be included in the Labor Hour Cost Element and specifically identified.
Table 1 - Total Labor Hours
(i) Other Direct Costs. The Government has estimated Other Direct Costs as shown in Table 2, plus any applicable G&A or handling fees. The Offeror is encouraged to propose realistic amounts for ODCs. Refer to Statement of Work paragraph 3.12 Travel, for the estimated travel details to propose to. If amounts proposed are different than estimated by the Government, the Offeror shall provide a written rationale including a break out of costs.
Table 2 - Total Other Direct Cost (ODC)
(j) Offerors shall fully disclose the elemental breakdown of all proposed estimated cost elements for each CLIN. For the Direct labor categories, the offeror is required to submit labor rates for proposed individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, historical /provisional billing rates for indirect rates for the last 3 years and description, and amount of proposed other direct costs. Additionally, provide:
| - Escalation on labor |
| - Indirect costs (i.e. Overhead, Fringe Benefits, General & Administrative (G&A), list the rates applied and the base the rate is applied to. |
| - Information needed to explain the offeror’s estimating practices |
| - Profit/Fee: Identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. |
(k) Reasonableness and Consistency between the Technical and Price/Cost Volumes. Demonstrate that the unit prices and the total proposed price/cost are reasonable, realistic, and commensurate with the work required by the solicitation and the technical and management approaches identified in the Technical Volume of the proposal. Show traceability with the CLINS and SOW, proposed effort, proposed manning levels, and the prices/costs. Refer to specific sections in the Technical Volume as needed to illustrate the consistency between the Price/Cost Volume and the Technical Volume. The Offeror shall explain any inconsistency between promised performance and price/cost, as well as any appearance of unbalanced pricing, in the proposal.
(l) Subcontracting Plan. The Offeror shall submit its subcontracting plan with proposals, as applicable.
Strategies for using Small Business (SB) Concerns. Offeror shall address their strategies for utilizing SB concerns in the performance of this contract, whether as a joint venture, teaming arrangement or subcontractor. For purposes of this contract the term SB shall also include Small Disadvantaged Business, Veteran-Owned SB, Service-Disabled Veteran-Owned SB, HUB Zone SB, Women-Owned SB, and Historically Black Colleges or Universities (HBCU) and Minority Institutions (MI). Each subcategory of SB shall be addressed. (This strategy is separate from, but shall be consistent with, the Small Business Subcontracting Plan if required.) In describing its strategy for this contract, the Offeror shall, as applicable:
i. Describe its approach to identifying SB Concerns
ii. Describe the extent of participation of SB Concerns on this contract, especially as principal subcontractors
iii. Describe the extent of commitment to use such SB Concerns
iv. Address past experience in meeting proposed goals and what processes have been implemented to correct past inabilities to meet proposed goals OR: Identify what processes have been implemented to correct past inabilities to meet proposed goals
v. Provide targets, expressed as dollars and percentages of total contract values for Small Business participation. Targets of subcontractors must be listed separately. Note: This calculation is different from the calculation required by FAR Clause 52.219-9 in the Subcontracting Plan, as the Plan requires percentage of subcontracting value.
vi. If no opportunities for small business utilization exist, detail how that determination was made.
(m) DCMA and DCAA. The Offeror shall submit point of contact information for DCMA and DCAA. The Offeror shall include information as to the status of all system reviews, disclosure statement, forward pricing rate agreements, and/or other administrative issues, as applicable.
(n) DD1861. The Offeror shall submit a completed DD Form 1861 Facilities Capital Cost of Money (FCCOM).
(o) The cost volume shall include a spreadsheet of all proposed cost elements in an unlocked Microsoft Excel worksheet/workbook, with all applicable formulas.
(p) Adequate Accounting System. The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows. A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate and a signed certification by an authorized representative of the company that the information contained in the form is correct. If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. If this requirement contains cost type CLINs the Offeror shall also provide documentation verifying that it has a DCAA approved Cost Accounting System or state that its Cost Accounting System has not been approved by DCAA. The proposed subcontractors are required to submit their DCAA information and payroll verification either under their prime contractor or separately via email to the Contract Specialist at daryl.magdangal@navy.mil. The Government may review perspective Offeror's labor category to the average labor rate from industry.
(q) Functional Area Tripwires. As a method to improve visibility and ensure compliance with NAVAIRINST 4200.61, part of the Government’s evaluation will be identifying all instances during the period of performance whereby proposed, fully burdened annual labor tripwire rate, exceed the established tripwire $300,000 per year. Any calculated fully burdened annualized labor rate exceeding NAVAIR tripwire may ultimately be determined excessive and unreasonably high.
