ATTACHMENT B- BLANKET PURCHASE AGREEMENT TERMS AND

CONDITIONS

The Contractor agrees to the following terms and conditions of a Blanket Purchase Agreement

(BPA) exclusively with Naval Supply Systems Command (NAVSUP) Fleet Logistics Center

Jacksonville (FLCJ), Contracting Department, Jacksonville, Florida. The terms and conditions included in this BPA shall apply to all purchases made pursuant to the agreement.

1. Description of Agreement: This BPA authorizes the Contractor to provide deionized (DI) water supplies to support Fleet Readiness Center Southeast (FRCSE). The DI water supplies will be ordered under this BPA, and the Contractor shall furnish these supplies as prescribed in the

Statement of Work. All calls that are placed by NAVSUP FLCJ warranted Contracting Officers are subject to the terms and conditions as set forth in this BPA.

2. Duration of BPA: This BPA will expire on 02 April 2024. The Government reserves the right to discontinue, at any time, this BPA, for any reason, upon thirty (30) days written notice.

3. Obligation: Under the terms and conditions of this BPA, the Government is obligated only to the extent of those authorized calls that are actually made against this BPA by those personnel authorized to do so. As such, the Government will only be obligated to calls that are placed by NAVSUP FLCJ warranted Contracting Officers that do not exceed the $10,000.00 purchase limitation in accordance with this BPA.

4. Delivery: Delivery of all DI water supplies shall be made in accordance with the terms and conditions specified in this BPA and the delivery instructions that will be provided with each call placed. Delivery shall be made to the shop or unit of FRCSE requesting the DI water supplies within forty-eight (48) hours of the BPA call.

5. Obligation of Funds: This BPA does not obligate any funds. Funds will be obligated by placement of calls and the use of a Government-wide purchase card issued under Federal

Acquisition Regulation (FAR) 13.303, entitled “Blanket Purchase Agreements”, and agency regulations.

6. Authorized Callers or Placement of Orders: Only NAVSUP FLCJ warranted Contracting

Officers may use this BPA in accordance with their delegated purchase authority. NAVSUP

FLCJ has not granted authority to any additional agencies or individuals to place calls under this

BPA. BPA calls that exceed the micro-purchase threshold, $10,000.00, shall not be placed under this BPA.

7. Issuance of Calls/Orders: Calls/orders will be placed against this BPA electronically or via paper.

8. Delivery Tickets: All deliveries under this BPA shall be accompanied by delivery tickets or sales slips that must contain the following information:

a. Name of supplier;

b. BPA number with call number;

c. Date of call;

d. Purchase number;

e. Itemized list of DI water supplies delivered;

f. Quantity, unit price, and extended price of each item; and

g. Date of delivery.

9. Invoicing: Invoices shall be submitted to the address specified within each call placed under this BPA. In the event of any inconsistency between the provisions of this BPA and the

Contractor’s invoice, the provisions of this BPA will take precedence.

A summary invoice shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period, identifying the delivery tickets covered therein, stating their total dollar value, and supported by receipt copies of the delivery tickets.

10. Reporting: This BPA requires that the Contractor establish and maintain a report of all

BPA calls in the report format presented in Attachment I of these terms and conditions. This report shall be presented to NAVSUP FLCJ, Contracting Department, no later than the 10th of every month for the previous month’s orders. Reports received after the 10th of each month will be considered late. The report must be presented in an electronic (Microsoft Excel) format. Paper copies of reports will not be accepted. The exact formatting of the Microsoft Excel spreadsheet presented in Attachment I of these terms and conditions must be maintained. Reports that contain a spreadsheet in which the format has been altered or changed in any way will not be accepted.

Every cell for all orders on the report shall be filled in. Reports that contain blank cells/entries for order items will not be accepted. The Contract Specialist will contact the Contractor if the monthly report that was submitted is unacceptable. The Contractor will have three (3) business days from the date that they were initially contacted about the report in question to submit a corrected report. If a corrected report is not received within three (3) business days, the report will be considered late.

The Contract Specialist will review the monthly reports to monitor the quantities and prices of each month’s BPA calls. If the BPA ceiling is within fifteen (15) percent of being reached, the

Contract Specialist will notify the Contractor and COR. The BPA ceiling shall be the

Contractor’s quoted prices and the quantities stated in the CLIN’s for the base period and four

(4) one-year option periods.

11. Best Value: By the terms and conditions of this BPA, the Contractor acknowledges that the prices to the Government shall be discounted from those charged to its most favorable customer.
