B-231-H001 TRAVEL COSTS (NAVSEA) (OCT 2018)

(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its actual travel costs in accordance with FAR 31.205-46. The travel costs to be reimbursed shall be those costs for which the Contractor has maintained appropriate documentation and which have been determined to be allowable, allocable, and reasonable by the Procuring Contracting Officer, Administrative Contracting Officer, or their duly authorized representative.

(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.

(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;

however, Procuring Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.

(d) The Contractor shall not be reimbursed for the following daily local travel costs:

(i) travel at U.S. Military Installations where Government transportation is available,

(ii) travel performed for personal convenience/errands, including commuting to and from work, and

(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the Contractor's or employee's convenience.

B-232-H003 PAYMENTS OF FEE (S) (COMPLETION) (NAVSEA) (OCT 2018)

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, or "fixed fee" in cost-plus-fixed-fee type contracts.

(b) The Government shall make payments to the Contractor, subject to and per the clause in this contract entitled "Fixed Fee" (FAR 52.216-8) or "Incentive Fee", (FAR 52.216-10), as applicable. Such payments shall be equal to TO BE PROPOSED BY OFFEROR percent (TO BE PROPOSED BY OFFEROR) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "Allowable Cost And Payment" (FAR 52.216-7), subject to the withholding terms and conditions of the "Fixed Fee" or "Incentive Fee" clause, as applicable (percentage of fee payable is based on fee dollars divided by estimated cost dollars including facilities capital cost of money). Fee shall not be applied on Facilities Capital Cost of Money per FAR 15.404-4(c)(3) and DFARS 215-404-71-4. Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.

(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, per the clause of this contract entitled "Limitation of Funds" (FAR 52.232-22) or "Limitation of Cost" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.

(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) per paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.

STATEMENT OF WORK (SOW)

SUBMERGED ACOUSTIC NAVIGATION SYSTEM (SANS) SUSTAINMENT

1.0 Background

The Naval Sea (NAVSEA) Systems Command Virginia Class Program Office, PMS 450, has tasked the Naval Undersea Warfare Center (NUWC), Division Newport (NUWCDIVNPT) Code 259 with Virginia Class Test and Evaluation (T&E) planning, execution and coordination responsibilities. This includes identifying the systems, environments and conditions that will support collecting and analyzing the data needed to meet critical test requirements, such as Developmental Test and Evaluation (DT&E) and Operational Test and Evaluation (OT&E).

Virginia Class Block III submarine-on-submarine T&E requires that submarines be tracked with Global Positioning Satellite (GPS)-like geodetic accuracy, while remaining submerged and acoustically passive. Similar acoustically- passive underwater tracking requirements for minefield training led the Commander, Submarine Force, U.S. Pacific Fleet (CSP) N7 to fund a submarine acoustic-passive self-track initiative via PEO-SUB, Submarine Combat and Weapons Control Office, PMS 425. This minefield training occurred in the Kahoolawe, Hawaii, and Tanner Bank, California, geographic areas. The Commander, U.S. Pacific Fleet (CPF) N7 tasked the Pacific Missile Range Facility (PMRF), Kauai, to provide affordable portable underwater multilateration active-acoustic tracking at other locations as well.

To support these test and training requirements, a cost-effective combined multi-lateration and self-track underwater tracking solution was developed by Mikel, Inc. During a series of sequential Phase II and Phase III Small Business Innovation Research (SBIR) actions, Mikel, Inc. developed a combined acoustic multi-lateration and passive- acoustic self-track tracking technology; under Phase II and Phase III SBIR Topics N02-025 and N05-149, respectively.

These topics resulted in Contract(s) N00024-03-C-4144 (Period of Performance 2005-2010) and N00024-05-C-6263 (Period of Performance 2010-2017).

This technology was implemented in hardware and software and consisted of an ocean-floor anchored acoustic beacon and application software hosted on the submarine’s AN/BQQ-10 A- RCI system. The bottom-anchored acoustic beacon and the submarine-hosted application software communicate via acoustic signals. The software onboard the submarine consists of innovative positioning algorithms called Range Only Motion Analysis (ROMA) software. The overall system is called the Submerged Acoustic Navigation System (SANS). Under these SBIRs, SANS was evolved and tested extensively at sea. The SANS capability was further developed to support the Portable Undersea Training Range (PUTR) II and include the use of an autonomous wave glider for unmanned operations.

1.1 Places of Performance

The primary place of performance is the Contractor’s facility. Performance will also take place at Government facilities and onboard Government vessels. Travel will be required to both Continental United States (CONUS) and Outside the Continental United States (OCONUS) locations.

2.0 Scope

The Contractor shall continue to develop, upgrade, adapt, produce, and deliver the SANS technology to keep the system up to date with emerging Fleet requirements. The Contractor shall also provide field and at-sea engineering services as detailed in Section 4.0 below and prepare documentation for system operation and system modifications. SANS/PUTR technology includes beacons, beacon launch systems, beacon survey systems, beacon recovery systems, beacon tracking systems, surface-ship support equipment (to include acoustic uplink receivers and station-keeping-buoys or systems) and interfaces with underwater vehicles, such as autonomous wave gliders. Underwater vehicles to which SANS will interface include U.S. and foreign submarines, Unmanned Undersea Vehicles (UUVs), torpedoes, mobile targets, and experimental vehicles.

2.1 Program or Systems Supported

Applicable systems are any systems that make use of any part or the entirety of SANS technology, including new or innovative applications of the ROMA software. Applicable systems may be located on-board an undersea vehicle; such as when integrated into the submarine AN/BQQ10 A-RCI system; a surface vehicle; an air vehicle (fixed or rotary wing); a portable temporary ocean system; a permanent ocean system; or a shore facility.

Examples of undersea vehicles and systems include:

• All classes of current and in-development U.S. submarines, UUVs, weapons and mobile targets

4.0 Technical Requirements

The Contractor shall perform the below tasks in accordance with Applicable Documents (3.0) and using Government Furnished information (GFI) (6.0) as specified at the Task Order (TO) level issued under this contract.

4.0.1 Contractor Acquired Property (CAP)

All Contractor acquired property under $1,000.00 per line item purchased for a specific sponsor shall be used for any task order for that specific sponsor issued under this Indefinite Delivery/Indefinite Quantity (IDIQ) contract. Any CAP over $1,000.00 per line item shall only be used on the original task orders that the material was purchased under.

4.1 SANS Beacons

4.1.1 Beacons

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, the contractor shall propose updates or re-designs to the specifications, documents, and drawings via Engineering Change Proposal (ECP) to modernize the beacons. Upon Government approval of the ECP, the contractor shall fabricate or update the SANS beacons.

The contractor shall update any existing system and subsystem requirement specifications and associated design documentation based on the recommended update or re-design. If the update or re-design requires an update to the active manufacturing plan, the contractor shall update the manufacturing plan and provide to Government for review.

The contractor shall develop test plans for Government review. Upon Government approval of the test plans, the contractor shall test the updated or re-designed beacons to verify that all meet the SANS updated beacon requirements. The contractor shall provide test and inspection report and identify any failures that occurred during testing as well as recommendations on corrective actions. Upon receipt of GFI, which identifies the equipment and shipment location, the contractor shall ship equipment for beacons to a Government identified location.

4.1.2 Re-Design Beacon Packaging to Allow for Launch from Submarines, UUVs, or Aircraft

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, contractor shall propose updates or re-designs to the specifications, documents, and drawings via Engineering Change Proposal (ECP). The contractor shall re-design the beacon packaging to be compatible for launch from a submerged submarine, UUV or an aircraft. The contractor shall update any existing system or subsystem requirements and associated drawings to reflect the re-design of the beacon packaging. The re-designed package shall be physically compatible with the launcher identified in the TI Deliverables:

4.1.3 Upgrade Beacon Hardware and Software to Satisfy Emerging Requirements for Portable Ranges, Aids to Navigation, Array Calibration and Tactical Applications

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, contractor shall propose updates or re-designs to the specifications, documents, and drawings via Engineering Change Proposal (ECP). Upon Government approval of the update or re-design, the Contractor shall fabricate the beacon hardware and/or software for portable ranges, Aids to Navigation, Array Calibration and Tactical Applications. The contractor shall update any existing system or subsystem specifications and associated drawings to reflect the updates or re-design of the beacons. The Contractor shall interface SANS/PUTR beacons and SANS/PUTR control systems to a deployed Persistent Autonomous Uplink (PAU) system (e.g., wave gliders) to support ocean operations. The contractor shall develop test plans for Government review based on the updated specifications. Upon Government approval of the test plans, the Contractor shall test the upgraded beacons to verify that all beacon requirements related to the updated specifications and drawings are met. The contractor shall provide the test and inspection report and identify any failures that occurred during testing as well as recommendations on corrective actions.

4.1.4 Installation, Position Survey and Recovery of SANS Beacons

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, the contractor shall develop an installation plan to deploy, recover, and test beacons.

Upon Government approval of the installation plan, the contractor shall install the updated or re-designed beacons and provide a report of the installation upon completion.

The contractor shall develop test plans and procedures to validate the operability and functionality of the beacons after installation. The contractor shall deploy, recover, and test beacons, perform position surveys, and operate the system as part of the specialized recovery of SANS beacons and with SANS beacon operational use.

4.1.5 Depot Maintenance

4.2 SANS Self-Track Processor

4.2.1 Install and Maintain SANS Software into the Submarines AN/BQQ-10 Acoustic Rapid COTS Insertion (ARCI) System.

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, the Contractor shall maintain version control and performance of the Contractor-developed SANS ROMA software hosted on AN/BQQ-10 Advanced Rapid COTS Insertion (A- RCI) Advanced Processor Build (APB) program systems on the applicable submarine class as specified at the order level. The Contractor shall provide technical SANS expertise during A-RCI

Program Reviews, participate in teleconferences, Web-meeting and in-person technical planning meetings pertaining to A- RCI APB software and hardware integration and testing.

The contractor shall develop Performance Verification Test (PVT) procedures to test the software changes to the ARCI system. The contractor shall install and test all software changes (including TEMPALT changes) in the AN/BQQ-10 integration facility at Lockheed, Manassas, VA prior to ship installation. Upon Government approval, the contractor shall update the Computer Software Product End Items. The Contractor shall travel to the integration facility or facilities to conduct interface integration and testing. The contractor shall make software end items available to support Functional Configuration Audit/Physical Configuration Audit (FCA/PCAs).

4.2.2 Upgrade SANS Software for the AN/BQQ-10 (ARCI) to Satisfy Emerging Requirements

The contractor shall modify the Contractor-developed SANS ROMA software hosted on AN/BQQ-10 A–RCI systems on the applicable submarine class, identified at the order level, in response to changes in requirements, as identified in the Applicable Documents at the task order level, driven by PEO SUB APP processes. The Contractor shall test modifications at the AN/BQQ-10 integration facility. The contractor shall make software end items available to support FCA/PCAs.

4.2.3 Maintain and Upgrade SANS Self-Track Software within the T&E Data Collection System

TEMPALT

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0 and utilizing the SANS beacon, the Contractor shall maintain and/or upgrade SANS ROMA software onboard the T&E Data Collection System Temporary Alteration (TEMPALT).

The contractor shall ensure the software is compatible with changes, modifications, and upgrades related to the AN/BQQ-10 A–RCI systems on the applicable submarine class which will be identified at the order level. The contractor shall test all software changes (including TEMPALT changes) in the AN/BQQ-10 integration facility at Lockheed, Manassas, VA prior to ship installation and provide a test inspection report. The contractor shall provide the test/inspection report.

The contractor shall make software end items available to support FCA/PCAs.

4.2.4 Integrate SANS Self-Track Capability into Platforms not Equipped with AN/BQQ-10 A-

RCI

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, the Contractor shall integrate the SANS ROMA software to meet platform mission capability requirements on platforms other than those equipped with AN/BQQ-10 A–RCI systems as listed in Section 2.2. The contractor shall test all software changes (including TEMPALT changes) in the AN/BQQ-10 integration facility at Lockheed, Manassas, VA prior to ship installation.

The contractor shall make software end items available to support FCA/PCAs.

4.3 Portable Undersea Tracking Range (PUTR) Processor

4.3.1 Build PUTR Processor

In accordance with ADs in Section 3.0, identified in TO, as provided at the task order level, and using GFI in Section 6.0, contractor shall propose engineering baseline updates or re-designs to the PUTR Processors via a Class I (major) ECP. Upon Government approval of the ECP, the Contractor shall update, re-design and fabricate PUTR Processors. The PUTR Processor consists of an acoustic transducer assembly (Dunking Head), Signal Processing Unit that processes SANS beacon uplink signals and transmits acoustic signals, and related software.

The contractor shall develop test procedures for Government review to ensure the update or re-design of the PUTR Processors are functional. Upon Government approval of the test procedures, the Contractor shall conduct tests to verify that the requirements identified in Applicable Document 3.1 are satisfied.

The Contractor shall perform and document a failure mode and effects criticality analysis with recommended resolutions for identified failures for Government review. Upon Government approval, the contractor shall apply the recommended resolutions and note all changes in the user manual, software version description, test procedures, and ECP documents. The Contractor shall document and provide quality assessment reports, and test and inspection reports. For each software delivery provided as part of the update or re-design of the PUTR Processors, the Contractor shall document the Software contents in a software version description document.

The contractor shall provide a reliability critical items list for any items that have changed based upon the re-design of the PUTR Processor.

4.3.2 Upgrade PUTR Processor Hardware and Software to Meet Emerging Requirements

In accordance with ADs in Section 3.0, as provided at the task order level, and using GFI in Section 6.0, the Contractor shall analyze, design and implement hardware, software, and cybersecurity changes required to address impacts of newly emerging requirements. Required changes include, for example, the design and implementation of additional signal processor Doppler channels, timing system changes, transmit or receive frequency changes. The contractor shall use a request for variance (RFV) to propose a departure from the approved product definition requirements information, for a specific quantity of units, or for a specified period of time. The contractor shall submit an RFV immediately upon recognition of non-conformance with updated technical data packages as identified in 4.3.1. The Contractor shall perform configuration audits prior to delivery and installation and document results in configuration audit summary reports. The contractor shall develop test procedures for Government review to ensure the update or upgrade of the PUTR Processors are functional. Upon Government approval of the test procedures, the Contractor shall conduct tests to verify that the requirements identified in Applicable Document 3.1 are satisfied. The contractor shall report all formal test failures and analysis results. Changes to drawings after final drawing approval shall be processed via Engineering Change Proposals (ECP).

4.4 Operation and Maintenance of PUTR Processor and SANS Beacons

4.4.1 Maintenance of the PUTR Processor and SANS Beacons

Upon receipt of a TI and in accordance with AD in Section 3.0, the Contractor shall perform maintenance of the PUTR processor and SANS beacons. Upon completion of the maintenance, the contractor shall generate a maintenance report, which includes cybersecurity updates. The Contractor shall install and remove the processors for operational use for the purpose of testing and verifying the maintenance outcome. The Contractor shall clean PUTR processor units, update firmware, and repair broken parts as required. The contractor shall develop test procedures for implementation after maintenance to confirm full operational capability in accordance with the requirements documents which will be provided at task order level.

4.4.2 Configuration Status Accounting

4.5 Training and Dock-Side Testing Support

4.5.1 Perform Training

Upon receipt of GFI in Section 6.0, the Contractor shall update the training materials for Government review. Upon Government approval of the updated materials, the contractor shall perform training in classroom, hands-on dockside and in an operational (at-sea) environment.

The Contractor shall train Navy personnel in the operation of SANS beacons, wave gliders, and surface ship equipment, as well as SANS submarine-based ROMA software.

4.5.2 Dockside Field Support

Upon receipt of GFI in Section 6.0, the Contractor shall support dockside mobilization and demobilization to install or operate SANS equipment to verify the system performs according to specifications as identified at the task order level. The required support will be specified at the Task Order level. The Contractor shall draft test plans and procedures for Government review.

Upon Government approval of the test plans and procedures, the contractor shall provide and test the equipment which includes field checks of all required material, spares, repairs, support and test equipment at the necessary sites for each testing event. The Contractor shall set up a mobile test lab/office to process classified data in a secure manner.

4.6 Provide Track Reconstruction and Analysis

4.6.1 Provide Area Tracking and Calculations

The contractor shall perform tracking area calculations. The Contractor shall track and calculate theoretical acoustic hearing range distances and project beacon performance for these tracking area locations.

4.6.2 Track Smoothing and Error Analysis

Upon discovery of invalid or missing data for the beacon, the Contractor shall update SANS software to allow for event reconstruction. For each software update, the Contractor shall document the Software contents in a software version description document. The contractor shall make software end items available to support FCA/PCAs.

4.7 Develop and Install the SANS Capabilities for Fixed Cabled Ranges

4.7.1 Submerged Self-Track

The Contractor shall generate the SANS synchronized self-tracking signal for transmission from a bi-directional cabled node or a cabled Underwater Communications (as an example, WQC-2) transducer. The contractor shall make software end items available to support FCA/PCAs and provide the software version description.

The contractor shall build and deliver SANS hardware components, identified in TOs, in support of the Underwater Communications as provided by the specifications at task order level.

4.7.2 SANS Data Telemetry

In accordance with ADs in Section 3.0, as identified at the task order level, and using GFI in Section 6.0, the contractor shall propose updates or re-designs to the specifications, documents, and drawings via Engineering Change Proposal (ECP) related to full duplex data telemetry capabilities based on emergent requirement identified at the task order level. Upon Government approval of the updates or re-design, the contractor shall develop and integrate SANS full duplex data telemetry capabilities into the SANS beacon.

4.8 On-Call Support

The purpose of this task is for term type rapid response remote support to troubleshoot issues related to the beacons and PUTR processor as identified by the Government. If remote solutions are not possible, subsequent completion type task orders may be issued. Upon receipt of trouble call or electronic request from the Government, the contractor shall provide remote troubleshooting to support maintenance and repair of the beacons and PUTR processor. The contractor shall provide initial response to all trouble calls or electronic requests related to the beacons and PUTR Processor within 3 business days of receipt. The contractor shall provide proposed solutions to resolve the issue identified as GFI. The contractor shall provide red lined drawings, revised software, and other supporting documentation as part of the proposed solution.

4.9 SANS Beacons and PUTR System Production

The Contractor shall fabricate SANS beacons, associated components, PUTR systems, array calibration beacons, and system components. The Contractor shall test the systems to verify that all specified requirements are met. The Contractor shall provide all associated test procedures, reports, failure reports and corrective actions, quality reports, engineering change proposals and engineering design drawings.

The contractor shall develop a baseline parts list. A request for variance (RFV) shall be used to propose a departure from the approved product definition requirements information, for a specific quantity of units, or for a specified period of time. The contractor shall submit an RFV immediately upon recognition of non-conformance with contract requirements. The Contractor shall also provide a list of critical item spares. The contractor shall submit ECPs to update the associated drawing.

4.10 Project Management and System Engineering

Prior to attending program reviews and as updates occur, the Contractor shall develop, update, and deliver project management and system engineering plans listed below . If an update to a management plan is identified by the contractor, the contractor shall submit an updated plan, with Government approved updates, no later than 30 calendar days after Government authorization for the update. The Contractor shall annotate changed material via change bars.

The contractor shall also prepare presentation materials and participate in Government scheduled meetings including System Engineering Technical Reviews (SETR), System Requirements Review (SRR), Preliminary Design Review (PDR), Critical Design Review (CDR), Test Readiness Reviews (TRRs), Functional and Physical Configuration Audits. 4.11 CYBERSECURITY/Cyber Workforce (CWF)

4.11.1 CWF Qualifications

Per DFARS 252.239-7001 ‘Information Assurance Contracting Training and Certification,’ all personnel performing cyber functions must be trained and qualified. In addition, personnel shall maintain the appropriate security clearance per SECNAV M-5510.30C to perform the tasks associated with their assigned positions.

Note: DFARS uses the term Information Assurance (IA), which is the old title and acronym; it has been replaced by Cyberspace/Cyber Workforce (CWF).

The contractor is required to earn and maintain appropriate baseline certification as identified in DOD 8570.01-M for the position and tasking being performed.

If privileged access is required, the contractor shall complete a privileged access agreement, SECNAV 5239/1, and submit it to the COR. Contractors have up to 6 months to obtain applicable operating system and computing environment training or the account(s) will be suspended. The contractor shall provide a copy of the certificate(s) of completion to the COR.

4.11.2 Cyberspace Reporting

The contractor shall provide a list of all personnel assigned to the contract/task order performing cyber functions as a part of the monthly CWF Report. The report shall include employee name, contract/task order number, list of applicable CWF category and level, required certifications and fulfillment…
