B-231-H001 TRAVEL COSTS (NAVSEA) (OCT 2018)

(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its actual travel costs in accordance with FAR 31.205-46. The travel costs to be reimbursed shall be those costs for which the Contractor has maintained appropriate documentation and which have been determined to be allowable, allocable, and reasonable by the Procuring Contracting Officer, Administrative Contracting Officer, or their duly authorized representative.

(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.

(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;

however, Procuring Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.

(d) The Contractor shall not be reimbursed for the following daily local travel costs:

(i) travel at U.S. Military Installations where Government transportation is available,

(ii) travel performed for personal convenience/errands, including commuting to and from work, and

(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the Contractor's or employee's convenience.

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, or "fixed fee" in cost-plus-fixed-fee type contracts.

(b) The Government shall make payments to the Contractor, subject to and per the clause in this contract entitled "Fixed Fee" (FAR 52.216-8) or "Incentive Fee", (FAR 52.216-10), as applicable. Such payments shall be equal to * percent (*%) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "Allowable Cost And Payment" (FAR 52.216-7), subject to the withholding terms and conditions of the "Fixed Fee" or "Incentive Fee" clause, as applicable (percentage of fee payable is based on fee dollars divided by estimated cost dollars including facilities capital cost of money). Fee shall not be applied on Facilities Capital Cost of Money per FAR 15.404-4(c)(3) and DFARS 215-404-71-4. Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.

(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, per the clause of this contract entitled "Limitation of Funds" (FAR 52.232-22) or "Limitation of Cost" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.

Undersea Training Range (UTR) Sustainment

1.0 Background

Naval Undersea Warfare Center Division Newport (NUWCDIVNPT) Code 70 is tasked as the Technical Lead Field Agent (LFA) for the Navy’s Training and Test and Evaluation (T&E) ranges around the world. The LFA mission is to design, manufacture, install and operate in-water systems which provide time, space, and positional information. Stakeholders and sponsors include various NUWCDIVNPT Codes, United States (U.S.) Navy, Department of Defense (DoD), and U.S. Government sponsors.

Fulfillment of Government requirements requires non-recurring engineering for parts obsolescence and performance of test events to characterize future implementation of new technology. It includes work restoring and sustaining ranges at full operating capability throughout their design life. Code 70 performs these tasks to maintain continued operation of ranges world-wide using new technology as existing technology becomes obsolete or as sponsor require enhancements and new capabilities to be incorporated into existing range systems.

Code 70 monitors the general status of range components to sustain full operating capability.

Code 70’s customers provide requirements to ensure rapidly emerging issues or failures are addressed. Failures of the range systems occur for a variety of reasons reducing range operating capability.

2.0 Scope

This Statement of Work (SOW) identifies tasking that the contractor shall perform to sustain the full operating capability of the programs and systems specified in Section 1.1.

Services shall include the design, production and manufacture, and installation of both shore electronic system and ocean sensor system hardware assemblies as well as data products identified in the contract data requirements list (CDRL). This shall include operating, maintaining, repairing, performing logistic support, refurbishing, modernizing, upgrading, revising, improving, performing information assurance (IA) and cybersecurity, and expanding of range hardware, software, and its performance.

Task Orders may specify additional or alternate standard(s) as required by Code 70 Customers.

Any additional or alternate standard(s) called for by a peculiar Task Order will be considered exclusive to that Task Order and will not be applied to additional Task Orders without expressed Government direction.

4.0 Technical Requirements

Task Orders (TOs) will identify the specific requirements and specifications for the work to be performed. A TO will include all or a subset of requirements identified in section 4.0. The contractor shall perform the below tasks in accordance with Applicable Documents (3.0) using Government Furnished Information (GFI) (6.0) as specified in Completion or term type TOs issued under this IDIQ contract. Completion type TOs will be issued for all SOW tasks other than task 4.5. For SOW task 4.5, term type TOs will be issued and Technical Instructions (TIs) will be issued to initiate specific tasking as particular needs are identified. TIs will be issued at the time of funding obligations on the task order to detail which tasking the funding is provided for and what tasking the funding is for.- TOs will identify travel requirements, specific place(s) of performance, and Government Furnished Property.

The contractor shall provide responses to Government task order requests for proposal (RFP) within twenty-one (21) calendar days of receipt of RFP. Failure to respond to RFPs in a timely manner will negatively impact contractor past performance assessment.

4.1 Engineering

4.1.1 Engineering Studies and Analysis

Upon receipt of task order, the contractor shall:

4.1.1.1 Perform the following engineering studies for ranges, range components, or related aspects: reliability, sustainability, maintainability, technical tradeoffs (systems, design, production, and installation), operational, cybersecurity, and geophysical. Performance of the aforementioned engineering studies shall include data collection in support of the Government’s submissions of environmental permits and National Environmental Policy Act documentation.

As part of these engineering studies the contractor shall also identify Diminishing Manufacturing Sources and Material Shortages (DMSMS), obsolescence, and counterfeiting concerns and recommend suitable replacements to resolve the issue.

4.1.1.2 Conduct engineering analyses for the purpose of resolving faults and error issues. The types of analysis shall include: software fault, hardware fault isolation, life cycle support, engineering performance assessments, root cause, hazard investigations, failure, cybersecurity, safety, and risk.

4.1.1.3 Document and deliver the results and recommendations from engineering studies and analyses conducted under 4.1.1.1 and 4.1.1.2. Where appropriate as determined by the results and upon Government approval of the recommendations, the contractor shall draft Engineering Change Proposals (ECPs), Specification Requirement Verification Matrices, and Manufacturing Technology Reports. Upon completion of travel, the contractor shall document all actions performed in a travel report.

Deliverables: The contractor shall prepare and deliver the following:

4.1.2 Design Engineering

4.1.2.1 Update and deliver designs for in-water, on-shore, shipboard systems, subsystems and individual components for the repair of failed components, upgrading of obsolete equipment, and improvements. Types of improvements include the following: performance, modernization of design, replacement by overlaying, bathymetric data collection for planning cable routes, cybersecurity protection, compliance, and other emergent measures, and expansion of capabilities to meet emerging Fleet needs.

4.1.2.2 As part of this task, for new systems, items, and components, the contractor shall provide new Drawings, Models, and Associated Lists. For new systems, the contractor shall include with the associated lists a connections list clearly indicating connection end points and associated signal data name and type within the system.

4.1.2.3 For updated systems, the contractor shall annotate changes via red-lined versions of GFI.

As part of the design, the contractor shall identify any new system(s), items, and components which are System Life of Type procurements and include references to reliability study results from Task 4.1.1.1. System Life of Type procurements are defined as procurements, wherein no same or matching items (lowest replaceable units) can be procured and used in place of equivalent equipment without significant rework, resulting in a need to advance procure the anticipated spares required to support the system for the planned life of the system.

4.1.2.4 Where appropriate as determined by the recommended design, and upon Government approval of the design, the contractor shall draft Engineering Change Proposals (ECPs), Specification Requirement Verification Matrices, and Manufacturing Technology Reports.

4.1.2.5 Upon completion of travel, the contractor shall document all actions performed in a travel report.

4.1.3 Software Engineering

4.1.3.1 Develop software and firmware solutions to include the incorporation of new or upgraded equipment (range hardware or computer hardware).

4.1.3.2 Investigate and develop programming code for improvements to the performance, modernization or expansion of the existing software’s capabilities. This shall include addressing issues involving the control and monitoring of range equipment, shore hardware, shipboard systems, in-water controls and monitoring functions, in-water systems, for both full systems and any identified subsystems.

4.1.3.3 The contractor shall update the Software Development Plan (SDP) submitted in response to the Basic contract Request for Proposal.

4.1.3.4 Make updates to the SDP no less than every 6 months, when required as a result of an evaluation when an active task order is issued, or as required in response to revised applicable documents and GFI.

4.1.3.5 Engineer all software to be accredited using the DoD’s Risk Management Framework (RMF) process to ensure it meets cybersecurity compliance.

4.1.3.6 Create new, expand existing, and update existing GFI databases related to software cataloging to meet the requirements of applicable software engineering documents in Section

3.0. The contractor shall perform configuration management of software in accordance with the Government approved software development plan.

4.1.3.7 Revise existing software version descriptions provided as GFI to reflect changes in the software under this task.

4.1.3.8 While performing tasking under 4.1.4, the contractor shall utilize vulnerability management tools on a no less than quarterly basis to identify, mitigate, and report system security patch and update statuses on base contract or task order associated hardware (contractor-owned and GFP) in accordance with the government Information Assurance Vulnerability Management (IAVM) program (covered in Applicable Documents 3.1.1, 3.1.4, 3.2.5, and 3.2.6).

Upon identification by the government (GFI) or by aforementioned contractor vulnerability management tools, the contractor shall notify or reply to the government regarding the applicable item(s) within 30 calendar days, and coordinate with the government on timeline and execution to install and integrate any and all necessary updates, patches, and fixes of the identified hardware, operating systems, databases, and applicable software.

4.1.3.9 On an annual basis or upon receipt of ad hoc requests provided as GFI implement Security Technical Implementation Guides (covered in Applicable Documents 3.1.1, 3.1.4, 3.2.5, and 3.2.6) and patches on existing systems or sites.

4.1.3.10 Perform cyber security scans of systems to detect risks and identify solutions for remediation of vulnerabilities.

4.1.3.11 Upon completion of travel, document all actions performed in a travel report.

In the case of emergent or urgent cybersecurity compliance changes as identified or affirmed by the Government, refer to Section 4.4.4 Cybersecurity and Section 4.5 On-Call Support.

4.1.4 Systems Engineering

4.1.4.1 Perform system engineering in support of range studies, analyses, sustainment, integration, and repairs. The contractor shall make recommendations on GFI (for example -proposed design or specification changes) or hardware identified at the task order level concerning technical adequacy, program relevancy, and impact to related program activities and requirements.

4.1.4.2 As part of the design tasking under 4.1.2, if engineering change proposal or instructions are created that impact specifications, the contractor shall recommend updates to specifications provided as GFI to reflect the changes.

4.1.4.3 Incorporate results of section 4.1.1-4.1.3 into this task’s deliverables. Upon completion of travel, the contractor shall document all actions performed in a travel report.

4.2 Manufacturing and Production

4.2.1 Manufacturing, Production, Fabrication, Assembly, and Software Integration

4.2.1.1 If while during production the contractor identifies components, systems, subsystems, or critical items are Life of Type, the contractor shall notify the Government.

4.2.1.2 Integrate government approved software into range hardware systems, subsystems and components.

4.2.1.3 Utilizing government provided residual and spare materials provided as GFP at the task order level, as well as commercial off the shelf items to the maximum extent possible, the contractor shall provide the following:

a) In support of range system repairs, the contractor shall provide systems, subsystems, and components to return the range to operational tempo in accordance with the applicable performance specifications.

b) In support of range technical refreshes, enhancements, and upgrades, the contractor shall provide systems, subsystems, and components to meet the new performance specification provided by the Government.

The contractor shall deliver original equipment manufacturer manuals for all COTS materials delivered under this task.

4.2.1.4 During hardware production and delivery, the contractor shall provide status reports of production and delivery timelines relative to programmatic schedules provided as GFI.

4.2.1.5 The contractor shall deliver ECP’s or Notice of Revisions (NORs) if they need to deviate from the government approved design.

4.2.1.6 If during production, the contractor discovers counterfeit items the contractor shall report the finding and plan for corrective action to the Government within 10 business days of identification. Upon government approval of the plan for corrective action, the contractor shall execute the plan to correct the identified issue.

4.2.1.7 Non-Conformance

If the Government finds any material to be non-conforming after delivery for either the complete units or the subcomponents, the contractor shall repair or replace the non-conforming material at no cost the Government. The contractor shall submit a failure analysis and corrective action report for each repair required. The contractor shall track all non-conforming material via a Return Material Authorization system. The contractor shall return the repaired material, or a replacement, to the Government within 30 days of receipt of the non-conforming material at the contractor facility. The contractor shall submit a Request for Variance if a design issue is identified as part of the failure analysis.

The following definitions apply to this section:

a. Type I Non-conformance: materials or supplies that depart from contract specifications and affect one (1) or more of the following major areas:

performance, durability, interchangeability, effective use or operations, weight, appearance, health, or safety.

b. Type II Non-conformance: materials or supplies that depart from contract specifications that have no bearing on the effective use or operation of the item or related components for the intended application and do not affect any of the criteria specified in Type I above.

c. “Defects” shall include all defects, discrepancies, non-conformance, anomalies, and failures that occur or are first detected during manufacturing.

The contractor shall document any material non-conformance in a Material Non-conformance Record (MNR). The contractor shall include the following information in the MNR:

a. Part number, serial number, and specification number (if applicable)

b. Type of non-conformance

c. Quantity of non-conformance items

d. Description of the non-conformance

e. Corrective action to prevent recurrence

f. Recommended disposition (i.e., use as is, repair, rework, scrap)

g. Signature of contractor and Government representative

Final decisions regarding acceptance of non-conforming supplies reside solely with the Government.

4.2.1.7 Upon completion of travel, document all actions performed in a travel report.

4.2.2 Performance Verification Testing

4.2.2.1 Develop test plans and procedures for government approval for the following types of verification testing:

Developmental and evaluation testing to demonstrate suitability of a proposed design;

Environmental, shock, vibration and transportation testing of updated components;

Prototype performance testing;

Integration tests to verify compatibility with other systems or subsystems;

Factory acceptance tests prior to delivery to the installation site;

Survey of ocean systems sensors post installation;

Field acceptance tests after installation and prior to system acceptance; and Operational tests after installation and integration with existing systems.

The contractor shall modify existing test plans and procedures provided as GFI to reflect changes in hardware, software, or system design.

4.2.2.1 In accordance with government approved test plans and procedures the contractor shall perform verification testing of items provided in section 4.2.1. The contractor shall summarize the results of all testing and deliver test reports.

4.2.2.2 If during verification testing, the contractor discovers counterfeit items the contractor shall report the finding and plan for corrective action to the Government within 10 business days of identification. Upon government approval of the plan for corrective action, the contractor shall execute the plan to correct the identified issue.

4.2.2.3 If systems, subsystems, or components delivered under this contract are later identified as counterfeit material, within 50% of the service life or 5 years, whichever is lesser, the contractor shall provide and install an operational replacement at no cost to the Government. The contractor shall also provide proof of verification testing to demonstrate compliance with base specifications.

-Service life being defined as the mean time between failures (MTBF) of the expected production lowest replaceable unit (LRU).

4.2.2.4 The contractor shall perform onsite test troubleshooting and failure analysis at facilities including contractor facility, Government ranges identified in Section 1.1, and other Government facilities.

4.2.2.5 Develop software test programs and modify Government software test programs provided as GFI.

4.2.2.6 Upon completion of travel, document all actions performed in a travel report.

4.3 Installation (Deployment and Recovery)

4.3.1 Develop and deliver installation engineering plan and installation test plan including recommended resources required, mobilization and staging area requirements, the proposed schedule, and identification of equipment, vessels, and utilities required for installation. The contractor shall check the availability of Government owned vessels and diving services via the Narragansett Bay Test Facility (NBTF) and identify in the test plan whether or not NBTF assets are available to support the planned installation. The task order will specify installation requirements which may include system components on shore and undersea, at both domestic and international locations. The contractor shall comply with 29 CFR Part 1910 Subpart T OSHA Standards for performance of all diving services.

4.3.2 Upon government approval of the installation plan, deploy and recover hardware, electronics and software produced or delivered under section 4.2 in accordance with the approved plan. Deploying and recovering shall include fixed, portable, undersea systems, ashore systems, and sea-to-shore interfaces and associated software updates. If the contractor deviates from the approved installation plan, the contractor shall document all deviations and deliver the associated drawing or hardware connections list for government approval. If applicable, the contractor shall deliver an Engineering Change Proposal (ECP).

4.3.3 The contractor shall utilize NBTF Government utilized assets if available. If government furnished assets and operational services (crane, range, vessels, and diving services) are not available via the NBTF, the contractor shall provide crane, vessel, and diving services as applicable for installation and testing events. In doing so, the contractor shall verify the crane provided is certified to handle the weight and type of equipment being installed or tested. The contractor shall operate contractor provided boats and cranes during operations and tests. The contractor shall comply with 29 CFR Part 1910 Subpart T OSHA Standards for performance of all diving services.

4.3.4 Upon completion of installation, the contractor shall conduct installation testing and deliver test report.

4.3.5 Upon completion of travel, document all actions performed in a travel report.

4.4 Operations and Maintenance

4.4.1 Test Event and Missions Operations

4.4.1.1 Operate existing hardware and software and any items delivered under Section 4.2 or installed under Section 4.3 during operational test events and missions for short duration proof that requirements are met by delivered and installed systems. Upon completion of operations, the contractor shall document all steps taken and the results of operational testing.

4.4.1.2 Upon completion of travel, document all actions performed in a travel report.

4.4.2 Troubleshooting and Repair

4.4.2.1 Conduct fault isolation and failure analysis of fielded systems, including shore-based systems and in-water components, subsystems and systems. If government furnished assets and operational services (crane, range, vessels, and diving services) are not available via the NBTF, the contractor shall provide crane, vessel, and diving services as applicable for installation and testing events. In doing so, the contractor shall verify the crane provided is certified to handle the weight and type of equipment being installed or tested. The contractor shall operate contractor provided boats and cranes during operations and tests and comply with 29 CFR Part 1910 Subpart T OSHA Standards for diving services. The contractor shall document and deliver a report detailing the analysis. In the report, the contractor shall include a proposed plan to resolve the failure.

4.4.2.2 Upon government approval of contractors proposed resolution, perform system and sub-system repair by repairing or replacing components, sub-systems or systems. Systems, subsystems, and components are inclusive of hardware, software, and firmware. Upon completion of repair, the contractor shall deliver repair summary report.

4.4.2.3 Upon completion of travel, document all actions performed in a travel report.

4.4.3 Training and Operation Manuals

4.4.3.1 The contractor shall review existing training and operation manuals provided as GFI and identify any areas where revisions are recommended to address new or updated hardware or software identified under previous tasks.

4.4.3.2 Upon government approval of the contractor’s recommendations, the contractor shall modify existing and develop new training plans and materials for platforms, systems, subsystems, and critical items. Training materials include manuals and other training documentation and training aids.

4.4.3.3 Upon government approval of the contractor’s recommendations, the contractor shall modify existing and develop new operation manuals and materials for platforms, systems, subsystems, and critical items. Operation manuals include quick start guides, standard operating procedures, and other operation documentation.

4.4.3.4 Conduct training to ensure proper operation, repair, maintenance, and testing of platforms, systems, subsystems, or critical items. Employ electronic training applications such as video teleconferencing and computer-based training to enhance the effectiveness of training materials and courses when cost-effective. Upon completion of training, the contractor shall document results of training in training conduct report.

4.4.3.5 Upon completion of travel, document all actions performed in a travel report.

4.4.4 Cybersecurity

4.4.4.1 Conduct reviews of identified cybersecurity measures, vectors, and controls for platforms, systems, subsystems, and critical items in accordance with guidance in applicable documents per the schedule as identified in the Task Order.

4.4.4.2 Develop and maintain documentation for new platforms, systems, subsystems, and critical items inclusive of cybersecurity items identified as part of applicable documents

4.4.4.3 Update documentation for existing platforms, systems, subsystems, and critical items inclusive of cybersecurity items identified as part of applicable documents.

4.4.4.4 In the event of emergent or urgent cybersecurity requirements identified by the Government the contractor shall recommend a solution to deliver compliant hardware, firmware, software, and software patches in a timely fashion in support of the Government’s overall cybersecurity stance. Upon Government approval of the recommended solution, the contractor shall deliver or implement the solution.

4.4.4.5 Provide cybersecurity patches to support systems, subsystems, and components identified by cybersecurity documentation (AD 3.2.7).

4.4.4.6 Prior to final task order completion, the contractor shall conduct a cybersecurity scan and deliver scan results to demonstrate cybersecurity compliance.

4.4.4.7 Upon completion of travel, document all actions performed in a travel report.
