HQ B-2-0014 PAYMENTS OF FEE(S) (COMPLETION) (NAVSEA) (MAY 1993)
(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, "fixed fee" in cost-plus-fixedfee type contracts for completion and phase type contracts.
(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be equal to percent ( ) (to be provided by offeror) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), subject to the withholding terms and conditions of the "FIXED FEE" or "INCENTIVE FEE" clause, as applicable (percentage of fee is based on fee dollars divided by estimated cost dollars, including facilities capital cost of money). Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.
(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, in accordance with the clause of this contract entitled "LIMITATION OF FUNDS" (FAR 52.232-22) or "LIMITATION OF COST" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.
(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) in accordance with paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.
HQ B-2-0020 TRAVEL COSTS - ALTERNATE I (NAVSEA) (APR 2015)
(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its actual travel costs in accordance with FAR 31.205-46. The costs to be reimbursed shall be those costs determined to be allowable, allocable and reasonable by the Procuring Contracting Officer, Administrative Contracting Officer or their duly authorized representative, as advised by DCAA.
(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.
(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;
however, Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.
(d) The Contractor shall not be reimbursed for the following daily local travel costs:
(i) travel at U.S. Military Installations where Government transportation is available,
(ii) travel performed for personal convenience/errands, including commuting to and from work, and
(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the Contractor's or employee's convenience.

STATEMENT OF WORK
Undersea Training Range (UTR) and Test and Evaluation (T&E) Ranges Sustainment Statement of Work
1.0 Background
Naval Undersea Warfare Center Division Newport (NUWCDIVNPT) Code 70 is tasked as the Technical Lead Field Agent (LFA) for the Navy’s Training and Test and Evaluation (T&E) ranges around the world. The LFA mission is to design, manufacture, install and operate in-water systems which provide time, space, and positional information. Stakeholders and sponsors include various NUWCDIVNPT Codes, United States (U.S.) Navy, Department of Defense (DoD), and U.S. allied foreign sponsors.
Fulfillment of Government requirements requires non-recurring engineering for parts obsolescence and performance of test events to characterize future implementation of new technology. It includes work restoring and sustaining ranges at full operating capability throughout their design life. Code 70 performs these tasks to maintain continued operation of ranges world-wide using new technology as existing technology becomes obsolete. Previously, contract N66604-10-D-2153 was utilized for this tasking.
2.0 Scope
This Statement of Work (SOW) identifies tasking that the contractor shall perform to sustain the full operating capability of the programs and systems specified in section 2.1. Code 70 monitors the general status of range components to sustain full operating capability. Code 70’s customers (see sections 2.2 and 2.3) provide requirements to ensure rapidly emerging issues or failures are addressed. Failures of the range systems occur for a variety of reasons reducing range operating capability. This action is for award of a 5-year Indefinite Delivery, Indefinite Quantity (IDIQ) contract, sole source award, for engineering, manufacturing and production, installation and operation, maintenance services, and data deliverables to sustain the U.S. and Allied Navy Training and T&E ranges around the world to L-3 Communications Maripro, Inc. (L-3).
Task orders (TO) will provide the specific requirements and specifications for the work to be performed in response to Code 70’s customers. A TO will include all or a subset of 5 requirements identified in section 4.0. A TO will most often require a deliverable hardware end item that will repair or replace original equipment manufacturer (OEM) systems (see section 2.1). Deliverables shall include the design, production/manufacture, and installation of both shore electronic system and ocean sensor system hardware assemblies as well as data products identified in the contract data requirements list (CDRL). This shall include operating, maintaining, repairing, performing logistic support, refurbishing, modernizing, upgrading, revising, improving, performing information assurance (IA) and expanding of range hardware, software, and its performance.

4.0 Technical Tasks
The contractor shall perform the below tasks in accordance with Applicable Documents (3.0) using Government Furnished Information (GFI) (6.0) as specified in Completion type TOs issued under this IDIQ contract. TOs will identify travel requirements, specific place(s) of performance, and Government Furnished Property.
The Government will provide a DoD contract security classification specification Form DD-254 with each TO for requirements where access to classified data or spaces is required.
4.1 Engineering
4.1.1 Engineering Studies and Analysis
The contractor shall perform engineering studies.
The types of studies shall include: reliability, sustainability, maintainability, technical tradeoffs (systems, design, production, and installation), operational, and geophysical. Performance of the studies shall include data collection in support of the Government’s submissions of environmental permits and National Environmental Policy Act documentation. The contractor studies shall identify suitable replacements for OEM vender parts due to parts obsolescence or counterfeiting.
The types of analysis shall include: software fault, hardware fault isolation, life cycle support, engineering performance assessments, root cause, hazard investigations, failure, safety, and risk.
The contractor shall provide analyses that recommend the repair of failed components, upgrading of obsolete equipment, improvements to performance, modernization of design, replacement by overlaying, and geophysical and environmental data collection for installations. In performance of this analysis the contractor shall prepare:

4.1.2 Design Engineering
The contractor shall perform engineering design for in-water, on-shore, shipboard systems, subsystems and individual components for the repair of failed components, upgrading of obsolete equipment, improvements to performance, modernization of design, replacement by overlaying, bathymetric data collection for planning cable routes, and expansion of capabilities to meet emerging Fleet needs.
For new systems, items, and components, the contactor shall provide new Drawings, Models, and Associated Lists. The contractor shall annotate changes and make distinctions between original GFI and new output.
In performance of this task the contractor shall prepare:

The contractor shall perform system engineering. The contractor shall make recommendations concerning technical adequacy, program relevancy, and impact to related program activities and requirements. The contractor shall recommend updates to the GFI specifications to accurately reflect engineering change proposals and engineering change instructions. 4.1.4 Software Engineering
The contractor shall develop software and firmware solutions to include the incorporation of upgraded equipment (range hardware or computer hardware). The contractor shall investigate and develop programming code for improvements to the performance, modernization or expansion of the OEM software’s capabilities. This shall include addressing issues involving the control and monitoring of range equipment, shore hardware, shipboard systems, in-water controls and monitoring functions, in-water systems, for both full systems and any identified subsystems.
The contractor shall update the Software Development Plan (SDP) submitted in response to the Request for Proposal. The contractor shall make updates to the SDP no less than every 6 months to be evaluated when an active task order is issued or as required in response to revised applicable documents and GFI.
The contractor shall engineer all software to be accredited using the DoD’s RMF process to ensure it meets cybersecurity compliance. The Contractor shall create new, expand existing, and update existing OEM databases to meet the requirements of applicable documents in Section 3.0.
The contractor shall revise OEM software version descriptions. The contractor shall identify, implement, mitigate and report system security patch and update status in accordance with an Information Assurance Vulnerability Management program. The contractor shall implement Security Technical Implementation Guides (covered in applicable Document 3.1.1) and patches on OEM systems defined in section 2.1. The contractor shall perform scans of systems to detect risks and identify solutions for remediation of vulnerabilities.

4.2 Manufacturing and Production
4.2.1 Manufacturing, Production, Fabrication, Assembly, and Software Integration The contractor shall fabricate components used as replacements for obsolete components or systems. The contractor shall integrate software (contractor proprietary/developed/commercial off-the-shelf) into the hardware systems, subsystems and components. The contractor shall provide hardware systems, subsystems, and components. The contractor shall use Government residual and spare materials (Government Furnished Equipment [GFE]/Government Furnished Material). The contractor shall report optimistic, pessimistic, and most likely remaining durations for each critical path and near critical path task/activity. A rationale shall be provided for establishing critical and near critical tasks or activities.

4.2.2 Performance Verification Testing
The contractor shall perform verification testing of items provided in section 4.2.1. This testing includes developmental and evaluation testing to demonstrate suitability of a proposed design;
updated components for obsolescence and counterfeit subjected to environmental, shock, vibration and transportation testing; prototype performance testing; integration tests to verify compatibility with other systems or subsystems; factory acceptance tests prior to delivery to the installation site; survey of ocean systems sensors post installation; field acceptance tests after installation and prior to system acceptance; and operational tests after installation and integration with existing systems.
The contractor shall perform test troubleshooting and failure analysis at remote locations away from the contractor facilities. The contractor shall generate test plans, procedures, test plans, and procedure revisions that take into account historical test plans provided by the Government (GFI). The contractor shall develop test programs and modify Government programs (GFI).

4.3 Installation (Deployment and Recovery)
The contractor shall deploy and recover hardware, electronics and software produced under section 4.2. Deployment and recovery will include existing Government portable systems (GFE). The contractor shall install system components including fixed, portable, undersea systems, ashore systems, and sea-to-shore interfaces and associated software updates. The contractor shall install these system components on shore, undersea, domestic and international.
The contractor shall perform installation planning including recommended resources required, mobilization and staging area requirements, the proposed schedule, and identification of equipment and utilities required for installation at the specified sites identified in section 2.1.
The contractor shall provide vessels, small boats, and diving services, but only in instances where Code 70 determines it cannot meet the requirements of the event (GFE).

4.4 Operation and Maintenance
4.4.1 Operations and Missions
The contractor shall operate OEM and items delivered under section 4.2 or installed under task
4.3 during operational test events and missions. The purpose of this operation is for short duration proof that requirements are met by delivered and installed systems. The contractor shall prepare meeting minutes associated with the planning meetings for the operational period.
Records of meeting held during the operational period shall be reported in the Test/Inspection Report. If travel is required, the contractor shall submit a Trip Report. Monthly Progress reports shall be submitted summarizing efforts done for this tasking.

4.4.2 Maintenance and Repair
The contractor shall conduct fault isolation and failure analysis of fielded systems, including shore based systems and in-water components, subsystems and systems. The contractor shall perform system and sub-system repair by repairing or replacing components, sub-systems or systems.

4.4.3 Training
The contractor shall identify training requirements and shall provide if already developed, and develop training programs for platforms, systems, subsystems, and critical items. The contractor shall develop training manuals and other training documentation and training aids. The contractor shall update existing training plans and materials (GFI). The contractor shall employ electronic training applications such as video teleconferencing and computer-based training to enhance the effectiveness of training materials and courses when cost-effective. The contractor shall conduct training to ensure proper operation, repair, maintenance, and testing of platforms, systems, subsystems, or items.

4.5 Task Management
The contractor shall conduct integrated progress reviews and Technical Interchange Meetings to provide technical status, risk identification (technical, schedule and cost), action items with assignee’s and due dates, and risk mitigation tracking. 5.0 Progress Reports
For all assigned tasks, the contractor shall prepare a Contractor’s Status Report that indicates the progress of work, status of the program(s), and existing or potential problem areas. The contractor shall report contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the Department of the Navy via a secure data collection site. Contracted services excluded from reporting are based on Product Service Codes (PSCs). The excluded PSCs are:

HQ C-1-0008 ITEM(S) 0001 - SUPPORT FOR ENGINEERING SERVICES (NAVSEA) (JUN 1992)
(a) The Contractor shall be reimbursed for its reasonable actual subsistence and transportation costs incurred in the performance of the related engineering services item(s) in accordance with FAR 31.205-46. The costs to be reimbursed shall be those costs accepted by the cognizant DCAA.
(b) Overtime shall be performed as required by the using activity and to the extent authorized by the applicable NAVSEA/DRPM/PEO code identified in Section C under Engineering Services.
(c) The maximum liability of the Government for each support item shall not exceed the estimated amount set forth in the Schedule. If, at any time, the Contractor has reason to believe that the costs it expects to incur in the performance of each support item in the next succeeding sixty (60) days, when added to all costs previously incurred, will exceed seventy-five percent (75%) of the amount then set forth in the Schedule; or if, at any time, the Contractor has reason to believe that the costs to the Government for the full performance of each support item will be greater than or substantially less than the amount set forth in the Schedule, the Contractor shall notify the Contracting Officer in writing, giving its revised estimate of such costs for the performance of said item. The Contracting Officer may, upon receipt of such notice or whenever the Contracting Officer considers it necessary, increase or further increase the total estimated amount for the performance of each support item. When and to the extent the estimated amount for a support item has been so increased, any amounts expended or incurred by the Contractor for performance in excess of the estimated amount therefor prior to the increase, shall be paid or reimbursed to the same extent as if expended or incurred after the increase.
HQ C-2-0002 ACCESS TO PROPRIETARY DATA OR COMPUTER SOFTWARE(NAVSEA) (JUN 1994)
(a) Performance under this contract may require that the Contractor have access to technical data, computer software, or other sensitive data of another party who asserts that such data or software is proprietary. If access to such data or software is required or to be provided, the Contractor shall enter into a written agreement with such party prior to gaining access to such data or software. The agreement shall address, at a minimum, (1) access to, and use of, the proprietary data or software exclusively for the purposes of performance of the work required by this contract, and (2) safeguards to protect such data or software from unauthorized use or disclosure for so long as the data or software remains proprietary. In addition, the agreement shall not impose any limitation upon the Government or its employees with respect to such data or software. A copy of the executed agreement shall be provided to the Contracting Officer. The Government may unilaterally modify the contract to list those third parties with which the Contractor has agreement(s).
(b) The Contractor agrees to: (1) indoctrinate its personnel who will have access to the data or software as to the restrictions under which access is granted; (2) not disclose the data or software to another party or other Contractor personnel except as authorized by the Contracting Officer; (3) not engage in any other action, venture, or employment wherein this information will be used, other than under this contract, in any manner inconsistent with the spirit and intent of this requirement; (4) not disclose the data or software to any other party, including, but not limited to, joint venturer, affiliate, successor, or assign of the Contractor; and (5) reproduce the restrictive stamp, marking, or legend on each use of the data or software whether in whole or in part.
(c) The restrictions on use and disclosure of the data and software described above also apply to such information received from the Government through any means to which the Contractor has access in the performance of this contract that contains proprietary or other restrictive markings.
(d) The Contractor agrees that it will promptly notify the Contracting Officer of any attempt by an individual, company, or Government representative not directly involved in the effort to be performed under this contract to gain access to such proprietary information. Such notification shall include the name and organization of the individual, company, or Government representative seeking access to such information.
(e) The Contractor shall include this requirement in subcontracts of any tier which involve access to information covered by paragraph (a), substituting "subcontractor" for "Contractor" where appropriate.
(f) Compliance with this requirement is a material requirement of this contract.
HQ C-2-0012 CONFIGURATION MANAGEMENT (NAVSEA) (APR 2015)
(a) Baseline Definition - For configuration control purposes, all contractual documentation in effect at the time of contract award shall constitute the Contract Baseline which shall be considered incorporated in the baseline documentation.
(b) General Requirement - (1) The Contractor shall maintain a Configuration Control Program to assure that all detail level work being performed under this contract is in compliance with appropriate baseline documentation.
The Contractor shall prepare a Configuration Management Plan in accordance with the requirements of the contract for approval by the Government.
(2) Whenever a situation arises wherein the Contractor cannot comply with a baseline document, or whenever intent of such documentation is significantly changed by detail level documentation, the Contractor shall submit change documents to modify baseline documents to resolve the conflict or to allow non-compliance.
Whenever the cost of implementing a proposed change is less than the threshold requiring certified cost or pricing data, the Contractor shall provide documentation explaining the nature of related costs as shown on the change document. Whenever the contract cost changes by an amount greater than the threshold requiring certified cost or pricing data, the Contractor shall complete such cost and pricing data as the Contracting Officer shall require detailing all related costs, and attach it to the change document. Requirements for cost and pricing data shall be determined by the gross amount of the change unless otherwise directed by the contracting officer. Change documentation shall be submitted to the Contracting Officer in accordance with the Contract Data Requirements List (CDRL), and as described in paragraphs (c) through (f) below.
(c) Engineering Change Proposals (ECPs) - ECPs shall be prepared in accordance with the approved configuration management plan and the requirements of the contract. DI-SESS-80639D approved 7 April 2015 and MIL-HDBK- 61A of 7 Feb 2001 apply. An ECP should be submitted whenever the detail level physical configuration, material quality, operational or functional performance of equipment or installed systems will not be in compliance with baseline design-related documents (Specifications, Contract Drawings, etc.), and a change to the baseline document is considered an appropriate means of resolving a design-related issue. Documentation shall be developed in sufficient detail to enable Government review and evaluation of the merits of the proposed change, including cost and scheduling impact, ship class impact, and consequences if disapproved. All existing drawings and technical manuals impacted by the change shall be listed along with a brief narrative explanation of needed changes to incorporate the ECP if approved. Weight and moment data incidental to the change shall be provided. The Contractor shall also prepare applicable baseline document insert sheets, with specific word changes or proposed re-write, to facilitate baseline documentation changes.
(d) Non-Engineering Change Proposals (NECPs) – An NECP should be submitted whenever necessary to document administrative, procedural, scheduling, or documentation changes that do not directly impact the physical configuration of the equipment. The NECP shall explain the nature of the problem, identify the applicable baseline document (i.e., Contract Data Requirement List (CDRL), Contract Clause, etc.) and provide a detailed explanation justifying the proposed course of action desired to resolve the problem. Insert sheets for applicable documents shall also be attached to facilitate change action in the event the NECP is approved.
(e) Deviations and Waivers - In the event that a baseline design-related document requirement cannot be met, and a change to the baseline document is considered inappropriate, the Contractor shall submit a Request for Variance.
DI-SESS-80640D approved 7 April 2015 and MIL-HDBK-61A of 7 Feb 2001 apply. The explanation of "need for deviation" should provide detailed justification and consequences of approval, to include technical details explaining the degree of non-compliance or effect on ship equipment or system operation constraints. In a similar manner, a waiver shall document an "as built" configuration that departs from baseline documentation and should include any proposed corrections or modifications to better meet the intent of the baseline document.
(f) Equitable Adjustments for Change Documentation Preparations - For its effort expended in preparing ECPs, NECPs, Deviations and Waivers, the Contractor shall receive equitable adjustment under the following circumstances:
(1) In the event the Contractor, on its own initiative, and without written request from the Contracting Officer, develops a change document that is later disapproved by the Government, the Contractor shall bear the cost of this effort.
(2) To avoid such loss, and at its option, the Contractor may submit a "preliminary" document that outlines intent, but without detailed supporting documentation and request the Contracting Officer's approval for expenditure of effort to complete the detailed supporting documentation. In the event the Contracting Officer denies this request, the Contractor will bear the cost of development of the "preliminary" document, and shall make no further effort to complete detailed supporting documentation.
(3) In the event the Contracting Officer approves the Contractor's request to develop supporting documentation, the Contractor shall be equitably compensated for its effort for both the "preliminary" and "final" documentation, regardless of whether or not the change document is later approved.
(4) In the event the Contracting Officer requests in writing that the Contractor develop change documentation, the effort expended by the Contractor in developing such documentation shall be subject to equitable adjustment, regardless of whether or not the change document is later approved.
(5) In the event the Contractor, on its own initiative, and without written request from the Government, develops a change document that is later approved by the Contracting Officer, the cost of developing such documentation shall be incorporated in the contract modification that implements the change.
(6) Failure to agree to such equitable adjustment in contract price shall constitute a dispute, and shall be adjudicated in accordance with the requirements of the clause entitled "DISPUTES" (FAR 52.233-1).
(g) Any cost reduction proposal submitted pursuant to the clause entitled "VALUE ENGINEERING" (FAR 52.248-1) shall be submitted as a Code V Engineering Change Proposal (VECP).
