The Contractor shall request serial number assignment, in writing, from the Cognizant Technical Program Office, with a copy to the cognizant Contract Administration Office.
L‐3 CSC controls the configuration and assignment of serial numbers for all supplies identified in clause B20. Our change effectivity is by S/N and we provide this hardware to multiple customers. The only way we could implement the requirement for the Cognizant Tech Program Office assigning these S/N would be to create new drawing numbers for the hardware identified in B20. This would be very costly and confusing for the government, other customers, and OEMs. We recommend that this clause be stricken

The recent drawings for hardware identified in B20 do not have IUI. It would be very costly to change the drawings and design marking for each assembly that would be Isopar compatible. Is the intent that we cost these changes into the proposal and submit PECP’s for the TAIPT baseline changes for the hardware?

A11) The intent of this dollar figure is for the contractor to propose the Government’s estimate for travel and material/ODC related to the engineering services. The cluase is corrected to make this clear and show the correct values. The statement refers to Travel and other direct costs associated with the engineering services under CLIN 0001.

Towed Array Integrated Product Team Telemetry Technical Services
Statement of Work
1. BACKGROUND
The Sensors and Sonar Systems Department, Code 15, of the Naval Undersea Warfare Center, Division Newport is tasked with full spectrum of engineering tasks such as research, development, test & evaluation, prototyping, integration, training, logistics, and acquisition support for sensors and SONAR systems for Undersea Warfare (USW) and Anti-Submarine Warfare (ASW) programs in support of all Naval claimants.
Platforms include submarine, surface ship, aviation, surveillance, and areas of irregular warfare for undersea warfare superiority.
A major component of towed array design is the Towed Array Integrated Product Team (TAIPT) Telemetry. The products to be provided and supported under this contract were developed as a part of the Small Business Innovative Research (SBIR) program and include Navy Towed Systems telemetry components, associated interface hardware, test equipment, tow cables, and electronics, initially procured under NAVSEA contract N00024-98-C-6203.
The services being procured are required by the Naval Array Technical Support Center (NATSC), the towed system In-Service Engineering Agent, and other towed array production and support activities for the daily operations associated with the upgrade, production and maintenance of the Surveillance, Surface, and Submarine Towed Array products.
2. SCOPE
This Statement of Work (SOW) defines the services required to support towed array programs using Towed Array IPT (TAIPT) telemetry.
2.1 APPLICABLE SYSTEMS, SUBSYSTEMS, COMPONENTS, AND FACILITIES
The scope of this effort includes the following Towed Systems, Subsystems, and Components.
2.1.1 In-service Towed Arrays

3.0 APPLICABLE DOCUMENTS
The Contractor shall use appropriate in-house procedures and industry standards in lieu of Government specifications and standards during the performance of this contract whenever possible. In the event non-Government standards and specifications do not exist, or are inadequate, the contractor may use Government standards and specifications (tailored as appropriate) if their use is cost-effective and kept to a minimum. Exceptions would be whenever Government standards or specifications are specifically required for a particular task. 4.0 REQUIREMENTS
As specific needs are identified, Task and Delivery Orders (TO/DO) will be issued to initiate work as requirements are identified. TOs will identify the specific tasks within the scope of this basic SOW to be performed and the delivery requirements.
In accordance with TO/DO Statements of Work (SOWs), Applicable Documents (AD) and using Government Furnished Information (GFI), the contractor shall provide the services below. The ADs are relevant to the tasks and subtasks for which they are identified on the table in section 3.0.
4.1 Task A: TAIPT Telemetry Configuration Management Support
4.1.1 The Contractor shall submit recommended changes to the TAIPT Product
Baselines in accordance with GFI 6.3and 6.4 and document this activity. The Contractor shall submit recommended Product Baseline Changes by COB on the 1st of each month and report changes for the previous month. Product Baseline Changes shall include, at a minimum, for the prior month: the list of items being changed by part number, applicable ECPs and anticipated serial number the change starts at. The report shall also include a list of the changes being worked for the following month.
4.1.2 The contractor shall maintain and update TAIPT related Towed Systems Test Specifications (Product Data Sheets), Test Procedures, Test Equipment Specifications, and drawings. The contractor shall deliver product data sheets and document these updates.
4.1.3 The contractor shall generate all Engineering Change Proposals, Notices of
Revision, and Requests for Deviations related to TAIPT components in accordance with GFI 6.3 and 6.4. Request for Deviations shall include, at a minimum: the list of items affected by part number and serial number, the requirement not being met, the reason the requirement is not met and the recommended remedy to prevent a continuation of the deficiency. The Contractor shall submit a Specification Change Notice for specifications that are impacted by changes to the baseline also in accordance with GFI 6.3 and 6.4. The contractor shall collect, consolidate, and resolve review comments given in accordance with GFI 6.13 for all TAIPT related Engineering Change Documentation in accordance with GFI 6.3 and 6.4.
Performance Standard: The TAIPT telemetry component and test equipment configurations are accurately tracked and updated in accordance with GFI 6.3 and 6.4.
Engineering change documentation contains all required data as defined by GFI 6.3 and
6.4. All CDRL submissions are timely with any technical impacts to existing array systems configured with TAIPT accurately documented.
4.2 Task B: Engineering Services
4.2.1 The Contractor shall conduct engineering studies which evaluate towed array systems and sub-systems listed in sections 2.1.1 and 2.1.2 for potential improvements. The Contractor shall provide recommendations for the TAIPT telemetry and associated TAIPT equipment improvements in relation to the ongoing array fabrication, array repair and array refurbishment activities provided as GFI 6.2. The Alternative Part and material Test Results and Recommendations shall include, at a minimum, comparison of the old part to new part (in terms of form/fit/function), test results, cost analysis (i.e. cost to maintain/replace, cost to change/update documentation, cost to change/update process, etc), availability of new part (i.e. which vendors can supply part, what is the lead time for the new part, etc).
4.2.2 The Contractor shall develop and update TAIPT technical documentation for arrays listed in sections 2.1.1 and 2.1.2. Technical documentation includes test and assembly procedures (GFI 6.6), work instructions (GFI 6.7), operations level technical manuals (GFI 6.8), intermediate level technical manuals (GFI 6.9), and towed array drawing packages (GFI 6.10). The Contractor shall deliver the technical documentation.
4.2.3 The Contractor shall identify, investigate and recommend solutions to resolve
Government identified problems (GFI 6.11) with TAIPT configured arrays (Sections 2.1.1, 2.1.2), their telemetry systems, subassemblies, and components that result in poor reliability, maintainability, and availability performance due to parts obsolescence, testing shortfalls, drawing deficiencies, failure rates, and product changes. The Equipment or Process Improvement Recommendations shall include, at a minimum, what improvement is recommended, the benefit to Government if improvement is implemented, any impact to the process, any impact to the delivery schedule, cost analysis (i.e. how much will it cost to implement the improvement and what would be the cost savings realized from the improvement), and time estimate to make changes. The Contractor shall provide engineering analyses, recommendations on TAIPT replacement parts, components and upgrades.
4.2.4 The Contractor shall conduct failure analysis and diagnostic testing and troubleshooting of TAIPT components and equipment. For each component analyzed during the reporting period, the report shall include, the component part number, serial number, the mechanism of failure, condition under which failure occurred, test/process steps failure occurred at, and the failure indication(s) (i.e.
how was failure detected). Failure analysis report shall include recommendation for material disposition. The Contractor shall deliver the failure analysis reports.
4.2.5 The Contractor shall test TAIPT telemetry arrays, and related equipment in accordance with GFI 6.2 and 6.12. Pre-test activities include review of test plans and procedures, provided in GFI 6.14, for completeness and to verify the procedures will test the requirements and functions under test. Test activities include witnessing the test, recording data collected during the test, recording problems and faults for analysis, and recording test activities for post-test analysis. The Contractor shall generate a test report, relative to TAIPT telemetry, documenting the test event including setup and configuration, test results, anomalies and faults and failures, and assessment of system suitability. The contractor shall travel (GFI 6.4) in order to perform this task if identified in the TO/DO. The Contractor shall deliver the test reports.
4.2.6 The contractor shall develop system architecture layouts and designs for array TAIPT telemetry electronics, telemetry interface electronics, and towed array test equipment including the update of configuration files for existing TAIPT test equipment (Towed Array Test Set (TATS), Portable TATS). The Contractor shall recommend methods to resolve TAIPT product integration issues. Delivery of Drawings, Schematics and Models shall include all models for assemblies and subassemblies used to generate the Drawings, Schematics, and Models. This shall include all data sheets, interface control drawings, interface requirements drawings, component mechanical drawings and packaging procedures Gerber files, and schematics for all circuit boards required in the Array, bill of materials for each circuit board, programming files for each component that requires firmware/software, component packaging procedures, component test procedures and equipment, all functional, physical and electrical interface descriptions, and critical timing relationships. Telemetry Configuration Files shall include, at a minimum, file name, revision level and the configuration file ready to load into the telemetry and test set. The Contractor shall deliver system designs, system configuration files, and test procedures.
4.2.7 Upon receipt of TO/DOs and in accordance with GFI 6.1 meeting schedule the contractor shall attend meetings and present the status and findings associated with TAIPT telemetry engineering services. Presentations shall include accomplishments, status, and recommendations for the TAIPT configured systems in sections 2.1.1 and 2.1.2. Meetings, identified in GFI 6.1, will include Towed Systems program meetings such as program status reviews, Towed Systems workshops, telemetry integrated product team and working group meetings, and other towed array engineering meetings. The location, Government or Contractor site will be identified in the TO/DO. For meetings hosted by the contractor, the contractor shall record and generate meeting minutes. Meeting Minutes shall include, at a minimum, date, location, purpose of meeting, agenda, attendees, issues/concerns, action items, and copy of handouts/presentation material from the meeting. The contractor shall travel accomplish this task as identified in TO/DOs and in accordance with GFI 6.5.
Performance Standard: Deliverables include adequate depth and breadth to clearly identify issues. Presentation packages are technically accurate, complete and provided in a timely manner. CDRLs are delivered on time with the appropriate content.
Conclusions and recommendations are sound, clear and actionable. The recommendations are technically accurate, clear and concise, include operational considerations and are sound and actionable. Engineering services and any resulting recommendations are technically accurate, insightful, include operational considerations and are provided in accordance with GFI schedules 6.12. Product support identifies issues and recommends corrective action. CDRLs are delivered on time with the appropriate content.
4.3 Task C: TAIPT Repair, Overhaul and Upgrade
4.3.1 The Contractor shall repair, overhaul or upgrade TAIPT telemetry components, sub-assemblies, and test equipment based on failure analysis or as a result of previously approved product improvements in accordance with schedule requirements provided in the DOs. The Contractor shall test and certify repaired or upgraded equipment prior to delivery to the government.
Performance Standard: Deliverable includes adequate depth and breadth of repair, overhaul and upgrade reports for all TAIPT components, subassemblies, and test equipment.
5.0 REPORTING
The contractor shall deliver Contractor's Program Status Reports. The status report shall include project status summary including percent complete, Schedule status, tend analysis, variance analysis, and risk mitigation, and a list of new releases of Towed Systems Test Specifications (Product Data Sheets), Test Procedures, Test Equipment Specifications, Drawings, product data sheets. Highlights shall include, at a minimum, for the prior month: the work accomplished, issues, and interactions with the fleet; for the upcoming month: the work planned.
6.0 GOVERNMENT FURNISHED INFORMATION (GFI)
GFI shall be provided upon contract award or as needed to support the efforts defined in Section 4.0 of this Statement of Work (SOW).

7.0 QUALITY SURVEILLANCE & PERFORMANCE STANDARDS
The Government will conduct quality surveillance via various methods including formal and informal meetings, review of technical reports, review of monthly progress reports, and review of deliverables.
Contractor performance will be evaluated in the areas of technical quality, responsiveness, timeliness and cost. Technical quality will be evaluated against the performance standards defined in specific standards identified in task paragraphs.
Responsiveness will be evaluated based upon the government’s experience interacting with the contractor during performance. Timeliness will be evaluated based on the contractor’s ability to meet CDRL schedules with minimal variance. Cost will be evaluated based upon the contactor’s ability to manage to the negotiated costs.

SECTION I - CONTRACT CLAUSES
52.216-19 ORDER LIMITATIONS. (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor:
(1) Any order for a single item in excess of $10,000.00;
(2) Any order for a combination of items in excess of $1,900,000.00 or
(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.
(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons.
Upon receiving this notice, the Government may acquire the supplies or services from another source.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
L40X COST/PRICE PROPOSAL
NOTE: This requirement applies to both Cost Plus Pixed Fee and Firm Fixed price line items.
(a) Content of Cost/Price Proposal (Volume II). Offerors shall submit with their cost/price proposal a completed Cost Summary Sheet, Attachment #10. The offeror should trace cost data from the supporting data and calculations to the Cost Summary Sheet. The offeror shall supply the most currently available rates for direct labor, overhead, general and administrative expense, and any other factors used in developing the proposal. The offeror shall submit any information reasonably required to explain the estimating process, including:
(1) The judgmental factors applied and the mathematical or other methods used in the estimate;
(2) Any contingencies used by the offeror in the cost proposal; and
(3) A copy and/or pertinent excerpts of the offeror's personnel policies pertaining to compensation plan(s) for professional employees including performance appraisal and salary administration procedures, salary grades and ranges, summary of basic benefit programs and relocation policies (See 52.222-46, Evaluation of Compensation for Professional Employees).
Note: In determining a cost realism or prenegotiation position for each offeror the Government will use any and all available information.
(b) Labor Costs. Provide full justification for all proposed direct labor rates (unburdened). Provide the current actual hourly wage rate for each key person proposed including payroll journals. Identify the date as of which the actual wage rate is current. If proposed direct labor rates vary from actual wages of key personnel, explain the basis for those rates. Trace proposed direct labor rates to proposed individual personnel.
(1) Traceability is required for the Government to determine the reasonableness and cost realism of the offeror's direct labor costs. Normally the Government determines reasonable and realistic direct labor costs using actual individual wages for key personnel (unless the offeror invoices category averages) and category average rates for non-key personnel.
(2) Offerors must support any proposed escalation factor with convincing rationale: factual data (including actual direct labor rates for at least three years) and complete supporting data and rationale for out-year escalation projections. In the absence of convincing rationale, the Government will use the current Data Resources Inc. (DRI) recommendation for Professional and Technical Workers in evaluating the offer.
(c) Indirect Costs.
(1) Offerors shall provide data on all indirect rates proposed including beginning and end date of the period covered by the rate and composite rate calculations, if any. Identify clearly the bases to which the rates are applied (ex. Forward Pricing Rate Proposal/Recommendation/Agreement. The offeror shall also provide copies of any letter submissions to DCAA or DCMA and the review/approval thereof when one exists.
(2) Section H identifies the total level of effort for this performance based contract and the Government Furnished Property List in section J includes an accounting of office space (if any) at NUWCDIVNPT intended for use by contractor personnel on a long term basis. Offerors which have developed "Off-Site" (Government Site) rates applicable to such circumstances, may apply these rates to the labor costs of appropriate personnel. Other labor costs should be burdened with "On-Site" (Contractor Site) rates.
(d) Material/Other Direct Costs
(1) Offerors will use the following estimates (plus applicable indirect costs) for material and travel costs. These are total cost estimates for the entire contract. For further definition of costs, see the Statement of Work and the clause in Section H entitled "Travel Costs and Responsibilities". Offerors are required to distribute these sums among subcontractors consistent with its technical proposal. Whenever a subcontractor proposes material costs, the subcontractor must fully burden such costs and these costs must be added to the material estimate.
Subcontractor proposals shall include a complete listing of all costs which are charged direct by its company.
(2) Offerors shall include a Material/Other Direct Costs estimate of $ 225,541 that includes only those items of purchased material which are incorporated into a deliverable product. Offerors shall provide with its cost proposal a complete listing of all items charged direct other than labor. Each offeror shall provide an estimate of the costs applicable to this procurement for each of the items charged direct and a rationale for each. Any category of direct charge which is listed but for which no costs are estimated must include a scenario under which those costs might be incurred under the proposed contract as well as the rationale for not estimating a cost.
(3) Offerors shall include a Travel estimate of $301,310, that includes travel and subsistence for work at alternative work sites as designated in individual orders under the contract and for allowable local travel per the JTR.
(4) The Government's Cost Realism evaluation and resulting prenegotiation position evaluation of these costs may alter the additional costs on the basis of more accurate rate data or a Government Analysis and Estimate of the appropriate added costs. Any such alteration in the evaluated contract pricing will not, however, be reflected in the contract award.
(5) In support of its spare parts pricing in accordance with CLIN 0004 table in Clause B20 the offeror shall provide the following if the offeror is not the manufacturer:
(A) A record of competitive quotes received in order to create the proposed price or recent non-competitive quotes or invoices for the same item.
(B) A justification for any applied escalation to the basis described in section (A) of this part.
(C) A breakdown of any profit or burdens applied to the cost of the parts.
If the offeror is the manufacturer the offeror shall supply a breakdown effectively the same as that required in sections a-c of this clause.
(6) Any offeror having an accounting system which includes, within overhead or G & A, the cost elements of material and travel/subsistence shall specifically state this fact in the cost proposal. This will preclude these costs from being unduly considered in the Government's cost evaluation.
(7) Subcontracts regardless of dollar value shall be adequately documented to facilitate a determination of cost reasonableness using a Cost Summary Sheet. All requirements for the prime contract cost proposal shall be met by the subcontractor as well. Note that compensation for labor paid to any individual who is not a bona fide employee of the offeror is a subcontract.
(8) If FAR clause 52.215-22, Limitations on Pass-Through Charges—Identification of Subcontract Effort and 52.215-23, Limitations on Pass-Through Charges are included in the solicitation and the offeror intends to subcontract 70% of the total cost of all work to be performed, provide information required by 52.215-22(c).
