L-1 INSTRUCTIONS TO OFFERORS (MAY 2024)

(a) Definitions. In the context of task/delivery order procurements, as used in this provision --

“In writing,” “writing,” or “written” means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

“Interchanges” are fluid interactions (written and/or oral) between the Government and offerors that may address any aspect of the proposal. For example, interchanges may be used to clarify certain aspects of proposals, confirm or enhance the Government’s understanding of proposals, or resolve minor or clerical errors. Interchanges may also be utilized to determine the acceptability of a proposal, or permit an offeror to make proposal revisions. Interchanges may be initiated by the Contracting Officer to permit an efficient task order competition. When requesting proposal revisions, the Contracting Officer will limit these interchanges to only the proposal(s) that stands the greatest likelihood of representing the best value to the Government.

“Proposal modification” is a change made to a proposal before the solicitation’s closing date and time, or made in response to an amendment.

“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of interchanges that are intended to determine the acceptability of a proposal, or permit an offeror to make material proposal changes. Final proposal revisions may not necessarily be requested from all offerors at the conclusion of interchanges. In addition, a common cut-off date for final proposal revisions is not required.

“Time,” if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s). Notwithstanding the options conveyed in Block 11 of the SF30, offerors shall acknowledge receipt of any amendment to the solicitation by the date and time specified in the amendment(s) through their signature on the SF30 or affirmative statement in the cover letter submitted with their proposal.

(c) Submission, modification, revision, and withdrawal of proposals.

(1) Proposals shall be submitted in accordance with provision L-349.

(2) The cover letter must show –

(i) The solicitation number;

(ii) The name, CAGE Code, address, and telephone numbers of the offeror (and electronic address if available);

(iii) A statement specifying agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item. By submission of a proposal, the offeror agrees to comply with all terms and conditions of its basic SeaPort-NxG contract (Maximum Rates, etc.);

(iv) A statement that the offeror is in compliance with the solicitation’s small business size requirement (if any).

(v) Names, titles, and telephone (and electronic addresses if available) of persons authorized to negotiate on the offeror’s behalf with the Government in connection with this solicitation; and

(vi) Name, title, and signature of person authorized to sign the proposal.

(3) Submission, modification, revision, and withdrawal of proposals.

(i) Offerors are responsible for submitting proposals, and any modification, or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii)

(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(iii) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(iv) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(4) Unless otherwise specified in the solicitation, the offeror shall propose to provide all items required by the solicitation.

(5) Offerors are discouraged from including any assumptions, ground rules, or contingencies in the proposal, but shall not include any assumptions, ground rules, or contingencies that conflict with the solicitation terms and conditions.

(6) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is included in the solicitation.

(7) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time.

(8) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days requested in Provision L-335 (unless a longer period is proposed by the offeror). This time period controls notwithstanding the 60 day period stated in Block 12 of the SF33.

(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall –

(1) Mark the cover letter with the following legend:

This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed -- in whole or in part -- for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of -- or in connection with -- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government’s right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(2) Mark each sheet of data it wishes to restrict with the following legend:

Use or disclosure of data contained on this sheet is subject to the restriction on the cover letter of this proposal.

(f) Evaluation and Award Procedures.

(1) This procurement utilizes streamlined evaluation and award procedures, and will not use formal source selection procedures of FAR Subpart 15.3 such as a competitive range determination, pre-award notifications to offerors excluded from a competitive range, or discussions.

(2) The Government intends to evaluate proposals and award a task order based on initial proposals without conducting interchanges with offerors. Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. However, the Government reserves the right to conduct interchanges if determined necessary by the Contracting Officer.

(3) The Government may limit its cost realism analysis to the offeror(s) most likely to receive task order award.

(4) The Government may conduct interchanges with one, some, all, or none of the offerors at its discretion. Once an apparent successful offeror is identified, the Government reserves the right to conduct interchanges with only that offeror to address any remaining issues, and finalize a task order with that offeror. These issues may include revisions to non-cost factors, cost/price, or any other aspect of the proposal.

(g) Task Order award.

(1) The Government intends to award a task order resulting from this solicitation to the offeror whose proposal represents the best value after evaluation in accordance with the Section M evaluation criteria in the solicitation.

(2) The Government may reject any or all proposals if such action is in the Government’s interest.

(3) The Government may waive informalities and minor irregularities/omissions in proposals received, or allow for the correction of these issues through interchanges.

(4) Interchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

L-2 DATA OTHER THAN CERTIFIED COST OR PRICING DATA (MAY 2024)

(a) Adequate price competition is anticipated and certified cost or pricing data is not required to be included with the initial proposal submission. As such, offerors are not required to submit written requests for exceptions from certified cost or pricing data or provide data regarding the evaluation of subcontract prices with the initial proposal submission. Should the Contracting Officer notify the offeror after proposal submission that certified cost or pricing data is required, the offeror shall comply with the provisions of DFARS 252.215-7008 and 252.215-7010 Alt I which are included in this solicitation.

(b) Provide information and data described below:

The offeror shall submit data other than certified cost or pricing data and supporting information prepared in accordance with Attachments 12 and 13, Prime and Subcontractor Pricing Models, and directions therein (detailed instructions are provided in the Pricing Models). The Pricing Models contain all of the labor categories and hours that the Government has anticipated for use under this effort. Offerors are to complete the Pricing Models with the information outlined below and this information will be used as a mechanism to evaluate cost for the performance periods.

The cost breakdown shall indicate the offeror’s total estimated proposed price for each year and the cumulative proposed price for all years. Any substantiating information submitted must support the cost elements proposed. Include sufficient detail or cross references to clearly establish the relationship of the information provided to the cost proposed. Support any information provided by explanations or supporting rationale, as needed to permit the Contracting Officer and authorized representatives to evaluate the documentation.

PART I--COST LABOR INFORMATION:

(1) Current, actual unloaded rates are to be submitted for any "proposed individual". A "proposed individual" is defined as a current or prospective employee specifically proposed to perform an estimated number of hours for a labor category. Offerors shall modify the Prime and Subcontractor Pricing Models as necessary (i.e., add rows and identify proposed individuals by name) to account for each proposed individual. In accordance with the offeror's disclosed estimating system practices, average unloaded direct labor rates may be submitted for all remaining labor categories/hours, i.e., those labor categories/hours not accounted for under the proposed individual’s data. Do not submit composite rates encompassing more than one labor category. This cost information shall include, as a minimum, the cost data elements contained in Attachments 12 and 13, Prime and Subcontractor Pricing Models. Offerors shall include additional elements such as overtime rates/hours, premium time rates/hours, etc. as applicable.

This task order is subject to the Service Contract Labor Standards (SCLS) statute and the latest wage determination (WD) for Charleston, SC WD 2015-4427 Rev 32 (reference RFP Attachment 16), is attached. ‘

All labor categories shall be escalated for the option years. Offerors shall use an annual labor escalation rate of at least 3.0% for each option year for the SCLS labor categories, which are subject to the applicable wage determinations. For professional labor categories, offerors should use an annual labor escalation rate of at least 3.0%, or propose an escalation rate based on historical data, employment/price indexes, or those accepted by Defense Contract Management Agency (DCMA) or Defense Contract Audit Agency (DCAA) for proposal purposes. The narrative to the Cost/Price Proposal must include supporting information and rationale for professional escalation rates proposed below 3.0%.

(2) UNCOMPENSATED OVERTIME - Actual hourly rates submitted shall be derived by dividing the proposed individual’s actual annual salary by 2080 hours, which is based on a 40-hour work week. Any uncompensated overtime proposed shall be clearly identified by labor category within your cost proposal and will be evaluated in accordance with the FAR 52.237-10 “Identification of Uncompensated Overtime” provision in Section L of this solicitation.

PART II--REQUIREMENT FOR DATA OTHER THAN CERTIFIED COST OR PRICING DATA:

In accordance with FAR 15.403-3(b), the following information as prescribed below is required for the purposes of assisting the Contracting Officer in determining the cost realism of competing offers. The term “Data Other Than Certified Cost or Pricing Data” is defined in FAR 2.101.

Offerors shall provide copies of correspondence from DCAA or DCMA regarding the approval of rates and/or systems, such as Forward Pricing Rate Agreements (FPRAs), Forward Pricing Rate Recommendations (FPRRs), Provisional Billing Rates (PBRs), agreed-upon final annual indirect cost rates (see “INDIRECTS” paragraph below), and Accounting System Approval (if applicable). If available, provide any updated forward pricing rate information submitted to DCAA/DCMA for review. The correspondence and all attachments and other source documentation (FPRAs, FPRRs, Final Indirect Cost Rates, etc.) shall be provided in the Cost/Price Proposal submission (i.e., CostData file).

(1) DIRECT LABOR – The labor categories estimated for use under this task order, including the number of labor hours, are provided in the Pricing Model. Identify the labor rates and total cost for each labor category proposed for each year of the task order. The labor specified under this cost element shall only be for the prime contractor’s direct labor and shall not include any subcontracted labor (see “Subcontracted Labor” below).

Offerors are to include a statement of any additional labor categories, additional estimated hours and related qualifications for labor cost that will be a direct cost based on the offeror’s accounting procedures (e.g., management and administrative labor costs). Offerors should include rationale explaining the basis for the number of labor hours per additional labor category.

The burden is on the offeror to submit supporting data which demonstrates the qualifications of its’ labor categories, personnel, and/or proposed individuals are comparable to those identified in Section C of the solicitation (Professional and SCLS). Supporting data for all “proposed individuals” (prime and subcontractors) shall be current actual direct labor rates evidenced by source documentation to include payroll records, paystubs, or Letters of Intent (LOIs). If providing LOIs, the offeror and/or its subcontractor(s) shall include the direct hourly labor rate for the proposed employee, identify the position, submit the LOI on offeror’s or subcontractor's letterhead with the prospective employee's signature, and state that the LOI is for Solicitation No. N6523626R3007. Offerors must also demonstrate that the proposed individuals satisfy the experience requirements (i.e. overall total number of years) and education requirements of the personnel qualifications defined in the solicitation by either submitting a resume, or alternatively, for offerors that maintain their own unique company specific labor categories with corresponding internal position descriptions, a statement of the offeror’s normally used nomenclature (i.e. job title) shall be submitted for each labor category included herein, together with a copy of the offeror’s own position description (to include education and overall years of experience requirements). Simply restating or adopting the personnel qualifications set forth within Section C of the solicitation is not sufficient to demonstrate that a proposed labor rate is reflective of an individual or individuals that meet the personnel qualifications of a given solicitation labor category. This data and information shall be provided in the CostData file.

For the remaining labor hours not attributable to proposed individuals, forward pricing proposals/recommendations/agreements, company averages, representative salaries of qualified employees, or salary survey data may be utilized as the basis of estimate. Supporting data is required for professional and SCLS labor categories, as WD minimums may not be indicative of salary requirements for SCLS labor categories. The supporting data (Professional and SCLS) that is submitted by the offeror (prime and subcontractors) must satisfy the experience requirements (i.e. overall total number of years) and education requirements of the personnel qualifications defined in the solicitation. Company position descriptions (see paragraph above) may be submitted as supporting data for labor rates based on forward pricing data, company averages, or representative salaries of qualified employees. Offerors may also submit resumes as supporting data for labor rates based on company averages or representative salaries. If the basis of estimate is salary survey data, offerors shall at a minimum, include the following information and data for each applicable labor category in the CostData file:

(A) screen shots that display the source of data used to develop the salary ranges, the job title and description (including education AND experience) being surveyed, and

(B) the geographic location the survey data is valid for, and a range of salary amounts.

(C) offerors should utilize the 75th percentile at a minimum; include the specific rationale utilized by the offeror if a different percentile is used.

(D) for labor categories that require a TS/SCI PCL, offerors should utilize the 90th percentile as a minimum; include the specific rationale utilized by the offeror if a different percentile is used.

(2) INDIRECTS – If this solicitation requires work to be performed at both the contractor and Government sites, then the proposal must include your company policy concerning any stipulations as to when Government site / Contractor site rates are effective. Although performance at an alternative work site may be allowable in accordance with the performance work statement, for purposes of evaluation only, offerors shall not anticipate any allowances for telecommuting or performance at an alternative work site. Identify the indirect rates proposed and identify the appropriate allocation base for each indirect rate. Offerors shall state whether or not the proposal is consistent with the offeror’s established cost accounting practices. If the proposal is not consistent with the offeror’s established cost accounting practices, the offeror shall explain the rationale concerning the change(s); and include all correspondence concerning the change(s) that have been submitted to DCAA/DCMA for review. Offerors are to include a detailed explanation concerning any proposed rate caps, including those proposed as a result of the SeaPort-NxG maximum pass-through rate.

For all proposed indirect rates not based on: (1) forward pricing information submitted to, recommended by, or agreed upon with DCMA; or (2) forward pricing and/or provisional billing information submitted to, reviewed, and/or audited by DCAA, offerors shall provide historical indirect data, to include actual incurred rates (i.e. agreed-upon final annual indirect cost rates) for the three years prior to the offeror’s current fiscal year. If a proposed indirect rate is more than 3 percentage points below the three-year historical actual incurred average, offerors (including subcontractors) shall include a detailed explanation regarding the basis of estimate and how the proposed rates were developed in the narrative to the Cost/Price Proposal. Offerors (including subcontractors) shall also include the data utilized in estimating the proposed rates. This data shall include the offeror's fringe benefit, overhead (on and off-site as applicable), General and Administrative (G&A), Materials and Subcontracts (M&S) handling, and any other indirect rates as applicable to the offeror's accounting system.

(3) SUBCONTRACTED LABOR – Identify, if applicable, any proposed subcontracting labor intended for use under this task order. Identify the labor categories for which subcontracting is being proposed, number of hours proposed for each labor category, and subcontract pricing in accordance with the format provided in the Prime Pricing Model. Subcontractors shall submit a breakout of labor categories, labor hours, direct labor rates, fringe benefits, overhead, G&A, fee, etc. under separate cover (see provision L-349) utilizing the Subcontractor Pricing Model. Offerors and proposed subcontractors are to include a detailed explanation concerning any unique fee arrangements, including those where the prime will pay subcontractor fee out of its own fixed fee.

(4) OTHER:

A. DIRECT COST – Identify any other direct cost elements being proposed which are not included above but are applicable to your cost proposal (e.g., Facilities (PWS paragraph 2.2), Royalties, Special Tooling, Material, Travel, Computer Usage, etc.). Refer to Provision L-329 Other Direct Costs (ODCs) paragraph (f). Include the basis for the proposed amount. The decision as to whether costs are handled as direct or indirect costs rests with the offeror, but shall be consistent with the offeror’s approved cost accounting practices as disclosed in the offeror’s Disclosure Statement, or consistent with the offeror’s established accounting practices if the offeror is not required to submit a Disclosure Statement. If the offeror is not required to submit a Disclosure Statement, the offeror shall explain how its decision to handle costs as direct or indirect is consistent with its established cost accounting practices in the Cost Narrative.

B. INDIRECT COST – Identify any other indirect cost element (e.g., Facilities Capital Cost of Money) being proposed which has not been included above and identify the appropriate allocation base for each indirect rate. Describe the basis for estimating each indirect cost element, and advise if the rates proposed are in accordance with any Forward Pricing Rate Agreements/Recommendations/Proposals and state the applicable period.

(5) FEE – Identify the fee rate, total amount proposed, and the cost elements on which the fee is applied. In accordance with the Maximum Rates identified in Section B of the basic SeaPort-NxG contract, offerors are reminded that fixed fee is capped at 8% for SeaPort-NxG task orders. Compliance with the maximum fee rate is applicable at the time of task order award and is based on the ratio of fixed fee to the estimated cost. Fee becomes a fixed dollar amount at the time of task order award and is subject to the provisions of the Fee Determination and Payment (Term Type) text of the task order. The fee rate being proposed at the task order level by the prime offeror shall flow down as the maximum fee rate to all subcontractors/consultants included as part of the proposal. In addition, ODCs are Non-Fee Bearing (ODCs may include applicable indirect cost elements such as G&A, and Material and Handling, but may not include fee).

L-204-HQ002 CUI SOLICITATION / RFI LANGUAGE – ALTERNATE II (PROCUREMENT INTEGRATED ENTERPRISE ENVIRONMENT (PIEE) SOLICITATION MODULE (SOL) RFIS/RFPS WHICH INCLUDES CUI, BUT DO NOT INCLUDE CTI) (NIWC Atlantic) (SEP 2025)

Note: Attachments 5 Staffing Scope Matrix, 8 Consolidated GFP Form, 9 Contractor Acquired Property, 12 Prime Pricing Model, and 13 Subcontractor Pricing Model included with this RFP include Controlled Unclassified Information (CUI) and will not be made publicly available. In order to obtain access to these attachments, the Offeror shall download, complete, and submit a signed Non-Disclosure Agreement (NDA) (Attachment #17 NDA for CUI Attachments) for each individual requiring access to the non-public documents. To ensure a streamlined process, the Prime Offeror shall designate a single Point of Contact (POC) responsible for collecting all required Non-Disclosure Agreements (NDAs) from its team members and subcontractors. The POC will then submit the consolidated NDAs as a single, encrypted email package to the Contract Specialist, Jessica Meddick, at jessica.l.meddick.civ@us.navy.mil. The body of the submission email must clearly identify the full names of the individuals for whom NDAs are being submitted, specifying whether they are team members or subcontractors. As such, the Prime Offeror’s single POC must register for a PIEE account at https://piee.eb.mil and SAM account at https://sam.gov.

The deadline for receipt of all NDAs is 12:00 p.m. Eastern Time on 25 March 2026. The Government does not intend to grant extensions to the RFP closing date. Upon timely receipt of the NDAs, the Government will distribute the CUI attachments to the Prime Offeror’s single POC via DoD SAFE (https://safe.apps.mil) no later than 26 March 2026.

All excel files shall be a functional spreadsheet with formulas, NOT a read-only spreadsheet. Original pdf files shall be searchable.

Do not submit any content/files in addition to that stated in the table above. The Government will not evaluate any additional content (ex. title page, table of contents, acronym list, etc.).

Unless otherwise stated, the following formatting requirements apply: For the purpose of this solicitation, a page is defined as one 8.5"x 11" size electronic page with no less than 1 inch margins on all sides and using a minimum of 10 point Times New Roman font using normal character spacing and no less than single line spacing. The font style and size requirements also apply to Information Summaries and to graphics, art, figures, imported charts, charts, and any other graphical representation that includes text. At a minimum, any page that exceeds or fails to meet the size, margin, font, spacing or total page limit requirements will not be evaluated. Further, the Government reserves the right to reject any proposal that does not conform to the requirements stated above. Formatting requirements do not apply to documents or Attachments provided by the Government. Any form that the Government has provided as an Attachment to be filled out by the offeror shall follow the format of the form. The font style and size requirements are not applicable to supporting cost data (e.g., DCAA or DCMA correspondence); however, these documents must be legible.

(c) Proposal Content

Proposals shall be submitted in accordance with Provision L-349 “Submission of Electronic Proposals” to permit a detailed evaluation. Each file shall be labeled in accordance with the format in paragraph (b) above. Pages should be numbered.

A detailed, concise and comprehensive proposal is desired. The proposal shall be sufficient to enable evaluators to make a thorough and complete evaluation, and to arrive at a sound determination as to whether the requirements of this solicitation are satisfied. In preparing the proposal, emphasis should be placed on brief, complete, and factual data in the areas set forth in the RFP. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. Proposals that restate the evaluation criteria or use cursory statements without supporting narrative are not acceptable and will not be considered as satisfying the requirements of this RFP or the stated evaluation criteria. The burden of providing thorough and complete information remains with the offeror.

MISSION ESSENTIAL CONTRACTOR SERVICES PLAN

Offeror shall submit a Mission Essential Contractor Services Plan. Offerors shall ensure their plan addresses all of the requirements of DFARS Provision 252.237-7024, including their plan to maintain continuity of operations in a wartime environment. Plans shall be limited to a maximum of five (5) pages.

FACILITY CLEARANCE COMPLIANCE REQUIREMENT

At time of proposal submission, prime offerors shall possess a current, active TOP SECRET (TS) facility clearance (FCL) with Sensitive Compartmented Information (SCI) access (TS/SCI) to be utilized in performance of the task order requirements. Offerors shall propose the specific facilities to be utilized to perform the task order requirements on a one page TSFCL Summary document: identifying the facility by name, location, and CAGE code registered with the Defense Counterintelligence and Security Agency (DCSA). Response limited to 1 page.

JOINT VENTURE AGREEMENT (if any)

If the offeror is proposing as a joint venture, the offeror must clearly identify itself as such and provide a copy of the joint venture agreement with the proposal. The agreement must identify the managing venturer and specify each venturer’s responsibilities under the contract, including labor hour or task allocations.

Joint venture agreements shall satisfy the requirements of 13 CFR 125.8, including the requirement that the small business partner in an SBA approved mentor-protégé joint venture perform at least 40% of the work performed by the joint venture and that work performed by the small business partner must be more than administrative or ministerial functions.

Certification of Compliance: Included with joint venture agreement submission, the small business partner to the SBA approved mentor-protégé joint venture must submit a written certification, signed by an authorized official of each partner to the joint venture, stating as follows:

(1) The parties have entered into a joint venture agreement that fully complies with 13 CFR 125.8 (b);

(2) The parties will perform the contract in compliance with the joint venture agreement and with the performance of work requirements set forth in 13 CFR 125.8 (c).

NON-COST FACTORS

Proposal shall consist of the information specified for each evaluation factor listed below.

FACTOR A: TECHNICAL CAPABILITY

Offerors (prime and significant subcontractors) shall submit the information requested below pertaining to relevant Technical Capability, based on the offeror’s corporate experience, using the Reference Information Sheets provided as Attachments 14 and 15. Offerors shall submit data on current contracts performed by the offeror and each proposed significant subcontractor (if applicable) for efforts relevant to the requirements of this RFP. Current is defined as a contract/task order performed within the last three (3) years from the date of solicitation issuance. All experience contained in the reference will be considered so long as any portion of the referenced contract is considered current. Relevant is defined as a contract and/or task order similar to the requirements of this RFP. A significant subcontractor is defined as a subcontractor, or any subsidiary or separate legal entity affiliated with the prime contractor that is proposed to perform at least 20% (without rounding) of the total proposed labor hours. This data shall be submitted for at least one (1), but no more than a total of five (5), of the most current and relevant contracts and/or task orders for the team (prime and significant subcontractors). At least one (1) current and relevant contract reference shall be submitted by the prime contractor and each significant subcontractor. Technical Capability reference data is limited to the prime offeror and significant subcontractors; any other reference data will not be considered.

In the case of an offer submitted by an unpopulated joint venture, each partner proposed to perform 20% or more of the total labor hours must submit at least one current and relevant contract reference. The experience of each unpopulated joint venture partner with 20% or more of the total labor hours will be evaluated regardless of whether the joint venture itself has performed any contracts. Failure to provide the required references for each joint venture partner performing 20% or more of the total labor hours may result in the proposal being rated Unacceptable and eliminated from further consideration.

NOTE: A single contract reference shall not be submitted for Blanket Purchase Agreements or Indefinite Delivery contracts. Instead, an individual order which meets the definition of “current and relevant” shall be submitted as one contract reference.

In accordance with paragraph C.10. of the SeaPort-NxG basic contract statement of work, affiliated companies may participate in SeaPort-NxG. A “company” includes affiliates and business units as defined in FAR 2.101, this also includes Joint Ventures. Any proposal submitted in response to a task order solicitation must be submitted in the portal through the account of the prime contract holder and the proposal should clearly identify the affiliate as the prime.

CAUTION: It is important to this evaluation that the contract reference(s) submitted represent the technical capability/experience of the same companies that are proposed to perform this effort. Therefore, the Government will be comparing the company name(s) and CAGE code(s) cited on the submitted contract reference(s) against the company name(s) and CAGE code(s) cited within the proposal. In cases where there is any variance between the actual company name(s) or CAGE code(s) cited on the submitted contract reference(s) and the company name(s) or CAGE code(s) identified within the proposal, the prime contractor shall provide rationale that clearly identifies the correlation and/or association of the company(s) and explain how the resources associated with the cited contract reference(s) are proposed for this effort. This information and rationale is to be provided in the Contract Reference Rationale submission. The Government will review the rationale and determine if clear correlation and/or association can be made between the company name(s) cited on the submitted contract reference(s) and the proposal. In cases where such clear correlation and/or association cannot be made, and/or it is not clear whether the resources associated with the cited contract reference(s) are proposed to perform this effort, the contract reference(s) will not be considered.

The offeror shall demonstrate corporate experience by providing references which address the following subfactors.

Note: The PWS paragraphs referenced in the parentheticals below are provided for context only.

Subfactor A1: Field Service Representative (FSR) Support (PWS Para 3.6)

The offeror shall demonstrate technical capability through their experience providing on-site Field Service Representative (FSR) for the configuration, site installation, and operations and maintenance support for the C4ISR Programs of Record identified in PWS Para 3.1.1 (or similar).

FSR experience on Marine Corps Signals Intelligence systems and or Distributed Common Ground System Marine Corps (DCGS-MC) Systems is considered more valuable to the Government.

Subfactor A2: Supply Chain Management and Maintenance Support (PWS Paras 3.8 and 3.9)

Offeror shall demonstrate technical capability through their experience with Supply Chain Management and Maintenance Support, to include: 1) inventory management and use with CMPro or similar inventory management system; 2) warehouse management; 3) processes offeror has used to work with Original Equipment Manufacturers and authorized dealers to repair or replace supported part numbers; 4) practices to protect the supply chain from counterfeit electronics; and 5) adherence to DFARS 252.246-7008.

Subfactor A3: Performance Outcomes for Logistics Support Services (PWS Paras 3.11 and 3.12)

The offeror shall demonstrate technical capability through their experience achieving Performance Outcomes for Logistics Services working with one or more of the USMC C4ISR Programs of Record identified in PWS Section 3.1.1(or similar), to include meeting turn-around-time for the following: 1) FSR response to request for assistance; 2) FSR completion of software update; 3) FSR completion of system maintenance; 4) issuing parts; and 5) completion of returned merchandise authorizations (RMA).

In demonstrating capability, offeror should provide metrics that show the number of times they were required to meet a specified turn-around-time and the percentage of times they successfully met the turn-around-time.

PAGE LIMITATIONS:

1. The Reference Information Sheet – Summary Data, Attachment 14, shall be submitted for the prime and each significant subcontractor, and is not included in the following page count.

2. The Reference Information Sheet – Contract Specific Data Attachment 15. Offerors must complete Attachment 15 for each reference. Use a separate Attachment 15 for each reference cited (Attachment 15 is not included in the overall page limit stated below). For each contract reference, the offeror shall clearly describe how the corporate experience under the reference relates to the evaluation criteria. While there is no page limit per reference (except the overall page limit for all references), offerors must separately describe their experience under each reference. Offerors are free to allocate pages to references within the overall page limit of 10 pages. Offerors shall not provide a single narrative that describes experience under multiple references.

FACTOR B: CONTRACTOR FACILITY

For the purpose of evaluation, the offeror shall describe its proposed plan to meet the three contractor facility requirements set forth below. However, all eight requirements included in paragraph 2.2 of the Section C PWS must be met no later than 45 calendar days after award.

(1) The facility must be located within a thirty-mile radius of NIWC Atlantic, Building 198, 1545 Truxtun Ave., North Charleston, SC.

(2) The offeror shall provide the address of the proposed facility and state whether the offeror owns the facility or will be leasing the facility. If leasing, the offeror shall provide documentation demonstrating that the facility will be available to perform all work requirements to be fully operational no later than 45 calendar days after award.

(3) The facility shall include a minimum of 6,000 Square feet. The facility shall have a climate-controlled environment (temperature, humidity, and protection from weather elements) of at least 970 square feet.

COST FACTOR

FACTOR C: COST/PRICE

The offeror’s (prime and subcontractors) Cost/Price Proposal should consist of the following (subcontractor cost proposals are to include the same level of detail as that of the prime):

(1) Cost/Price Proposal Narrative to include:

· An explanation of the Cost/Price Proposal as outlined in Provision L-2, including information required in provision L-329. Also include rationale for any changes to the Pricing Model.

· Identification and Type of Subcontract(s) – Prime offeror shall specify the type of each subcontract (e.g., CPFF, Firm-Fixed-Price (FFP), or Time & Materials (T&M)) proposed as well as the assigned NAICS code for each subcontract.

· Identification of cognizant DCAA and DCMA to include name, address, telephone number, and e-mail address.

· State whether costs related to facility requirements (PWS para. 2.2 and Factor B) are part of the offeror’s direct or indirect costs. Provide supporting documentation such as amortization costs (price per square footage), lease agreement, market pricing data, quotes, and any other supporting details and rationale for the basis of estimate.

(2) Supporting documentation for data other than certified cost or pricing data (Ref Provision L-2) also including…
