52.215-20 REQUIREMENTS FOR CERTIFIED COST OR PRICING DATA AND DATA OTHER THAN CERTIFIED COST OR PRICING DATA (OCT 2010) - ALTERNATE IV (OCT 2010)

(a) Submission of certified cost or pricing data is not required.

(b) Provide information described below:

The offeror shall submit data other than certified cost or pricing data and supporting information prepared in accordance with Prime Pricing Model, Attachment 3, and directions therein (detailed instructions are provided in the Pricing Model). The Prime Pricing Model contains the Professional labor categories and hours that are to be used for proposal purposes at the Charleston, SC location. Offerors are to complete the Prime Pricing Model, Attachment 3 with the information outlined below, and this information will be used as a mechanism to evaluate cost realism and price reasonableness of the submitted offer.

Any information submitted must support the cost proposed. Include sufficient detail or cross references to clearly establish the relationship of the information provided to the cost proposed. Support any information provided by explanations or supporting rationale, as needed to permit the Contracting Officer and authorized representatives to evaluate the documentation.

PART I--COST LABOR INFORMATION:

(1) Current, actual unloaded rates are to be submitted for any "proposed individual," which includes each individual for which a resume is submitted. A "proposed individual" is defined as a current employee specifically proposed to perform an estimated number of hours for a labor category. Offerors shall modify the Prime Pricing Model as necessary (i.e. add rows and identify proposed individuals by name) to account for each proposed individual. In accordance with the offeror's disclosed estimating system practices, average unloaded direct labor rates may be submitted for all remaining labor categories/hours, i.e. those labor categories/hours not accounted for under the proposed individuals’ data. Do not submit composite rates encompassing more than one labor category. This cost information shall include, as a minimum, the cost data elements contained in Prime Pricing Model, Attachment 3. Offerors should include additional elements such as overtime rates/hours, premium time rates/hours, etc. as applicable.

All labor categories shall be escalated, as applicable, for rates crossing the offeror’s calendar year during the period of performance identified in the Prime Pricing Model, Attachment 3. For the professional labor categories identified in the Prime Pricing Model, Attachment 3, offerors shall use actuals, if known, or rates based on historical data, standard practice, or those accepted by Defense Contract Audit Agency (DCAA) for proposal purposes. The narrative to the Cost/Price Proposal must include supporting rationale for the escalation rate proposed.

(2) As discussed in the FAR 52.237-10 “Identification of Uncompensated Overtime” provision, hourly rates submitted shall be derived by dividing the proposed individual’s actual annual salary by 2080 hours, which is based on a 40-hour work week. Any uncompensated overtime proposed shall be clearly identified by labor category within your cost proposal. If uncompensated overtime is proposed, the adjusted hourly rate shall be applied to all proposed hours. Uncompensated overtime will be evaluated in accordance with the FAR 52.237-10 “Identification of Uncompensated Overtime” provision in Section L of this solicitation.

(3) All Professional labor categories to be used in the performance of the proposed contract are included in the Prime Pricing Model, Attachment 3, and shall be priced by the Prime offeror only. All labor hours for performance at the Charleston, SC location required by the solicitation and proposed shall be accounted for in the Prime Pricing Model, Attachment 3.

PART II--REQUIREMENT FOR DATA OTHER THAN CERTIFIED COST OR PRICING DATA:

In accordance with FAR 15.403-3(b), the following information as prescribed below is required for the purposes of assisting the Contracting Officer in determining the cost realism of competing offers. The terms “Cost Realism” and “Data Other Than Certified Cost or Pricing Data” are defined in FAR 2.101.

Offerors shall provide copies of correspondence from DCAA or DCMA regarding the most recent approval of rates and/or systems, such as Forward Pricing Rate Agreements (FPRAs), Forward Pricing Rate Recommendations (FPRRs), Provisional Billing Rates (PBRs), and Accounting System Approval (if applicable). If available, provide any updated forward pricing rate information submitted to DCAA/Defense Contract Management Agency (DCMA) for review. The correspondence and all attachments (FPRAs, FPRRs, etc.) should be provided in the Cost/Price Proposal submission.

(1) DIRECT LABOR - The Professional labor categories intended for use under this contract (also reference Section C, Clause C-TXT-11 Personnel Qualifications) are provided in the Prime Pricing Model, Attachment 3. . Identify the labor rates and total cost for each labor category proposed for the period of performance identified in the Prime Pricing Model, Attachment 3. The labor specified under this category shall only be for the prime contractor’s direct labor and shall not include any subcontracted labor. Since this solicitation requires work to be performed at both the Contractor and Government sites, the proposal must include your company policy concerning any stipulations as to when Government site / Contractor site rates are effective.

Supporting data for the proposed direct labor rates shall be current recent actual direct labor rates evidenced by payroll records, paystubs, or Letters of Intent (LOIs) for all individuals identified in the offeror’s resume submission as well as any other proposed individuals. Forward pricing proposals/recommendations/agreements or salary survey data may be submitted for the remaining labor categories. If providing LOIs, the offeror shall include the direct hourly labor rate for the proposed employee, identify the position, submit the LOI on the offeror’s or team member’s letterhead with both the prospective employee's and the employer’s signatures, and state that the LOI is for N65236-16-R-0032. If providing a salary survey, offerors shall at a minimum, include for each applicable labor category the salary survey information in support of the proposed rates. The supporting salary survey data shall include at a minimum: the source of data used to develop the salary ranges, the job title and description (including education and experience) being surveyed, the geographic location the survey data is valid for, and a range of salary amounts with the specific rationale utilized by the offeror in selecting the applicable percentile(s). In addition, if providing a salary survey, offerors shall utilize the 50th percentile at a minimum. Regardless of the basis used by the offeror in estimating direct labor costs, proposed labor categories should be mapped to the solicitation labor categories based on the job descriptions, education, and experience specified in the personnel requirements clause of this solicitation.

Each proposal must provide a statement of the offeror’s normally used nomenclature for each labor category included herein, together with a copy of the offeror’s own position description (to include education and experience requirements) and a written explanation of how the proposed category meets the experience/education requirements for each labor category.

If the offeror's education and experience requirements of its labor categories do not exactly align with the requirements outlined in clause C-TXT-11 (example provided below) the offeror shall include the calculation used to establish the proposed labor category rate in order to reconcile any qualification differences. This additional data shall be provided in the offeror’s Cost/Price Proposal Narrative. In the Cost/Price Proposal Narrative, offerors shall also include an explanation of how the offeror ensured that only rates reflective of qualified personnel were utilized in formulating the proposed rates.

EXAMPLE: A company’s labor qualifications may list a range of 8 to 10 years of experience for a particular category. If the Government’s minimum requirement for that category is designated as 10 years of experience, the Government needs assurances that the proposed direct labor rates are not calculated based on personnel who only possess 8 or 9 years of experience.

(2) FRINGE BENEFITS - If applicable and in accordance with your normal accounting procedures, identify the fringe benefit rate(s) and total fringe benefit cost being proposed and identify the cost elements for which the fringe benefit rate is being applied.

(3) OVERHEAD - Identify the current and/or projected overhead rate(s) and total overhead cost being proposed under this solicitation and identify the various cost elements for which overhead is being applied.

Note: Only Prime Professional labor hours and rates shall be proposed. Do not include any team member labor hours or rates.

(4) OTHER:

A. DIRECT COST - Identify any other direct cost elements being proposed which are not included above but are applicable to your cost proposal (e.g., Royalties, Special Tooling, Material, Travel, Computer Usage, etc.). Refer to Provision L-TXT-09 Other Direct Costs paragraph (e). Include the basis for the proposed amount. The decision as to whether costs are handled as direct or indirect costs rests with the offeror, but shall be consistent with the offeror’s approved cost accounting practices as disclosed in the Offeror’s Disclosure Statement, or consistent with the Offeror’s established accounting practices if the Offeror is not required to submit a Disclosure Statement.

B. INDIRECT COST - Identify any other indirect cost element (e.g., Facilities Capital Cost of Money) being proposed which has not been included above and identify the various cost elements for which the rate is applied. Describe the basis for estimating each indirect costs element, and advise if the rates proposed are in accordance with any Forward Pricing Rate Agreements and period of the agreement.

For proposed rates not based on forward pricing information submitted to or agreed upon with DCMA, include the data utilized by the offeror in estimating the proposed rates. Historical indirect data, to include provisional rates, actual incurred rates, and annual incurred cost claims (if submitted), shall be provided for the three years prior to the offeror's current fiscal year. This data shall include the offeror's fringe benefit, overhead (on and off-site as applicable), General and Administrative (G&A), and Materials and Subcontracts (M&S) handling rates as applicable to the offeror's accounting system. If proposed indirect rates significantly differ from recent incurred rates, offeror's shall include a detailed explanation.

(5) GENERAL AND ADMINISTRATIVE EXPENSE - Identify the General and Administrative Expense (G&A) rate(s) and the total G&A cost proposed and identify the various cost elements for which the G&A is being applied.

(6) FEE - Identify the fee rate, total amount proposed, and the cost elements on which the fee is applied.

52.216-1 TYPE OF CONTRACT (APR 1984)

The Government contemplates award of a performance-based, single award, Indefinite Delivery/Indefinite Quantity (IDIQ) type contract which allows for the issuance of Cost Plus Fixed Fee (CPFF) type orders resulting from this solicitation.

(End of provision)

52.222-46 EVALUATION OF COMPENSATION FOR PROFESSIONAL EMPLOYEES (FEB 1993)

(a) Recompetition of service contracts may in some cases result in lowering the compensation (salaries and fringe benefits) paid or furnished professional employees. This lowering can be detrimental in obtaining the quality of professional services needed for adequate contract performance. It is therefore in the Government’s best interest that professional employees, as defined in 29 CFR 541, be properly and fairly compensated. As part of their proposals, offerors will submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. The Government will evaluate the plan to assure that it reflects a sound management approach and understanding of the contract requirements. This evaluation will include an assessment of the offeror’s ability to provide uninterrupted high-quality work. The professional compensation proposed will be considered in terms of its impact upon recruiting and retention, its realism, and its consistency with a total plan for compensation. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure.

(b) The compensation levels proposed should reflect a clear understanding of work to be performed and should indicate the capability of the proposed compensation structure to obtain and keep suitably qualified personnel to meet mission objectives. The salary rates or ranges must take into account differences in skills, the complexity of various disciplines, and professional job difficulty. Additionally, proposals envisioning compensation levels lower than those of predecessor contractors for the same work will be evaluated on the basis of maintaining program continuity, uninterrupted high-quality work, and availability of required competent professional service employees. Offerors are cautioned that lowered compensation for essentially the same professional work may indicate lack of sound management judgment and lack of understanding of the requirement.

(c) The Government is concerned with the quality and stability of the work force to be employed on this contract. Professional compensation that is unrealistically low or not in reasonable relationship to the various job categories, since it may impair the contractor’s ability to attract and retain competent professional service employees, may be viewed as evidence of failure to comprehend the complexity of the contract requirements.

(d) Failure to comply with these provisions may constitute sufficient cause to justify rejection of a proposal.

52.233-2 SERVICE OF PROTEST (SEP 2006)

(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from Space and Naval Warfare Systems Center Atlantic, Code 22410, P. O. Box 190022, North Charleston, SC 29419-9022.

(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

(c) Proposal Content

Proposals shall be submitted in accordance with Provision L-TXT-16A “Submission of Electronic Proposals” to permit a detailed evaluation. Each file shall be labeled in accordance with the format in paragraph (b) above. Pages should be numbered.

A concise and comprehensive proposal is desired. The proposal shall be sufficient to enable evaluators to make a thorough and complete evaluation, and to arrive at a sound determination as to whether the requirements of this solicitation are satisfied. In preparing the proposal, emphasis should be placed on brief, complete, and factual data in the areas set forth in the solicitation. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. Statements such as “will comply,” or “noted and understood” without supporting narrative to define compliance are not acceptable. Cursory responses or responses which merely reiterate or reformulate solicitation language will not be considered as satisfying the requirements of the solicitation or as demonstrating the ability to perform.

NON-COST FACTORS

Proposal shall consist of the information specified for each evaluation factor listed below.

FACTOR A:RED TEAM OPERATIONS CAPABILITY
FACTOR B:RED TEAM SUPPORT CAPABILITY

Offerors shall submit Attachment 1C, Team Summary, which identifies the Prime contractor and up to two (2) team members proposed to perform the Factor A subfactors (i.e., Subfactor A1 and Subfactor A2) and the Factor B elements (i.e., Elements B1-B3) with a maximum total of three (3) team members including the Prime. The Attachment 1C, Team Summary, shall identify which of the Factor A subfactors (may be more than one subfactor) and Factor B elements (may be more than one element) the proposed team member(s) is proposed to perform. In order to evaluate the proposed team’s technical capability to perform both the Factor A and Factor B requirements, offerors shall submit a maximum of five (5) current and relevant contract references for contract efforts performed which are similar in scope to the Factor A and Factor B requirements using the Attachment 1A and 1B Reference Information Sheets provided as Attachments 1A and 1B. Current is defined as a contract performed within the last five (5) years from the date of solicitation issuance. Relevant is defined as no more than five (5) contract references in total, with a cumulative invoiced value equal to or exceeding $10M, submitted by the team (i.e. Attachment 1C, Team Summary) for efforts similar in scope to the Factor A and Factor B requirements. Offerors shall identify and specifically relate the scope of the proposed contractor references to the Factor A subfactors (i.e., Subfactor A1 and/or Subfactor A2) and to the Factor B elements (i.e., Factor B Elements B1-B3) in the narrative response to question 13 on Attachment 1B. Offerors shall submit contract reference data for current and relevant contracts performed by the Prime and each proposed team member identified in Attachment 1C, Team Summary (if applicable). All contract references for the Prime and all contract references for each Attachment 1C, Team Summary, team member shall have been for efforts performed relevant to the scope requirements. The more relevant the work performed is, the more valuable the experience is to the Government. No more than a total of five (5) of the most current and relevant contract references may be submitted for the team (i.e., Attachment 1C team members). At least one of the Prime’s contract references shall have an invoiced value of at least $2.0M. Contract reference data (i.e., Attachments 1A and 1B) is limited solely and exclusively to the Prime contractor and up to two (2) proposed team members (i.e., Attachment 1C, Team Summary). NOTE: The Government does not desire and will not accept “classified” contract references. All data submitted shall be at the Unclassified Level.

For each contract or order cited on Attachment 1B, line 6 requires the contract type and total price, and line 7 requires the final amount invoiced or amount invoiced to date. The cumulative invoiced total for all contract references shall meet or exceed $10 million. CAUTION: If the cumulative invoiced total amount does not meet or exceed $10 million, the offeror’s technical capability will not be evaluated and the proposal will be deemed “Unacceptable.”

In the case of orders under Indefinite Delivery contracts such as General Services Administration (GSA), Government-Wide Acquisition Contract (GWAC), DoD-wide (i.e., Seaport-e, NETCENTS, ITES-2S, ENCORE, etc.) and/or Blanket Purchase Agreements (BPAs), an individual order which meets the definition of “current and relevant” may be submitted as one of the contract references. Additionally, within the contract reference submission limitations as stated above, offerors may submit multiple orders under a single Indefinite Delivery contract in order to meet the relevancy threshold. However, offerors shall demonstrate the relevancy of these orders to the specific Factor A requirements (i.e. Subfactors A1- A2) and Factor B requirements (i.e. Factor B Elements B1-B3) and all of the orders shall meet the currency requirement of performance and be similar in scope to the Factor A and Factor B requirements of this solicitation.

Contract reference data for any company, division, subsidiary, etc., that is not the prime contractor or team member identified on Attachment 1C, Team Summary, will not be considered. Offerors are reminded that in accordance with the requirements for the proposal content, written teaming agreements covering other proposed companies, divisions, subsidiaries, etc. of the prime contractor or team member(s) must be provided. The prime contractor is considered to be the organization that signs and submits the proposal. The Government must be ensured that the prime contractor will be the organization performing the work. CAUTION: It is important to this evaluation that the contract reference(s) submitted represent the technical capability/experience of the same companies identified on Attachment 1C, Team Summary. Therefore, the Government will be comparing the company name(s) cited on the submitted contract reference(s) against the company name(s) cited in the technical proposal. In cases where there is any variance between the actual company name(s) cited on the submitted contract reference(s) and the company name(s) identified in the technical and cost/price proposals, the prime contractor MUST provide rationale that clearly identifies the correlation and/or association of the company(s). This rationale is to be provided in the Contract Reference Rationale submission. The Government will review the rationale and determine if clear correlation and/or association can be made between the company name(s) cited on the submitted contract reference(s) and the technical proposal. In cases where such clear correlation and/or association cannot be made, the contract reference(s) will not be considered.

The offeror’s technical capabilities, as demonstrated through the Reference Information Sheet-Contract Specific Data Attachment 1B submissions, shall demonstrate experience in the following Factor A subfactors and Factor B elements. NOTE: The contract references shall include and document specific examples of their experience/efforts performed within those contract references, as they relate to the Factor A and B requirements detailed below.

FACTOR A: RED TEAM OPERATIONS CAPABILITY

The offeror’s technical capabilities, as demonstrated through the Reference Information Sheet-Contract Specific Data Attachment 1C submissions, shall demonstrate experience in the following Factor A Subfactors:

Subfactor A1: Cyber Red Team Support Subfactor A2: Operational Test Support
