About this file

This document is a Justification and Approval (J&A) for a sole-source contract with Fairbanks Morse, LLC (FMD) for engineering, logistics, training, and integrated program management services. The Naval Sea Systems Command, Naval Surface Warfare Center, Philadelphia Division (NSWCPD) is seeking a 72-month contract with a total estimated value of $34,328,486 to provide lifecycle, modernization, and in-service support for diesel engine lines installed on US Navy, Military Sealift Command, and US Coast Guard ships. The contract will support the Diesel Readiness System (DRS) and Diesel Maintenance Strategy (DMS) programs, with added tasks for harvesting and storing diesel components.

The sole-source justification stems from FMD's unique position as the original equipment manufacturer with proprietary technical documentation, design drawings, and specialized repair procedures that are not available to the government or other vendors. Multiple sources sought notices were issued in September 2023 and October 2024, but no other firms demonstrated the technical expertise required to effectively perform the services. The contract is a follow-on to the current contract (N64498-19-D-4001) which expires on 06 July 2024, and will cover engine lines across various ship classes including LSD, LPD, LCS, LHD, LHA, SSN, SSBN, CVN, and various Military Sealift Command and US Coast Guard vessels.

AMENDMENT TO

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

The Naval Sea Systems Command, Naval Surface Warfare Center, Philadelphia Division (NSWCPD), Code 0231.

2. Description of the Action Being Approved.

Amendment to J&A No. 0231-23-429-00 (changes identified with bold text). Award of a hybrid cost-plus-fixed–fee (CPFF) and firm-fixed–price indefinite-delivery indefinite-quantity type contract on a sole source basis to Fairbanks Morse, LLC, doing business as Fairbanks Morse Defense (FMD), for engineering, logistics, training and integrated program management services.

3. Description of Supplies/Services.

The overall scope of this requirement is to provide lifecycle, modernization and in-service support for the engine lines listed in Appendix 1 and related shipboard auxiliary and support systems. The proposed acquisition will provide engineering and technical services, logistics support services, engine training services, and administrative and program management services. These services will support the Amphibious Ships Diesels Branch (NSWCPD Code 421) and the Combat & Nuclear Ships Diesels Branch (NSWCPD Code 422), both sharing joint responsibility as the Engineering Manager (EM) and In-Service Engineering Agent (ISEA) for US Navy diesel engine systems. In support of the DMS Program Pit Stop Strategy, harvesting and storage of diesel components and sub-assemblies were added to the tasks contained within the engineering and technical services, and logistics support services scope of work.

This contract will provide EM and ISEA support services for Navy, Military Sealift Command (MSC) and United States Coast Guard (USCG) FMD engine lines to effectively address known and emergent issues. The intent of this contract is to improve the effectiveness of critical diesel engine programs such as Diesel Readiness System (DRS) and Diesel Maintenance Strategy (DMS).

MOPAS Acquisition Strategy Plan # 0231-23-429-00.1 Rev 1 covers this acquisition.

Budgeted funds will include FY25-29 Operation & Maintenance, Navy (OM&N) funding. The total estimated dollar value of the proposed acquisition is $34,328,486. This is based on an estimated

IN REPLY REFER TO:

134,720 labor-hours of services. The PoP for this effort will be 72 months after the date of award.

The Government’s minimum needs have been verified by the certifying technical and requirements personnel.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1), Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

FMD is the designer and Original Equipment Manufacturer for the diesel engine lines and developed the majority of technical documentation required to repair and maintain equipment to design requirements at private expense. The Government does not have access to FMD’s proprietary processes, procedures and techniques related to field technical services and parts support for these diesel engine lines. Proprietary information such as design dimensional data (measurements, tolerances, clearances, etc.), component surface finish, material composition, manufacturing procedures, component wear limits, repair specifications and engine qualification test data is the sole property of FMD, and is not available to the Government. The Navy possesses limited organic capability to maintain and repair the items mentioned above, but problems arise periodically that cannot be properly diagnosed or repaired due to the Government’s lack of specialized knowledge and expertise with the units. FMD also owns the rights to the proprietary design, fabrication and assembly drawings that support these diesel engine lines, as well as proprietary processes and procedures for the fabrication of engine parts, systems and sub-systems, and for the accomplishment of troubleshooting, maintenance and repair actions. In addition to owning the rights to the proprietary information, FMD has developed unique and highly specialized repair procedures and tooling. This information is also considered the proprietary property of FMD. No other firm possesses the requisite capabilities or access to proprietary information necessary to meet the requirements of this contract.

A prior attempt was made to purchase the rights to this proprietary information for SSBN/SSGN 726 Class emergency diesel generator (EDG), SSN 688 Class EDG, and SSN 21 Class EDG under a previous procurement. This request was declined by FMD on 18 June 2020. The most recent request sent via email on 09 November 2023, included all the engine classes contained in Appendix 1. On 21 November 2023, FMD declined the sale of data rights. Without access to the proprietary information detailed above, the Navy cannot develop these processes and procedures with the requisite level of detail and precision necessary to execute program initiatives.

Furthermore, no source possesses FMD’s technical data specifically related to engine lines referenced in Appendix 1. This technical data is required for the effective, accurate and efficient execution of anticipated tasking under this contract related to engineering/technical support, logistics support and training support. A new source will not have the complete knowledge and expertise to efficiently and accurately provide support at the requisite level of detail, to effectively support the needs of the DRS and DMS Programs.

Below is a list of prior procurements dealing with the services contained in this requirement:

This requirement is a follow-on to the current contract, N64498-19-D-4001, which ends on 06 July 2024. Both contracts in the table above were sole-source contracts with FMD.

In sum, FMD is the only responsible source available that is capable of providing the required services for the duration of the 72-month PoP in order to fulfill the agency’s requirement for ship readiness and mission capability.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

In accordance with the Defense Federal Acquisition Regulation Supplement (DFARS) Procedures, Guidance, and Information (PGI) 206.302-1, a Sources Sought Notice was posted to SAM.gov on 26 September 2023. NSWCPD received four (4) responses: FMD, , and . As of 01 December 2023, no other responses have been received for the RFI. NSWCPD determined that , , and did not have the technical experience and expertise necessary to effectively execute the requirements of the Statement of Work. All three were notified. Additionally, a synopsis of this procurement was published on the SAM.Gov on 29 November 2023. No contractors responded to either posting as of the drafting of this J&A on 01 December 2023.

On 11 October 2024, a revised Sources Sought was issued to incorporate the additional harvesting for this requirement which closed on 25 October 2024. One (1) firm, , expressed interest The Technical Subject Matter Expertise determined that response lacked experience and did not demonstrate the ability to perform the services contained within the Sources Sought Notice. On 11 February 2025, was notified of its exclusion from consideration.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph 5, NSWCPD has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NSWCPD will assess whether competition for future requirements is feasible. As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
