L-204-H003 NOTIFICATION OF USE OF NAVY SUPPORT CONTRACTORS FOR OFFICIAL CONTRACT

FILES (NAVSEA) (APR 2019)

(a) NAVSEA may use a contractor to manage official contract files hereinafter referred to as "the support contractor", including the official file supporting this procurement. These official files may contain information that is considered a trade secret, proprietary, business sensitive or otherwise protected pursuant to law or regulation, hereinafter referred to as “protected information”. File management services consist of any of the following:

secretarial or clerical support; data entry; document reproduction, scanning, imaging, or destruction; operation, management, or maintenance of paper-based or electronic mail rooms, file rooms, or libraries; and supervision in connection with functions listed herein.

(b) The cognizant Contracting Officer will ensure that any NAVSEA contract under which these file management services are acquired will contain a requirement that

(1) The support contractor not disclose any information;

(2) Individual employees are to be instructed by the support contractor regarding the sensitivity of the official contract files;

(3) The support contractor performing these services be barred from providing any other supplies and/or services, or competing to do so, to NAVSEA for the period of performance of its contract and for an additional three years thereafter unless otherwise provided by law or regulation; and,

(4) In addition to any other rights the offeror may have, it is a third party beneficiary who has the right of direct action against the support contractor, or any person to whom the support contractor has released or disclosed

Protected Information, for the unauthorized duplication, release, or disclosure of such Protected Information.

(c) Submission of a proposal will be considered as consent to NAVSEA's permitting access to any information, irrespective of restrictive markings or the nature of the information submitted, by its file management support contractor for the limited purpose of executing its file support contract responsibilities.

(d) NAVSEA may, without further notice, enter into contracts with other contractors for these services. Offerors are free to enter into separate non-disclosure agreements with the file support contractor. Contact the Procuring

Contracting Officer for contractor specifics. However, any such agreement will not be considered a prerequisite before information submitted is stored in the files or otherwise encumber the government.

L-209-H009 NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST (NAVSEA)

(DEC 2018)

(a) Offerors are reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a prime contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror, if the awardee of the contract under this solicitation, would provide support to NSWC Philadelphia Division, or related laboratories (if applicable), in support of operation of the office or any of its programs. General guidance may be found in FAR 9.505; however, this guidance is not all inclusive. The Offeror's attention is directed to the "Organizational Conflict of Interest" (or similar) text which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the "support" contract(s). Notwithstanding the existence or non-existence of an Organizational

Conflict of Interest (OCI) clause or similar text in current or completed contract(s), the offeror shall comply with FAR

9.5 and identify whether an OCI exists or there is potential for an OCI and not rely solely on the presence of an OCI text

(b) If a potential conflict of interest exists at any tier, each potential prime offeror shall notify the Contracting

Officer within 14 days of the date of this solicitation. The Offeror shall provide: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; and (5) any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the offeror. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source.

(c) The Government will notify an offeror of any conflict of interest within 14 days of receipt of all required information. Those offerors deemed to have a conflict of interest may be ineligible for award under this solicitation. An Offeror’s failure to provide the information in a timely manner does not waive the Government's rights to make a conflict of interest determination. The offeror is notified that if it expends time and money on proposal preparation, such expenditure is at its own risk that the Government will not determine that an organizational conflict of interest exists.

(d) Any potential prime contractor which proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which offerors remain in the competitive range through the normal source selection process.

(e) If the offeror determines that a potential organizational conflict of interest does not exist at any tier, the offeror shall include a statement to that effect in its response to this solicitation.

L-215-H004 INSTRUCTIONS FOR PRICING OF CONTRACT DATA REQUIREMENTS LIST (NAVSEA)

(OCT 2018)

(a) The Offeror shall complete the “Price Group” (Block 17) and “Estimated Total Price” (Block 18) of each data item on the Contract Data Requirements List (CDRL) of this solicitation using the following instructions:

(1) Block 17. Use the specified price group defined below in developing estimated prices for each data item on the DD Form 1423:

(i) Estimated Price – Costs to be included under Group I are those applicable to preparing and assembling the data item in conformance with Government requirements, and the administration and other expenses related to reproducing and delivering such data items to the Government.

(b) Group II. Definition – Data which is essential to the performance of the primary contracted effort but the offeror is required to perform additional work to conform to Government requirements with regard to depth of content, format, frequency of submittal, preparation, control, or quality of the data item.

(i) Estimated Price – Costs to be included under Group II are those incurred over and above the cost of the essential data item without conforming to Government requirements, and the administration and other expenses related to reproducing and delivering such data items to the Government.

(c) Group III. Definition – Data which the offeror must develop for his internal use in performance of the primary contracted effort and does not require any substantial change to conform to Government requirements with regard to depth of content, format, frequency of submittal, preparation, control, or quality of the data item.

(i) Estimated Price – Costs to be included under Group III are the administrative and other expenses related to reproducing and delivering such data items to the Government.

(d) Group IV. Definition – Data which is developed by the contractor as part of his normal operating procedures and his effort in supplying these data to the Government is minimal.

(i) Estimated Price – Group IV items should normally be shown on the DD Form 1423 at no cost.

(2) Block 18. For each data item, enter an amount equal to that portion of the total price which is estimated to be attributable to the production or development for the Government of that item of data. The estimated data prices shall be developed only from those costs which will be incurred as a direct result of the requirement to supply the data, over and above those costs which would otherwise be incurred in performance of the contract if no data were required. The entry “N/C” for “no charge” will be acceptable. The estimated price shall not include any amount for rights in data. The Government’s rights to use the data shall be governed by the pertinent provisions of the contract.

L-215-H007 SUBMISSION OF QUESTIONS BY OFFERORS — ALTERNATE I (NAVSEA) (FEB 2020)

Acknowledgment of questions received will not be made.

(b) The deadline for receipt of questions is 2 business days after the date of the site visit. Although every effort will be made, the Government makes no guarantee that questions received after the date above will be answered.

(c) All questions shall be submitted via email to the point of contact listed for this solicitation. Responses will be posted to the beta.SAM web page at https://www.beta.SAM.gov.

PRICING

If an Offeror is utilizing past performance information of affiliates/subsidiaries/parent/Limited Liability

Company (LLC)/Limited Company (LTD) member companies (name is not exactly as stated on the

SF1442), the proposal shall clearly demonstrate that the affiliate/subsidiary/parent firm will have meaningful involvement in the performance of the contract in order for the past performance information of the affiliate/subsidiary/parent/LLC/LTD member companies to be considered. The proposal shall state specific commitments of technical resources (e.g. personnel, equipment) that the affiliate/subsidiary/parent/LLC/LTD member companies commit to the performance of this contract. The proposal shall also describe specific roles of the affiliate/subsidiary/parent/LLC/LTD member companies in terms of the work it will either self-perform or manage on behalf of the Offeror in performance of the contract.

In addition to the PPQs and CPARS provided, the Government may, at its discretion, review and consider any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval

System (PPIRS) using all CAGE/Entity Identifier numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the Offeror’s proposal, FAPIIS, SPRS, SAM, inquiries of owner representative(s), and any other known sources not provided by the

Offeror.

To obtain information, the Government may contact the points of contact listed. However, the Government is not required to do so. The Government may contact references other than those provided by the Offeror to evaluate past performance.

3.1.6 FACTOR 5 – PRICE

(1) Completed SF 1442 signed with all amendments acknowledged;

(2) Confirmation of filing of Veterans’ Employment and Training (VETS) VETS- 4212 for the 2020 filing cycle or a statement indicating it did not receive an award of $150,000 or more within the past year;

The Offeror is required to complete all contract line item numbers (CLINs). Failure to complete all CLINs may result in the proposal being rejected or otherwise not considered.

Electronic signatures by responsible parties and electronic, mechanically-applied, or printed dates may be used and shall be considered original signatures and dates.

An Offeror’s total price is the aggregate price of all CLINs. Offerors are advised that all pricing is binding if accepted by the Government.

3.2 RFP FILL-INS

The document shall not be embellished with any cover or binding. If the Offeror makes any qualifications to any provisions in the RFP, all such qualifications shall be listed in the transmittal letter to the proposal.

Offerors must fill in all areas of the RFP that contain Offeror fill-ins, including proposed price for each CLIN in

Section B. In accordance with 52.252-1 Solicitation Provisions Incorporated by Reference, in lieu of submitting the full text, the Offeror may identify the provision by paragraph identifier and provide the appropriate information with its offer or they may elect to submit a completed RFP document in its entirety. (Note - This information is exempt from the font and spacing requirements identified under Paragraph 2).

Section 00 22 16 - Supplementary Instructions to Proposers

M-215-H003 EVALUATION OF PREVIOUSLY APPROVED SINGLE PROCESS INITIATIVE (NAVSEA)

(OCT 2018)

Previously approved Single Process Initiative (SPI) processes will be evaluated under the source selection criteria of the RFP. If the successful offeror has previously approved SPI processes in the proposal, those SPI processes will be incorporated into the contract upon award.

M-215-H004 BASIS OF AWARD (NAVSEA) (DEC 2018)

EVALUATION OF PROPOSALS

1. BASIS FOR AWARD

The contract resulting from this solicitation shall be awarded to the responsible Offeror whose offer, conforming to the solicitation, is the lowest priced, technically acceptable.

The rating for all non-price factors must be at least “ACCEPTABLE” in order to be eligible for award.

An “UNACCEPTABLE” rating for any factor results in the proposal being unacceptable and unawardable, unless corrected through discussions, if held.

2. METHODOLOGY

In order to permit efficient competition and evaluation, the Navy shall utilize the following methodology. Proposals shall initially be screened for price and placed in order (lowest price to highest price). The technical factors of the lowest priced proposal will then be evaluated. In the event the lowest priced proposal is deemed Unacceptable, the same process shall be conducted again as many times as necessary, until such time as the Government identifies a technically acceptable proposal. The Navy shall make award to the lowest priced technically acceptable proposal.

Accordingly, under this methodology, the technical factors of some proposals may not be evaluated. IAW FAR

15.306(c)(2), if discussions are deemed necessary by the Contracting Officer, a maximum of ten (10) lowest priced proposals will be evaluated (both non-price and price) for the purpose of establishing a competitive range.

3. EVALUATION APPROACH

Proposals will be evaluated as described here and in the Instructions section above.

FACTOR 1 – BONDING AND CERTIFICATIONS

The Government will evaluate whether the Offeror submitted a signed letter from its surety stating it can provide payment and performance bonds to meet the maximum task order amount of $500,000, a potential aggregate amount of $1.5 Million and that the Offeror has adequate bonding capacity as of the date of the letter. Bonding capability or capacity that does not cover the aforementioned values will be considered unacceptable.

The Government will evaluate whether the Bid Guarantee complies with provision 52.228-1 of the solicitation.

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

FACTOR 2 – PROGRAM MANAGEMENT PLAN

An acceptable Program Management Plan provides a detailed narrative representation of the Offeror’s plan to ensure successful execution of the Roofing Maintenance and Repairs program and subsequent task order projects. The

Offeror’s proposal shall clearly convey the following:

(1) Quality control in accordance with the Roofing Maintenance and Repairs SOW Section 01 45 00.10 20 (to include schedule management) in regards to quality control organization, submittal review, construction management, and closeout;

(2) Clear processes for the consistent, effective, and expedient documentation and resolution of quality problems;

(3) Sound measures to identify poor performing subcontractors, to include appropriate corrective action, management tools, methods, and documentation;

(4) Key quality control personnel (with no overlapping duties and responsibilities) and the extent of their authority;

(5) Means and frequency of inspection for ongoing projects; and

(6) Processes the Offeror will utilize to update the Government on project status and how interface with Government inspectors will be accomplished (status updates shall be a minimum of weekly).

*Note: The Offeror’s Program Management Plan will be incorporated into the contract if selected for award.

Furthermore, the awardee’s successful execution and effectiveness of their Program Management Plan will be evaluated at the conclusion of each ordering period year via the Contractor Performance Assessment Reporting System

(CPARS).

FACTOR 3 – SAFETY

The Government is seeking to determine that the Offeror fully understands and has a commitment to safety and that the Offeror plans to properly manage and implement safety procedures for itself and its subcontractors. To meet the minimum requirements, the Offeror must demonstrate the following:

(1) Offeror describes a viable technical approach to safety that addresses elements specific to roofing, such as lift plans, fall protection, work from scaffolds, ladders and work platforms.

(2) Offeror describes a methodical process of evaluating subcontractor’s safety performance in their selection process.

(3) Offeror describes a logical management plan to hold both themselves and their subcontractors accountable for adhering to the safety requirements of the contract.

(4) Offeror’s proposal clearly shows that the Offeror fully understands the many various safety precautions required in the performance of this roofing maintenance contract.

FACTOR 4 – PAST PERFORMANCE

There are (3) three aspects to the past performance evaluation: Recency, relevancy, and quality. The first is to evaluate the recency of the Offeror’s past performance. Recency is considered work performed within the past three

(3) years of issuance of this solicitation. The second is to determine how relevant a recent effort accomplished by the

Offeror is to the effort to be acquired through the source selection. Common aspects of relevancy include, but are not limited to, the following: similarity of product/service/support, complexity, dollar value, contract type, and extent of subcontracting/teaming. The third aspect of the past performance evaluation is to establish the overall quality of the Offeror’s past performance (see FAR 15.304(c)(2)).

NOTE: In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the

Offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the Offeror shall be determined to have unknown (or “neutral”) past performance. In the context of Acceptability/Unacceptability, a neutral finding shall be considered “Acceptable.”

Acceptable

Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown.

Unacceptable Based on the Offeror’s performance record, the Government does not have a reasonable expectation that the Offeror will be able to successfully perform the required effort.

FACTOR 5 – PRICE

The Government will evaluate whether the contractor completed the SF 1442, acknowledged all amendments, provided a filled out Price Proposal Form, and confirmed it has submitted its VETS-4212 report for the 2020 filing cycle or was exempts. An Offeror’s total price shall be the sum of all CLINs.

Price will be evaluated for reasonableness in accordance with FAR 15.404-1(b)(2).

The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. As defined in FAR 15.404, unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques.

In the absence of adequate price competition, the Contracting Officer may request additional data per FAR 15.403-3 and as described in the solicitation provision 252.215-7010, Requirements for Certified Cost or Pricing Data and

Data Other Than Certified Cost or Pricing Data.

Offerors are advised that all pricing is binding if accepted by the Government.

4. DISCUSSION/FINAL PROPOSAL REVISIONS

The Government intends to evaluate proposals and award a contract without discussions with Offerors. Therefore, the Offeror's initial proposal should contain the Offeror's best terms from a cost or price and technical standpoint.

However, the Government reserves the right to enter into discussions with Offerors as it is determined by the

Contracting Officer to be in the Government’s best interest.

If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among most highly rated proposals.

If the Contracting Officer determines that discussions are to be held, they shall indicate to, or discuss with, each

Offeror still being considered for award; deficiencies and adverse past performance information to which the Offeror has not yet had an opportunity to respond. The scope and extent of discussions are a matter of Contracting Officer judgment. At the conclusion of discussions, each Offeror still in the competitive range shall be given an opportunity to submit a final proposal revision. A final cut-off date for receipt of final proposal revisions will be established by the Contracting Officer.
