Performance Work Statement (PWS) for Lighting System Preventative Maintenance & Corrective Maintenance
1.0 INTRODUCTION
1.0.1 The Naval Surface Warfare Center Philadelphia Division (NSWCPD) is a Department of Defense entity responsible for research and development, test and evaluation, engineering (RDT&E) and fleet support organization for the Navy’s ships, submarines, military watercraft and unmanned vehicles. This requirement is a Facilities Service Contract (FSC) for NSWCPD Code 102 Infrastructure Division, which provides Infrastructure, Facilities, and Environmental and Safety services to NSWCPD.
1.0.2 This contract is for non-personal services. It does not create employment rights with the U.S. Government whether actual, inherent, or implied. In general, this contract provides regular, recurring preventative maintenance (PM) and indefinite-quantity-indefinite-delivery (IDIQ) corrective maintenance (CM) for NSWCPD’s lighting systems.
1.0.3 Government / Contractor Relationship
a) The services to be delivered under this Contract are non-personal services and the parties recognize and agree that no employer-employee relationship exists or will exist under the Contract between the Government and the Contractor's personnel. Therefore, it is in the best interest of the Government to provide both parties a full understanding of their respective obligations.
b) The Contractor employees shall identify themselves as Contractor personnel by introducing themselves or being introduced as Contractor personnel and displaying distinguishable badges or other visible identification for meetings with Government personnel. In addition, Contractor personnel shall appropriately identify themselves as Contractor employees in telephone conversations and in formal and informal written correspondence.
c) Contractor personnel under this Contract shall not engage in any of the inherently Governmental functions listed at FAR Subpart 7.5 or DFARS Subpart 207.5.
d) Employee Relationship:
1) The services to be performed under this Contract do not require the Contractor or its personnel to exercise personal judgment and discretion on behalf of the Government. Rather the Contractor's personnel will act and exercise personal judgment and discretion on behalf of the Contractor.
2) Rules, regulations, directives, and requirements that are issued by the U.S. Navy and NSWCPD under its responsibility for good order, administration, and security are applicable to all personnel who enter a Government installation or who travel on Government transportation.
This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.
e) Inapplicability of Employee Benefits: This Contract does not create an employer-employee relationship. Accordingly, entitlements and benefits applicable to such relationships do not apply.
f) Notice. It is the Contractor's, as well as the Government's, responsibility to monitor Contract activities and notify the Contracting Officer if the Contractor believes that the intent of this Section has been or may be violated.
1) The Contractor shall notify the Contracting Officer (KO) in writing via letter or email within three (3) calendar days from the date of any incident that the Contractor considers to constitute a violation of this Section. The notice should include the date, nature, and circumstances of the conduct; the name, function, and activity of each Government employee or Contractor official or employee involved or knowledgeable about such conduct; identify any documents or substance of any oral communication involved in the conduct; and the Contractor's estimated date when, absent a response, cost, schedule or performance will be impacted.
2) The Contracting Officer will, within five (5) calendar days after receipt of notice, respond to the notice in writing. In responding, the Contracting Officer will either:
(i) Confirm the conduct is in violation and when necessary direct the mode of further performance,
(ii) Countermand any communication regarded as a violation,
(iii) Deny that the conduct constitutes a violation and when necessary direct the mode of further performance, or
(iv) In the event the notice is inadequate to make a decision, advise the Contractor what additional information is required, and establish the date by which it should be furnished by the Contractor.

3.4.2.2 The Corrective Maintenance is awarded as Not-To-Exceed (NTE) CLINs pursuant to FAR 13.302-2 Unpriced Purchase Order. The Contractor is not authorized to exceed the NTE amount and doing so is at the Contractor’s risk. Following the completion of the period of performance for each CM CLIN, the CLIN amount will be adjusted to a Firm-Fixed-Price amount and any remaining funding will be deobligated from the Task Order.
3.4.2.2.1 Monthly CM actions costs based on labor and material are estimated to average $5,000, or less, each. The total labor cost is based on the labor rates listed in the ELIN schedule times the hours worked. Prior to beginning any corrective maintenance under the “Not to Exceed” (NTE) CLIN, the contractor shall notify the TPOC/COR of the specific repairs. Prior to beginning work, the contract shall obtain written concurrence from the TPOC/COR.The Contractor shall only invoice in the amount (i.e., labor and material) for actual work performed for each CM order.
3.4.2.2.2 The Contractor shall submit a detailed monthly summary that captures all of the labor (based on ELIN schedule labor rates for that performance period) and direct material costs associated with the CM repairs completed during that month. The Government shall review the invoice for price reasonableness. If found reasonable, the Contractor shall submit an invoice for that month’s CM work IAW the invoice instructions of this contract.
3.4.2.2.3 The Contractor shall notify the COR within twenty-four (24) hours upon identification that the monthly CM average will be exceeded based on current corrective maintenance orders that have been issued. Additionally, the Contractor shall notify both the COR and Contracting Officer within twenty-four (24) hours upon identification that the total CM costs to date will exceed 75 percent and then again 90 percent of the total NTE CLIN value.
Within three working days of the order completion, contractor shall submit to the TPOC a report that includes the following information: serial number, date call received, date call completed, description of work performed, labor hours expended, and material costs incurred.
3.4.2.3 The Contractor shall perform corrective maintenance to accomplish any work identified within the entire boundary of the installation.
3.4.2.4 Corrective Maintenance may be required to be performed at other times outside of the normally scheduled PM events.
3.4.3 Non-Recurring Additional Services (CLIN 0011) – These services are outlined in PWS Attachment 2, Exhibit Line Item Numbers (ELINs). They are non-recurring services that do not fall within the Preventative or the Corrective Maintenance CLINs of this Contract. Additional Services will be ordered via additional Task Orders under this Contract.
3.4.3.1 The Additional Services Performance Objectives and Standards are described in the following table:

All labor, materials, and equipment (rented, leased or Contractor-owned) required for the accomplishment of a UPT shall be included within the respective ELIN prices. The fixed price UPT work will be ordered as needed on individual Task Orders from the contractual pre-priced ELIN schedule. The Contractor is not required to submit quotes or estimates for UPTs at the Task Order level.
3.4.3.4 Unit Priced Labor Work – UPL work is defined as non-recurring work that utilizes ELIN labor rates multiplied by negotiated labor hours plus negotiated materials’ cost to accomplish a task not included in the PM or CM portion of the contract. UPL includes separately priced and material/equipment exhibit line items. The Contractor shall propose a detailed quote/estimate identifying proposed labor, material, and equipment costs. A Firm-Fixed-Price task order will be issued following the evaluation and negotiation of the submitted quote.
