Answer: The resulting contract will be a 5-year base contract.

2. Page 3, Section B, states this is a 5-year contract. Page 55, Section F, states the period of performance is 72 months. Please clarify.

Answer: The resulting contract will be a 5-year base contract. The period of performance shall be date of award through seventy-two (72) months after date of award. Specific periods of performance and locations shall be identified in individual task orders. Orders placed in the fifth year could have a period of performance exceeding the sixty (60) months of the base contract up to a seventy-two (72) months after date of award.

3. Page 3 of 138, Section B – Level of Effort, reflects a five (5) year period of performance.

Page 55 of 138, Section F – Deliveries or Performance, states “The period of performance shall be date of award through seventy-two (72) months after date of award.”

Would the Government please clarify whether the planned contract period of performance is five (5) years or seventy-two (72) months?

Answer: The estimated start date is 30 October 2020 for purposes of completing Section B.

6. Page 13, Section 2.0 states that the applicable documents are attached. Will the government please provide DON-IT Acceptable Use Policy Memorandum, dated 12 FEB 2016, U.S. Navy Afloat Control Systems Cyber Security Classification Guide (10-040) Draft Rev 1, and DoD Instruction 8510-01, Risk Management Framework, as mentioned?

Answer: Attachments listed in Statement of Work, Section 2.0 has been uploaded in beta.SAM.gov.

7. On page 31 of the RFP (Section C, 9.1.1 – Key Personnel), For the Engineer, Systems IV (ESY4) labor category, Is a BS in Mechanical Engineering an acceptable degree?

Answer: No. BS in Mechanical Engineering is not an acceptable degree for the Engineer, Systems IV (ESY4) labor category.

8. On page 31 of the RFP (Section C, 9.1.1 – Key Personnel), For the Engineer, Systems IV (ESY4) labor category, would the government accept Marine Engineering degree form Kings Pont USMMA as an acceptable degree for both the Key and Non-Key positions?

Answer: No. Marine Engineering degree form Kings Pont USMMA is not an acceptable degree for the Engineer, Systems IV (ESY4) labor category.

9. On page 34 of the RFP (Section C, 9.1.2 –Non- Key Personnel), For the Computer Programmer II (14072) labor category, would the government accept a Software Engineering degree as an acceptable degree for education?

Answer: Yes. Software Engineering degree is an acceptable degree for the Computer Programmer II (14072) labor category.

10. For many of the positions in the RFP, the degree requirement identified in the position description is a Bachelor’s; however, in the position matrix in Section 9.2, the requirement is for a Master’s. Can the IA table requirements be reduced to match the position descriptions?

Answer: No. Matrix in Section 9.2 is correct. A company who is proposing a cyber-security role, will need to look at the matrix in 9.2 and meet one of the guideline requirements (there is a list of certs OR the masters degree at time of award). They must also meet the requirements in the PD section. Qualifications in the key position section must still be met, but if this specific person is going to be in a Cyber Security role, then one of the listed CSWF Baseline Qualifications must be met for that individual at time of award (not always a Masters degree). Not everyone listed in the Position Description key personnel section is going to be part of the CSWF matrix, which is why there are two different requirements.

11. Page 36 of 138, Section C, Reference Section 9.2 Position Matrix. This table lists cyber qualifications for select positions. According to DOD guidelines, cyber qualifications are driven by the privileged access agreements required for a person's specific function. Can the Government confirm that these requirements are NOT necessary for the individuals being bid in key positions since they are not included in the target and minimums contained in Section 9.1.1 Key Personnel (page 31 of 138), but instead would be required upon execution based on their based on their privileged access requirements?

Answer: No. Matrix in Section 9.2 is correct. A company who is proposing a cyber-security role, will need to look at the matrix in 9.2 and meet one of the guideline requirements (there is a list of certs OR the masters degree at time of award). They must also meet the requirements in the PD section. Qualifications in the key position section must still be met, but if this specific person is going to be in a Cyber Security role, then one of the listed CSWF Baseline Qualifications must be met for that individual at time of award (not always a Masters degree). Not everyone listed in the Position Description key personnel section is going to be part of the CSWF matrix, which is why there are two different requirements.

12. Page 37 of 138, Section C, 12. COUNTERFEIT MATERIAL PREVENTION, 12.1 Electronic End-Items

12.2 Non-Electronic Materials states Department of the Navy contractors (and their subcontractors at all tiers) who obtain critical or high-risk materiel shall implement a risk mitigation process as follows:

(Enclosure 2 to this document) of the COUNTERFEIT MATERIEL PROCESS GUIDEBOOK, Office of the Assistant Secretary of the Navy (Research, Development & Acquisition) Acquisition and Business Management June 2017. However, Enclosure 2 was not provided with the Solicitation nor was it provided under the list of attachments under Section J.

Will the Government please provide the referenced Enclosure?

Answer: Section C, Part 12. COUNTERFEIT MATERIAL PREVENTION is not applicable to this procurement and is hereby removed in N6449820R4006 Amendment 0001.

13. Page 55, Section F: Shows delivery information of 11 Dec 2019 to 10 Dec 2020. What is the expected award date?

Answer: See answer #5.

14. Page 55, Section F lists 12/11/2019 as the start date for the period of performance. Would the Government please provide an updated start date?

15. Page 55. Delivery Information. Section F indicates the period of performance for CLIN 0001 is listed as 11 December 2019 through 10 December 2020. Can the Government please clarify the period of performance dates?

16. Page 62, G-216-H003, C.2.g Paragraph G-216-H003, C.2.g on page 62 indicates the Small Business objective at the basic contract level is listed as follows: (g) Small business participation objectives will be identified in each solicitation. The objective for individual requirements may differ from the 20% small business participation objective at the basic contract level. However, the SBPCD objective is listed as 40%. Can the Government please confirm that the Small Business objective for this Solicitation will be 20% at the basic contract level?

Answer: G-216-H003 is a minimum NAVSEA general requirement of 20%. However, L.3.3.3 Subfactor 2C requires the Offeror’s plan to meet or exceed the baseline Minimum Quantitative Requirement (MQR) for small business participation equal or greater than 40% of the Total Contract Value (TCV). The proposal will be evaluated as stated in SUBFACTOR 2C. SMALL BUSINESS PARTICIPATION COMMITMENT.

17. Sec. L.3.3.3 Subfactor 2C – Small Business Subcontracting Commitment (page 115):

The names of small business subcontractors to be utilized; the products/services that the small business subcontractors shall provide; the Offeror’s plan to meet or exceed the baseline Minimum Quantitative Requirement (MQR) for small business participation equal or greater than 40% of the Total Contract Value

(TCV).

Sec. G – Contract Administration Data, G-216-H003 Ordering Process for Multiple Award Contracts, (c)(2)(g) (page 62): Small business participation objectives will be identified in each solicitation. The objective for individual requirements may differ from the 20% small business participation objective at the basic contract level.

Answer: G-216-H003 is a minimum NAVSEA general requirement of 20%. However, L.3.3.3 Subfactor 2C requires the Offeror’s plan to meet or exceed the baseline Minimum Quantitative Requirement (MQR) for small business participation equal or greater than 40% of the Total Contract Value (TCV). 18. Page 78. Section I, FAR Clause 52.222-41, Service Contract Labor Standards. Section I indicates that FAR 52.222-41, Service Contract Labor Standards is applicable to this Solicitation, however, the Wage Determination Schedules were not provided. Can the Government please confirm that 52.222-41 is not applicable to this Solicitation?

Answer: 52.222-41 is not applicable to this Solicitation.

19. On page 78 of the RFP (Section I, Contract Clauses – CLAUSES INCORPORATED BY REFERENCE), FAR 52.222-41, Service Contract Labor Standards, is included in the list. Can you please confirm this contract will be wage determined? If it is wage determined, can you please provide a copy of the wage determination(s) that apply and which wage determination labor category correlates to each labor category listed in the Level of Effort Table provided on Page 3 of the RFP?

Page 103 of 138, Section J – List of Documents, Exhibits and Other Attachments, does not include an applicable wage determination schedule.

Would the Government please provide the applicable wage determination schedule?

21. On page 78 of the RFP (Section I, Contract Clauses – CLAUSES INCORPORATED BY REFERENCE), FAR 52.222-41, Service Contract Labor Standards, is included in the listing. Can you please confirm this contract will be wage determined? If it is wage determined, can you please provide a copy of the wage determination(s) that apply and which wage determination labor category corelates to each labor category listed in the Level of Effort Table provided on Page 3 of the RFP?

Answer: Same as answer #20.

22. Page 78, Section I references 52.222-41 Service Contract Labor Standards. Will the Government please confirm that this contract is subject to SCLS? If so, will the Government please provide the appropriate Wage Determination?

Answer: Same as answer #20.

23. Page 108, Section K, Clause 252.234-7001: This clause requires offerors to provide documentation that the Cognizant Federal Agency (CFA) has determined the offeror has a compliant Earned Value Management System (EVMS). As a Small Business, we do not have an EVMS, nor have we had the need or requirement to have this. We also believe there are very few Small Businesses that meet this requirement. We request the Government consider eliminating this requirement for Small Business offerors, as inclusion of this requirement will unduly limit Small Business participation.

Answer: This clause is required based on the prescription and cannot not be removed.

24. Page 103, Section J lists Exhibit A. Will the government please provide Exhibit A?

Answer: Exhibit A. Contract Data Requirements List, DD Form 1423 has been attached to the RFP in beta.SAM.gov.

26. Page 110 of 138, Section L.1.2 Submission of Questions and Comments, states “the deadline for receipt of questions is three weeks after date of solicitation issuance.”

Page 131 of 138, Section L-215-H007 SUBMISSION OF QUESTIONS BY OFFERORS—ALTERNATE I (NAVSEA) (MAR 2019), paragraph (b), states “the deadline for receipt of questions is 15.”

Would the Government please clarify the deadline for receipt of questions?

Answer: All questions received for this solicitation are hereby answered in N6449820R4006 Amendment 0001 regardless the date that the question was received.

27. Page 111, Section L.2.2: It states here that proposals are to be delivered by mail to the recipient in Block 7 of the front page of the solicitation. Will the Government accept hand-delivered proposals to the address shown in Block 7? If hand-delivery is not acceptable, how will offerors receive confirmation/receipt of delivery?

Answer: Yes. Hand-delivery is acceptable per Block 9, which reads: “Sealed offers in original and 3 copies for furnishing the supplies or services in the Schedule will be received at the place specified in Item 8, or if hand carried, in the depository located in Block 7.”

28. Page 112, Section L.2: The table here shows an Original and 1 Hard Copy each for Volumes I-IV, with 1 Original and no hard copies for Volume V. Block 9 of the cover page of the solicitation says Original and 3 copies. What is the correct amount for each Volume?

Answer: SF33 Block 9 is correct requesting One Original and Three Copies for Volumes I-IV. Volume V requests One Original and One DC and no hard copies.

29. Page 112, SF33; L.3 The SF33 calls for 1 original and 3 copies, however Section L.3 calls for an original and 1 hard copy for Volumes I-IV and a CD for Volume V. Can the Government please clarify?

Answer: See answer #28.

30. Page 112, SF33; L.3 Section L.3 states “The proposal shall contain 4 separate volumes…” however, the table shows 5 volumes.

Can the Government please correct?

Answer: L.3 statement has been corrected to read five (5) volumes.

31. Page 113, Section L, Paragraph L.1.3, Item 6(h): This paragraph requires submission of most recent approvals for the offeror’s cost accounting disclosure statement and the Offeror’s purchasing system. As a Small Business, we are generally not required to comply with Cost Accounting Standards, to include the cost accounting disclosure statement. Further, as a Small Business service provider, we have not had the need for an approved purchasing system. We believe there are very few Small Businesses that meet these requirements. We request the Government consider eliminating these requirements for Small Business offerors, as inclusion of this requirement will unduly limit Small Business participation.

Answer: Small businesses are not exempt from having adequate accounting systems and purchasing system reviews, these are separate from CAS requirements and required when applicable. FAR does not authorize to remove these requirements.

32. Page 115, L.3.3.3.1, All Offerors (including small business Offerors) shall submit a Small Business Participation Commitment Document provided as Attachment 3, and signed letters of commitment/intent for each proposed subcontractor listed on the SBPCD. The Attachment 3 that was provided with the Solicitation was the DD254. Can the Government please clarify the Attachment number and provide the SBPCD attachment?

Answer: Attachment 5 - Small Business Participation Commitment Document has been uploaded in beta.SAM.gov.

33. Page 115, L.3.3.3.1 states that “All Offerors (including small business Offerors) shall submit a Small Business Participation Commitment Document provided as Attachment 3…” A SBPCD was not provided as an attachment to the solicitation. Will the government please provide this document?

Answer: Attachment 5 - Small Business Participation Commitment Document has been uploaded in beta.SAM.gov.

34. Page 115, Section L.3.3.3.1: Offerors are required to submit signed letters of commitment for each proposed subcontractor listed in the SBPCD. Are the subcontractors listed here to include all subcontractors or only those who qualify as small business concerns?

Answer: The solicitation its clear on its face.

35. Page 115, Section L.3.3.3.1: Offerors are required to submit signed letters of commitment for each proposed subcontractor listed in the SBPCD. Are signed teaming agreements acceptable to meet this requirement?

Answer: The letter of commitment/intent shall detail the teaming agreement between the prime contractor and each proposed subcontractor(s).

36. Soliciation Page Number: 115 Section: L.3.3.2 SUBFACTOR 2B: CORPORATE EXPERIENCE After reviewing section L.3.3.2 Subfactor 2B: Corporate Experience, it appears there is an overlap and similiarity to the requirement stated in L.3.4 Volume IV: Factor 3 – Past Performance, specifically in providing no more than 3 corporate experience/past performance examples with the below information:

Offerors should provide the following information:

Could the government please elaborate on the expectation of the corporate experience narrative requirement and the difference from the expected information required in L.3.4 Volume IV: Factor 3 Past Performance?

37. Page 115, Section L.3.3.2 states that offerors “Provide no more than 3 corporate experience examples…” Is it the government’s intent that these three examples be the same as the relevant contracts provided in Past Performance? Or can the offeror reference corporate experience from outside the 3 contracts provided as Past Performance?

38. Page 119, Section L.3.5.4: Under Supporting Cost Data, there is a reference to “Attachment X, Supporting Cost Data.” This attachment is not listed in Section J. Page 120 also references an Attachment X, although it is identified as Cost Summary Format. Please clarify.

Answer: Both references have been corrected in this amendment to reference the following:

Attachment 1. Direct Labor Rate Substantiation Sample Format Chart Attachment 2. Cost Summary Format Spreadsheet

39. Page 119, Section L.3.5.4: Under Direct Costs, Item 1, the solicitation states to provide name, title, and actual hourly rate for each individual proposed for the labor categories identified in the SOW. Does this apply to Key Personnel only? If this applies to non-key, is it the intent that the offeror provides a single name for each non-key labor category, or is the government expecting to see at least one name key labor category has 13,440 hours, which equates to 7 FTEs, are we to provide 7 different names and rates?

Answer: Section L.3.5.4, Direct Cost applies to all labor rates proposed instructions are clear on its face.

40. Page 122, L.3.5.4, Section II Section L.3.5.4 Section II Supporting Cost Data Subcontracting Costs/Consultants (page 122 bullets 2 and

3) states, “If the proposed subcontract type is cost reimbursement, time and materials, or labor hour, provide a copy of the most recent DCAA audit report identifying the accounting system as acceptable, or the most recent DCMA letter identifying its accounting system as adequate.” FAR 16.301-3 Limitations, Item (a)(3) states that a limitation to using cost-reimbursement contract may be used only when: “The contractor’s accounting system is adequate for determining costs applicable to the contract or order.” There is no such limitation identified in Subpart 16.6 Time-and-Materials, Labor Hour, and Letter Contracts or in Subpart 16.207-1 Firm-fixed-price, level of-effort term contracts. Can the Government please provide documentation that substantiates that all non-FFP subcontracts with subcontractors require the subcontractor to have an adequate cost accounting system?

Answer: Please refer to DFARS 242.75.

41. Page 122, Based on the parameters of an IDIQ contract, it is impossible to propose Firm Fixed Price Subcontracts when the Task Order Statement of Work is undefined prior to subsequent Task Order RFQs/Awards. Based on the associated risk with Firm Fixed Price Subcontracts, the ability to utilize Small Business Subcontractors would be limited. Would the Government please reconsider the Subcontract type (i.e., FFP/LOE, Time & Materials, Labor Hour) for Small Businesses that do not have a DCMA approved accounting system?

Answer: No. DFARS 242.75 requirements can’t be modified.

42. Page 122, Section L.3.5.4 Section II Supporting Cost Data Subcontracting Costs/Consultants (bullet 4) states, “When subcontracting on a labor hour subcontract type basis to contractors who do not have an adequate accounting system, if the hours are recorded in the prime's cost accounting system (determined to be adequate) and the prime will provide oversight on the subcontractor's labor hours, then this would be an acceptable alternative for the subcontractor to meet the requirement of having an adequate accounting system to hold a labor hour contract.” While a Labor Hour Subcontract type would be an alternative to FFP, it does not allow for the purchase of materials required for the task. Would the Government consider a Time and Material Subcontract with no burdens applied to the material portion if the Subcontractor does not have an adequate accounting system?

Answer: No. The solicitation is clear on its face. Refer to DAR 16.207.

43. Page 123, Section L.3.5.4, Indirect Costs: With respect to utilizing a Forward Rate Pricing Agreement (FRPA) as the basis for indirect rates, will the Government accept a FRPA that has been submitted to DCAA for approval but not yet been approved?

Answer: Yes. The Government accepts a FRPA that has been submitted to DCAA for approval but not been approved. However, the Government will use the most current information available when performing Cost Realism.

44. Page 129, Clauses Incorporated by Full Text includes Section L-215-H004 Instructions for Pricing of Contract Data Requirements List (NAVSEA) (OCT 2018). This clause requires that offerors price out each CDRL, however CDRLs were not provided with the RFP. Would the Government please clarify this request?

Answer: Exhibit A. Contract Data Requirements List, DD Form 1423 has been attached to the RFP in beta.SAM.gov.

- SECTION II SUPPORTING COST DATA

Supporting cost data shall be submitted in the format at Attachment 1, Direct Labor Rate Substantiation Sample

Format Chart, and as required herein. Omitted data may result in Government assumptions regarding the omitted data. A conservative approach using the maximum the Government may experience under the assumption may be used; therefore, the Offeror is encouraged to submit as complete a disclosure of their pricing methodologies as they deem appropriate.

For each cost element (labor hours, direct rates and indirect rates) the Offeror must address the following 4 questions:

1) What is the Estimate?

2) How was the estimate derived?

3) What is the estimate based on?

4) Why is the estimate reasonable?

2) To substantiate proposed labor rates, the Offeror and each subcontractor shall provide a screen-capture of its most current payroll register (or equivalent payroll data) for each identified name in the Offeror’s proposal. If there is no payroll data available for one or more of the individuals proposed, the Offerors shall provide payroll data for a comparable position and a brief analysis of how the proposed position is comparable to the position corresponding to the payroll data supplied. When proposed labor rates are based on a Forward Pricing Agreement (FPRA) with the Government, the FPRA shall be provided and the specific labor categories in the FPRA used as a basis of estimate shall be identified in this proposal’s supporting documentation. Any additional supporting documentation may be provided at the Offeror’s discretion. The proposed rates provided in this attachment must be the exact rates utilized in the pricing Section B, proposed in the cost analysis narrative, and provided in the Cost Summary Format

(Attachment (2)). When an individual’s proposed rate is different than the actual incurred rate provided on the screen-capture, the Offeror shall explain the reason for the difference in the narrative (e.g., escalation, uncompensated overtime), include the formula applied on the actual rate that resulted in the proposed rate, and reference its proposal pages which support the rates/percentages used in its formula.
