QUESTIONS & ANSWERS

ANNOUNCEMENT N62742-19-R-0101

IDIQ CONTRACT FOR ARCHITECT-ENGINEER SERVICES FOR VARIOUS UTILITY

SYSTEMS STUDIES AT VARIOUS LOCATIONS IN ALL AREAS UNDER THE

COGNIZANCE OF NAVFAC PACIFIC

NOTE: The following questions and answers are provided for INFORMATION ONLY. The announcement remains unchanged unless it is modified in writing.

1. If we form a JV, does the combined revenues of the two firms still need to fall under the Small Business limits?

ANSWER: The size regulations no longer combine the receipts or employees of the joint venture partners. Consequently, with the exception of an SBA approved mentor-protégé relationship, each joint venture partner must be a small under the size standard corresponding to the NAICS code assigned to the contract. For example, if the size standard is $7 million and each joint venture partner’s size is determined to be $6 million, the JV would be deemed small as each JV partner is small under the applicable $7 million size standard.

2. Does the JV have to officially be formed prior to the solicitation date? Or, will it be able to be formed after selection? We also know that legally establishing a Joint Venture (forming corporate documents, filing with the State, etc.) will take some time, longer that we have prior to the submission deadline. Therefore, we were wondering if we would be able to submit the SF330s stating our intention to form a JV if we get selected. Or, does the JV have to be established prior to submitting the SF 330? If the former, would the SF 330 Part II be a combined Part II or would we have to still do separate Part IIs for the JV firms? The subs will submit their own Part IIs.

ANSWER: As stated in the synopsis, SF330 SUBMISSION REQUIREMENTS, "FIRMS WHO ARE

OFFERING AS A JOINT VENTURE SHOULD INCLUDE WITH THEIR SUBMISSION A COPY OF

THE JOINT VENTURE AGREEMENT. FAILURE TO INCLUDE THE JOINT VENTURE

AGREEMENT MAY RESULT IN THE FIRM’S ELIMINATION FROM FURTHER EVALUATION."

Please also review the SF 330 Instructions. The SF330 Specific Instructions state that "An authorized representative of a joint venture or the prime contractor must sign and date the completed form." The SF 330 General Instructions state "Prepare a separate Part II for each firm that will be part of the team proposed for a specific contract and submitted with Part I."
