About this file
This is a Justification and Approval (J&A) document for a sole source contract award by the Department of the Navy, Naval Facilities Engineering Systems Command Southwest (NAVFAC SW).
NAVFAC SW seeks to award a contract to Eaton Corporation on a sole source basis for emergency repairs to prime power generation facilities at San Nicolas Island (SNI), Naval Base Ventura County, to restore reliable power generation capacity supporting critical naval operations. The scope of work includes comprehensive replacement, repair, and reconditioning of multiple diesel generator units at Power Plant SN114; replacement of failed or obsolete electrical and mechanical components; testing, commissioning, and certification of generators to meet UFC 3-540-01 standards; and associated ancillary work including controls integration, safety upgrades, and environmental compliance measures. All work must be completed within twelve months from award and will be funded with Fiscal Year 2026 Operations & Maintenance, Navy (O&M,N) appropriations.
The procurement is justified under 10 U.S.C. Section 3204(a)(2) and FAR 16.505(b)(2)(i)(A) due to extreme urgency that would result in unacceptable delay if full and open competition procedures were followed. SNI's power generation capabilities are severely degraded, jeopardizing radar, telemetry, and range operations essential to naval mission readiness. Eaton is the only contractor with requisite in-depth knowledge, technical expertise, and immediate availability. Eaton's qualifications include prior established presence on SNI, proven success under prior contract N6247323D3601, and specialized knowledge of SNI's power generation systems, including proprietary service history and specialized tooling. Fair opportunity procedures would cause unacceptable delays of six to nine months. The Contracting Officer has determined the anticipated cost will be fair and reasonable. A synopsis was not published due to unusual and compelling urgency per FAR 5.202(a)(2) and FAR 6.302-2.

DEPARTMENT OF THE NAVY
NAVAL FACILITIES ENGINEERING SYSTEMS COMMAND SOUTHWEST
750 PACIFIC HIGHWAY
SAN DIEGO CA 92132-5190
J&A No. 26-04-2
JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Department of the Navy, Naval Facilities Engineering Systems Command Southwest
(NAVFAC SW), Facilities Engineering Acquisition Division, Naval Base Ventura County
(NBVC), Point Mugu, California.
2. Description of the Action Being Approved.
Award of a contract on a sole source basis to Eaton Corporation (Eaton) for emergency repairs to prime power generation facilities at San Nicolas Island (SNI) to restore reliable power generation capacity supporting critical Naval Base Ventura County operations.
3. Description of Supplies/Services.
This project provides emergency repairs to critical power plant generators at San Nicolas
Island Facility SN114. The contractor will perform inspection, troubleshooting, component replacement, and overhaul necessary to restore the generators to full operational condition.
The work includes:
• Comprehensive replacement, repair, and reconditioning of multiple diesel generator units;
• Replacement of failed or obsolete electrical and mechanical components;
• Testing, commissioning, and certification of generators to meet UFC 3-540-01 standards;
• Associated ancillary work including controls integration, safety upgrades, and environmental compliance measures.
The estimated value of this contract action is . The work will be funded with Fiscal
Year 2026 Operations & Maintenance, Navy (O&M,N) appropriations. All work required for this contract action shall be completed within twelve months from award.
4. Statutory Authority Permitting Other Than Full and Open Competition.
The proposed action will be conducted without providing for full and open competition pursuant to the authority of 10 U.S.C. Section 3204 (a)(2), as implemented by FAR
16.505(b)(2)(i)(A), which allows exceptions to the fair opportunity process if the agency need for the supplies or services is so urgent that providing fair opportunity would result in unacceptable delay.
5. Rationale Justifying Use of Cited Statutory Authority.
This procurement is justified under FAR 16.505(b)(2)(i)(A) due to the extreme urgency of this requirement and to prevent catastrophic loss of operations at San Nicolas Island (SNI), a critical support facility for Pacific Fleet test and training. SNI's power generation capabilities are severely degraded due to multiple failed generators at Power Plant SN114, jeopardizing radar, telemetry, and range operations essential to naval mission readiness.
Only Eaton possesses the requisite in-depth knowledge, technical expertise, and immediate availability to rapidly restore power generation.
NAVFAC SW has determined that no other company has the knowledge and technical capability to repair the SNI powerhouse in accordance with the complex technical requirements in a timely manner. Eaton's unique qualifications include:
• Prior established presence on SNI.
• Proven success under prior contract N6247323D3601, demonstrating familiarity with
SNI's logistics and barging conditions for necessary supplies and materials.
• Specialized knowledge of SNI's power generation systems, including proprietary service history, specialized tooling, and technical expertise not available from other sources. Eaton provided the assessment report used to develop the current scope of work.
Utilizing FAR Part 16 fair opportunity procedures would cause unacceptable delays of at least six to nine months due to solicitation, proposal development, evaluation, and award. This delay would result in unacceptable risk to Navy operations. Examples of unacceptable risk to
Navy operations include jeopardizing upcoming exercises, delaying deployments, and compromising national security. Eaton is willing and able to commence work immediately, possesses the necessary bonding capacity, and has a proven track record of successful contract performance on SNI. A synopsis was not published due to the unusual and compelling urgency as outlined in FAR 5.202(a)(2) and FAR 6.302-2.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
Due to the extreme urgency of this requirement as noted above, compliance with FAR 5.201 and
203 timeframes would seriously injure the Government. Efforts to identify alternative sources revealed no other contractors with the required experience, island access, and immediate availability to perform. In accordance with FAR 5.202(a)(6), the planned action is exempt from synopsis requirement period. The approved JA will be posted in accordance with FAR 6.305(b).
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in paragraph 5, NAVFAC SW has no plans at this time to compete future contracts for the types of services covered by this document. If another potential source emerges, NAVFAC SW will assess whether competition for future requirements is feasible.
