(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.
(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).
52.209-9 UPDATES OF PUBLICLY AVAILABLE INFORMATION REGARDING RESPONSIBILITY
MATTERS (JULY 2013)
(a) The Contractor shall update the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) on a semi-annual basis, throughout the life of the contract, by posting the required information in the System for Award Management database via https://www.acquisition.gov.
(b) As required by section 3010 of the Supplemental Appropriations Act, 2010 (Pub. L. 111-212), all information posted in FAPIIS on or after April 15, 2011, except past performance reviews, will be publicly available. FAPIIS consists of two segments--
(1) The non-public segment, into which Government officials and the Contractor post information, which can only be viewed by--
(i) Government personnel and authorized users performing business on behalf of the Government; or
(ii) The Contractor, when viewing data on itself; and
(2) The publicly-available segment, to which all data in the non-public segment of FAPIIS is automatically transferred after a waiting period of 14 calendar days, except for--
(i) Past performance reviews required by subpart 42.15;
(ii) Information that was entered prior to April 15, 2011; or
(iii) Information that is withdrawn during the 14-calendar-day waiting period by the Government official who posted it in accordance with paragraph (c)(1) of this clause.
(c) The Contractor will receive notification when the Government posts new information to the Contractor's record.
(1) If the Contractor asserts in writing within 7 calendar days, to the Government official who posted the information, that some of the information posted to the non-public segment of FAPIIS is covered by a disclosure exemption under the Freedom of Information Act, the Government official who posted the information must within 7 calendar days remove the posting from FAPIIS and resolve the issue in accordance with agency Freedom of Information procedures, prior to reposting the releasable information. The contractor must cite 52.209-9 and request removal within 7 calendar days of the posting to FAPIIS.
(2) The Contractor will also have an opportunity to post comments regarding information that has been posted by the Government. The comments will be retained as long as the associated information is retained, i.e., for a total period of 6 years. Contractor comments will remain a part of the record unless the Contractor revises them.
(3) As required by section 3010 of Pub. L. 111-212, all information posted in FAPIIS on or after April 15, 2011, except past performance reviews, will be publicly available.
(d) Public requests for system information posted prior to April 15, 2011, will be handled under Freedom of Information Act procedures, including, where appropriate, procedures promulgated under E.O. 12600.
(End of clause)
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JAN 2017)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.
Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
A. BASIS FOR AWARD
1. The Government reserves the right to eliminate from consideration for award any or all offers at any time prior to award of the contract; to negotiate with offerors in the competitive range; and to award the contract to the offeror submitting the lowest priced, technically acceptable offer.
2. As stated in the solicitation, the Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In addition, if the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
3. The LPTA process is selected as appropriate for this acquisition because the best value is expected to result from selection of the technically acceptable proposal with the lowest evaluated price.
4. An overall non-price factors rating must be at least “ACCEPTABLE” in order to be eligible for award. An “UNACCEPTABLE” rating in any factor results in the overall non-price factors proposal being rated “UNACCEPTABLE” unless corrected through discussions. An overall non-price factors rating of “UNACCEPTABLE” makes a proposal ineligible for award.
B. SAFETY EVALUATION
1. Per NFAS 15.304(d), solicitations utilizing source selection procedures for procurements within the 50 United States, the District of Columbia, and outlying areas shall contain a standard “Safety” technical evaluation factor. This factor shall be included as a stand-alone evaluation factor and not as a sub-factor or an element of the Past Performance evaluation factor. This action will result in the selection of contractors that have consistently demonstrated a commitment to safety and the ability to properly manage and implement safety procedures for themselves and all tiers of subcontractors under their purview.
2. The safety evaluation has three elements: Experience Modification Rate (EMR) and Occupational Safety and Health Association (OSHA) Days Away from Work, Job Restriction, or Transfer (DART) Rate; and Technical Approach to Safety.
3. The safety elements should be collectively considered and then assigned an overall adjectival rating for the safety factor. The board will need to make a qualitative determination of the rating for safety taking into account the risk ratings for EMR, DART and the subjective evaluation of the narrative.
C. ADJECTIVAL RATINGS/DESCRIPTIONS
Each offeror’s technical factors and past performance will be evaluated separately. Upon the conclusion of the evaluation of the technical factors and past performance, an overall non-price factors rating of Acceptable (A) or Unacceptable (U) will be assigned to each offeror’s non-price factors proposal.
1. The following adjectival ratings and rating descriptions will be used to assign a rating to each technical factor. Use upper case letter ratings for major technical factor ratings. The addition of plus (+) or minus (-) to an adjective rating is not allowed.
Table A-1. Technical Acceptable/Unacceptable Rating Method
Adjectival Rating Description
Acceptable (A) Proposal meets the minimum requirements of the solicitation.
Unacceptable (U) Proposal does not meet the minimum requirements of the solicitation.
The weaknesses and/or deficiencies (as defined below) of each proposal for each non-price evaluation factor which influenced the assigned adjectival rating shall be identified.
Definitions
Weakness A flaw in the proposal that increases the risk of unsuccessful contract performance.
Significant Weakness
A flaw that appreciably increases the risk of unsuccessful contract performance.
Deficiency A material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.
2. PAST PERFORMANCE EVALUATION
Past Performance shall be evaluated when using the LPTA process, unless waived by the PCO in accordance with FAR 15.101-2(b). Past performance will be rated on an “acceptable” or “unacceptable” basis using the ratings in the following table:
Table A-2. Past Performance Evaluation Rating Method
Adjectival Rating Description
Acceptable (A) Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below.)
Unacceptable (U) Based on the offeror’s performance record, the Government does not have reasonable expectation that the offeror will be able to successfully perform the required effort.
Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability a neutral rating shall be considered “acceptable.”
(a) Aspects of Past Performance Evaluation. The past performance evaluation results is an assessment of the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance information that pertain to the products and/or services outlined in the solicitation requirements. There are two aspects of the past performance evaluation.
(1) The first is to evaluate whether the offeror’s present/past performance is relevant or not relevant to the effort to be acquired. The criteria to establish what is relevant is unique to each LPTA source selection. For this solicitation, the minimum relevancy requirements are as follows:
(i) A government or commercial contract/project or task order that was at least 51% self-performed by the offeror as the prime contractor;
(ii) At least 50% complete within the last five (5) years from the issue date of the
RFP;
(iii) A total award value of $2 million or more;
(iv) For each project submitted, offeror shall demonstrate experience in Technical Annex 1503010 – Janitorial Services. At least one project submitted for experience shall be for Janitorial Services in a Hospital and/or Clinic similar to the buildings identified in this solicitation. The submitted project that demonstrates experience for Janitorial Services in a Hospital and/or Clinic similar to the buildings identified in this solicitation shall also include experience with Joint Commission on Accreditation of Healthcare Organizations
(JACHO).
(2) The second aspect of the past performance evaluation is to determine how well the contractor performed on the contracts. The past performance evaluation performed in support of a current source selection does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts.
(b) SSEB members will review past performance information to determine the quality and usefulness as it applies to the performance confidence assessment.
D. EVALUATION FACTORS FOR AWARD
1. The solicitation requires the evaluation of price and the following non-price factors:
Factor 1 – Recent, Relevant Experience of the Firm Factor 2 – Technical Approach Factor 3 – Management Plan Factor 4 – Safety Factor 5 – Past Performance on Recent, Relevant Projects
The distinction between corporate experience and past performance is corporate experience pertains to the types of work and volume of work completed by a contractor that are comparable to the types of work covered by this requirement, in terms of size, scope, and complexity. Past performance pertains to both the relevance of recent efforts and how well a contractor has performed on the contracts.
Proposals will be initially screened for price and placed in order of price (lowest price to highest price).
The Government will then evaluate the non-price factors of the three (3) lowest priced proposals in accordance with the criteria of acceptability set forth in the solicitation. However, the Government, at its sole discretion, reserves the right to increase the number of proposals it will review under this methodology. If one (1) of those proposals is technically acceptable, and if the price is determined to be reasonable in the price evaluation, the Government will make an award to that offeror with the lowest price. If there is no technically acceptable proposal, the next group of three (3) proposals will continue to be evaluated in the order of lowest price to highest price until one (1) has been determined to be technically acceptable. Accordingly, under this methodology, the non-price factors of some proposals may not be evaluated by the Government. If discussions are deemed necessary by the Contracting Officer, all proposals will be evaluated (both non-price and price) for the purpose of establishing a competitive range.
2. The relative order of importance of the non-cost/technical evaluation factors is the non-price/technical factors (Factors 1, 2, 3 & 4) are of equal importance to each other and, when combined, are equal in importance to the past performance evaluation/performance confidence assessment factor (Factor 5).
Options. The Government will evaluate offers for award purposes by adding the total price for the base requirement/base period and all option periods for a grand total price. The Government may determine that an offer is unacceptable if the basic requirement price and option prices are significantly unbalanced. Evaluation of proposed option period prices shall not obligate the Government to exercise the option period(s).
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
3. Basis of Evaluation and Submittal Requirements for Each Factor. Proposals submitted in response to this solicitation shall be formatted as follows, in the number of copies stated:
Submit original and four (4) copies of the Technical Proposal and Price Proposal. The proposal shall be submitted in two separate volumes (Volume 1 – Technical and Volume 2 – Price) with content as specified below:
(a) Price (Volume 2 – Submit original & four (4) copies):
(1) Solicitation Submittal Requirements: Submit original and four (4) copies. The price proposals will be evaluated to determine that proposed prices are reasonable, realistic, balanced, and complete. Price proposal shall be submitted in separate binders from the Technical Proposal, and clearly marked “Volume 2 – Price Proposal.” Include a separate tab for each item shown below:
TAB #1: Cover Letter, and Standard Form (SF) 1449 Solicitation/Contract/Order for Commercial Items (offeror to complete blocks 12, 17, 23, 24, and 30a thru 30c). Include telephone number, email address, Tax Identification Number (TIN), DUNS Number, Cage Code on the SF 1449, in block 17a. Include the following on the cover letter:

Electronic version shall be compatible with Microsoft Office 2010 with all formulas, calculations, and links to detail worksheets (if any) intact. Formulas, calculations, and links to detail worksheets (if any) that are not intact may cause an offeror's proposal to be rejected as unacceptable.
TAB #3: Completed Exhibit A, “Financial Questionnaire” from banking institution.
TAB #4: Copy of the Online Representations and Certifications from the System for Award Management, at the following website: www.sam.gov, including all completed applicable sections of the FAR Clause 52.212-3, Offeror Representations and Certifications – Commercial Items (Mar 2015).
TAB #5: If Offeror is proposing as a joint venture and/or mentor protégé, Offeror shall provide a copy of the joint venture agreement and if JV is a mentor protégé, a copy of the relevant mentor-protégé agreement approved by the Small Business Administration. Failure to submit these documents may cause an offeror's proposal to be rejected as unacceptable.
(2) Basis of Evaluation: The Government will evaluate price based on the total price, all FFP. Total price consists of the basic requirements and all option items (see Section B of the solicitation). The Government will evaluate all options and has included the provision FAR 52.217-5, Evaluation of Options (Jul 1990) in the solicitation. In accordance with FAR 52.217-5, evaluation of options will not obligate the Government to exercise the option(s). Analysis will be performed by one or more of the following techniques to ensure a fair and reasonable price:
(i) Comparison of proposed prices received in response to the RFP.
(ii) Comparison of proposed prices with the IGCE.
(iii) Comparison of proposed prices with available historical information.
(iv) Comparison of market survey results.
(3) A price that is found to be either unreasonably high or unrealistically low in relation to the proposed work may result in the overall proposal being considered unacceptable. Any inconsistency, whether real or apparent, between proposed performance and price shall be clearly explained in the price proposal. For example, if unique and innovative approaches are the basis for an apparently unbalanced/ inconsistently priced proposal, the nature of these approaches and their impact on price shall be completely documented. The burden of proof of price reasonableness rests solely with the offeror. If required, the Government may conduct a price realism analysis which will address whether prices are realistic in relation to the work to be performed, reflect a clear understanding of the requirements, and are consistent with other portions of the offeror’s proposal. Proposals will be analyzed for unbalanced pricing; an offer may be rejected if the Contracting Officer determines that a lack of balanced pricing poses an unacceptable risk to the Government.
(b) Non-cost/price Factors (Volume 1 – Submit original & four (4) copies)):
(1) Solicitation Submittal Requirements: Submit original & four (4) copies. Technical proposal copies shall be submitted in three ring binders separate from price proposals, and clearly marked: “Volume 1 – Technical Proposal.” The technical proposal shall address each evaluation Factor in accordance with the criteria shown below under Factors 1 through 5. Provide a separate tab within Volume 1 for each factor shown below:
Tab #1: Factor 1 – Recent, Relevant Experience of the Firm Tab #2: Factor 2 – Technical Approach Tab #3: Factor 3 – Management Plan Tab #4: Factor 4 – Safety Tab #5: Factor 5 – Past Performance on Recent, Relevant Projects
(2) A copy of the Technical Proposal shall be placed on one (1) CD-ROM and inserted in the original Technical Proposal Binder – Volume 1.
(3) Failure to acknowledge any amendments to the solicitation may cause an offeror's proposal to be rejected as unacceptable.
(4) Submit the Technical Proposal on an 8 1/2” x 11” size paper, Times New Roman, and shall be either a 10 or 12 point font, single sided. The Evaluation Factors are as follows:
TAB #1: Factor 1 - Recent, Relevant Experience of the Firm:
