J&A No. 19-O3JA

ANNEX 1- JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Facilities Engineering Command (NAVFAC) Europe, Aftica, and Southwest Asia (EURAFSWA), Public Works Department (PWD), Sigonella

2. Description of the Action Being Approved.

Request approval to use other than full and open competition to award a modification to VALIANT/ALCA JV LLC to extend services under contract N62470-13-D-3004, Base Operations Support Services for Naval Air Station (NAS) Sigonella for a period of 1 Dec 2018 to 31 May 2019. This J&A is being requested because pricing was not obtained for the additional six months under FAR 52.217-8, Option to Extend Services (NOV 1999) was not evaluated as part of the initial contract evaluation.

3. Description of Supplies/Services.

Contract N62470- 13-D-3 004 provides all labor, supervision, management, tools, materials, equipment, facilities, transportation, incidental engineering, and other items necessary to provide base operating support services for U.S. Naval Air Station (NAS) Sigonella, Italy, and its outlying support sites by means of a combination firm fixed-price (FFP) and indefmite delivery-indefinite quantity (IDIQ) contract. The initial contract award was for a one-year base plus four one-year option periods for both recurring and non-recurring services in the amount of $27,976,908.00 (rounded). The current value of the contract is $31,536,525.00 (rounded) which expires on 30 Nov 2018.

The initial contract included the option clause 52.217-8, Option to Extend Services (NOV 1999) which allows the contracting officer to modify short extension(s) not to exceed six months to an existing contract for continued perfonnance of any services within the limits and at the rates specified in the contract. The total extension amount based on Option Year Four rates is $2,875,247.18 (Recurring Services) and $608,615.80 (Non-Recurring Services) for a total amount of $3,483,862.98.

Recurring services will be obligated on a task order effective 1 Dec 2018. Non-recurring service task orders will be awarded as necessary via contract task order for FedMall orders.

Operation and Maintenance, Marine Corps 19 $13,062.93 Non-Appropriated Funds n/a $12,107.52 Operation and Maintenance, Defense-Wide, Defense 19 $9,087.26

4. Statutory Authority Permitting Other Than Full and Open Competition.

This modification will be awarded pursuant to 10 U.S.C. 2304(c)(1), Only One Responsible source and No Other Supplies or Services Will Satisfy Agency Requirements, as implemented by

FAR 6.302-1.

5. Rationale Justifying Use of Cited Statutory Authority.

The follow on contract for this requirement was solicited through full and open competition as N62470-17-R-4002 and a contract was awarded as N62470-18-D-3010 on 30 Aug 2018. The period ofperformance for the new contract was to begin on 1 December 2018. On 24 Sep 2018, the Procuring Contracting Office (PCO) NAVFAC Atlantic was notified of a GAO post-award protest. On 1 Oct 2018, pursuant to NAVFAC Atlantic's request, GAO dismissed the protest so the government could take corrective action on the solicitation. The correction action required the government to re-evaluate the proposals received on contract N62470-17-R-4002. In order to maintain continuity of services until the corrective action is complete and a new award is made (or the existing award is re-affirmed), it is necessary to exercise the Extension of Services clause 52.217-8 of the current contract, N62470- 13-D-3 004, for a period of six months.

Currently, there are no other contract vehicles that could be used to meet the immediate requirement for the required services. If the current contract expires, there will be a severe loss of mission-essential maintenance and other services. Maintenance will cease for fuel distribution systems which are critical for operations at NAS Sigonella. All maintenance for facilities and installed equipment at the Naval Hospital, mission critical Air Force sites, support buildings, and clinics which serve over 4,000 personnel will cease. Risk to the lives ofpersonnel and sustainment of facilities will increase as maintenance for fire protection systems at 104 administrative and operational facilities will cease. Quality of life and public health will drastically decline due to a break in custodial service, solid waste management, grounds maintenance, pest control, and transportation services.

J&A No. 19-O3JA - Bridge of Contract N62470-13-D-3004 Page 2 of 5

Due to the urgency and the short duration, immediate competitive award of a contract would be impractical for both the Government and a contractor because of the length of time needed to complete the logistical and administrative tasks necessary to prepare, negotiate, and award a competed contract. VALTAINT/ALCA JV LLC has been providing base operation support services to NAS Sigonella successfully for the last five years. As such, VALIANT/ALCA JV LLC, has business infrastructure and personnel in place, base access authorizations for its vehicles and personnel, extensive knowledge of ongoing requirements, familiarity with key local individuals, facility layouts, and local operating and safety procedures. Any other contractor brought on board would require more time to fully establish the necessary operations and any gap in services would adversely impact the NAS Sigonella mission.

VALIANT/ALCA JV LLC is presently the only known company that can perform these services without interruption. VALIANT/ALCA JY LLC possesses the manpower and skill levels to provide required services without a learning curve or additional phase-in mobilization requirements. Award to any other source would result in substantial duplication of costs to the Government that is not expected to be recovered through competition and unacceptable delays in fulfilling the agency's requirements.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Pursuant to FAR 5.202(a)(1 1), the proposed contract action was synopsized on Navy Electronic Commerce On-Line and Federal Business Opportunities on 18 Jan 2013, under solicitation N62470-13-R-3004. The solicitation received six offerors; however, the extension of services was not priced or evaluated at time of initial contract award.

7. Determination of Fair and Reasonable Cost.

PWD Sigonella intends to award a modification to VALIANT/ALCA JV LLC in the amount of amount of $3,483,862.98 for a revised contract total of $35,020,387.48. Award of the subject contract was the result of a competitive procurement based on the best-value trade-off, price and other factors considered. The price proposal submitted by the contractor included pricing for the base performance period arid four option periods which comprised the total evaluated price against five other offerors. The total evaluated price proposed by the contractor was determined fair and reasonable and incorporated in the resultant contract award on 5 Jun 2013. The market conditions have not fluctuated or significantly changed to indicate that the total evaluated price accepted upon award is no longer fair and reasonable.

The Contracting Officer has determined the cost to the Government of the services covered by this J&A to be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

The follow on contract was solicited full and open competition as N62470- 17-R-4002 and was awarded as N62470-18-D-3010 on 30 Aug 2018. Due to GAO post-award protest and required PCO corrective action, the service start date of 1 Dec 2018 will not be met. The Contracting

Ofticer does not anticipate a need for future bridges, as this requirement will be satisfied once the corrective action is taken on solicitation N62470-17-R-4002.
