STATEMENT OF WORK

1.0 Machine Shop Support

1.1 Background

The Commander of Naval Meteorology and Oceanography Command (CNMOC) is responsible for the U.S. Navy Oceanographic Surveys, ocean Engineering and Environmental monitoring of the ocean floor. The Commanding Officer, Naval Oceanographic Office (NAVOCEANO) is responsible for executing the mission(s) in support of the U.S. Navy and Joint Department of Defense (DOD) requirements worldwide. The Ocean Projects Department (N9) is responsible for procuring, operating and maintaining the Autonomous Underwater Vehicles (AUV) used in support of DOD requirements. The Office of Naval Research (ONR) was originally tasked with the requirement to develop a full ocean depth capability to obtain oceanographic, optical, bathymetry, and sub-bottom data from a non-tethered device in order to meet present and emerging naval requirements. ONR contracted with Woods Hole Oceanographic Institution (WHOI), a private, non-profit research and higher education organization to develop the initial Semi-Autonomous Mapping System (SAMS) vehicle. The SAMS vehicle has developed into the 6000-meter depth rated Remote Environmental Monitoring UnitS (REMUS-6000) AUV. The primary purpose of the machine shop support contract is to assist NAVOCEANO Ocean Projects Department, Autonomous Underwater Vehicle Branch by providing precise fabrication of parts, sandblasting and painting, hydraulic support and welding services to the systems used in conducting underwater surveys. The contractor will provide management, labor, engineering support services, and technical assistance on an “as required basis.” Work performed under this contract will be accomplished primarily at the vendor’s location.

2.0 Scope

The contractor shall provide appropriate personnel who have detailed knowledge in general and advanced machine shop operations. Work will be of general and advanced machine shop work, which includes CNC Milling, CNC Lathe, manual Milling, manual Lathe work, CNC burning/welding, welding, hydraulics, electrical, millwright and other related items. Requirements shall include machining parts from Stainless Steel, Aluminum, Aluminum Alloys, Steel, and Titanium Alloys. Some of the material that will be used will weigh as much as 30,000 pounds; some of the CNC equipment needs to be capable of handling the weight.

3.0 Requirements

The contractor shall be prepared to supply any of the following services based on the Government requirement:

3.1 Contractor Skills

The Contractor must be capable of but not limited to the listed skills below:

· The contractor must be capable of manual milling, manual lathe, welding, millwright, and other related machining capabilities.

· The contractor must be capable of CNC Milling, CNC Lathe, CNC Burning, and CNC Welding.

· The contractor must have the ability to weld Stainless Steel, Aluminum, Aluminum Alloys, Steel and Titanium Alloys, the ability to do *certified welding on pressure housings, bar stock, and flat stock to “exact” tolerances based on Government Furnished drawings.

· The contractor must have the ability to sandblast and paint Launch and Recovery Systems, 20’ ISO Flat racks, deck plates, 20’ ISO and 40’ ISO shipping containers.

· The contractor must have the capability of working on, and storing 20’ and 40’ ISO shipping containers indoors, in a shop environment away from the outdoor elements.

· The contractor must be capable of supplying 480v 3phase power for the purpose of working on and testing of Launch and Recovery systems, 20’ shipping containers, and 40’ shipping containers.

· The contractor must be capable of disassembling and repairing launch and recovery systems and winches of all sizes.

· The contractor must have the ability to maintain, diagnose, rebuild, and repair complex hydraulic systems.

· The contractor must be capable of hydraulic cylinder rebuilding and fabrication.

· The contractor must have the ability to maintain, diagnose, rebuild, and repair complex electrical systems.

· The contractor must be capable of fabricating molds for 50lb lead weights used to support NAVO’s mission.

· The contractor must be International Traffic in Arms Regulations (ITAR) Compliant.

· The contractor must have the ability to hard anodize and seal both plate and tube 7075 T6511 aluminum surfaces according to MIL-A-8625, Type III, Class 1.

The contractor will need to be capable of sub-contracting the skills listed above that are not preformed at their facility. Any of the above skills that need to be sub-contracted, must be included in the machine shops submitted proposal.

3.2 Contractor Tooling Capabilities

The contractor must have at least but not limited to the machines listed below at their facility and operational:

· Manual Lathe up to 200” Bed with a 70” Swing

· Manual Mills

· CNC Vertical Mill up to X=60”, Y=30”, Z=20”

· CNC Lathe up to 80” Bed with a 24” Swing

· SMAW Welder

· GMAW Welder

· GTAW Welder

· Plasma ARC cutter

· CNC Burn Table

· Metal Shear capable of ¼” steel, or ½” Aluminum

· 20’ Trailer capable of hauling 20,000lbs

· Forklift 2,000lbs

· Forklift 30,000lbs

3.3 Repair Services

Tear down and quote for repair work will be required on some equipment, including but not limited to: hydraulic equipment (cylinders and gear boxes) and winches. A standard fee will be quoted for the tear down of the equipment and inspection of the damage. A proposal shall be submitted to the Government for evaluation and determination on whether repairs will be funded. This type of work will be quoted on a time and materials basis to do the repair work.

The contractor must have the capability to provide drafting support using the latest CAD standards and/or industry standards to be used for the following:

· For Mechanical drawings using the latest version of Solid Works, Gibbs CAM, and AUTO CAD 2007 to 2012.

· For Reverse Engineering of old parts.

· For Reworking and modification of existing drawings.

· For assembly drawings.

· For production drawings.

· The contractor must have the ability of printing black & white and color Drawings from A size to D size sheets.

· The contractor must have job management software to track jobs, for time and materials used for each job.

3.4 Priority of Assistance

The table below represents the Government expected performance metrics to ensure that the Government requirements are being met. The Government will use ANSI (American National Standards Institute) as a guideline to go by. The Contractor shall include a statement next to each type on how quality assurance will be upheld and maintained as each job is being preformed.

3.5 Disclosure of Information

Information made available to the contractor by the Government for the performance or administration of this effort shall be used only for those purposes and shall not be used in any other way without the written agreement of the Contracting Officer.

The contractor agrees to assume responsibility for protecting the confidentiality of Government records, which are not public information. Each contractor or employee of the contractor to whom information may be made available or disclosed shall be notified in writing by the contractor that such information may be disclosed only for a purpose and to the extent authorized herein.

3.6 Limited Use of Data

Performance of this effort may require the contractor to access and use data and information proprietary to a Government agency or Government contractor which is of such a nature that its dissemination or use, other than in performance of this effort, would be adverse to the interests of the Government and/or others.

Contractor and/or contractor personnel shall not divulge or release data or information developed or obtained in performance of this effort, until made public by the Government, except to authorize Government personnel or upon written approval of the Contracting Officer (KO). The contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as required in the performance of this effort. Nothing herein shall preclude the use of any data independently acquired by the contractor without such limitations or prohibit an agreement at no cost to the Government between the contractor and the data owner, which provides for greater rights to the contractor.

3.7 Payment for Unauthorized Work

No payments will be made for any unauthorized supplies and/or services or for any unauthorized changes to the work specified herein. This includes any services performed by the Contractor of their own violation or at the request of an individual other than a duly appointed Contracting Officer. Only a duly appointed Contracting Officer is authorized to change the specifications, terms, and conditions under this effort.

3.8 Contractor Personnel

The Contractor shall be responsible for managing and overseeing the activities of all Contractor personnel, as well as subcontractor efforts used in performance of this effort. The Contractor's management responsibilities shall include all activities necessary to ensure the accomplishment of timely and effective support, performed in accordance with the requirements contained in the statement of work. Resumes submitted for employees assigned to perform under this statement of work shall contain documented experience directly applicable to the functions to be performed. Further, these prior work experiences shall be specific and of sufficient variety and duration that the employee is able to effectively and efficiently perform the functions assigned.

3.9 Project Manager

The Contractor shall provide a Project Manager to facilitate Government-Contractor communications. The Project Manager shall be the primary technical and managerial interface between the Contractor and Contracting Officer (KO) and the Contracting Officer’s Representative (COR) located at Naval Oceanographic Office. The name of this person, and an alternate or alternates, who shall act for the contractor when the Manager is absent, be designated in writing to the KO. The Project Manager or alternate will have full authority to act for the contractor on all contract matters relating to daily operations.

The Project Manager or alternate must be available during normal duty hours, as specified herein and to meet with government personnel within 24 hours to discuss problems.

The Contractor's Project Manager shall meet with the KO/COR as necessary to maintain satisfactory performance and to resolve other issues pertaining to Government/Contractor procedures. At these meetings, a mutual effort will be made to resolve any and all problems identified. Written minutes of these meetings shall be prepared by the Contractor, signed by the Contractor's designated representative, and furnished to the Government within two (2) workdays of the subject meeting.

The Project Manager and alternate or alternates must be able to read, write, speak, and understand English.

4.0 Place(s) of Performance

Services may be provided off-site, on-site, or a combination of, depending on program requirements. However, the majority of the work will be performed at the Contractor’s facility, located within 75 miles from the Naval Oceanographic Office located at Stennis Space Center, MS. Onsite inspections are required during the machining of parts, testing of hydraulic equipment and inspections that need to take place at a moment’s notice. (A trip to and from the contractor’s facility can be completed during normal working hours 0700-1530.)

5.0 Deliverables/Deliverable Schedule

In fulfillment of this effort, the Contractor shall provide the following deliverables. All deliverables shall be submitted to the COR, unless otherwise agreed upon.

Unless otherwise specified, the Government will have a maximum of ten (10) working days from the day the draft deliverable is received to review the document, provide comments back to the contractor, approve or disapprove the deliverable(s). The contractor will also have a maximum of ten (10) working days from the day comments are received to incorporate all changes and submit the final deliverable to the Government. All days identified below are intended to be workdays unless otherwise specified.

Large items being transported may require a delivery charge due to the size and weight of the item being transported. This charge shall be included in the quote prior to work beginning. Some items will be delivered and picked up by the Government and other items will be the responsibility of the contractor. Proposed delivery schedule will be in the task order statement(s) of work and negotiated at the time of establishing the quote and listed in the individual delivery order(s).

Contractor is responsible for transportation to and from their facility, as well as any loading and unloading deemed necessary at their facility. As a minimum they shall have fork trucks with a load limit of 30,000 lbs., and/or crane capable of lifting 30,000 lbs. at 20 feet, and a flat bed truck or trailer capable of carrying 30,000 lbs. The contractor facility shall be located within 75 miles from the Naval Oceanographic Office at Stennis Space Center, MS.

6.0 General Acceptance Criteria

General quality measures, as set forth below, will be applied to each work product received from the contractor under this statement of work.

Accuracy ‑ Work Products shall be accurate in presentation, technical content, and adherence to accepted elements of style.

Clarity ‑ Work Products shall be clear and concise. Any/All diagrams and graphics shall be easy to understand and be relevant to the supporting narrative.

Consistency to Requirements ‑ All work products must satisfy the requirements of this statement of work.

File Editing ‑ All text and diagrammatic files shall be editable by the Government.

Format - Work Products shall be submitted in hard copy (where applicable) and in media mutually agreed upon prior to submission. Hard copy formats shall follow any specified Directives or Manuals.

Timeliness ‑ Work Products shall be submitted on or before the due date specified in this statement of work or submitted in accordance with a later scheduled date determined by the Government.

7.0 Quality Assurance

The COR will review, for completeness, preliminary or draft documentation that the Contractor submits, and may return it to the Contractor for correction. Absence of any comments by the COR will not relieve the Contractor of the responsibility for complying with the requirements of this work statement. Final approval and acceptance of documentation required herein shall be by letter of approval and acceptance by COR. The Contractor shall not construe any letter of acknowledgment of receipt material as a waiver of review, or as an acknowledgment that the material is in conformance with this work statement. Any approval given during preparation of the documentation, or approval for shipment shall not guarantee the final acceptance of the completed documentation. Further clarification on Quality Assurance will be specified at the task order level.

8.0 Administrative Considerations

8.1 Correspondence

To promote timely and effective administration, correspondence shall be subject to the following procedures:

Technical correspondence (where technical issues relating to compliance with the requirements herein) shall be addressed to the Contracting Officer’s Representative (COR) with an information copy to the Contracting Officer (KO) and the Contract Administrator (CA).

All other correspondence, including invoices, (that which proposes or otherwise involves waivers, deviations or modifications to the requirements, terms or conditions of this SOW) shall be addressed to the Contracting Officer with an information copy to the COR.

9.0 OTHER DIRECT COSTS / TRAVEL

9.1 Other Direct Costs (ODC’s)

ODC’s may be required for this task. After award, all ODC’s shall receive government COR approval prior to funds being expended. The contractor should include Other Direct Charges in their cost proposal to cover any costs associated with travel and/or other direct costs (ODC’s).

Some items will be delivered and picked up by the Government and other items will be the responsibility of the contractor. Proposed delivery schedule will be in the task order statement(s) of work and negotiated at the time of establishing the quote and listed in the individual task order(s).

9.2 Travel

The Contractor will be reimbursed for travel to provide support at a Government site or other site as may be specified and approved by the COR under this effort. All travel shall be approved, by the KO, prior to commencement of travel. The contractor shall be reimbursed for actual allowable, allocable, and reasonable travel costs incurred during performance of this effort in accordance with the Federal Travel Regulations currently in effective on date of travel.

10.0 Section 508 Compliance Requirements

Any/all electronic and information technology (EIT) procured through this effort must meet the applicable accessibility standards at 36 CFR 1194. 36 CFR 1194 implements Section 508 of the Rehabilitation Act of 1973, as amended, and is viewable at http://www.section508.gov.

11.0 Government Furnished Property/Information

Government Furnished Property (Material, Equipment, and/or Information), is to be provided together with required performance under this effort.

As determined by mutual agreement, the Government will provide additional property that may be required in the performance of this effort.

At the request of the Government, or at completion of this effort, the Contractor shall immediately return any Government-provided property, including any equipment, specialized or off-the-shelf software, and all other property provided by the Government for the Contractor to use to complete this effort.

Upon commencement of this effort, unless otherwise indicated, the Government will provide the following property to the Contractor:

11.2 Access to Government Facilities

The Contractor will be allowed limited access to the Government's facilities, as specified below:

The Contractor shall contact the COTR at least two hours before Contractor access is needed to the Government facilities. The Contractor will need to provide the date and times the contractor will be at the Government facilities and the name of all contractor personnel needing access to the Government facilities.

SAMPLE FABRICATION TEST PIECE

Contractor is to provide pricing and delivery of the fabrication test piece in accordance with the drawing incorporated herein to the address listed in Block 15, with attention given to the point of contact listed in Block 9 and be post marked by the date/time listed in Block 8.

Contractor shall build a test piece to the exact specifications of drawing SM-611306-02. Close attention shall be made to all specifications noted in drawing. Contractor shall submit a detailed itemized quote listing all billable labor hours, materials and parts for the drawing.

The sample fabrication quote and test piece will be evaluated under Factor 1:Technical Capabilities, SubFactor 3: Fabrication Quality of Test Piece in accordance with FAR Clause 52.212-2 EVALUATION –COMMERCIAL ITEMS incorporated herein by full text.

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Quotes will be evaluated based on the evaluation factors set forth in the RFP under FAR 52.212-2 Evaluation—Commercial Items. The factors are as follows:

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2013) ALTERNATE I (APR 2011)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via http://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue Code at 26 U.S.C. 7874.

“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern—

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
