The work performed on this contract will be within 100 miles from MARMC in Norfolk, Virginia.

1.2 Place of Performance. Preventative maintenance and repairs required under this contract shall be performed off-site unless the repair is minor and can be performed on-site without interference in base operations or environmental impacts. Craft availability will be based on operational requirements of craft commitments. If the maintenance/repair necessitates that a boat be transported off-site, it will be the Contractor’s sole responsibility to provide over-the-road transportation to their facility and provide on-site, secure storage for the boat while it is in the Contractor's possession. Once the maintenance/repair is complete and satisfactory operational testing conducted by the Technical Point of Contact (TPOC), the Contractor shall return the boat to its original location. The Contractor shall obtain all necessary vehicle passes, stickers and proper ID cards for all Contractor employees working on-site at the Navy installation.

The Contractor shall provide secure on-site storage for the boat while it is in the Contractor's possession. In addition to any other clauses in this contract relating to management of Government property, the Contractor shall maintain a system of internal controls to manage (control, use, preserve, protect, repair, and maintain) Government property in its possession. The Contractor’s responsibility for any Government property in its possession extends from the initial receipt of property, through stewardship, custody, and use until formally accepted back by the Government. The Contractor assumes the risk of, and shall be responsible for, any loss of Government property upon its delivery to the Contractor as Government-furnished property. The term “Government Property” specifically includes the boats and associated trailers.

2.0 REQUIREMENT. The Contractor shall comply with all Federal, State, Local laws and Federal Regulations as applicable to the performance of the SOW. The Contractor shall not accept any instructions issued by any person employed by the US Government other than the TPOC or Contracting Officer (KO), all acting within the limits of their authority. The Contractor shall provide notification and a written itemized quote that includes a period of performance (POP) that is consistent with industry standards to the TPOC prior to commencing all services. If the industry standard POP cannot be met, the Contractor shall provide written justification and the adjusted period of performance timeline. The Contractor shall notify the Navy's TPOC upon completion of all services.

The Contractor shall ensure repairs and preventative maintenance services are performed by adequately trained technicians possessing up to date Equipment Manufacturer’s certifications relative to the currently installed systems.

Contractor shall perform required actions in accordance with (IAW) respective applicable manufacturer's technical, as well as applicable Navy publications and manuals.

If the need for parts replacement should occur due to normal wear and tear or damage, the Contractor shall provide a written quote that is itemized and includes the period of time needed to perform the work. If the work (PM or Repair) is approved, the replaced part(s) will be provided to TPOC for evaluation of the damaged part. When an item in this SOW requires “Inspect for Condition,” Contractor shall provide any repair recommendations in written or electronic format including pricing and timeline required to affect the repair.

The contractor shall accommodate these activities as required and as outlined in specific delivery orders.

Alterations may be installed by other activities under contract to MARMC or other activities separate from work items assigned to contractor(s) using this contract. AIT tasks to other activities may require interface or teaming between contractors to the best benefit of the Government. Alterations that may be included in AIT efforts include, but are not limited to, safety alterations, alterations requiring special skills or tools, alterations best installed by one contractor to meet schedules or those alterations that shall result in significant savings to the Government if installed via AIT. 3.7 Quality Assurance. The Contractor shall provide and maintain a quality assurance program acceptable to the Government, and shall perform or have performed the inspections and tests pursuant to that program to substantiate that the material and workmanship provided pursuant to the contract conform to the drawings, specifications, and contract requirements listed herein. The Contractor’s quality program shall be in accordance with that set forth in Standard Item 009-04 and 009-125. The Government shall have the right to deem work or material furnished by the Contractor to be incomplete and not in accordance with the requirements of the contract by reason of the Contractor’s failure to: (1) provide a written quality assurance program that has been accepted by MARMC prior to the start of productive work (2) comply with the requirements of the quality assurance system.

NOTE: The quality assurance program shall be submitted to the TPOC with a copy to the maintenance team and MARMC Quality Assurance Personnel no later than ten (10) calendar days after award of contract. Contractors shall not be issued delivery orders without an approved quality assurance program.

The Contracting Officer, TPOC, or maintenance team may inspect work in progress, either at the Contractor's facility or onboard any Navy vessel, at any time.

The Contractor shall respond to any Government corrective documents, such as Corrective Action Reports (CARs), issued because of unsatisfactory contract performance. Combatting Trafficking in Persons requirements, ODC expenditures, Contract Data Requirements List (CDRL) report submissions, and overall contract performance will be regularly reviewed by the TPOC.

Non-Conformances. The contractor shall respond to non-conformances through root cause analysis, corrective actions, and preventive actions. Focus on eliminating the cause to prevent reoccurrence. Maintain records of non-conformities and actions taken. Correct and provide response to all Government-identified non-conformances IAW timeframes specified by the KO. This contract identifies two types of non-conformances: minor and major.

Minor Non-conformance. A minor non-conformance is a non-conformance, which by itself does not adversely impact mission, safety of personnel and/or equipment, performance (quality), schedule (delivery), or cost. It normally does not increase risk to the Government. Minor non-conformances are typically low risk and are communicated through notices. First notices are issued for any identified non-conformance, and second notices are issued for repeat non-conformances or failing to correct issues within a reasonable amount of time. Upon receipt of a first or second notice, the contractor shall complete applicable sections and return it to the KO within time constraints directed by the KO in the notice. A formal corrective action plan is not required for notices.

Major Non-conformance. A major non-conformance is a non-conformance that adversely impacts (or has the potential to impact) mission, safety of personnel and/or equipment, performance (quality), schedule (delivery), or cost. This type of non-conformance increases risk to the Government and therefore has a risk assessment rating of moderate or high. An example of increasing risk would be a significant number of recurring non-conformances, which is an indication of inadequate preventive measures/actions and lowers the Government’s confidence that the contractor can provide quality services on time and within costs. The KO will communicate major non-conformances on a Corrective Action Request (CAR) form with a suspense date for the contractor’s corrective action plan. As a minimum, the contractor’s corrective action plan will address:

Action taken to fix the immediate problem Root cause analysis of the problem to determine cause Corrective action on the cause of the problem Actions taken to prevent recurrence

4.0 ADMINISTRATION.

4.1 Authorizations. No order, statement, or conduct of Government personnel who visit the Contractor's facilities or in any other manner communicates with Contractor personnel during the performance of this contract shall constitute a change under the "Changes" clause of this contract. The Contractor shall not comply with any order, direction or request of Government personnel unless it is issued in writing and signed by the Contracting Officer, or is pursuant to specific authority otherwise included as a part of this contract. The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and, notwithstanding provisions contained elsewhere in this contract, the said authority remains solely the Contracting Officer's.

In the event the Contractor effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in charges incurred as a result thereof. The only exception to this is if the Contractor is ordered to stop for a safety reason.

If the Contractor believes it has been directed to perform work outside the scope of the contract, it must notify the Contracting Officer immediately.

4.2 Correspondence between the Contractor and KO shall be accomplished via electronic medium. Microsoft Word, Excel, Power Point and Project are the preferred formats.

4.3 Required reports and documentation must be compatible with Windows 2010 Server Revision 2 as the standard Network Operation System and MS Office 2010 Professional, or later, as the standard Office Software. The use of Web Applications shall also be required.

4.4 Delivery Order Process. Once the Government identifies work and/or processes work packages, proposals for delivery orders shall be requested, evaluated, and awarded. Request for proposals may factor technical, past performance, and/or price. Past performance evaluations may take into consideration a Contractor’s history with POP extensions.

Unless otherwise specified, all items within the delivery order scope of work shall be considered under warranty for 90 days after acceptance. If a Contractor inspection of warranty items is required, the Contractor shall be expected to conduct the inspection at the Government site. Contractor shall be responsible for transportation as it relates to warranty items. If specific warranty determinations are required, they will be specified at the delivery order level.

Ship check requirements shall be identified at the delivery order level.

Applicable NSIs shall be identified at the delivery order level.

4.5 Coordination Process.

The Contractor shall assign one lead individual, with the authority to obligate the Contractor, to be responsible for communications with the Government for overall contract administration.

The Contractor shall assign one lead for each delivery order and this Contractor person shall coordinate all aspects of the delivery order with the designated Government representative and vice versa. The Contractor lead shall keep the Government representatives apprised of schedule, technical, material and financial issues pertinent to the delivery order.

All communication shall be through the designated Government representative or the contracting officer unless otherwise authorized. The Contractor’s employees shall not visit vessels or military activity associated with a delivery order without prior designated Government representative approval. All visits shall be during normal working hours and coordinated by the Government representative. If required, the Government representative will forward security clearances to military installation for Contractor personnel.

No Government civilian or military equipment or personnel will be provided to the Contractor to accomplish tasks awarded to the Contractor.

4.6 Work Authorization Beyond Business Hours. Any work to be accomplished outside of the normal business hours must be approved by the TPOC prior to starting the work. This approval pertains to scheduling decisions only and does not authorize additional work.

4.7 Authorizations to Proceed (ATP). The Contractor shall accept any form of electronic media or verbal Authorizations to Proceed (ATP), Not-to-Exceed (NTE) obligations and Undefinitized Contract Actions (UCAs) from the Contracting Officer during and after normal hours, including weekends and holidays. Any verbal authorization will be followed up by written confirmation by the Contracting Officer within 24 hours.

The Government may determine that new work or growth work discovered during execution of an availability may have to begin at the time the work is identified but before receiving a proposal. The Government reserves the right to issue an unpriced change order (UCO) or a UCA to direct the Contractor to begin the work. The Government will provide the Contractor a ceiling amount, not to exceed amount, and a definitization schedule. The Contractor’s growth/new work rate shall be utilized when establishing the NTE amount. The Contractor shall promptly begin work after receiving verbal or written direction by the Contracting Officer. The Contractor shall then submit a qualifying proposal in accordance with the definitization schedule. The ceiling amount will be adjusted after evaluation of the Contractor’s qualifying proposal. The Contractor will be held responsible for any delay in completing work due to failure to comply with the Contracting Officer’s direction.

4.8 Condition Found Report. Unless a delivery order specifies otherwise, the following processes shall be strictly followed.

Identification of Condition Found. In accordance with the requirements of NAVSEA the Contractor shall identify needed repairs and recommend corrective action during Delivery Order performance for work/deficiencies discovered which are not covered by the existing work package. For conditions to impact the critical path(s) /controlling item(s), the Contractor shall notify the Government via electronic media within 24-hours of discovery. This initial notification need not include all content required for a CFR, but must include a description of the condition/deficiency and an estimated timeframe for the Contractor’s professional recommendation for resolution, which shall not exceed five (5) business days as specified below. Recommended repairs and corrective actions shall be submitted to the Government in the form of a CFR (intended to represent “Over and Above Work” described in DFARS 252.217-7028).

Condition Found Notification to Government: CFRs shall be submitted to the KO and TPOC within five

(5) business days of discovery of the condition. At a minimum, the CFR will include the following:

o Identify contract and hull number o Serialized by CFR number o Identification of the applicable Work Item number o Date requirement was discovered o Description of the work requirement o Include supporting information such as pictures and sketches o Required materials o Specific location of the work o Recommendation for corrective action o Impact to schedule o Recommendation for the appropriate/best time to accomplish the work (i.e. during current availability with or without schedule change). Provide supporting rationale for the recommendation, such as cost efficiencies, availability of work force, availability of material, premium expenditures, parts, part numbers, required material, etc.

o Identification of related changes, if any, to the internal milestones and production and contract completion dates.

Government Review and Response to CFR. The Maintenance Team shall review the CFR. If the CFR is inadequate or incomplete, it will be rejected with time continuing to accrue (relative to a five (5) business day requirement). As appropriate, the Government and Contractor will need to meet, conduct craft checks and/or discuss the recommendation for corrective action further to determine the full scope of work required prior to final approval of the CFR. Accuracy of CFR submissions may be evaluated in Contractor Performance Assessment Reporting System (CPARS) and utilized for past performance ratings on future Delivery Order requirements.

Request for Contract Change (RCC). After responding to the CFR, the Government may generate a RCC if the repairs are determined needed and will request a proposal from the Contractor. The Contractor shall provide a proposal to the Contracting Officer within three (3) business days. The proposal shall include at a minimum:

o Labor categories and hours to be performed by the Prime Contractor o Material detail proposal (if applicable) o Sub-Contractor detail proposal (if applicable) o Cost/Price breakdown of each item above o Subcontracting authorization request (if applicable) o Other information as required by the Contracting Officer.

Labor Hours: Proposed Fully Burden hours to be performed by the Prime Contractor shall be provided broken down by paragraph, trade and labor hour mix.

Material: Material pricing shall include a list detailing the source, part number, description, unit cost, quantities, total cost and underlying vendor quotes for each line item.

Sub-Contractor Quotes: Sub-Contractor quotes shall include labor hours, labor rate, material (part number, description, unit cost, quantity, total cost, and vendor quotes for each line item), and tiered Sub-Contractor quotes (if applicable). Proposed Sub-Contractor labor hours shall be broken down by paragraph and task.

Supporting Documentation: The requirements for complete submission of a proposal stated above represents the minimum and does not limit the Government from requesting additional information. In the event the Contracting Officer is unable to make a fair and reasonable determination based on the original proposal submission, the Contractor shall comply with FAR 15.402(a)(2) which requires the Contractor provide whatever data the Contracting Officer needs in order to determine a fair and reasonable price.

Late Submissions: The above documentation must accompany the proposal for the proposal to be considered submitted to the Contracting Officer. The number of days a Contractor’s proposal remains valid does not begin until the proposal is considered submitted by the Contracting Officer.

If circumstances arise where the Contractor is unable to submit a proposal within three (3) business days, the Contractor shall notify the Contracting Officer in writing of the specific circumstances and provide a revised date in which a proposal will be submitted. Additional time needed to complete a proposal may be granted solely at the discretion of the Contracting Officer. The new timeframe granted solely at the discretion of the Contracting Officer and which may differ from the Contractor’s request, shall be met by the Contractor. Notification of a late proposal does not exempt the Contractor from meeting its requirement, but will be considered by the Government when conducting a CPARS evaluation and utilized for past performance ratings on future contracts.

Due to U.S. Navy operational requirements, the possibility exists that the Contractor may be required to respond to more than one requirement (simultaneous delivery orders for more than one vessel).

4.9 Adding/Removing Work. The Government reserves the right to add/delete work items to this SOW and to descope any requirement under this contract at any time and for any reason. Descopes are incorporated into the contract via deletion RCCs and can either be a partial deletion of paragraph(s) from the work specification or deletion of a work item in its entirety. The Government will rely on the labor rates and prices accepted by the Government in the Labor & Material Burden Rate Sheet for negotiating and settling RCCs.

Pricing of Deletion RCCs: The Contractor agrees to price deletion RCCs at the same labor rate accepted by the Government in the Labor & Material Burden Rate Sheet.

Settled Descope Price:

o Full Work Item Deletion: For the purposes of pricing a RCC that deletes a work item in its entirety, the Government considers each individual work item to be separately priced. The burden is on the Contractor to demonstrate production costs incurred. Program management and other indirect costs will not be considered.

o Partial Deletion: The Contractor agrees to propose RCCs that delete a portion of a work item at the hours, material and Sub-Contractor cost it would have required to accomplish the work. The proposed price shall include only the paragraphs affected by the partial deletion. At no time may the Contractor amend its pricing on the remaining paragraphs not being deleted from the work item.
