About this file

This Justification and Approval (J&A) document outlines a sole source contract for the Naval Facilities Engineering Systems Command (NAVFAC) Europe Africa Central to lease temporary facilities from Newimar S.A. at Naval Station Rota, Spain. The lease includes two 100' x 100' tension fabric hangars with aircraft doors and a 5-ton bridge crane, along with four modular office facilities supporting Helicopter Maritime Strike Squadron 79 (HSM-79). The total contract value is $2.7 million, covering fiscal years 2025-2027, with $900,000 allocated annually from O&M, Navy funds.

The contract extension is necessitated by delays in the permanent P-313 MILCON project, which has experienced setbacks including post-award protests, regulatory changes requiring fire suppression system redesign, and an anticipated completion date not before September 2026. The Navy determined that changing vendors would create an unacceptable operational gap and incur significant transition costs. One potential competitor, Global RTS from Bulgaria, expressed interest during the procurement notice period, but the Navy concluded that renewing the lease with the current vendor remains in the government's best interest. New permanent facilities for HSM-79 are expected to be completed by September 2028.

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Facilities Engineering Systems Command (NAVFAC) Europe Africa Central (EURAFCENT), Public Works Department (PWD), Rota.

2. Description of the Action Being Approved.

Award of a firm fixed price contract on a sole source basis to Newimar S.A., with offices at Avenida de la Libertad 24, 11520, Rota, Cádiz, Spain, for the continued lease of two tension fabric structure hangars and four modular offices currently installed and being leased by the Navy on the airfield at Naval Station Rota, Spain. The proposed contract action will continue the Navy's lease of this equipment for a period of up to three years.

3. Description of Supplies/Services.

The two hangars are tension fabric structures approximately 100' x 100' (length x width), each with an aircraft door of 20' x 66' (height x width), and one has an operational bridge crane of 5 tons. The hangars are used to perform maintenance of helicopters. Each hangar has fire protection, heating, ventilation & air conditioning (HVAC), electrical, telecommunications, plumbing and sewer. There are three modular office facilities used as ready-rooms for air crews, and one modular facility used as a rest room; each with fire protection, HVAC, electrical, telecommunications, plumbing and sewer. These facilities support Helicopter Maritime Strike Squadron 79 (HSM-79). The total estimated value of this action is:

FY25 O&M, Navy $900,000 FY26 O&M, Navy $900,000 FY27 O&M, Navy $900,000

TOTAL $2,700,000

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1), as implemented by Federal Acquisition Regulation (FAR) 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Authority.

J&A 2516

Project number P-3 13 is a FY21 MILCON project that was programmed to construct permanent hangar and other facilities at Naval Station Rota for HSM-79, when it was decided that the squadron would be transferred, and permanently based out of, Rota. However, operational needs resulted in the squadron being deployed to Naval Station Rota in January 2020, much earlier than originally expected. To account for HMS-79's immediate needs upon arrival, the Facilities Engineering and Acquisition Division (FEAD) Rota issued contracts N33 191 19C1001 and N3319123C9000 to Newimar S .A. to temporarily install and then lease the hangars and modular facilities though 29 September 2025.

Construction of P-3 13 has experienced continuous delays from the outset. When finally awarded on 21 Dec 2021 after re-programming delays, work was suspended until 17 Oct 2022 due to post-award protests. Additionally, regulatory changes in the FY 2020 National Defense Authorization Act prohibited the use of Aqueous Film-Forming Foam (AFFF) fire suppression systems after 1 October 2024. As P-3 13 was designed with an AFFF system, the Navy subsequently determined to replace the fire suppression system with an Ignitable Liquid Drainage Floor Assemblies fire suppression system; which required a redesign of the hangars foundations and floors. This redesign by the Designer or Record was completed on 14 July 2025.

The FEAD Rota has issued the new design request for proposal to the P-3 13 construction contractor, and will have to negotiate the cost and time impacts once the proposal is received.

This re-design has already impacted the critical path work in the hangar facility and the NAVFAC project team believes that the completion of P-3 13 will not occur until at least September 2026. The full impact of the delays cannot be quantified until negotiations are complete.

Pending completion of P-313's permanent facilities, HSM-79 has a continuous and ongoing need for use of temporary facilities for helicopter maintenance and personnel. Therefore, it is in the Government's best interest to continue leasing from Newimar S.A. the temporary tension fabric hangars and modular structures already installed and in place on the airfield until such time as P- 313 is completed. If the Navy were to compete this requirement and award a lease to any vendor other than Newimar S.A. there would be an unacceptable a gap where there is no operating spaces for critical helicopter maintenance or other squadron needs while Newimar removes the and uninstalls the existing temporary structures (which it owns) and a new contractor brings in and installs replacement structures for lease. As mentioned above, these structures, although generally temporary in nature, have multiple complex building systems that must be affixed, including fire protection, heating, ventilation & air conditioning (HVAC), electrical, telecommunications, plumbing and sewer. Any such transition would result in prohibitive delays to HSM-79's operations and warfighting abilities. In addition, the Government expects that such a transition would also be significantly more costly than a short-term renewal of the lease of the temporary structures already in place on site since a new contractor would likely require transition-in and installation related costs that Newimar does not. These added costs are not likely to be recouped by any cost savings the Navy may (or may not) experience as a result of a full and open competition for this requirement.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

In accordance with DFARS PGI 206.302-1, NAVFAC EURAFCENT posted a notice of intent to issue a sole source contract to Newimar S.A.. The notice was posted to SAM.gov on 3 July 2025.

One firm, Global RTS from Bulgaria, expressed interest in the procurement prior to the close date of 16 July 2025. For the reasons listed in paragraph 5, it was determined that it is in the best interests of the Government to renew the lease for the existing structures.

In accordance with FAR 6.305, the approved J&A shall be posted in the government-wide point of entry on SAM.gov within 14 days after award of the contract.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined that the anticipated cost to the Government for the services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

It is anticipated that new facilities for HSM-79 will be completed by September 2028 to replace the existing need for the temporary structures.
