ARERA's resolutions stipulate that the switching of free market supplies always takes place on the first day of the month. They also provide that the maximum time to request the switch of a supply point is the tenth day of the month preceding the switch date. Your solicitation requires that gas supply must take place on 01-07-2023 so the latest date to request the switch of PDRs is 10/06/23. The solicitation does not specify when the award will be made.

Can you clarify this as we need the awarding to take place by May in order to carry out this operation.

Answer #1 Contract will be awarded no later than the end of May 2023. The successful awardee will be notified via email the same day”.

Our IT systems do not provide a summary invoice sheet for natural gas delivery points. We can provide an invoice for each gas delivery point (PDR). Each invoice can be downloaded from our website in PDF format either individually or massively by Italian fiscal code. Issued invoices are visible and downloadable from our website an average of 8 days of their issuance. Does this represent a barrier to participation in your solicitation?

Answer #2 Article 12 “Invoicing and Payment” of the solicitation provides that “The Supplier shall provide a Summary Invoice Sheet, per area, on letterhead”. When participating in the solicitation, it is required that the offeror states its full acceptance of all articles of the solicitation, which also constitute contractual binding conditions. The circumstance that bills will be available on vendors’ websites does not exempt the awarded contractor from generating the summary invoices. This allows our organization to perform payment of multiple gas accounts via single bank transfers by the 45 days contractual deadline.

L'art.

With reference to access to the measurement data, and for the values relating to the supply period prior to the current month, is it possible to consider the 15th of the month as the date from which the data are to be considered available as non-binding? In addition, is it possible to use the web portal independently for their extraction?

Answer #3 The 15th of the month is not a binding date from which the data are to be considered available, given that deadline is ”subject to the data submission from the Distributor” as stated in the solicitation. Regarding the access to websites, the US Government for reasons of institutional status, security and legal is subject to restrictions for access to websites in the Italian territory. Therefore, it is not guaranteed that a portal can be accessed for the extraction of data.

PPI #4

Regarding changes of regulated and pass-through components/rates, can their implementation with the first billing cycle following the publication by ARERA be considered equivalent to the communication provided for in Article 4?

Answer #4 Yes it can, as long as the relevant ARERA resolution addressing the change in rates is cited and referenced on the bill.

PPI #5

The full billing cycle could end at the end of the month following the month of supply. We ask whether it is possible to consider the deadline of day 20 stipulated in Article 12 as non-binding?

Answer #5 On non-regular basis, it is acceptable that a billing cycle ends after the 20th and by end of a month.

PPI #6

Is it possible not to agree on the manual sending by the supplier of the summary list of all the area turnovers, considering the possibility of independent extraction of data from the web portal?

Answer #6 Answer is no. Please also refer to what clarified in answers to PPI #2 and #3.

PPI #7

(Article 12. Invoice and payment. Submission of Invoices) For each billing cycle, instead of the summary invoice sheet, we will send you via e-mail an invoice for each PDR to the e-mail addresses specified in your solicitation. Does this represent a barrier to participation in your solicitation?

Answer #7 Provision of a “Summary Invoice Sheet, per area, on letterhead” is stated at Article 12 “Invoicing and Payment” of the solicitation. The sending of one invoice per each PDR is not in substitution of the sending of the Summary Invoice Sheet. See also answers to PPI #2 and #3. When participating in the solicitation, it is required that the offeror states its full acceptance of all articles of the solicitation, which also constitute contractual binding conditions.

All’art.

PPI #8

Article 12. Invoice and payment. Submission of Invoices A report is available on our website that shows the total amount of transport for each PDR billed. Does this meet the specifications of your solicitation?

Answer #8 Answer is no. Please also refer to what clarified in answer to PPI #2 and #3.

La risposta e’ no. Fare riferimento a quanto chiarito nella risposta al PPI #2 and #3.

PPI #9

Article 5 Special Provisions One of the sources of gas supply by our company is the "Punto di Scambio Virtuale" (PSV) which is a virtual hub where natural gas in Italy is bought and sold in wholesale markets. There is no certification of the origin of the gas purchased on the PSV, so our company cannot guarantee that the gas supplied to its customers does not come from Russian Federation. Is this fact a barrier to participation in your solicitation?

Answer #9.

The successful Offeror shall provide a certification that natural gas will not be directly sourced from the Russian Federation.

PPI #10

Article 4 Price of Natural Gas Supply One of the specification required by your solicitation is that the Higher Calorific Value (PCS) is 38,1 kJ/sm3. In order to be able to guarantee the same price for both domestic and non-domestic natural gas supplies, standard conditions of natural gas will have to refer to an Higher Calorific Value of 38,52 kJ/sm3. Does this represent a barrier to participation in your solicitation?

Answer #10.

The value of the reference higher calorific value, if different from that of the solicitation, must be declared on the offer-price sheet J-200000-04-N33191-23-R-9012-Price . For the purpose of award, the USG will evaluate the offer prices considering the higher calorific value as referenced in each price offer.

These estimates are based on historical load profiles and are provided to assist Offerors in developing their best-priced offer. The Supplier shall not be entitled to a price adjustment should there be a variation in quantity of consumption from the estimated quantities provided in the attachment J-200000-06.

The Supplier shall provide the link to the secure website by the 15th of every month, subject to the data submission from the Distributor, the name of the website, as well as the username, password, and link, must be provided by the Offeror within five days of contract award.

Article 3. Period of Performance

The period of contract performance will be 12 months from the date of the start of service with a 12-month option period of performance for a total of 24 months.

Article 4. Price of Natural Gas Supply

The monthly unit price Pgasm expressed in [c €/Sm3] (euro-cents per standard cubic meter) will be applied to the natural gas withdrawn in each month “m” by the Customer at each gas delivery point (PDR) referred to in attachment J-200000-02. The unit price will be calculated monthly using the following formula:

Pgasm = PSV DAm (c €/Sm3) + TF (c €/Sm3)

• PSV DAm is the average value in the month m of the index PSV DA.

• PSV DA is defined as the average of the Bid and Offer prices of the daily quotations of the reference month of the "PSV Price Assessment - Day Ahead" (or "PSV Price Assessment - Weekend" for each non-working day) published by European Spot Gas Markets, in the ICIS Heren Report written by ICIS Heren. Prices in € / MWh are converted into c€/Sm3 by multiplying times the coefficient c = 1.05833. Coefficient “c” refers to a gas having, under standard conditions, a Higher Calorific Value, hereinafter “PCS,” equal to 38,100 kJ/Sm3.

The above "PSV DAm" price is adjusted monthly in proportion to the PCS of the withdrawal month as communicated by the gas distributor/grid operator. In the absence of the PCS value of the month of collection, the last PCS value available will be used, subject to adjustment.

TF is defined as the Transaction Fee expressed in (c €/Sm3) and equal to TF = +/- X.XX (c € / Sm3) This is the supply management fee, which includes the following costs:

• Management and switching of supplies,

• Invoicing of the amounts, including stamp costs;

• Management of personal data;

• Data management (support website for downloading supply data and invoices);

• Customer care;

• Costs associated with QVD (Quota Vendita Dettaglio) as defined in ARERA; and

• Any other items related to the management of the supply.

Pass-through regulated components.
