CLAUSES INCORPORATED BY FULL TEXT
52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT 2018)
(a) Definitions. As used in this provision--
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.
(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:
(i) In a criminal proceeding, a conviction.
(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.
(iii) In an administrative proceeding, a finding of fault and liability that results in--
(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management, which can be accessed via https://www.sam.gov (see 52.204-7).

52.212-1 (ADDENDUM) ADDITIONAL INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS
a. Any inconsistency between FAR Provision 52.212-1 and the Addendum to FAR 52.212-1 shall be solved by giving precedence to the Addendum to FAR 52.212-1.
b. Paragraph (b) of FAR Provision 52.212-1, Submission of Offers, is amended as follows:

Offerors shall submit completed Representations and Certifications, including those incorporated by reference.
At the time of solicitation closing date, offerors’ shall submit to the address specified in Block 9, Standard Form (SF1449) with Blocks 12, and 17, 24, and 30 completed by the offeror, ATTN: Shawnda Forbes
Offeror’s questions must be submitted to the Contracting Officer in writing. The Contracting Officer or his/her technical representative will accept no verbal request for information. Requests for clarification must be submitted to the Contracting Officer in writing no later than 10:00 AM on 06 May 2024.
Volume I Technical Proposals
The Technical Proposal must demonstrate an understanding of the ability to meet all of the requirements covered in the performance work statement. The proposal should be sufficiently complete to demonstrate how the offeror will comply with the Government’s requirements throughout the performance period. Data previously submitted, or presumed to be known, i.e., description of previous contracts for the Government, cannot be considered as a part of the proposal, unless physically incorporated into the proposal.
The technical proposal is limited to forty-five (45) text pages single-spaced pages 12 pt type-one page equals one side of a sheet of paper. Any resumes and appendices submitted as part of the technical proposal will be excluded from the page count.
Volume II Past Performance
The Past Performance factor will be evaluated by the Procurement Contracting Officer as a factor for award and used to evaluate Offeror’s ability to perform the contract successfully.
Offerors are requested to provide information on up to five (5) previous Government contracts whose effort is recent and relevant to the effort required by this solicitation.
1. “Recent” is defined as a contract in-progress or completed within the last three (3) years. If the offeror has not had five (5) Government contracts within the last three (3) years, information on recent and relevant subcontracts and/or commercial contracts may be submitted.
1. “Relevant” is defined as a contract that is of similar scope, magnitude, complexity to the requirements as set forth in this solicitation.
1. Scope: Experience in the areas defined in the PWS.
1. Magnitude: The measure of the similarity of the volume, dollar value and/or duration of the work actually performed under the offeror’s submitted contracts to the PWS.
1. Complexity: The measure of the similarity of technical difficulty, managerial intricacy and/or required coordination of efforts and disciplines performed by the offeror in its submitted contracts to the PWS. For complexity, not only will the tasks performed by the offeror be considered, but also the offeror’s ability to coordinate tasks (e.g., concurrent performance requirements).
A Past Performance Data Sheet (Attachment 2) is requested to be submitted for each contract to be considered as past performance. Additional information is contained in FAR 52.212-2.
Volume III Business Proposals
Signed completed Standard Form (SF-1449) shall be scanned and included with the Business Proposal. Complete representations and certifications included in this solicitation. Furthermore, Offerors shall ensure they are actively registered in SAM (www.sam.gov) and the information therein accurate.
ADMINISTRATIVE:

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The Government intends to make an award to each and all qualifying offerors. The following factor shall be used to evaluate offers:
(i) Technical capability of the items offered to meet the Government requirement as described in the Performance Work Statement (PWS).
VOLUME I: TECHNICAL PROPOSAL
Proposals should clearly demonstrate an Offeror’s thorough understanding and capability to perform the efforts described in the Statement of Work. Recognizing that not all technical elements can be detailed in advance, proposal must contain sufficient detail to describe the manpower and facilities that an Offeror proposes to use in order to accomplish the effort described in the Statement of Work. Statements that the prospective Offeror understands, “can” or “will” comply with the contract requirements, or paraphrasing the contract Statement of Work, or parts thereof, will be considered unresponsive and preclude the Offeror from further consideration for award.
At a minimum, Offerors shall provide in their proposals detailed information organized as follows:
Technical Factors.
Factor A: Understanding of the Requirements:
Offerors shall demonstrate their understanding of the requirements by providing a description of how they would accomplish each of the (7 ea) Sample Tasks provided.
Offerors shall describe how their internal procedures for obtaining ABS and US Coast Guard approvals as required to accomplish the requirements of the solicitation.
Offerors shall describe the plan for coordinating ABS and USCG inspections as required to accomplish the requirements of the solicitation.
Factor B: Emergency Response Capability
Describe in detail the ability to dispatch personnel in emergency and non-emergency situations once notification is received to accomplish multiple tasks in different locations throughout the world. Dates and locations for repair will normally be provided about 7 calendar days prior to start of performance and sometimes less than 24 hours. Describe in detail dispatch methods to include notification process of Offeror’s representative, and Contracting Officer.
Factor C: Equipment/Facilities
Describe in detail the capabilities of the Offeror’s Facility to accomplish the requirements of the solicitation.
Factor D: Key Personnel
Provide an organization chart of the key personnel who will be assigned to accomplish the requirements of the solicitation. Include upper management, program managers, negotiators, estimators, scheduling personnel, engineering personnel, key production personnel, safety personnel, quality assurance personnel and subcontract manager.
Submit brief but concise resumes of key personnel (in-house and subcontractor) that will be assigned to accomplish the requirements of the solicitation.
Factor E: Hazardous Waste Management Plan
Submit a Hazardous Waste Management Plan. The plan is to identify key personnel associated with hazardous waste management including, but not limited to, personnel associated with employee training, hazardous waste identification and manifest documentation.
The plan is to identify any subcontractors associated with removal, handling and disposal of hazardous wastes, including but not limited to, subcontractors responsible for removing, storing, transporting, recycling, reclaiming or otherwise disposing of hazardous waste. All permits or other applicable credentials associated with safe and proper disposal of hazardous waste should be included
Note: If a hazardous waste subcontractor is changed for any reason the Hazardous Waste Management Plan should be amended prior to the new subcontractor beginning work on the vessel.
Identify all local, state and federal agencies associated with the disposal of hazardous waste.
Outline procedures used by the facility to accomplish removal, handling, storage and disposal of hazardous wastes in accordance with local, state, federal and NAVFAC requirements.
Describe all steps to be taken to reduce the volume and toxicity of hazardous waste generated during their performance of the contract. This is to include, but not be limited to a description of management of hazardous waste generation, process controls utilized to ensure that effective minimization techniques are maintained and any technological resources available to reduce either the toxicity of the volume of hazardous waste.
Factor F: Contractor Access Control Plan
Describe in detail the Offeror’s ability to process security requirements for both prime and subcontractor personnel in conjunction with RAPIDGate requirements and MSC’s Ship and Base Access clause (see solicitations clauses for further information).
Identify points of contact within organization that will process security requirements.
Factor G: Experience
Offeror shall list experience in the accomplishment of work, which is comparable or related to the requirements of the solicitation.
SHIPBOARD ELECTRICAL SERVICE WORK (within the last three years):
Discuss relevant experiences as a prime contractor or subcontractor in servicing Shipboard Electrical Power Generating, Power Distribution, Interior Communication, Automation, Control and Monitoring Systems onboard vessels owned and operated by the Military Sealift Command to support mission operations for the last three recent Government (Navy, MSC, Coast Guard, MARAD) repair contracts each with a value over $75,000 during the last three (3) years.
If offeror has not been a prime contractor or subcontractor on three Government repair contracts over $75,000 during the last three (3) years, then discuss relevant experience as a prime contractor or subcontractor in servicing Shipboard Electrical Power Generating, Power Distribution, Interior Communication, Automation, Control and Monitoring Systems onboard commercial vessels for the last three Commercial repair contracts each with a value over $75,000 during the last three (3) years.
If a subcontractor for either a Government or commercial repair contract, the subcontract repair work shall have a value over $75,000 for each subcontract discussed.
SCHEDULE/COST COMPLIANCE
Offerors shall provide data on paragraph above as follows:
(i). Ship’s name, hull number and displacement (ii). Type of availability (iii). Actual number of man-hour expended (iv). Contract actual commencement date scheduled and actual completion dates; reasons for schedule slippages/extensions.
(v). Original and final contract price to include a breakdown of settled prices for changes and request for Equitable Adjustment’s (REA’s) or proposed prices for pending REA’s.
(vi). Contract number, point of contact and phone
VOLUME II: PAST PERFORMANCE
This will be used to determine the risk of non-performance, defective performance, and/or late performance by evaluating each offeror’s reported quality of work and relevant experience with the services being solicited. In evaluating past performance, the Government may contact some or all of the references provided by the offeror and may contact other sources of information, including but not limited to: federal, state, and local government agencies, and published media and electronic databases (i.e. Department of the Navy’s Contractor Performance Assessment Reporting System (CPARS), other customers known to the Government, consumer protection organizations, and others who may have useful and relevant information. The Government may evaluate past performance of the offeror’s proposed subcontractors, predecessor companies, or key personnel who have relevant experience to the extent warranted. Past performance information considered by the Government for the offeror’s performance as a prime contractor and/or subcontractor and the performance of its key personnel may include (but not be limited to) the following areas: relevance, quality, quality control, cost control, schedule, business relationships, compliance with FAR 52.219-8, key personnel, and customer satisfaction. Only relevant experience will be considered for past performance purposes. Any offeror with no record of relevant past performance will be given a “neutral” rating for past performance.
Offerors shall provide information on three previous Government contracts whose effort was current and relevant to the effort required by this solicitation. Current is defined as a contract (or subcontract) in-progress or completed within the last three years. If the offeror has not had three Government contracts within the last three years, information on relevant subcontracts and/or commercial contracts may be submitted instead. (The information must clearly show that the work by the offeror was done as a prime contractor or a subcontractor). Relevant is defined as a contract that is of similar scope, magnitude, and complexity to the requirements as set forth in this solicitation. Offerors who describe similar contracts and subcontracts should provide a detailed explanation demonstrating the similarity of the contracts to the requirements of this solicitation and SOW. This information shall be provided by the submission of Attachment 2 (Past Performance Data). Failure to submit the information shall be considered certification (by signature on the proposal) that the contractor has no past performance for like or similar items for the Government to evaluate. Offerors are urged to verify accuracy of all data provided. (b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. 52.216-1 TYPE OF CONTRACT (APR 1984)
The Government contemplates award of a Firm-Fixed-Price Indefinite-Delivery Indefinite-Quantity contract resulting from this solicitation.
52.216-18 ORDERING. (AUG 2020)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from Award through the end of the ordering period.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) A delivery order or task order is considered "issued" when--
(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;
(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or
(3) If sent electronically, the Government either--
(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or
(ii) Distributes the delivery order or task order via email to the Contractor's email address.
(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.
52.216-19 ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $3,500.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor -
(1) Any order for a single item in excess of $8,490,000.00;
(2) Any order for a combination of items in excess of $8,490,000.00; or
(3) A series of orders from the same ordering office within 15 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
52.216-22 INDEFINITE QUANTITY. (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after a year from the contract end date.
52.216-32 TASK-ORDER AND DELIVERY-ORDER OMBUDSMAN (SEPT 2019)
(a) In accordance with 41 U.S.C. 4106(g), the Agency has designated the following task-order and delivery-order Ombudsman for this contract. The Ombudsman must review complaints from the Contractor concerning all task-order and delivery-order actions for this contract and ensure the Contractor is afforded a fair opportunity for consideration in the award of orders, consistent with the procedures in the contract.

(b) Consulting an ombudsman does not alter or postpone the timeline for any other process (e.g., protests).
(c) Before consulting with the Ombudsman, the Contractor is encouraged to first address complaints with the Contracting Officer for resolution.
