JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity: Department of the Navy, Military Sealift Command (MSC), Norfolk, Virginia 23511.

2. Description of Action Being Approved: MSC has a requirement “award of a contract on a sole source basis” to L-3 Communications Corporation of Ayer, MA, for Phase II of the T-AO Alarm Monitoring System life extension. Phase II of this extension is comprised of the design, factory test, and first article testing replacement of obsolete Analog Multiplexer Cards (949- 3111) used in the TANO Data Acquisition and Control (TDAC). Phase II is a follow-on to Phase I of this project, which completed the design and install of new TDAC Ethernet Interface cards, computers, monitors, ethernet switches and serial servers.

3. Description of Supplies/Services: The Contractor shall design, produce, and test replacement Analog Multiplexer Cards with new hardware that provides the same functionality and does not require replacement of the entire TDAC assembly, replace instrument panels with flat screen displays, and identify existing TDAC cards that can be removed.

4. Statutory Authority Permitting Other Than Full and Open Competition: The statutory authority permitting other than full and open competition for Federal Acquisition Regulations (FAR) 13.5 requirements is 41 U.S.C. 1901.

5. Rationale Justifying Use of Cited Authority: Phase II of th upgrade to extend Alarm and Monitoring System aboard the T-AO class of ships by replacing obsolete Versa Module Eurocard (VME) computers with an industrial computer based solution is a follow-on to hase I. must be completed by L-3 Communications Corporation in order to keep the life extension on track and continuity of service. The first phase of this project was to design and install new TDAC Ethernet Interface cards, computers, monitors, ethernet switches and serial servers. The obsolete Analog Multiplexer Cards and instrument panels must also be replaced.

This requirement is for the design, factory test, and first article testing of replacement Analog Multiplexer Cards and monitors that will replace the existing obsolete hardware. The new hardware shall provide the current level of functionality and work with the existing TDAC assembly, and complete the overall project to extend the life of the Alarm and Monitoring System. Obtaining replacement hardware will result in substantial cost savings for the Government, as the entire TDAC assembly would otherwise need to be replaced.

Furthermore, L-3 Communications Corporation is the designer, and installer of the subject system, and as such possesses the proprietary drawings, technical characteristics, software, computer programming and manufacturing of these components. MSC does not possess or have the rights to the manufacturing drawings and processes, specifications, computer languages and other technical data pertaining to the subject L-3 Communications Corporation equipment. Thus, MSC does not have the manufacturing and technical information required to repair or manufacture these replacement parts.

The T-AO vessels currently operate in excess of 270 Days ready for tasking to support the fleet commanders. These control systems are integral to the operation of these vessels propulsion and cargo systems. A casualty of these systems can render the vessel unable to perform its mission.

Due to the aforementioned continuity and proprietary data rights issues, it would not be possible for another entity to produce the subject replacement hardware for the current L-3 Communications Corporation TDAC assembly .

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable: In accordance with FAR 5.201(B)(1), the Government will synopsize the sole source basis for this requirement on the Government-Wide Point of Entry, Federal Business Opportunities, located at www.fbo.gov.

7. Determination of Fair and Reasonable Cost: The Contracting Officer will determine that the price is fair and reasonable in accordance with the requirements set forth in FAR 13.106-3.

8. Market Research: A search of previous and existing requirements shows that L-3 Communications Corporation holds the proprietary rights for their systems and code needed to run under the operating system. Furthermore, this is for the final phase of an ongoing requirement. Accordingly, L-3 Communications Corporation is the only entity able to fulfill the Government’s requirement for this procurement.

9.

10. Actions to Remove Barriers to Future Competition: For the reasons set forth in Paragraph 5, MSC has no plans at this time to compete future contracts for the type of work covered by this document. There is one known qualified source for the required parts. The Contracting Officer therefore intends to solicit quotes for the subject requirement from L-3 Communications Corporation. The Contracting Officer will maximize competition to the fullest extent possible by synopsizing this requirement to the Government-Wide Point of Entry, Federal Business Opportunities, located at www.fbo.gov. This synopsis will indicate that the procurement is limited to the Phase II requirements of this upgrade.
