INSTRUCTIONS TO OFFERORS

1 GENERAL

A. From this solicitation, the Government intends to award a contract to the responsible Offeror whose proposal conforms to the solicitation, using the selection criteria set forth in Section M. The Government may reject any or all proposals if such action is in the Government’s interest. Exchanges with Offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

B. The Offeror shall submit all information required by this solicitation. Proposals that do not comply may be considered nonresponsive and may render the Offeror ineligible for award. The Offeror’s proposal shall be based on the requirements contained in this solicitation (including all documents, exhibits, and other attachments to the solicitation identified in Section J).

C. The Government intends to evaluate proposals and award a contract upon initial proposals. Therefore, the

Offeror’s initial proposal should contain its best terms in relation to the evaluation criteria. However, in accordance with the clause FAR 52.215-1, Instructions to Offerors - Competitive Acquisition, the Government may contact all or a limited number of Offerors with questions concerning its proposal.

D. The solicitation is available only at SAM.gov. The Government may post additional information at SAM.gov relating to this solicitation (e.g. responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the site for any such information.

E. It is the Offeror's responsibility to identify to the Contracting Officer at the earliest possible time, but prior to the closing date, any ambiguities, discrepancies, inconsistencies, or conflicts between the Specifications and other solicitation documents attached hereto or incorporated by reference.

F. Submit all questions to Julie.Thomas@navy.mil. Only questions transmitted electronically will receive a response. Submit all questions within 10 calendar days after release of the solicitation in order to allow the Navy adequate time to prepare and issue responses to all Offerors prior to the date and time set for receipt of proposals. While questions may be submitted up to the time of solicitation closing, the Contracting Officer cannot guarantee those late-submitted questions will be thoroughly answered in advance of closing. It is the Government's intention that questions and responses will be provided via an amendment to the solicitation, which will be posted at SAM.gov. Each question shall include the document name, document date, specific page, paragraph, clause or other definitive citation requiring clarification. Do not include Government drawings or Government protected information in the email unless the email is digitally encrypted per Federal Information Processing Standard (FIPS) Publication 140-3.

SECTION M - EVALUATION FACTORS FOR AWARD

EVALUATION FACTORS FOR AWARD

1 GENERAL INFORMATION

A. The Government intends to award a single contract resulting from this solicitation to the responsible Offeror whose proposal offers the lowest total evaluated price while meeting or exceeding the acceptability standards for all non-price factors. The Small Business Subcontracting Plan also shall be reviewed for compliance and adequacy for purposes of making a responsibility determination.

B. Lowest price technically acceptable source selection procedures will be used for the evaluation of proposals received in response to this solicitation.

C. The Government may award to other than the Offeror with the lowest total price if the even the lowest price Offeror is found to be “Unacceptable” in any of the non-price factors. An evaluation of “Unacceptable” in any single factor may result in the Offeror’s proposal being rated “Unacceptable” overall, and eliminated from further consideration.

D. Each factor will be evaluated on a stand-alone basis; however, information contained in one factor of the proposal may be used to assist the Government in evaluating the other factors of the proposal. Inconsistencies or disparities between the factors within a proposal may be considered an indication that the Offeror does not understand the requirements.

E. If it is determined that a proposal is not in compliance with the factor page limitations identified herein, pages above the specified page limit within each factor will be removed and will not be evaluated.

F. Award will be made to the responsible Offeror whose proposal conforms to the solicitation, and based on the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors.

Proposals will be evaluated for acceptability, but will not be ranked using the non-price factors. The Offeror must be determined to have rating of Acceptable for the non-price factors of Technical and Past Performance before further consideration will be given. The Contracting Officer will select the acceptable offer, in conformance with the solicitation, which offers the lowest price.

G. The Government intends to make award based on initial proposals without discussions, but reserves the right to conduct discussions if determined necessary (see FAR 52.215-1). Accordingly, Offeror is advised to offer its most favorable terms and conditions in its initial proposal. If unexplained discrepancies are found in Technical Proposal, Past Performance, or Price, the proposal may not be considered for award.

H. It is the Offeror’s responsibility to provide clear indications of how its proposal meets the requirements of the

Specifications in Section C. If the proposal is not clear, it may be an indication that the Offeror does not understand the Specification requirements.

I. Proposals may be evaluated without consideration of any proposed subcontractor that is deemed to have an organizational conflict of interest.

2 EVALUATION FACTORS FOR AWARD

The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered.

The Offeror must be determined to have an “Acceptable” rating for all non-price factors before further consideration will be given; that is, selection of the contractor is to be based on the establishment of minimum requirements to be evaluated on an “acceptable” or “unacceptable” basis. Proposals are evaluated for acceptability, but not ranked using the non-price factors. In order to be considered awardable, there must be an “acceptable” rating in every non-price factor. The Lowest Price Technically Acceptable (LPTA) non-price factors include Technical and Past Performance. The Contracting Officer will select the offer, in conformance with the solicitation, which is determined “acceptable” for Technical and Past Performance, and offers the lowest evaluated price.

A proposal that is rated “Unacceptable” for any non-price factor is unawardable. Therefore, if any non-price factor is rated “Unacceptable”, the Government reserves the right to not evaluate the remaining factors.

2.1 EVALUATION CRITERIA

2.1.1 Factor l, Technical

The Government will evaluate each Offeror's technical capability to perform the requirements in the solicitation and any subsequent amendments. The proposal will be evaluated for completeness, accuracy, quality of detail, and degree of demonstration for the following:

Section L, paragraph 2.3.1b: The quality of detail and the degree to which the proposal addressed any constraints, anticipated problems, and/or assumptions that form the basis of its proposal.

Subfactor 1a – Technical Capability:

a. The quality of detail and the degree to which the proposal demonstrates the Offeror's technical capabilities, approach, and unique skills or solutions possessed to provide the ability to manufacture from NAVSEA drawings.

b. The feasibility and completeness of the Offeror's provided narrative in emphasis of:

1. Previously manufactured items

2. The contract number and Point of Contact (POC)

3. Offeror's facilities

4. Manufacturing process

5. Personnel expertise and work experience

c. The quality of detail and the degree to which the proposal demonstrated the Offeror's process to ensure the required pressure ranges and test data will be in accordance with the provided NAVSEA specifications. The Offeror shall follow the requirements in accordance with the drawings.

Subfactor 1b - Technical Quality:

The Offeror's capability to provide and apply successful implementation of quality management systems, management, and any applicable ISO requirements as well as adequate subcontractor oversight.

Subfactor 1c – Technical Risk Management:

a. The quality of detail and the degree to which the Offeror provided a risk mitigation plan and process, and areas of anticipated risk and mitigation plan.

b. The quality of detail and the degree to which the Offeror provided experience in teaming with engineering communities via a request for variance process.

Technical acceptability will be assessed according to Table M-1.

Table M-1: Technical Acceptable/Unacceptable Evaluation Ratings Rating Description Acceptable Proposal meets the minimum requirements of the solicitation.

Unacceptable Proposal does not meet the minimum requirements of the solicitation.

The Offeror’s technical proposal must be rated “Acceptable” to be further considered.

3.2 Factor 2, Past Performance

Past performance will be evaluated based on the Offeror’s demonstrated ability to satisfy its customers, deliver products and services of high quality, meet delivery schedules, and comply with applicable Federal, State, and local laws and regulations.

The Government may contact some or all of the Offeror’s references to ask questions such as: (1) was the Offeror is capable, efficient, and effective; (2) did the Offeror’s performance conformed to the terms and conditions of its contract; (3) was the Offeror was reasonable and cooperative during performance; (4) was the Offeror was committed to customer satisfaction; (5) did the Offeror meet proposed subcontracting goals, if applicable; and (6) did the Offeror hire and retain qualified personnel necessary for successful completion of the contract requirements.

The Government may consider information obtained from sources other than those identified by the Offeror, including Federal, State and local Government agencies, better business bureaus, published media and any other sources available to the Government, to include, but not limited to, Contractor Performance Assessment Reporting System (CPARS), Supplier Performance Risk System (SPRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), Federal Subaward Reporting System (FSRS), or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

The Government will consider recent and relevant past performance information obtained in relation to the scope of this requirement. It is the Offeror’s responsibility to relate its past performance to the requirements of this solicitation. Past performance, either positive or negative, which is considered by the Government to be more closely related to the scope of this effort will be given higher consideration in determining the Offeror’s past performance acceptability/unacceptability.

The Government will consider the Offeror’s past performance in complying with requirements of the clauses at FAR 52.219-8, Utilization of Small Business Concerns, and 52.219-9, Small Business Subcontracting Plan.

Relevancy, as it pertains to past performance information, is a measure of the extent of similarity between the product, complexity, dollar value, contract type, and subcontract/teaming, or other comparable attributes of past performance examples and the solicitation requirements; and a measure of the likelihood that the past performance is an indicator of future performance.

If the Offeror does not provide past performance information with its proposal, the Contracting Officer need not pursue further information if it is clear that the Offeror’s price is not competitive.

NOTE: In the case of an Offeror without a record of relevant past performance, or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (FAR 15.305(a)(2)(iv)). Therefore, the Offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral shall be considered “acceptable.”

Past Performance acceptability will be assessed according to Table M-2.

Table M-2: Past Performance Evaluation Ratings

Rating Description Acceptable Based on the Offerors performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See NOTE above.)

Unacceptable Based on the Offerors performance record, the Government does not have a reasonable expectation that the Offeror will be able to perform successfully the required effort.

The Offeror’s past performance must be rated “Acceptable” to be further considered.

3.3 Factor 3, Total Evaluated Price

The prices proposed in Attachment 2, Pricing, are contractually binding.

The Government will evaluate the Offeror’s price proposal for the following:

A. Completeness. An Offeror’s price proposal may be deemed non-responsive if, in the judgment of the

Government, the price proposal is incomplete, erred, or does not accurately reflect the Offeror’s proposed effort in meeting the requirements, thereby indicating that the Offeror does not understand the scope of the technical requirements. Any inconsistency, whether real or apparent, between promised performance and price shall be explained in the proposal. Failure to submit a price on an item may result in the proposal being deemed non-responsive.

B. Balanced Pricing. The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced within the stepladder ranges and/or between line items. As defined in FAR 15.404, unbalanced pricing exists when, despite an acceptable total price, the price of one or more stepladder prices or contract line items are significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

C. Reasonableness. The Government anticipates making a determination of fair and reasonable pricing based on adequate competition. However, the Government may use any of the analysis techniques in FAR 15.404-1, either individually or in combination with each other, to determine that the final price is fair and reasonable.

D. Stepladder Pricing - Production CLINs. Stepladder prices will be evaluated by computing a weighted average unit price for each CLIN. The weighted average unit price will be calculated by calculating the average unit price for each stepladder quantity (sum of the unit price for each ordering period, divided by 5), multiplied by the upper quantity in that particular stepladder; the products will be added together, and divided by the sum of the upper quantity units. The weighted average unit price computed for that CLIN will be multiplied by a randomly selected “evaluated quantity” (EQ) for each CLIN to derive an evaluated CLIN amount. The randomly selected quantities will be selected prior to solicitation issuance. Regardless of the stepladder price under which the EQ falls, the EQ will be multiplied only by the weighted average unit price derived for that particular CLIN and not by the actual price that corresponds to that quantity within the Stepladder table.

E. Total Evaluated Price. The Government will evaluate proposals by determining the total evaluated price, calculated as follows:

1. All First Article CLINs. The proposed unit price multiplied by the CLIN quantity, as identified in

Attachment 2, Tab 1-Section B, to derive the total amount per First Article CLIN.

2. All Production CLINs. The evaluated CLIN amount for each Production CLIN, as described in 3.4.E, Stepladder Pricing – Production CLINs.

3. Price Evaluation Preference for HUBZone Small Businesses per 52.219-4, Notice of Price Evaluation

Preference for HUBZone Small Business Concerns (Deviation 2020-O0008)(MAR 2020) will be applied, when applicable, to the sum of E.1 and E.2. This step adds 10% to all offers except HUBZone Small Business concerns that have not waived the evaluation preference and otherwise successful offers from Small Business concerns.

4. The total evaluated price will be the sum of all First Article CLIN total amounts (E.1) plus the sum of the total evaluated CLIN amount for all Production CLINs (E.2), plus the Price Evaluation Preference for HUBZone Small Businesses (E.3).

Evaluation of prices for ordering periods 2 through 5 shall not obligate the Government to place orders in those ordering periods. The Government may determine that an offer is unacceptable if the prices in ordering periods 2 through 5 are significantly unbalanced.

Example: Total Evaluated Price

CLIN Description Quantity* Unit Price** Total Amount

4000 First Article, Unit A 3 $150.00 $450.00

5000 Production, Unit A 53 $126.33 $6,695.49

6000 First Article, Unit B 3 $150.00 $450.00

7000 Production, Unit B 350 $138.13 $48,345.50

Subtotal: $56,615.99

Price Evaluation Preference for HUBZone Small Businesses (10%) $5,561.60

Total Evaluated Price: $62,177.59

* Quantity is the quantity identified in Section B for First Article CLINs, and the EQ for the

Production CLINs.

** Unit Price is the proposed unit price for the First Article CLINs, and the weighted average unit price for the Production CLINs.

The EQs in no way restrict the Government as to the number of units it may order under each line item or each stepladder quantity. It is used solely for evaluation purposes. The Government reserves the right to order any quantity within a stepladder, up to the maximum quantity per CLIN identified in Section B.

Ordering, Production CLINs. Price breaks given for each stepladder quantity within a CLIN apply to all units within that and lower stepladders. For example, using the Stepladder Quantity pricing tables in Examples 1 and 2, an order in Year 1 for a quantity of 75 each on CLIN 5000 and 315 each on CLIN 7000 is calculated:

CLIN 5000: 75 each X $120 = $9,000 CLIN 7000: 315 each X $135 = $42,525 Total Order Amount: $51,525

F. Proposed prices will be compared to the Government estimate, other offers received, and/or other independent price and cost information. No award will be made at other than fair and reasonable prices.
