PERFORMANCE WORK STATEMENT

PERFORMANCE WORK STATEMENT (PWS)

Service and Materials for Klein K5900 Systems

1 GENERAL: The Naval Oceanographic Office (NAVOCEANO plans to enter into a non-personnel services, IDIQ contract to provide both materials and services on an as-needed basis for the Naval Oceanographic

Office’s Klein Marine Systems K5900 tow fish and related topside equipment such as the Topside Interface

Unit, High Voltage Power Supply and Sonar Processing Unit.

1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to fulfill this contract as defined in this Performance Work Statement (PWS). The contractor will provide full system and single component evaluations on equipment. The evaluations will specify the amount of service materials and service engineering work units needed to bring the equipment back to full working order.

Additionally, the contractor will provide new replacement components for the Klein Marine Systems K5900 tow fish and related topside equipment. The contractor shall perform this work to the standards in this Contract.

1.2 Background: The Naval Oceanographic Office (NAVOCEANO) has a fleet of 10 Klein Marine Systems

K5900 tow fish systems that are utilized to collect physical oceanographic data. Each system is comprised of the K5900 tow fish, Topside Interface Unit (TIU), Sonar Processing Unit (SPU), High Voltage Power Supply

(HVPS), Winch, Tow Cable and other related equipment. The side scan equipment requires occasional repair or replacement components on an as needed basis to maintain system operation.

1.3 Objectives: NAVOCEANO desires a contract mechanism to send faulty or damaged Klein Marine Systems equipment to the contractor for evaluation with the option to proceed on repairs.

1.4 Evaluations

1.4.1 At NAVOCEANO’s discretion, the NAVOCEANO Contracting Officer Representative (COR) will contact the contractor to arrange for the reception of the GFE in need of evaluation. During this process, the contractor will determine if a full system evaluation or a single component evaluation is appropriate.

1.4.2 NAVOCEANO will package and ship the equipment to the contractor at NAVOCEANO’s expense.

1.4.3 Upon receiving the equipment, the contractor will report reception to the COR noting any shipping issues within 14 days.

1.4.4 The contractor will perform the evaluation and create a written evaluation report. An evaluation report will be transmitted to NAVOCEANO COR within 45 days of receiving the equipment.

1.4.4.1 The evaluation report must include the amount of service material units and/or service engineer work units necessary to either fix or replace the equipment.

1.4.4.2 The evaluation report must also include the proposed work to be performed.

1.4.4.3 The evaluation report must also include expected number of days to complete the service if it will be more than 100 days.

1.4.5 If NAVOCEANO COR does not wish to proceed, the contractor will not affect the repairs. The contractor will then package and ship the equipment to NAVOCEANO’s at the contractor’s expense. The contractor will provide billing for the evaluation only.

1.4.6 If NAVOCEANO COR agrees to proceed, the contractor will affect the repairs or provide replacement components as appropriate. The contractor will then package and ship the equipment to NAVOCEANO at the contractor’s expense. The contractor will provide billing for the evaluation and repairs.

1.4.7 The contractor will not exceed the number of service material units and/or service engineer work units agreed to via the evaluation report.

1.4.8 If the contractor finds new issues that require additional materials and/or service hours during a repair service, the contractor will provide an updated evaluation report to the COR.

1.5 Materials

1.5.1 NAVOCEANO may choose to purchase materials separately from the materials CLIN list by issuing the contractor a task order.

1.5.2 Within 175 days, the contractor will fill the task order and then package and ship the equipment to

NAVOCEANO at the contractor’s expense.

5. PERFORMANCE REQUIREMENTS SUMMARY AND QUALITY CONTROL:

5.1 Performance Requirements Summary

5.1.1 This PWS not only discusses work to be performed, but also contains performance standards and acceptable performance levels (APL). Performance standards are "tools" the Government uses to measure level of performance. A standard is an optimum performance level against which actual performance can be measured or evaluated. For example, in the statement "complete a service call in 24 hours" the standard is 24 hours. The number of days taken to finish this task is the performance indicator, which determines if the work performed was below, met, or exceeded the standard. Developing accurate performance standards is crucial to ensuring that the actual performance received, regardless of the service provider, meets the requirements of the Statement of Work. This PWS includes performance standards for each of the

Functional Areas of the PWS. The performance standards provided with this PWS seek to state the characteristics of properly completed outputs. Each performance standard contains standards for both quality and timeliness

5.1.2 Quality Assurance. The COR will inspect for compliance with Contract terms throughout the Contract period. Evaluation will be based on the Contractor’s compliance with the requirements set forth in the

Performance Requirements Summary (PRS). The Government will monitor the Contractor's performance under this Contract by performing surveillance using the PRS. The PRS is used primarily to determine if the Contractor is performing all required outputs. The PRS also indicates for contractors the importance of each required service.

5.2 Quality Control

5.2.1 The Government shall rely on the contractors’ existing quality assurance systems as per customary industry practices for the commercial item being acquired. The quality control plan shall ensure configuration, maintenance and repair services are performed in accordance with manufacturer’s recommendations and generally accepted commercial practices. The plan shall identify procedures to identify and prevent defective services from recurring.

5.2.2 The contractor shall provide a copy of their quality control program to the Government within 30 days of award.

It is emphasized that only the PCO/CAO has the authority to modify the terms of the contract. In no event will any understanding, agreement, modification, change order, or other matter deviating from the terms of the basic contract between the contractor and any other person be effective or binding on the government. If in the opinion of the contractor an effort outside the scope of the contract is requested, the contractor shall promptly notify the PCO in writing. No action may be taken by the contractor unless the PCO or CAO has issued a contractual change. The COR duties are as follows:

Surveillance becomes supervision when you go beyond enforcing the terms of the contract. If the contractor is directed to perform the contract services in a specific manner, the line is being crossed.

In such as situation, the COR's actions would be equivalent to using the contractor's personnel as if they were government employees and would constitute transforming the contract into one for personal services.

If performance schedule slippage is detected, the COR should determine the factors causing the delay and report them to the PCO, along with the contractor's proposed actions to eliminate or overcome these factors and recover the slippage. Once a recovery plan has been put in place, the COR is responsible for monitoring the recovery and keeping the PCO advised of progress.

(4) If the Contractor Performance Assessment Reporting System (CPARS) is applicable to the contract you are responsible for completing a Contractor Performance Assessment Report (CPAR) in the CPARS Automated

The completed CPAR, including contractor comments if any, (NOTE: contractors are allowed 30 days to input their comments) should be available in the CPARS AIS for reviewing official (PCO) review no later than 270 days after start of contract performance. Subsequent CPARs covering any contract option periods should be ready at 1-year intervals thereafter.

c. Invoice Review and Approval/Inspection and Acceptance

(1) The COR is responsible for quality assurance of services performed and acceptance of the services or deliverables. The COR shall expeditiously review copies of the contractor's invoices or vouchers, certificate of performance and all other supporting documentation to determine the reasonableness of the billing. In making this determination, the COR must take into consideration all documentary information available and any information developed from personal observations.

(2) The COR must indicate either complete or partial concurrence with the contractor's invoice/voucher by executing the applicable certificate of performance furnished by the contractor.

(3) The COR will provide the PCO and the CAO with copies of acceptance documents such as

Certificates of Performance.

(4) Upon completion of all services under the contract, the COR shall work with the Contractor to obtain and execute a final invoice no more than 60 days after completion of contract performance. The COR shall ensure that the invoice is clearly marked as a “Final Invoice.”

d. Contract Modifications/Orders Under Indefinite Delivery Contracts.

g. Security. The COR is responsible for ensuring that any applicable security requirements are strictly adhered to.

h. Standards of Conduct. The COR is responsible for reading and complying with all applicable agency standards of conduct and conflict of interest instructions.

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on

National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices

(including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other

Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order

13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial products or commercial services, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.
