Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.
Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).
Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
Safeguarding means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
The Government intends to award a Firm Fixed Price (FFP) contract to the responsible offeror whose proposal represents the best value after evaluation in accordance with the factors in the solicitation. The offeror’s proposal shall be in the form prescribed by, and shall contain a response to each of the areas identified in solicitation provision FAR 52.212-1 entitled “Instructions to Offerors - Commercial Items” and its’ Addendum.
The Government intends to award the contract without discussions. The establishment of a competitive range is not anticipated. Accordingly, each Offeror should submit its most favorable terms from a price and technical standpoint.
However, the Government reserves the right to establish a competitive range and conduct discussions if later determined by the PCO to be necessary.
The evaluation of proposals will consider the Non-Price Proposal to be more important than the Price Proposal.
Within the Non-Price Proposal, Technical Approach is more important than Past Performance. The Technical Approach will be comprised of Sub-Factor I – Staffing Approach, Sub-Factor II - Performance and Management Approach and Sub-Factor III – Transition Plan, which are of equal importance.
1. Non-Price Proposal Evaluation Criteria
The Non-Price Proposal is comprised of Factor I - Technical Approach and Factor II - Past Performance, along with the respective sub-factors. The evaluation of proposals will consider Factor I – Technical Approach more important than Factor II – Past Performance. When combined, Factor I – Technical Approach and Factor II – Past Performance are more important than Factor III – Price.
A. Factor I – Technical Approach The tables entitled “Combined Technical/Risk Ratings” and “Technical Risk” will be utilized for the assignment of ratings for Technical Approach Factor and Sub-Factors.
Sub-Factor I – Staffing Approach- The offeror’s overall staffing approach will be evaluated on its feasibility, its comprehensiveness, and the degree to which the offeror demonstrates how the requirements specified in Sections 3.0
– 5.0 will be successfully accomplished. Specifically, offers will be evaluated on:
Proposed comprehensive staffing chart that details the roles and responsibilities for all proposed contact center personnel. This chart shall identify the proposed labor categories and number of personnel for each category;
Proposed staffing plan for utilization of the offeror’s personnel resources that demonstrate an understanding of the required skill sets;
Proposed methodology for recruitment and retention;
Proposed training plan that demonstrates 1) contractor personnel will be knowledgeable of the work to be performed and able to communicate accurate information to customers on the programs and established business SOPs and 2) call center employee training will remain current; and
Proposed plan to handle workload surges to include unanticipated increases in call volume throughout the year as well as anticipated increases during open season;
Offeror’s resumes will be evaluated to determine the proposed key personnel’s experience, qualifications and security clearance meet or exceed those set forth in sections 4.4 and 4.5 of the PWS. The offeror shall provide letters of commitment for any proposed key personnel that are not current employees of the offeror.
Sub-factor II – Performance and Management Approach - Offeror will be evaluated on its ability to demonstrate understanding of and capability to meet the requirements stated in Section 3.0 of the Performance Work Statement.
The offeror’s overall performance and management approach will be evaluated on its feasibility, its comprehensiveness, and the degree to which the offeror demonstrates how the requirements will be successfully accomplished. Specifically, offers will be evaluated on:
Proposed performance plan that demonstrates the offeror’s capability to successfully accomplish the requirements in Section 3.0 of the PWS;
Proposed management plan that clearly details how this effort will be managed at the corporate and on-site levels to ensure successful performance;
Proposed plan that ensures no losses, compromises or unauthorized release of protected information (Privacy Act compliance, PII, etc);
Proposed comprehensive technical plan that reflects the offeror’s understanding of and ability to comply with and sustain the information technology (IT) and information assurance (IA) requirements detailed in Section 6.0 of the PWS throughout the life of the contract. Offeror’s plan should identify agreements with Internet Service Providers (ISPs) and local and long distance carriers in support of these requirements; and
Proposed contingency plan that demonstrates the offeror’s ability to sustain operations at the contact center for the operational schedule as identified in Section 2.0 of the PWS. Offeror’s plan should detail their ability to sustain technological functions via maintenance capabilities, security compliance, redundancy and/or backup strategies.
Sub-Factor III - Transition Plan – Offeror’s transition plan will be evaluated on its feasibility, its comprehensiveness and how well the offeror demonstrates its’ capability to successfully accomplish the requirements in PWS Sections 3.0 – 7.0, minimize disruptions to the call center operations, and assume full operational responsibility at the end of the two (2) month transition period. Offeror’s Plan of Action and Milestones will be evaluated for completeness and proper identification of critical path items as well as strategy for mitigating any issues and/or concerns encountered during the transition period.
The Technical Approach Factor evaluation will be based on each offeror’s response to the requirements of FAR 52.212-1 “Instructions to Offerors – Commercial Items” and its’ Addendum included in the solicitation. In the execution of the evaluations, both the offeror’s Technical Approach to meeting the Government’s requirements as defined in the solicitation and the risk related to this proposed approach will be assessed.
The purpose of the Technical Approach factor is to assess the offeror’s proposed approach to satisfy the Government’s requirements. The evaluation of risk is related to the assessment of the offeror’s proposed Technical Approach. Risk assesses the degree to which the offeror’s proposed technical approach for the requirements of the solicitation may cause disruption of schedule, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance.
A combined Technical/Risk Rating will be utilized in the evaluation of the Non-Price Proposal Factor I. The combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses, and deficiencies in determining technical ratings.
Combined technical/risk evaluations will utilize the “Combined Technical/Risk Rating” Table and the risk description set forth in the “Technical Risk” Table.
NOTE: A rating of “Marginal” for Factor I or any Sub-Factor means that the offeror’s proposal is not awardable without a change or changes to the offeror’s proposal. An offer which includes a “Marginal” rating is not eligible for award if award is made on initial offers. Offerors that receive a “Marginal” rating are considered to be susceptible to correction if the Source Selection Authority determines that an exchange (pursuant to FAR 15.306) is appropriate and said exchange is conducted.
A rating of “Unacceptable” for Factor I or any Sub-Factor means that the offeror’s proposal is not awardable and is not susceptible to correction without what would be tantamount to the submission of an entirely new proposal.
Offerors simply providing general statements or paraphrasing/parroting the PWS in whole or in any part may result in a rating of “Unacceptable”.
B. Factor II - Past Performance: Factor II will be evaluated based on recency, relevancy, quality, and confidence.
For the Past Performance factor, the rating tables identified in the table below, entitled “Past Performance Relevancy Ratings Table” and “Past Performance Confidence Assessment Ratings Table” will be utilized for the assignment of ratings for relevancy and confidence assessment. Past performance will be evaluated for confidence based on the recency, relevance and quality of the submitted contracts.
Past Performance will be assessed as follows:
Evaluation will focus only on work experience already performed. Work yet-to-be performed and work performed prior to the last 5 years from the solicitation closing date will not be considered. In addition, performance data will only be assessed for those references demonstrating at least 1 year of completed performance prior to the closing date of the solicitation.
Past Performance Relevancy Ratings – Regarding relevancy, each past performance reference under each offeror’s Past Performance submission will be evaluated to determine its scope and magnitude relative to the instant requirement. The following definitions will apply to this evaluation:
Scope: Experience in the areas defined in the PWS.
Magnitude: The measure of the similarity of the dollar value of actually performed work that exists between the PWS and the offeror’s contracts. Magnitude will be evaluated on the dollar amount of work actually performed under the contract or contracts during the relevant five-year period established by the solicitation
Each offeror’s past performance submissions will be aggregated subsequent to evaluation to arrive at an overall offeror past performance relevancy assessment. Offerors lacking relevant past performance history will not be evaluated favorably or unfavorably on past performance. However, the proposal of an offeror with no relevant past performance history, while not rated favorably or unfavorably for past performance, may not represent the most advantageous proposal to the Government. In this instance, the offeror will receive a rating of “Unknown Confidence (Neutral)” in the past performance sub-factor.
Past Performance Quality Evaluation – Each past performance reference under each offeror’s Past Performance submission that is found to have at least some relevance to the instant requirement will be evaluated to determine the quality of the offeror’s performance under that reference. In order to verify past performance information and determine the quality of the past performance submission, the Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires (i.e. the Past Performance Report Form), telephone interviews and existing data sources to include but not limited to Contractor Performance Assessment Reporting (CPARS). The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. This past performance information will be used for the evaluation of past performance.
Past Performance Confidence Assessment Ratings – The overall assigned rating for Past Performance will be the Past Performance Confidence Assessment rating. The assignment of this rating will be based on the quality of the relevant past performance and will also consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance. The quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of Past Performance Confidence.
This evaluation and rating is separate and distinct from the Contracting Officer’s responsibility determination. The assessment of the offeror’s past performance will be used as a means of evaluating the relative capability of the offeror and other competitors to successfully meet the requirements of the RFP. In determining the rating for the past performance evaluation sub-factor, the Government will give greater consideration to the contracts which the Government feels are most relevant to the RFP.
Overall Non-Price Proposal Rating
Upon completion of the Non-Price Factor evaluation, a composite rating for the overall Non-Price Factor will be assigned to each offeror’s proposal. The assignment of this overall rating will take into consideration the comparative weightings of Technical Approach and Past Performance Plan non-price factors and their respective sub-factors. The ratings listed in the “Combined Technical/Risk Rating” Table and the risk descriptions set forth in the “Technical Risk” Table will be used.
2. Price Proposal Evaluation Criteria
Price proposals will be evaluated in accordance with FAR 15.404-1(b), Price Analysis.
Offeror’s price will be evaluated based on the price included in the “Schedule of Supplies/Services.”
Although price is weighted in a manner that makes it less important than the non-price factor, it has the potential to become more significant during the evaluation process. The degree of importance of the price will increase with the degree of equality of the proposals in relation to the other factors on which selection is to be based. The importance of price will also increase when a proposal's price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the offer. If, at any stage of the evaluation, all offerors are determined to have submitted equal, or virtually equal, or generally equivalent, non-price proposals, price could become the factor in determining which offeror shall receive the award.
The PCO/SSA may evaluate any and all information submitted by the vendor to support the reasonableness of prices proposed.
The method of evaluation used by the Contracting Officer is solely within the discretion of the Contracting
Officer.
Options, to include FAR 52.217-8, will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of Options. The Government will evaluate offers for award purposes by adding the price for the options to the total price for the basic requirement. Evaluation of the options shall not obligate the Government to exercise the option(s).
3. Written Notice
A written notice of award or acceptance of an offer e- mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
4. Rating Tables
Technical Ratings These ratings will be used in the evaluation of Factor I - Technical Approach and the overall Non-Price Proposal.
Combined Technical/Risk Table
Adjectival Rating

Acceptable Proposal indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
Unacceptable Proposal does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is unawardable.
Technical Risk Table:
Low Proposal may contain weakness(es) which have little potential to cause disruption of schedule or degradation of performance. Normal contractor effort and normal Government monitoring will likely be able to overcome any difficulties.
Moderate Proposal contains a significant weakness or combination of weaknesses which may potentially cause disruption of schedule or degradation of performance.
Special contractor emphasis and close Government monitoring will likely be able to overcome difficulties.
High Proposal contains a significant weakness or combination of weaknesses which is likely to cause significant disruption of schedule or degradation of performance. Is unlikely to overcome any difficulties, even with special contractor emphasis and close Government monitoring. .
Unacceptable Proposal contains a material failure or a combination of significant weaknesses that increases the risk of unsuccessful performance to an unacceptable level.
DEFINITIONS:
Strength - An aspect of an offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.
Weakness - A flaw in the proposal that increases the risk of unsuccessful contract performance.
Significant Weakness - A flaw that appreciably increases the risk of unsuccessful contract performance.
Deficiency - A material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.
Risk – (as it pertains to source selection) - The potential for unsuccessful contract performance.
The consideration of risk assesses the degree to which an offeror’s proposed approach to achieving the technical factor or sub-factor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.
