Therefore, the initial quote should contain the quoter’s best terms from a technical, past performance and a price standpoint. The Government reserves the right to award a firm fixed price contract to other than the lowest priced quoter; award a firm fixed priced contract without discussions; or award a firm fixed priced contract after discussions, whichever is in the best interest of the
Government.

CLAUSES INCORPORATED BY FULL TEXT
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
EVALUATION CRITERIA
The Government intends to award a Firm Fixed Priced (FFP) contract to the responsible quoter whose quote represents the best value after evaluation in accordance with the factors in the solicitation by utilizing the trade-off process. The quote shall be in the form prescribed by, and shall contain a response to each of the areas identified in the Instructions to Quoters section of the solicitation. The Government intends to evaluate quotes and award the task order upon initial quotes. Therefore, the initial quote should contain the quoter’s best terms from a technical, past performance, and price standpoint.
The evaluation of quotes will be conducted in two phases.
Phase I will consist of evaluation of Factor I – Security Clearance. Quotes receiving a rating of ‘Unacceptable’ for
Factor I – Security Clearance are considered un-awardable and will not be further evaluated. Quoters rated as
"Acceptable” in Phase I shall be ordered according to price, inclusive of all option pricing, from lowest to highest and will progress to Phase II of the evaluation. A quoter’s proposed prices will be determined by adding all extended amounts for the CLINs in Section B.
Phase II will consist of evaluation of Factor II –Staffing Approach, Factor III – Past Performance and Factor IV –
Price. Within the Non-Price quote, Staffing Approach and Past Performance will be weighted equally. The evaluation of quotes will consider Staffing Approach and Past Performance combined to be more important than
Price.
If the lowest priced quote is evaluated to have a Staffing Approach rated as ‘Outstanding’ AND an overall Past
Performance Confidence Assessment rating of ‘Substantial Confidence’, that quote represents the best value for the
Government and the evaluation process stops at this point. Award shall be made to that quoter without further consideration of any other quotes. However, if the lowest priced quote is not evaluated to have a Staffing Approach rated as ‘Outstanding’ AND a ‘Substantial Confidence’ Past Performance Confidence Assessment rating, the next-lowest priced quote will be evaluated. The evaluation process will continue (in order of price from lowest to highest) until a quote is evaluated to have a Staffing Approach rated as ‘Outstanding’ AND a ‘Substantial
Confidence’ Past Performance Confidence Assessment rating. The Government shall then make and integrated best-value award decision between the quote rated with a Staffing Approach rated as ‘Outstanding’ AND a
‘Substantial Confidence’ Past Performance Confidence Assessment rating and all lower priced awardable quotes. If no quotes are rated with a Staffing Approach of ‘Outstanding’ AND a ‘Substantial Confidence’ Past Performance
Confidence Assessment, the Source Selection Authority shall make an integrated assessment best-value award decision from among the awardable quotes.
PHASE I
Factor I – Security Clearance: Factor I will be evaluated on an acceptable/unacceptable basis using the Technical
Acceptable/Unacceptable Ratings table below. The quoter will be evaluated on: the accuracy, completeness and feasibility of its response to Section L. The purpose of this Factor is to assess the quoter’s proposed validator candidates’ commitment and qualifications to satisfy the Government’s requirements.
Table 1 –Technical Acceptable/Unacceptable Ratings Table
Technical Rating Description
Acceptable Quote meets the requirements of the solicitation.
Unacceptable Quote does not meet the requirements of the solicitation.
PHASE II
Phase II will consist of evaluation of Factor II –Staffing Approach, Factor III – Past Performance and Factor IV –
Price.
Factor II –Staffing Approach:
The quoter shall submit documentation describing their approach to ensuring the staffing capabilities and key personnel qualifications as required in the PWS. The table below entitled “Combined Technical/Risk Ratings Table” will be utilized for the assignment of ratings for Factor II. The quoter will be evaluated on: the accuracy, completeness and feasibility of its response to Section L. The purpose of this Factor is to assess the quoter’s proposed approach to satisfy the Government’s requirements.
The combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses, and deficiencies in determining technical ratings. Combined technical/risk evaluations will utilize the combined technical/risk ratings from the Technical Rating Table below.
Table 2 – Combined Technical/Risk Ratings Table
Technical Rating Description
Outstanding Quote indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.
Good
Quote indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.
Acceptable
Quote meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal Quote has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
Unacceptable
Quote does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Quote is un-awardable.
Definitions:
Strength is an aspect of a quoter’s quote that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.
Weakness means a flaw in the quote that increases the risk of unsuccessful contract performance.
Significant Weakness in the quote is a flaw that appreciably increases the risk of unsuccessful contract performance.
Deficiency is a material failure of a quote to meet a Government requirement or a combination of significant weaknesses in a quote that increases the risk of unsuccessful contract performance to an unacceptable level.
Risk, as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an quoter’s proposed approach to achieving the technical factor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.
NOTE: A rating of “Marginal” for Factor II means that the quote is not awardable without a change or changes to the quote. A quote which includes a “Marginal” rating is not eligible for award if award is made on initial quotes.
Quoters that receive a “Marginal” rating are considered to be susceptible to correction if the Source Selection
Authority determines that an exchange (pursuant to FAR 15.306) is appropriate and said exchange is conducted.
A rating of “Unacceptable” for Factor II means that the quoter’s quote is not awardable and will not be further evaluated.
Quoters simply providing general statements or paraphrasing/parroting the PWS in whole or in any part shall be rated unacceptable.
Factor III - Past Performance:
The past performance evaluation factor assesses the degree of confidence the Government has in an quoter’s ability to meet the contract’s requirements based on the quality of a demonstrated record of recent and relevant performance. There are three aspects to the past performance evaluation: recency, relevancy, and quality. These are combined to establish a single performance confidence assessment rating for each quoter.
Past Performance Recency: Recency is the first aspect of the past performance evaluation and is the time period during which past performance references are considered relevant. Recency is critical to establishing the relevancy of past performance information. For purposes of this solicitation, recent past performance is performance that has taken place within five (5) years as of the closing date of this solicitation. Performance outside of this stated period will not be considered for evaluation purposes.
Past Performance Relevancy Ratings
Relevancy is the second aspect of the past performance evaluation and the Government will assess each past performance reference under each quoter’s Past Performance submission to determine scope and magnitude relative to this requirement. The following definitions will apply to this evaluation:
• Scope: The measure of the similarity of the scope of the PWS and the quoter’s contracts. The PWS scope meets the majority of the objectives as defined in the solicitation.
• Magnitude: The measure of the similarity of the dollar value of actually performed work that exists between the PWS and the quoter’s references. Magnitude will be evaluated on the dollar amount of work actually performed under the contract or contracts during the relevant five-year period established by this solicitation.
The relevancy rating assigned to each past performance reference will be considered in determining the weight to be given to that reference in the overall Past Performance Confidence Assessment. The quality of performance under a past performance reference that that has no relevance to the instant requirement will not be considered in the overall assessment of past performance confidence. In determining the rating for the past performance factor, past performance of greater relevancy will have more influence on the past performance confidence assessment than past performance of lesser relevance.
The Past Performance Relevancy Ratings are listed in Table 3 – Past Performance Relevancy Rating Table below:
Table 3 – Past Performance Relevancy Ratings Table
Rating Description
Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort this solicitation requires.
Past Performance Quality: The third aspect of the past performance evaluation is to establish the overall quality of the quoter’s past performance. The Government will review all past performance information collected and determine the quality of the quoter’s performance, including general trends and usefulness of the information, and will incorporate this into the past performance confidence assessment.
Past Performance Confidence Assessment Ratings
Next, the overall assigned rating for Past Performance will be the Past Performance Confidence Assessment rating.
The assignment of this rating will be based on the quality of the relevant past performance and will also consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance. The quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of Past Performance Confidence. This evaluation and rating is separate and distinct from the Contracting Officer’s responsibility determination. The assessment of the quoter’s past performance will be used as a means of evaluating the relative capability of the quoter and other competitors to successfully meet the requirements of the RFQ. In determining the rating for the past performance evaluation factor, the Government will give greater consideration to the contracts which the
Government feels are most relevant to the RFQ. The Past Performance Confidence Assessment Ratings are detailed in the table as follows:
Table 4 – Past Performance Confidence Assessment Ratings Table
Adjectival Rating Description
Substantial Confidence
Based on the quoter’s recent/relevant performance record, the Government has a high expectation that the quoter will successfully perform the required effort.
Satisfactory Confidence
Based on the quoter’s recent/relevant performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort.
Neutral Confidence
No recent/relevant performance record is available or the quoter’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The quoter may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence
Based on the quoter’s recent/relevant performance record, the Government has a low expectation that the quoter will successfully perform the required effort.
No Confidence
Based on the quoter’s recent/relevant performance record, the Government has no expectation that the quoter will be able to successfully perform the required effort.
In the case of quoters for which there is no information on past contract performance or where past contract performance information is not available, the quoter may not be evaluated favorably or unfavorably on the past performance factor. In this case, the quoter’s past performance is unknown and assigned a performance confidence rating of “Neutral Confidence.” Although an quoter that lacks recent, relevant past performance may not be rated favorably or unfavorably with regard to past performance, the Government may determine that a “Substantial
Confidence” or “Satisfactory Confidence” past performance rating provides better value to the Government than a
“Neutral Confidence” past performance rating.
In order to determine the quality of performance, the Government may utilize existing data sources, including the
Past Performance Information Retrieval System (PPIRS), the Contractor Performance Assessment Reporting System
(CPARS), the Federal Awardee Performance and Integrity Information System (FAPIIS), the Electronic Subcontract
Reporting System (eSRS), or other databases; communication with points of contact in the quoter’s customer’s organization, which could include private sector requirements and contracts personnel, Administrative Contracting
Officers, Defense Contract Management Agency (DCMA) personnel, Procuring Contracting Officers, Contracting
Officer’s Representatives, and other Government activity requirements personnel. The Government may verify past performance information. The Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires, telephone interviews, and existing data sources. The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources, including sources outside of the Government. This information will be used for the evaluation of past performance.
Factor IV – Price:
Price will be evaluated in accordance with FAR 13.106-3. For the purpose of preparing a price quote, the contractor shall assume that the basic period of performance will be one (1) 6-month base period with four (4) 12-month option periods inclusive of one (1) 6-month option period (FAR Clause 52.217-8). The Government will evaluate the price quote for the base year, each 12-month option period, and the 6-month option period (FAR 52.217-8).
Options, to include FAR 52.217-8, will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of
Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). Prices will be evaluated on the basis of price reasonableness.
The Government may evaluate any and all information submitted by the quoter to support the reasonableness of prices proposed. The method of evaluation used by the Contracting Officer is solely within the discretion of the
Contracting Officer. Additionally, the government may request quoters to submit additional information/data to support price reasonableness such as copies of paid invoices for the same or similar items or uncertified cost and pricing data. Failure to submit the requested information may result in disqualification of the submitted quote.
A written notice of award or acceptance of a quote e-mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote shall result in a binding contract without further action by either party.
Although price is the not the most important evaluation factor, it has the potential to become more significant during the evaluation process. The degree of importance of price will increase with the degree of equality of the quotes in relation to the other factors on which selection is to be based. The importance of price will also increase when a quote's price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the quote. If, at any stage of the evaluation, all quoters are determined to have submitted equal, or virtually equal, non-price quotes, price could become the factor in determining which quoters shall receive the award.
Technical and past performance, when combined, are more important than price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS (JUN 2016)
(a) Definitions. As used in this clause--
Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.
Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on
National Security Systems Instruction (CNSSI) 4009).
Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
Safeguarding means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices
(including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other
Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order
13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.
