SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

SOLICITATION/CONTRACT FORM

The contract maximum amount has decreased by $300,000.00 from $500,000.00 to $200,000.00.

The contract minimum amount has decreased by $179,372.00 from $189,372.00 to $10,000.00.

The following have been modified:

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

EVALUATION CRITERIA:

The Government intends to award a Firm Fixed Price (FFP) indefinite-delivery indefinite-quantity contract to the responsible offeror whose quote represents the best value after evaluation in accordance with the factors in the solicitation by utilizing the trade-off process. The offeror’s quote shall be in the form prescribed by, and shall contain a response to each of the areas identified in the Instructions to Offerors section of the solicitation. The

Government intends to evaluate quotes and award the contract upon initial quotes. Therefore, the offeror’s initial quote should contain the offeror’s best terms from a past performance and price standpoint.

The evaluation of quotes will be conducted in two phases after placing all offers in order of lowest price to highest.

Phase I will consist of evaluation of Factor I – Past Performance. During phase I, the evaluation will consider past performance. Factor I – Past Performance. Phase II will consist of the evaluation of Factor II, Price. During Phase II, the evaluation of quotes will consider Factor II – Price. Factor I – Past performance will be more important that

Factor II –Price.

If the lowest priced quote is evaluated to have a Past Performance Confidence Assessment rating of ‘Substantial

Confidence’, that quote represents the best value for the Government and the evaluation process stops at this point. Award shall be made to that quoter without further consideration of any other quotes. However, if the lowest priced quote is not “Substantial Confidence” Past Performance Confidence Assessment rating, the next-lowest priced quote will be evaluated. The evaluation process will continue in order of price from lowest to highest until a quote is evaluated to have a “Substantial Confidence” Past Performance Confidence Assessment rating. The

Government shall then make and integrated best-value award decision between the quote rated with a “Substantial

Confidence” Past Performance Confidence assessment rating and all lower priced awardable quotes. If no quotes are rated with a “Substantial Confidence” Past Performance Confidence Assessment, the Source Selection Authority shall make an integrated assessment best-value award decision from among the awardable quotes.

PHASE I

The past performance evaluation factor assesses the degree of confidence the Government has in an quoter’s ability to meet the contract’s requirements based on the quality of a demonstrated record of recent and relevant performance. There are three aspects to the past performance evaluation: recency, relevancy, and quality. These are combined to establish a single performance confidence assessment rating for each quoter.

Past Performance Recency: Recency is the first aspect of the past performance evaluation and is the time period during which past performance references are considered relevant. Recency is critical to establishing the relevancy of past performance information. For purposes of this solicitation, recent past performance is performance that has taken place within five (5) years as of the closing date of this solicitation. Performance outside of this stated period will not be considered for evaluation purposes.

Past Performance Relevancy Ratings

First, the Government will assess each past performance reference under each quoter’s Past Performance submission to determine scope and magnitude relative to this requirement. The following definitions will apply to this evaluation:

• Scope: The measure of the similarity of the scope of the PWS and the quoter’s contracts. The PWS scope meets the majority of the objectives as defined in the solicitation.

• Magnitude: The measure of the similarity of the dollar value of actually performed work that exists between the PWS and the quoter’s references. Magnitude will be evaluated on the dollar amount of work actually performed under the contract or contracts during the relevant five-year period established by this solicitation.

The relevancy rating assigned to each past performance reference will be considered in determining the weight to be given to that reference in the overall Past Performance Confidence Assessment. The quality of performance under a past performance reference that that has no relevance to the instant requirement will not be considered in the overall assessment of past performance confidence. In determining the rating for the past performance factor, past performance of greater relevancy will have more influence on the past performance confidence assessment than past performance of lesser relevance. The Past Performance Relevancy Ratings are listed in Table 3 – Past Performance

Relevancy Rating Table below:

Table 3 – Past Performance Relevancy Ratings Table

Rating Description

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort this solicitation requires.

Somewhat

Relevant

Present/past performance effort involved some of the scope and magnitude of effort this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort this solicitation requires.

Past Performance Quality: The third aspect of the past performance evaluation is to establish the overall quality of the quoter’s past performance. The Government will review all past performance information collected and determine the quality of the quoter’s performance, including general trends and usefulness of the information, and will incorporate this into the past performance confidence assessment.

Past Performance Confidence Assessment Ratings

Next, the overall assigned rating for Past Performance will be the Past Performance Confidence Assessment rating.

The assignment of this rating will be based on the quality of the relevant past performance and will also consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance. The quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of Past Performance Confidence. This evaluation and rating is separate and distinct from the Contracting Officer’s responsibility determination. The assessment of the quoter’s past performance will be used as a means of evaluating the relative capability of the quoter and other competitors to successfully meet the requirements of the RFQ. In determining the rating for the past performance evaluation factor, the Government will give greater consideration to the contracts which the

Government feels are most relevant to the RFQ. The Past Performance Confidence Assessment Ratings are detailed in the table as follows:

Table 4 – Past Performance Confidence Assessment Ratings Table

Adjectival

Rating Description

Substantial

Confidence

Based on the quoter’s recent/relevant performance record, the Government has a high expectation that the quoter will successfully perform the required effort.

Satisfactory

Confidence

Based on the quoter’s recent/relevant performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort.

Neutral

Confidence

No recent/relevant performance record is available or the quoter’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

The quoter may not be evaluated favorably or unfavorably on the factor of past performance.

Limited

Confidence

Based on the quoter’s recent/relevant performance record, the Government has a low expectation that the quoter will successfully perform the required effort.

No Confidence Based on the quoter’s recent/relevant performance record, the Government has no expectation that the quoter will be able to successfully perform the required effort.

In the case of quoters for which there is no information on past contract performance or where past contract performance information is not available, the quoter may not be evaluated favorably or unfavorably on the past performance factor. In this case, the quoter’s past performance is unknown and assigned a performance confidence rating of “Neutral Confidence.” Although an quoter that lacks recent, relevant past performance may not be rated favorably or unfavorably with regard to past performance, the Government may determine that a “Substantial

Confidence” or “Satisfactory Confidence” past performance rating provides better value to the Government than a

“Neutral Confidence” past performance rating.

In order to determine the quality of performance, the Government may utilize existing data sources, including the

Past Performance Information Retrieval System (PPIRS), the Contractor Performance Assessment Reporting System

(CPARS), the Federal Awardee Performance and Integrity Information System (FAPIIS), the Electronic Subcontract

Reporting System (eSRS), or other databases; communication with points of contact in the quoter’s customer’s organization, which could include private sector requirements and contracts personnel, Administrative Contracting

Officers, Defense Contract Management Agency (DCMA) personnel, Procuring Contracting Officers, Contracting

Officer’s Representatives, and other Government activity requirements personnel. The Government may verify past performance information. The Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires, telephone interviews, and existing data sources. The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources, including sources outside of the Government. This information will be used for the evaluation of past performance.

PHASE II

Price will be evaluated in accordance with FAR 13.106-3. For the purpose of preparing a price quote, the contractor shall assume that the basic period of performance will be for (1) 12- month base year, an ordering period, and the 6-month option period (FAR 52.217-8). The Government will evaluate the price quote for 12- month base period, an ordering period, and the 6-month option period (FAR 52.217-8).

Options, to include FAR 52.217-8, will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of

Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). Prices will be evaluated on the basis of price reasonableness.

The Government may evaluate any and all information submitted by the quoter to support the reasonableness of prices proposed. The method of evaluation used by the Contracting Officer is solely within the discretion of the

Contracting Officer. Additionally, the government may request quoters to submit additional information/data to support price reasonableness such as copies of paid invoices for the same or similar items or uncertified cost and pricing data. Failure to submit the requested information may result in disqualification of the submitted quote.

A written notice of award or acceptance of a quote e-mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote shall result in a binding contract without further action by either party.

Although price is the not the most important evaluation factor, it has the potential to become more significant during the evaluation process. The degree of importance of price will increase with the degree of equality of the quotes in relation to the other factors on which selection is to be based. The importance of price will also increase when a quote's price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the quote. If, at any stage of the evaluation, all quoters are determined to have submitted equal, or virtually equal, non-price quotes, price could become the factor in determining which quoters shall receive the award.

52.216-19 ORDER LIMITATIONS (OCT 1995)

ORDERING

a. Ordering: Services to be furnished under this contract shall be furnished at such times as ordered by the issuance of Task Orders (TOs) on DD Form 1155 or SF 1449 by the Ordering Officer. All orders issued hereunder are subject to the terms and conditions of this contract. This contract shall control in the event of conflict with any TO. When mailed, a TO shall be "issued" for purpose of this contract at the time the Government deposits the order in the mail, or, if transmitted by other means, when physically delivered to the Contractor.

b. Ordering Procedures: Due to the operational concerns of issuing task orders for required repairs, the PCO determined the use of Routine and Emergency Repair TDLs to be in the best interest of the government for this requirement. In an effort to mitigate risk to the government and to ensure TDLs are not used as pseudo task orders, modifications, identify new deliverables, increase labor categories or mix proposed by the contractor, the PCO intends to incorporate the following processes:

Routine Repair TDL

1. Request for maintenance and repair be requested by the COR on the corresponding TDL template in the solicitation (Attachment 4).

2. The COR shall specify for each repair from the line item using the pricing spreadsheet.

3. Each TDL shall be issued for a specific time, task and location. The TDL shall not include ambiguous, all inclusive language such as: repair parts and service calls.

4. Each TDL must include, at a minimum, the date of the repair, the contract and repair TDL number, printed name and contact information of the COR and PCO, reference to the relevant section or item in the PWS, signatures and dates of the PCO and COR.

5. A TDL numbering system and log included in the solicitation will be provided to the COR for tracking purposes for each repair requirement. The TDL will be numbered beginning with R0001 for Repairs. Each TDL must be reviewed by the PCO or ACO prior to being issued by the COR.

6. The PCO shall receive copies of all Repair TDLs when copies are distributed to the contractor. The COR shall maintain a TDL log, and copies of all TDLs issued.

7. All contract terms and conditions will apply to each Repair TDL.

8. In the event of a conflict between a TDL and this contract, the contract shall take precedence and the PCO may cancel the TDL process and individual task orders will be used for repairs.

9. Upon issuance of contract task order, the COR shall submit to the PCO a numbered Repair TDL in accordance with the PWS and pricing spreadsheet. For each TDL issued, the COR shall provide the cost and the number of days after TDL in accordance with the pricing spreadsheet (Attachment 3).

Emergency Repair TDL

1. In the event of unforeseen repairs, the COR shall issue an Emergency Repair TDL in accordance with the TDL numbering system (E0001) and TDL template (Attachment 5).

2. Once a quote is received from the contractor for the associated repairs, the COR shall obtain documentation from the contractor to determine the cost of parts and material fair and reasonable. The COR shall provide historical documentation of similar repairs and parts used, receipts and catalog prices.

3. The COR shall complete the Repair TDL template in accordance with the pricing spreadsheet to illustrate the repairs cost of parts and materials.

4. Additionally, the COR shall specify for each repair the number of days after issuance of a Repair TDL for delivery. For each repair, the COR shall provide, the number of hours for repair, the labor rate and parts required for the repair. The COR shall use the Repair TDL in accordance with the pricing spreadsheet of proposed parts and materials from the contractor.

c. Unilateral Orders issued under an urgent requirement. TOs under this contract will ordinarily be issued after both parties agree on all terms. If the parties fail to agree, the Ordering Officer may require the Contractor to perform and any disagreement shall be deemed a dispute within the meaning of the Disputes clause.

d. Each Repair TDL issued for repairs shall be bilaterally signed by the PCO, COR and contractor.

e. Cautionary Note. Nothing stated in the TO, in a quote, or in discussions thereto, can modify the basic contract terms or regulations governing this contract.

The contractor shall invoice in accordance with FAR clause 252.232-7006.
