A1: Yes.

Q2: Let us know that how many total FTE’s (Key Personnel) are required under this requirement? Do we need resumes?

A2: No Key Personnel are listed in the RFP. Resumes are not required.

Q3: Please confirm the government intends for offerors to price CLIN 0001 for a period of performance of 01 Mar 2014 to 28 Feb 2017 "for a total of 650, 923 hrs as depicted on page 5 of the solicitation.

Q5: Administrative Supplies identify that the contractor "will assist in the ordering ad restocking of supplies". Please clarify if this requirement includes the procurement of supplies in the Government behalf using this contract.

A5: The contractor will be expected to assist in completing internal paperwork necessary to obtain supplies from the warehouse. The contractor will not be procuring any supplies or materials.

Q6: Please clarify the definition of system supplier as used in the context of this solicitation.

A6: Page 67 of 103: “System Supplier” means any firm engaged in or having a known or prospective interest in the development, production, or analysis of the weapon system, equipment or program which are identified in the statement of work of this contract.

Q7: Can the Government provide a list of the current companies engaged on supplying systems/services identified on the solicitation PWS?

A7: The Government will not provide this information.

Q8: Will the Government consider on line CPARS in lieu of the Past Performance Information Form?

A8: No.

Q9: Does the government want offerors to write a performance approach to Section 5.7 Invoices – WAWF?

A9: No. This section of the PWS is hereby removed.

Q10: Access to DoD IT Systems specifies that contractors requiring privileged or IT-I level access will require SSBI. Can the Government specify the specific labor categories that will require an SSBI. Also, will a DD254 be issued with this RFP for an SSBI? Additionally, what labor categories will require IAT-Level 1 certifications such as Security +, A+ and other necessary Operating System certifications? Is it possible to provide a list of all certifications necessary?

A10: SSBI clearances are not specific to labor categories. Information Technician (IAT) and Operating System (OS/CE) certifications are not a requirement at this time. A DD254 is attached to this RFP and can be found on www.fbo.gov.

Q11: Can the Government identify the labor categories that are required to have a NACLC and fill out an SF-86?

A11: All personnel will be required to have an NACLC. For all personnel that have access to PII or material covered under the Privacy Act, they are required to have a favorably adjudicated NACLC (or ANACI or SSBI/PR).

Q12: Support shall include setup and operation of VTC equipment and other audio-visual equipment. Can the government clarify what location this is needed? Is this for the Washington DC region, Millington or New Orleans?

A12: Mostly VTC will be used for communications between Wash DC, Millington, TN, and New Orleans, LA. However, there may be times that other locations will be involved.

Q13: Is there a listing of any specific EA tools in use at present for DoDAF modeling or Enterprise Architecture assessment?

A13: Software tool is IBM Rational System Architect.

Q14: Will any staff require a secret clearance or above? If so, can the Government identify the specific labor categories?

A14: See DD254.

Q15: Solicitation states that the contractor shall have the ability to support meetings with the Government within one hour of notification in New Orleans, LA; Millington, TN: and NCR. Can the Government clarify the requirement as to any specific requirement?

A15: This refers to the meeting set-up and meeting materials. These meetings are generally ad-hoc. The contractor is expected to support the Government with briefs, documents, spreadsheets, overhead projector set-up, Video Teleconference set-up, computer set-up, and/or teleconference set-up.

Q16: Is Section 5.7 of the PWS (Invoices - Wide Area Workflow Payment Instructions (JUN 2012)) intended for informational purposes only or does the Government require an approach? Please clarify.

A16: See A9 of this amendment.

Q17: We respectfully request an extension to the due date on the above referenced RFP.

A17: The closing date of the RFP will be extended until 4:30pm Eastern, 24 October 2013.

Q18: Reference page 18 of 103, Section 5.2 Administrative. Please clarify if these requirements need to be addressed in the performance approach or are only intended to be instructions to the offerors?

A18: An actual approach to accomplishing this section is not needed. This is informational.

Q19: Reference page 28 of 103, Section 5.7 Invoices – Wide Area Workflow Payment Instructions. Please clarify if these requirements need to be addressed in the performance approach or are only intended to be instructions to the offerors?

A19: See A9 of this amendment.

Q20: Reference page 29 of 103, Section 5.8 Quality Assurance of Government Deliverables. Please clarify if these requirements need to be addressed in the performance approach or are only intended to be instructions to the offerors?

A20: Section 5.8 Quality Assurance of Government Deliverables is informational, and an actual approach to accomplishing this section is not needed.

Q21: Reference page 99 of 103, Section L, I. General, (5) Page Limitations. This reference states for Volume I, Non-Price Quote, “The one exception to the font size requirement shown above that the "corporate experience and past performance information forms" may be completed with a point size of 10 or greater.…” This offeror respectfully requests that charts, diagrams, exhibits, and graphics, also be allowed to be presented with a font size smaller than 12 point (e.g., point size 8 or 10).

A21: Request is granted. Charts, diagrams, exhibits, and graphics can be presented with a font size smaller than 12 point.

Q22: Reference page 100 of 103, Section L, I. General, (c) Past Performance. This offeror respectfully requests that government allow the orientation of the past performance information form to be changed from portrait to landscape in order to maximize the use of the allowable pages.

A22: Request is denied. The orientation of the past performance information form shall remain portrait. More than one sheet may be used for each past performance reference but the overall Non-Price Proposal shall remain within the page limitations.

Q23: Reference Section B, LEVEL OF EFFORT (COST TYPE CONTRACT)(MULTIPLE AWARD)(JUN 1995)(Variation), subparagraph (e). The RFP states “The contractor (or contractors, if multiple contracts result from the solicitation) shall not be obligated to continue performance beyond the Estimated Total Hours. The Contracting Officer may extend the period of performance of the contract (or contracts) in order to expend the Estimated Total Hours.”

Due to the Cost Plus Fixed Fee nature of the contract, please clarify if the government reference is to expenditure of hours or expenditure of funds.

A23: Expenditure of Hours.

Q24: Reference Section B, Item 004, Section L subparagraph (2) (e), and Section M subparagraph (2) – (a). Please clarify the Travel amount. Travel has two values (Section B & L $57.5K, Section M has $57.0K); and, (b) Is travel and material values annual or intended to accommodate the entire period of performance of the IDIQ.

A24: Section M is hereby revised.

Q25: In execution, please confirm that indirect rates are not fixed and are to be applied in accordance with the vendor’s Cost Accounting System and as approved by DCAA at time of task order execution.

A25: Confirmed. Indirect rates are not fixed and are to be applied in accordance with the vendor’s Cost Accounting System as approved by DCAA at the time of task order execution. Also see the provision “COST LIMITATION CEILINGS ON INDIRECT RATES (FISC DET PHILA) (OCT 1992)”.

Q26: Given the CPFF nature of the IDIQ, please confirm that the rates proposed are the basis of establishing overall ceilings for the fixed fee and for the IDIQ and that these rates are not intended to be ceiling rates in execution of cost type task orders.

A26: Confirmed. These rates are not intended to be ceiling rates in execution of cost type task orders.

Q27: The Government states that “the maximum allowable performance period for task orders will be one year.” Given there is further language that provides for option periods, please clarify this statement.

A27: The maximum allowable performance period for task orders utilizing O&MN funds will be one year; however, those task orders may contain options which, if exercised, would be funded upon the availability of the appropriate FY funds.

Q28: The Government states “If substantially (more than 10%) fewer than the estimated hours established in the task order are employed in the performance of the task order, then the fixed fee amount for the task order shall be equitably reduced to reflect the reduction of work.” This is contrary to CPFF, wherein by virtue of award, the total costs for the tasking has been determined to be fair and reasonable. This further serves as a disincentive should the vendor find efficiencies in execution that were previously unknown. Will the reduced fee be returned to the fixed fee pool of the IDIQ.

A28: The vendor should be proposing its own innovative mix of hours and labor at the task order level, which directly correlates to the fixed fee applied at the task order level. If substantially fewer hours than originally proposed are employed after task order award (e.g. the Government’s effort has changed unexpectedly causing the LOE to be severely decremented), then the Government reserves the right to adjust the estimated LOE and fixed fee accordingly to reflect a more accurate level of work to be performed.

Q29: Reference Page 99 of 103, (5) Page Limitations: Will an Executive Summary, as part of Volume I – Non-price Proposal, count toward the 50 page maximum?

A29: An Executive Summary as part of Volume I- Non-Price Proposal, will not count toward the 50 page maximum. However, if an offeror chooses to provide an Executive Summary, it shall be no more than 1 page in length; utilizing no less than 12 point, Times New Roman font.

Q30: Reference Section C, subparagraph PERSONNEL QUALIFICATIONS – Upon review of the Personnel Qualifications, several labor categories’ have been identified that show inconsistency amongst qualifications. For example; Management Analyst I & II have the same required 5 years of experience as Level III which requires 4-6 years of experience. Please verify the qualifications in the Personnel Qualifications section for all labor categories. Additionally, please confirm that Labor Categories identified as Level I are the highest level and level III is the lowest level.

A30: The labor category descriptions for Management Analyst I, II and III are hereby revised.

Q31: Reference Section L (d) – The RFP states “The solicitation, however, does not require participation by such entities. “ And also states later in paragraph “If the offer fails to provide targets for the contract and/or any of the seven socio-economic factors, the offeror's proposal will be evaluated at zero percent and/or zero dollars for the contract and/or any socio-economic factor. However, an offeror that provides no socio-economic plan in response to this factor may be considered ineligible for award “. These two statements appear to contradict each other.

Can the Government please provide more detailed criteria as to how the socio-economic subcontracting plan will be evaluated? Please clarify how an offeror’s proposal will receive evaluated credit for including more or less socio economic participation and/or the amount of subcontracted dollars of participation. How does being rated at zero or zero dollars impact the evaluation of this subfactor (negatively or positively)?

A31: In its socio-economic plan, an offeror may identify as its targets zero percent and/or zero dollars for the contract and/or any socio-economic factors. If an offeror proposes a socioeconomic plan that does not include targets, the Government will assume the offeror's targets are zero percent and/or zero dollars. This will not impact the offeror’s non-price rating negatively. However, an offeror that provides no socio-economic plan in response to this factor may be considered ineligible for award.

Q32: Reference Section M(1) – The RFP indicates this is a best-value evaluation. The RFP is clear on the importance of the past performance subfactor in the evaluation when it states “For all other non-price factors or subfactors, an offeror’s proposal must be determined to be acceptable or better in order to be eligible for award.” Are we to assume that other than the Past Performance subfactor, that the other non-price factors (Performance Approach, Staffing Approach, and Socio-economic Plan) will be treated as a met/unmet or acceptable/unacceptable type of evaluation? Subsequently, as related to the above question related to the evaluation to the socio-economic subfactor, how is the evaluation criteria for the Socio-economic plan to be considered?

A32: The RFP is clear on this issue. For all other non-price factors or subfactors, an offeror’s proposal must be determined to be acceptable or better in order to be eligible for award.

Q33: Reference Section M (2) First paragraph on Page 103 – The RFP states “An offeror determined to have no record of relevant past performance (or in an instance where no information on the offeror’s past performance is available), will not be evaluated favorably or unfavorably for the Past Performance factor.”

Based on this instruction, will past performance be evaluated at the Task Order level?

A33: Past Performance will be evaluated at the contract award level, and may be considered when evaluating at the task order level.

Q34: Reference Section L (5) The solicitation states “Each “page” is defined as one sheet… using a font with a point size of 12 or greater…”. For purposes of tables and graphs, it is respectfully requested for that font point size be allowed as low as 9 point.

A34: See A21 of this amendment.

Q35: Page 4, CLIN 0004, specifies that G&A can be added to this amount but does not specify M&H. Page 101 paragraph III(2)(e) indicates M&H can be added. Which is correct?

A35: If Material and Handling applies, include it in CLIN 0003 pricing.

Q36: Page 24, paragraph 5.6, please confirm the second word in this paragraph "Contraction" is a typo and should be "Contractor".

A36: The sentence is hereby revised.

Q37: Page 34, paragraph 7 indicates government will provide NMCI seats on government site, please provide the details of how many seats will be made available at each of the specified work locations.

A37: NMCI seats will be made available based upon the number of contractors assigned to the contract.

Q38: Page 35, Security paragraph indicates that all staff working this contract will be designated as ADP level II which does not require any privileged access and therefore no Information Assurance certifications. Please confirm the government will be providing this level of support to the successful vendor(s).

A38: All personnel will be required to have an NACLC. For all personnel that have access to PII or material covered under the Privacy Act, they are required to have a favorably adjudicated NACLC (or ANACI or SSBI/PR).

Q39: The introductory paragraphs indicate that the vendor is responsible to meet all experience, education and background requirements as stated in the labor category descriptions, yet all of the labor categories have no educational requirement. Please confirm that no minimum level of education is required or specify the minimums by labor category.

A39: The introductory paragraph of the provision PERSONNEL QUALIFICATIONS (NAVSUP 5252.237-9401)(JAN 1992) states “Personnel assigned to or utilized by the Contractor in the performance of this contract shall, as a minimum, meet the experience, educational, OR other background requirements …”. No minimum level of education is required.

Q40: The two levels of described [Management Analyst (II and III)] indicate the same capabilities, supervision and responsibilities with only the experience required differing. Furthermore the junior position (1) requires more experience than the mid-level (2). Please review these definitions and correct as appropriate.

A40: See A30 of this amendment.

Q41: Page limitations specifies a minimum of font 12 with the exception of the past performance template. Would the government allow font 10 in the other tables and in graphics?

A41: See A9 of this amendment.

Q42: What is the government using to calculate a man-year? 1924.70?

A42: The solicitation is clear.

Q43: Does the government intend to issue an excel cost spreadsheet for the offeror and subcontractors to complete or shall the contract develop their own?

A43: The contractor may develop its own.

Q44: Should an Offeror's subcontractors also submit their excel based cost spreadsheet electronically via email to Rachel McGinley or just include in their sealed package submission?

A44: Just include in their sealed package submission.

Q45: Please confirm the labor category description for Management Analyst 1 and Management Analyst 2 as the descriptions are mostly identical.

A45: See A30 of this amendment.

Q46: Task 5.2 Administrative, does not appear to have a corresponding Labor Category in Section B(b) nor on pages 42-45 under Personnel Qualifications (NAVSUP 5252.237-9401)(JAN 1992). Is there an inadvertent omission of the labor category and personnel qualifications for this task?

A46: See A18 of this amendment.

Q47: Will this project be required to follow the DoD 5000 lifecycle requirements?

A47: No, the project will not be required to follow DoD 5000 lifecycle requirements.

Q48: Under Section 5 of the Performance Requirements, it states that “the Contractor shall provide the necessary timely assistance to meet emergent requirements as requested by the BUPERS CIO and/or COR.” In light of this statement, is 100% of the solicitation’s work requirements in support of BUPERS CIO (PERS 7) or will the successful offer also be required to provide support to NPC Career Progression BUPERS Business Transformation Office (PERS 8)?

A48: No, 100% of the solicitation’s work requirement will not be in support of any specific organization, but instead, the awardee/s will be required to meet 100% of the project requirements which may involve a number of organizations (see Section 6: Deliverables).

Q49: Will other PERS codes within Millington or other customers require support under this contract?

A49: See A48 of this amendment.

Q50: Is the Navy’s Personnel and Pay (Pers/Pay) Modernization project an Acquisition Category (ACAT) level program? If yes, what is its ACAT level designation?

A50: No, it is not an ACAT program.

Q51: SECTION B, LEVEL OF EFFORT (COST TYPE CONTRACT)(MULTIPLE AWARD)(JUN 1995)(Variation),- Please clarify that Government requires all offerors to propose the entire Level of Effort of 650,923 hours?

A51: Confirmed. The Government requires all offerors to propose the entire Level of Effort of 650,923 hours.

Q52: SECTION B, LEVEL OF EFFORT (COST TYPE CONTRACT)(MULTIPLE AWARD)(JUN 1995)(Variation), - Please advise if offerors are allowed to add Labor Categories or additional levels to the Labor Categories identified in Level of Effort of 650,923 hours?

A52: Offerors shall not alter the solicitation in any way. Offerors are expected to propose in accordance with the level of effort provided.

Q53: SECTION B, LEVEL OF EFFORT (COST TYPE CONTRACT)(MULTIPLE AWARD)(JUN 1995)(Variation), The Draft RFP broke the LOE down by work site, whereas the final RFP has no site specific detail. As there are multiple sites, what assumptions can bidders make about the distribution of hours by site?

A53: Section B of the RFP is hereby revised to show the estimated level of effort by location.

Q54: SECTION B, LEVEL OF EFFORT (COST TYPE CONTRACT)(MULTIPLE AWARD)(JUN 1995)(Variation), Is there a specific format the government would like for the pricing detail? Should bidders provide an estimated blended rate for each labor category or a detailed build up of hours by resource by labor category?

A54: The Government will need a detailed build-up of hours by resource by labor category.

Q55: SECTION L, III. PROPOSAL CONTENT, (2) Volume II – Price/Cost,- Please clarify how the statements "The price/cost proposal shall support the Non-price proposal. If the price/cost proposal does not support the Non-price proposal, the offeror’s proposal rating may be downgraded." relates to the Level of Effort of 650,923 hours in Section B?

A55: An offeror's cost proposal shall be based upon the level of effort and minimum experience information described in the solicitation.

Q56: SECTION L, III. PROPOSAL CONTENT, (2) Volume II – Price/Cost - Identifies in item "(d) For proposal purposes, the following ratios of On-site (Contractor facility) and Off-site (Government facility) labor performance are established for all labor categories:

ON-SITE

OFF-SITE

0%

100 %"

Does the Government have a similar percentage split of where the effort will be performed at "The primary locations where work is to be performed are New Orleans, LA; Millington, TN; the National Capital Region; Pensacola, FL; San Diego, CA; and Orlando, FL."? Is there any maximum capacity that the Navy has in affording work space and other support requirements (i.e. NMCI seats, etc.) to contractor resources as they support this effort?

A56: See A53 of this amendment. The following locations are hereby stricken from the RFP: Pensacola, FL; San Diego, CA; and Orlando, FL.

Q57: SECTION 5, PERFORMANCE REQUIREMENTS,- Please clarify the statement , “The Contractor shall provide the necessary timely assistance to meet emergent requirements as requested by the BUPERS CIO and/or COR”. Has the COR for the RFP been identified? Are the BUPERS CIO and the COR one in the same?

A57: See A48 of this amendment.

Q58: Section 5.1.5 PROGRAM / PROJECT DOCUMENTATION, -Indicates that the nature of the work would involve the contractor’s support in determining future contracting requirements and plans possibly exposing contractors to sensitive procurement information. It goes on to state “The Contractor shall prepare, coordinate and manage documentation as required for contracting pre- and post- award acquisition documentation, which includes but is not limited to Delivery Order and Task Order documentation. Examples of work would include preparation of Statements of Work (SOW), Performance Work Statements (PWSs), Statement of Objectives (SOOs) and Data Deliverables.”

1) Are there current incumbents who have been supporting the client with regards to this work and involved in the preparation of this SOW, PWS, and SOOs? If so, are they excluded from responding to this RFP and/or what formalized OCI plans have been put in place to ensure fair competition?

2) For firms bidding and being awarded work on a subsequent task order to support this requirement, would they be precluded from bidding on other/future task orders associated with this RFP or associated procurements?

3) Will an OCI plan that establishes a clear “firewall” between PMO support for 5.1.5 be sufficient to mitigate a “real” or “perceived” conflict of interest?

A58: No contractor employees have been involved in the preparation of this RFP including the SOW. Page 67 incorporates an Organizational Conflict of Interest clause. Any clauses listed in the RFP will flow down to the task order level. The offeror shall comply with the ORGANIZATIONAL CONFLICT OF INTEREST and NOTICE OF INCLUSION OF AN ORGANIZATIONAL CONFLICT OF INTEREST CLAUSE .

Q59: SECTION 5.1.6 CMMI-AM SUPPORT- States “The Contractor shall provide Capability Maturity Model Integration-Acquisition Module (CMMI-AM) support” Section 5.1.6 CMMI-AM Support”. To what degree has the client already established, developed, and managed its CMMI-AM program in support of this program, or is does support of this requirement entail initiating this work?

A59: CMMI-AM is being followed in conjunction with other organizations and internal Navy approved practices. The offeror should consider continuing this work in support of current BUPERS approved methodology.

Q60: SECTION 5.2.6 TELEWORK- States “Contractors may work from home provided certain conditions are met”. Please describe how the ability to provide support via telework arrangements are associated with place of performance requirements. Also please clarify whether the specifics of the telework conditions also apply to work performed via contractor site?

A60: Contractor employees can work from home on a temporary basis in accordance with section 5.2.6. The specifics of the telework conditions also apply to work performed via the contractor site.

Q61: Section 5.3.9 COST AND ECONOMIC ANALYSIS SUPPORT, States “The Contractor shall provide support for the preparation of business cases, analysis of alternatives, program office estimates, cost analysis requirements documentation, and software cost estimating to including the use of tools like those found in the Constructive Cost Model (COCOMO) suite.”

Please clarify, is the client already using the COCOMO suite to support this requirement? Will the COCOMO tools be provided GFE with supporting design documentation?

A61: The COCOMO suite is not currently being used, and at the appropriate time, will be provided by the Government to support the project requirements.

Q62: Section 5.5.4.2 BUSINESS PROCESS SIMULATION, Does the client anticipate utilizing the Navy standard toolset identified in 5.5.1 to support the BPS efforts and Cost Analysis requirements (5.5.2), or is it already utilizing or planning to procure additional simulation tools? If a tool not listed as part of the standard toolset is being utilized, please clarify as to the tool or suite of tools currently in use.

A62: The Government is currently using IGrafx software for its simulation efforts.

Q63: SECTION 5.6.8 DOCUMENT AND CONTENT MANAGEMENT,

This section outlines the need for a MPTE document management strategy and implementation of a document and content management system, however does not specify this being specific to Personnel and Pay HR records management or broader document and content management capabilities.

Does this entail document and content management beyond core HR records and document management supporting Personnel and Pay business requirements and processes? The requirement calls for “implementing a document and content management system” (5.6.8.2), does the client intend to procure a new capability, or does this entail implementation of a document and content management “system” utilizing existing Navy IM/IT portfolio capabilities?

A63: Content management is specific to documents and artifact related to (or produced by) Personnel and Pay Modernization. The contractor will utilize existing Navy capabilities and resources in fulfillment of this requirement.

Q64: SECTION 5.7 INVOICES-WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS - This requirement reads like a basic contract requirement versus an actual performance task. Would the Government consider moving this item outside of the 5. Performance Requirements section?

A64: See A9 of this amendment.

Q65: SECTION III. PROPOSAL CONTENT, Volume I – Non-price Proposal

States that Socio Economic Plan is one of the key evaluation factors, yet it provides no government targets for use of small disadvantaged businesses. Does the government wish to further define goals for small business utilization, or is it subject to the discretion of the prime contractor?

A65: It is subject to the discretion of the prime contractor.

Q66: In Section II. REQUIREMENTS FOR PROPOSAL CONTENT, 5. PAGE LIMITATIONS, States “The one exception to the font size requirement shown above is that the "corporate experience and past performance information forms" may be completed with a point size of 10 or greater.” Can graphics and diagrams utilize a 10 point font, or must they be size 12?

A66: See A21 of this amendment.

Q67: Reference Past Performance Information Form, Block Item: Number of personnel (FTE) performing per year (list and indicate break-down of FTE per contractor under this reference if subs are utilized): Will it be acceptable to the government for offerors to provide the total number of FTEs performing per year (average), and then in the Block Item: Subcontractor(s) Utilized, provide a list of the subs, the total annual subcontract dollar value per year, and they type of work performed by the subs (instead of the FTE’s/ percentages, annual dollar values, and the type of work per sub)? Some of our past performance references include dozens of subcontractors, and providing this level of detail will be burdensome and require significant space within our response.

A67: Include the number of FTE’s per subcontractor for any/all subcontractors. List the annual dollar amount per subcontractor and the annual FTE for each subcontractor listed under the reference.

Q68: Reference page 97 of 103, Section L, I. General. The solicitation suggests that offerors are to include “Solicitation pricing pages” as part of Volume II. Please confirm if there is a pricing template that should be included in the list of attachments.

A68: There is no pricing template.

Q69: Reference page 98 of 103, Section L, Important Notes, paragraph (2). This reference requires a signed certificate disclosing information about anyone other than the Prime who participated in the creation of the proposal. Given that the Prime will have subcontractors contributing to the proposal, and that those subcontractors will have teaming agreements and pricing information in the proposal submission, this offeror respectfully requests that priced subcontractors assisting with the proposal be excluded from this requirement.

A69: In the event any person who is not a bona fide employee of the offeror participated in the creation, formulation, or writing of any portion of the proposal, a certificate to this effect shall be included in the proposal which shall be signed by an officer of the offeror. Such certificate shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the offeror, and the portion of the proposal in which the person participated.

Q70: Reference page 98 of 103, Section L, Important Notes, paragraph (2). If subcontractors are not excluded from the certificate disclosing information about anyone other than the Prime who participated in the creation of the proposal, can you please confirm which volume this information should be placed in? Also, please confirm that the certifications do not count against the page count.

A70: The certificate referenced under Important Notes para (2), if included, shall be placed in Volume II Price/Cost Proposal.

Q71: Can you please confirm that although FAR 52.222-46 is included in the RFP, offerors do not need to submit an Employee Compensation Plan in the proposal submission?

A71: In accordance with the clause 52.222-46, as part of their proposals, offerors will submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. This should be a part of Volume II Price/Cost Proposal, and should be labeled clearly “Compensation Plan for Professional Employees”. Failure to comply with these provisions may constitute sufficient cause to justify rejection of a proposal.

Q72: Regarding the delivery of hard copy proposals, please confirm that delivery should be made to the contracting office address in block 7 on the SF 33 with attention to Rachel McGinley and that no other delivery instructions are needed.

A72: See A4 of this amendment.

Q73: The Government has requested that vendors disclose any existing contract engaged in furnishing to the USG any services or supplies pertaining to the development, production or analysis of any of the weapon systems, equipment or programs identified within the SOW. It is understood that any vendor performing the work contemplated within this SOW would be precluded from developing the system. Insomuch as the work contemplated is not in any way related to weapon systems, and is limited to the Navy Integrated Personnel and Pay System (IPPS) please clarify this request.

A73: In this paragraph, weapon systems, equipment or programs are not to be considered related to one another. The Government has requested that vendors disclose any existing contract engaged in furnishing to the USG any services or supplies pertaining to the development, production or analysis of any of the weapon systems, equipment OR programs identified within the SOW.

Q74: Please confirm that if contractors have no current OCI, a statement indicating so will suffice for proposal purposes.

A74: If prime or subcontractors have no current OCI, a statement indicating so will suffice for proposal purposes.

Q75: Please clarify the intent of “The language of the clause is subject to negotiations prior to submission of best and final offer” [within the clause NOTICE OF INCLUSION OF AN ORGANIZATIONAL CONFLICT OF INTEREST CLAUSE].

A75: The intent of this language is to mean that the OCI language to be included in a resultant contract will be specific to a contractor's situation and reflective of their mitigation plan, etc.

Q76: Reference: Page 98 of 103 - Important Notes (2) - When the Government references "bona fide employees" in this paragraph, does this include or exclude subcontractors to the effort? Or is this reserved for "consultants" or other non-employee contributions?

A76: A bona fide employee of the offeror means a bona fide employee of the prime contractor submitting a proposal.

If an offeror submitted questions in addition to those listed above, they will be answered in a future amendment.

(c) The Estimated Total Hours include subcontracting hours but exclude holidays, sick leave, vacation days and other absences.

(d) For CPFF task orders, the number of manhours expended per month shall be commensurate with the effort ordered and the required delivery date of such effort. Further, the number of manhours expended per month may fluctuate in pursuit of the technical objective, provided that such fluctuation does not result in the utilization of the total manhours of effort prior to the expiration of the term thereof. Lastly, the number of manhours for any labor category may be utilized by the contractor for any other labor category if necessary in performance of the contract.

(e) The contractor (or contractors, if multiple contracts result from the solicitation) shall not be obligated to continue performance beyond the Estimated Total Hours. The Contracting Officer may extend the period of performance of the contract (or contracts) in order to expend the Estimated Total Hours.

(f) Mechanism for Contract Pricing Adjustments for the Issuance of Firm Fixed Price Task Orders

This contract contains a CLIN in each Lot that is Firm Fixed Price (FFP). When the Government sees fit to issue a FFP task order, the Government will modify the contract Lot’s FFP CLIN to cover the price of the FFP CLIN of the prospective FFP task order, and concurrently offset the FFP task order amount/level of effort by decrementing the pricing and level of effort of the CPFF CLIN, and if appropriate, decrementing the pricing of the Travel and Materials CLINs.

In response to a FFP task order RFQ, the contractor shall provide a quote that includes a cost breakdown of the same level of detail as required for CPFF Task Order RFQs. After evaluation of the quote (or quotes) received and agreement on price between the Contracting Office and the apparent successful task order awardee, the Government will use the pricing information utilized for calculating the amount of the prospective FFP task order to make adjustments in the value of the analogous FFP, CPFF, Travel, and Materials CLINs for the contract Lot.

The adjustments shall be calculated as follows:

1.

The total amount of the contract Lot FFP CLIN will be increased by the total FFP amount of the prospective FFP task order.

2.

The total estimated level of effort associated with the contract Lot CPFF CLIN will be decreased by the number of hours estimated for the award of the prospective FFP task order.

3.

The Total Fixed Fee of the contract Lot CPFF CLIN will be decreased by the amount equal to the fixed fee percentage negotiated for the award of the contract lot as applied to the cost of the prospective FFP task order.

4.

The Total Estimated Cost of the contract Lot CPFF CLIN will be decreased by the sum of the total estimated cost of the prospective FFP task order plus the difference between the profit amount of the prospective FFP task order minus the fixed fee amount decremented from the contract Lot CPFF Total Fixed Fee.

5.

The contract Lot Travel and Materials CLINs will be decreased by the travel and materials amounts included within the amount estimated for the award of the prospective FFP task order.

The contract modification necessary to effect the contract pricing schedule and level of effort changes for the issuance of a FFP task order will be issued concurrent with the FFP task order. The Contracting Officer will reserves the right to issue these types of contract modifications unilaterally and the modification will cite the contract clause entitled “Level of Effort”, paragraph (f), as the authority for the modification.

LEVEL OF EFFORT - CPFF DELIVERY/TASK ORDER PERFORMANCE (OCT 1992)(Variation)

It is understood and agreed that the number of hours and the total dollar amount for each labor category specified in any CPFF delivery/task order issued under this contract are estimates only and shall not limit the use of hours or dollar amounts in any labor category which may be required and provided for under an individual CPFF delivery/task order. Accordingly, in the performance of any CPFF delivery/task order, the contractor shall be allowed to adjust the quantity of labor hours provided for within labor categories specified in the order provided that in so performing the contractor shall not in any event exceed the ceiling price restrictions of any order, including modifications thereof.

PAYMENT OF FIXED FEE UNDER CPFF TASK ORDERS (INDEFINITE DELIVERY, COST PLUS FIXED FEE, MULTIPLE AWARD CONTRACTS)(JUN 2011)(Variation)

The fixed fee amounts proposed at the contract level are for contract evaluation /award purposes and for the purpose of determining maximum fixed fee amounts at the task order level. The maximum fixed fee for work performed under this contract is the total fixed fee amount for CPFF task orders issued under the contract.

Fixed fee shall be fixed at the task order level. The maximum fixed fee percentage that the contractor can quote in response to any CPFF task order solicitation is the fixed fee percentage that was proposed for the contract lot under which the order is issued. The maximum fixed fee percentage for a lot is calculated by dividing the fixed fee amount proposed for the contract lot by the total cost of the CPFF CLIN for the lot. In response to any CPFF task order solicitation, the contractor is free to propose a lower fee percentage rate than the maximum fixed fee percentage defined above.

The fixed fee payout rate under CPFF task orders will be calculated for each task order by dividing the total fixed fee amount for the task order by the estimated level of effort for the task order. If substantially (more than 10%) fewer than the estimated hours established in the task order are employed in the performance of the task order, then the fixed fee amount for the task order shall be equitably reduced to reflect the reduction of work.

A clause, following the terms described in this clause, will be incorporated into each task order and will detail the fixed fee amount for the order and the fixed fee per hour payout rate for the order.

For CPFF task orders, the Government shall make payments of the fixed fee at the fixed fee payout rate established for each task order per direct labor hour invoiced by the contractor. All payments shall be in accordance with the provisions of FAR 52.216-8, “Fixed Fee,” and FAR 52.216-7, “Allowable Cost and Payment.” The total of all such payments shall not exceed eighty-five (85%) percent of the fixed fee specified under each applicable delivery/task order. Any balance of fixed fee due the contractor shall be paid to the Contractor, and any over-payment of fixed fee shall be repaid to the Government by the Contractor, or otherwise credited to the Government at the time of final payment.
