DEPARTMENT OF THE NAVY

NAVAL SURFACE WARFARE CENTER

DAHLGREN DIVISION

6149 WELSH ROAD SUITE 203

DAHLGREN VIRGINIA 22448-5130

IN REPLY REFER TO

J&A Number: 13599

Code: 4200

N00178-16-Q-3021

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

The Naval Sea Systems Command, Naval Surface Warfare Center, Dahlgren Division (NSWCDD), Contracts Division, 0251 is the contracting activity. The Combat Direction System Activity

(CDSA), Dam Neck, C6ISR Systems Division, R10 is the requiring activity.

2. Description of the Action Being Approved

This justification establishes the basis for award of one (1) five-year Indefinite-Delivery-Indefinite-Quantity (IDIQ) contract to KEYW Corporation, 7740 Milestone Parkway Suite 400, Hanover, MD 21076. This work supports the CDSA Dam Neck in its role as the In-Service Engineering Agent (ISEA), Technical Design Agent

(TDA), and Acquisition Engineering Agent (AEA) for various projects within the Global Maritime Security Systems Division.

This contract will enable NSWCDD to establish delivery orders using firm-fixed-priced contract line items to further support

CDSA Dam Neck by maintaining and enhancing the KEYW hardware units and their associated peripherals.

3. Description of Supplies/Services

KEYW Corporations will provide ruggedized, portable digital media exploitation kits capable of rapidly extracting data and analyzing information, in-field in real-time, from captured digital devices in a forensically sound manner; and provide a forensic system which can be used in the field or forensic lab. This support will involve training, upgrades, and maintenance for the systems and engineering support to solve future application and integration issues.

The Government’s minimum needs have been verified by the certifying technical and requirements personnel. The period of performance will be for five years. The estimated dollar value of $3,862,435 for these efforts is summarized below:

Estimated Dollar Value

FY16 FY17 FY18 FY19 FY20 Totals

O&MN $764,919 $765,094 $765,278 $765,471 $801,673 $3,862,435

Totals $764,919 $765,094 $765,278 $765,471 $801,673 $3,862,435

4. Statutory Authority Permitting Other Than Full and Open

Competition

This acquisition is conducted under the authority of 10 U.S.C.

2304(c)(1), only one responsible source and no other supply or services will satisfy agency needs.

5. Rationale Justifying Use of Cited Statutory Authority

The CDSA Dam Neck R10 Division supports various activities and commands in its role as ISEA, TDA, and AEA for suites of equipment that help achieve Information Dominance for the Navy. Many of these activities and commands maintain a specified list of certified equipment, called Table of Allotments (TOA), required to accomplish their mission.

KEYW Corporation’s systems required to complete this contract are part of CDSA Dam Neck R10 Division’s TOA, which requires operators to use, be familiar with, and be trained on these specific systems.

The KEYW systems are not only part of the CDSA Dam Neck R10

Division’s NAVSEA approved equipment list for Temporary Alteration

(TEMPALT) Installation equipment, but are also integrated through custom interfaces into the various configurations required for each specific mission. The redesign and manufacture of these custom interfaces to accommodate similar types of equipment would be cost prohibitive and would impact the mission schedules. CDSA Dam Neck, as the In-Service Engineering Agent for CDSA Dam Neck R10 Division, is required to use those systems and equipment that will immediately interface with other existing components in the CDSA Dam Neck R10

Division’s equipment suite and will not require retraining of operational personnel. Rework of these equipment suites or their interfaces and retraining of the operational personnel would have a significant impact on the CDSA Dam Neck R10 Division’s ability to fulfill mission requirements.

KEYW Corporation’s acquisition system is currently an integral part of an established Carry-On Equipment (COE) infrastructure and fielded on deployed fleet assets. The Government's initial and substantial investment includes shipboard design, Temporary

Alteration (TEMPALT) development, hardware configuration, shipboard mounting design, government developed software, and Information

Assurance (IA) accreditation, all utilizing KEYW specific hardware.

The introduction of any other manufacturer's hardware will not allow the operators, or the fleet, to utilize the key applications for this hardware. Another manufacture's product would result in new electromagnetic interference (EMI) testing ($30,000), IA accreditation ($40,000), specialized government software development/data formatting ($500,000), shipboard integration or

TEMPALT design ($250,000), training of operators ($300,000), Documentation and curriculum updates ($300,000), and a new logistic tail/CM ($50,000). Estimated additional cost to the government would exceed $1,300,000, and add a minimum of twenty (20) months to deploying this capability to the fleet. With regard to configuration, performance, functionality, schedule, and cost to use another manufacture's variant of this hardware, it is not considered to be in the best interest of the Government.

6. Description of Efforts Made to Solicit Offers from as Many

Offerors as Practicable

In accordance with PGI 206.302-1, a sources sought of proposed action was posted on the Federal Business Opportunities (FEDBIZOPS) website on 15 January 2016. In accordance with FAR 5.201, a combined synopsis/solicitation of proposed action will be posted on

FEDBIZOPS. Both are posted as sole source requirements. As a result of the sources sought posting, no other potential sources expressed an interest in this requirement.

In an effort to identify competitive interest, CDSA Dam Neck, as part of their market research, conducted an informal market survey prior to procuring the initial system. The survey revealed that the required systems and equipment are not sold by any other vendors other than KEYW Corporation.

7. Determination of Fair and Reasonable Costs

The Contracting Officer has determined that the anticipated cost to the Government for the supplies and services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Competition

For the reasons set forth in Paragraph 5, Naval Surface Warfare

Center Dahlgren Division has no plans at this time to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, Naval

Surface Warfare Center Dahlgren Division will assess whether competition for future requirements is feasible.
