PURPOSE

The purpose of this amendment is to correct and include additional information on Sections H, J, L, Attachment 1-

SOW, and Attachment 3- Personnel Qualifications to answer questions received in response to the RFP.

Additionally, this amendment extends the response date of the RFP to August 11 2017 at 1:00PM EST:

SUMMARY OF CHANGES

SECTION H - SPECIAL CONTRACT REQUIREMENTS

1. H-3 Labor Categories is hereby included as follow:

SECTION H-3 LABOR CATEGORIES

(a) The labor categories described in Attachment 3-Personnel Qualifications represent the Government’s best estimate of the kinds of personnel required for successful performance of DO/TOs that may be awarded under this contract. The Government recognizes that the inventory of data processing and/or information systems, technologies, methodologies and processes ranges from obsolescent to near state-of-the-art, and that the technology presently being introduced into the information technology marketplace is revolutionary rather than evolutionary.

The ability of the Contractor to respond to new technologies, methodologies, and processes is both necessary and appropriate. Although the Contractor is expected to map from the contract categories to the Contractor’s own categories, for the purpose of matching resources to requirements, the use of additional labor categories not currently contemplated may be necessary over the term of the contract and added to the contract by contract modification. If new labor categories are needed, the Contractor shall contact the PCO to request that the new labor categories be added and submit a proposal that substantiates inclusion of the new labor category and the price proposed.

(b) Certain unique labor categories, as well as consultants, may be required under specific DO/TOs. A Contractor may propose a new or different skill level category during the course of the contract or at the DO/TO level. Unique professional skills are defined as those bona fide executive, professional, or administrative skills for which the expertise required or duties performed are within the contract’s scope, but are so specialized or rare that they are not explicitly defined in any labor category description in Attachment 3. The DO/TO PCO will determine whether circumstances warrant use of unique professional skills.

2. H-7 ONR 5252.216-9706 - LEVEL OF EFFORT (DEC 88) is hereby revised as follows:

(a) The Contractor agrees to provide the total level of effort specified in the next sentence in performance of the work described in this contract. The total level of effort for performance of this contract shall be 52,800 total hours of direct labor, including subcontractor direct labor for those subcontractors specifically identified in the

Contractor's proposal as having hours included in the proposed level of effort. A breakdown of labor categories and hours is set forth in paragraph (k) below.

(b) The level of effort for this contract shall be expended at an average rate of 880 hours per month. It is understood and agreed that the rate of hours per month may fluctuate in pursuit of the technical objective, provided such fluctuation does not result in the use of the total hours of effort prior to the expiration of the term of the contract.

(c) The Contractor is required to notify the Contracting Officer when any of the following situations occur, or are anticipated to occur: If during any three consecutive months the monthly average is exceeded by 25% or, if at any time it is forecast that during the last three months of the contract less than 50% of the monthly average will be used during any given month; or, when 85% of the total level of effort has been expended.

(d) If, during the term of the contract, the Contractor finds it necessary to accelerate the expenditure of direct labor to such an extent that the total hours of effort specified would be used prior to the expiration of the term, the

Contractor shall notify the Contracting Officer in writing, setting forth the acceleration required, the probable benefits which would result, and an offer to undertake the acceleration at no increase in the estimated cost or fixed fee together with an offer setting forth a proposed level of effort, cost breakdown, and proposed fixed fee for continuation of the work until expiration of the term hereof. The offer shall provide that the work proposed will be subject to the terms and conditions of this contract and any additions or changes required by then current law, regulations, or directives, and that the offer, with a written notice of acceptance by the Contracting Officer, shall constitute a binding contract. The Contractor shall not accelerate any effort until receipt of such written approval by the Contracting Officer. Any agreement to accelerate will be formalized by contract modification.

(e) The Contracting Officer may, by written order, direct the Contractor to accelerate the expenditure of direct labor such that the total hours of effort specified in paragraph (a) above would be used prior to the expiration of the term. This order shall specify the acceleration required and the resulting revised term. The Contractor shall acknowledge this order within five days of receipt.

(f) If the total level of effort specified in paragraph (a) above is not provided by the Contractor during the term of this contract, the Contracting Officer shall either (i) reduce the fixed fee of this contract as follows:

Fee Reduction = Fixed Fee X (Required LOE Hours - Expended LOE Hours)

Required LOE Hours or (ii) subject to the provisions of the clause of this contract entitled "Limitation of Cost," require the Contractor to continue to perform the work until the total number of hours of direct labor specified in paragraph (a) shall have been expended, at no increase in the fixed fee of this contract.

(g) In the event the government fails to fully fund the contract in a timely manner, the term of the contract may be extended accordingly with no change to cost or fee. If the government fails to fully fund the contract, the fee will be adjusted in direct proportion to that effort which was performed.

(h) Notwithstanding any of the provisions in the above paragraphs, the Contractor may furnish hours up to five percent in excess of the total hours specified in paragraph (a) above, provided that the additional effort is furnished within the term hereof, and provided further that no increase in the estimated cost or fixed fee is required, and no adjustment in the fixed fee shall be made provided that the Contractor has delivered at least 95% of the level of effort required in paragraph (a) above.

(i) It is understood that the mix of labor categories provided by the Contractor under the contract, as well as the distribution of effort among those categories, may vary considerably from the initial mix and distribution of effort which was estimated by the government or proposed by the Contractor.

(j) Nothing herein shall be construed to alter or waive any of the rights or obligations of either party pursuant to the Clause entitled "Limitation of Costs" or "Limitation of Funds," either of which clauses as incorporated herein applies to this contract.

(k) The anticipated breakdown by labor category of the total level of effort is as follows:

SECTION L- INSTRUCTIONS CONDITIONS AND NOTICES TO OFFERORS OR

RESPONDENTS

4. L-10 Proposal Organization, Instructions (25) through (30) are hereby included as part the Request for Proposal as follow:

(25) Proposals may be hand delivered to the Contracting Office, NRL, 4555 Overlook Avenue, S.W., Washington, D.C. 20375, Building 222, Room 115 between the hours of 0800 and 1600, local time, excluding weekends and federal holidays. NRL is a controlled-access facility. Photo identification will be required. Report first to Building 72, Visitor Control for access to NRL. After receiving a Visitor Pass, proceed directly to Building 222, Room 115, Contracting Office

Receptionist to deliver the proposal. All Offerors shall allow sufficient time for delivery of their proposal to the Contracting Office prior to the closing date and time announced in the solicitation.

Detention at the NRL gate or a failure to adhere to the procedures provided herein will not be considered an exception to timely proposal delivery as addressed in FAR 52.215-1, Instructions to

Offerors – Competitive Acquisitions.

(26) Offerors hand carrying proposals shall contact the Contracting Officer or Contract Specialist at least 48 hours prior to arriving at NRL to make arrangements and obtain directions. Packages should not be sealed as they are subject to inspection. The Contracting Officer or contract specialist will receive the proposal and provide the Offeror with the time and date of delivery.

(27) All Offerors shall mark each RFP package with the name of the Contract Specialist below:

(a) Contract Specialist: Dunia Hickey, NRL Code 3240

(28) Facsimile proposals are not authorized.

(29) Comprehensive responses to the requirements of this Request for Proposals (RFP) are required to enable the Government to evaluate the Offeror’s understanding of, capability and approaches to accomplish the stated requirements. Proposals shall be submitted in accordance with the instructions herein, and non-conformance with the specified required content may be cause for rejection of the proposal. Offerors are advised that material submitted in excess of that required herein will not be evaluated. The proposal shall be valid for no less than 180 days from the date of

RFP closing. The proposal shall provide comprehensive responses to the areas provided for in this section. The proposal shall be a complete response to the Statement of Work and the requirements of this RFP, taking into consideration required production quantities and delivery schedules specified in this solicitation.

(30) Alternate proposals that depart from stated requirements will not be considered and shall not be submitted. The Offeror may submit multiple proposals that offer different approaches to meet the stated requirements. If the Offeror submits multiple compliant proposals, the Offeror shall clearly identify the unique attributes of each of the proposals and each proposal shall be a separate, stand-alone document and shall not reference another proposal submitted. In no event shall any one

Offeror submit more than two (2) unique proposals and each proposal will be evaluated separately in accordance with the procedures specified herein.

5. L-12 – Volume II- Technical Proposal, (2) Sub-factor 1.2 – Contractors Qualifications and

Experience is hereby updated as follows:

The offeror’s narrative shall substantiate its detailed skill mix, provided in the Cost and Price Volume, from both a technical capability and risk perspective. Key personnel resumes shall be submitted.

The offeror shall clearly state and provide detailed rationale for its proposed technical staffing approach in meeting the requirements of the SOW, to include labor skill mix, key technical personnel, education, experience, and team composition. Personnel Resume Template and it should be included as part of the volume II Technical proposal.

6. L-12 – Volume II- Technical Proposal, (3) Sub-factor 1.3 – Quality Control is hereby updated as follows:

The offeror shall submit a Quality Control (QC) plan with its proposal response to this solicitation.

The offeror must address how it will develop and maintain an effective QC program to ensure work is performed in accordance with the SOW. The offeror’s QC plan shall address procedures to identify, prevent, and ensure non-recurrence of defective services.

The Contractor shall submit a Contractor's Management Plan (CMP) defining the

Contractor's approach to implementing the contract. The CMP shall be included as part of

Volume II-Technical Proposal as an appendix outside of any stated page limits established under Table L-1: Proposal Organization and Content RFP, page 46. Offerors be aware that the CMP appendix has a page limitation of 10 pages.

7. L-13 – Volume III - Past Performance Information, Instruction (7) is hereby updated as follows:

(7) Offerors shall contact the contracting organizations identified pursuant to paragraph (a) as soon as possible and request them to send past performance information on the identified contracts to the email address in Block 9c of the face page of this solicitation. The past performance report which is available electronically in full text at http://heron.nrl.navy.mil/contracts/4335_1.pdf is to be provided to the contracting organization for this purpose. If the contracting organization has already collected past performance information on the contract pursuant to FAR Subpart 42.15, the format used to collect the information may be used instead of the past performance report. The

Offeror's past performance volume shall contain copies of the first page of the Customer's

Questionnaire and the transmittal letters.

(7) Offerors shall contact the contracting organizations identified pursuant to paragraph (a) as soon as possible and request them to send past performance information on the identified contracts to the email address in Block 9c of the face page of this solicitation. The past performance report

(Attachment L-03 – Past Performance Questionnaire) is to be provided to the contracting organization. If the contracting organization has already collected past performance information on the contract pursuant to FAR Subpart 42.15, the format used to collect the information may be used instead of the past performance report. The Offeror's past performance volume shall contain copies of the first page of the Customer's Questionnaire and the transmittal letters.

8. L-14 – Volume IV - Cost/Price, instruction (5) Pricing Volume Narrative (Word Doc) is hereby includes instruction (h) as follows:

(h) The Offeror must provide in its proposal a copy of the current approved DCAA provisional billing rates and/or DCMA forward pricing rate agreements.

9. L-15 – Volume V – Small Business Participation Plan, Attachment 5 Small Business Participation

Plan Template was inadvertently not included as part of the solicitation package. In addition, this amendment revised instruction (a) as follows:

(a) Small Business Participation Information. All offerors, including small businesses shall prepare and submit a Small Business Participation Plan (a sample format is available at: ADD WEB

CITE ) that will detail the amount, type, variety and complexity of work to be performed by small business concerns the offeror proposes and the extent of commitment to identified/named small business concerns for this effort. All Offerors shall provide the Proposed Participation Dollars and

Percent of the Total Estimated Contract Amount, including options, and to also break it out for the base period and each individual option year for each small business category identified. You must specifically identify the small business concerns that will participate in this acquisition, either as part of a joint venture or a first-tier subcontractor or 2nd tier subcontractor, and provide the extent to which each identified small business concern will participate. If you are a small business, you will count your own participation in each small business category for which you qualify. Other small business concerns identified in your proposal that qualify under more than one small business category may be identified and counted in each of the small business categories for which they qualify.
