About this file

This is a Non-Competitive Procurement Justification Memo for a sole-source acquisition by Naval Surface Warfare Center Carderock Division (NSWCCD). The procurement is for repair and service of a Sea-Mac winch, to be performed exclusively by Okeanus Science & Technology located in Houston, TX. The justification is based on Okeanus being the sole qualified vendor after acquiring the original manufacturer's (Sea-Mac) designs, tooling, and intellectual property, with legacy personnel retaining proprietary knowledge necessary for complete system repair and testing.

The memo details that the estimated repair service value is not fully disclosed, but will not exceed the simplified acquisition threshold. Okeanus is deemed the only qualified vendor due to their proprietary knowledge, and the document argues that soliciting any other vendor would risk inadequate repair, potentially causing system failure, project delays, and potential damage to other equipment or research findings. The procurement follows Federal Acquisition Regulation (FAR) guidelines for sole-source acquisitions under specific circumstances, with approvals pending from both the technical requestor and contracting officer.

NSWCCD SAP Non-Competitive Procurement Justification Memo Effective April 2025

MEMORANDUM FOR FILE

FROM:

CODE: 7281

TO: Code 02

DATE: 6 NOV 2025

SUBJECT: Non-Competitive Procurement Justification Memo for Actions Under SAT

I. BACKGROUND

1. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available.

2. FAR 8.405-6 allows for limiting sources for orders or BPAs under Federal Supply Schedules under certain circumstances or for items peculiar to one manufacturer

3. As required by FAR 13.106-3(b)(3)(i), FAR 8.405-6(a)(1), or FAR 8.405-6(b)(2), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.

II. DESCRIPTION OF ITEM OR SERVICE

Repair and service of Sea-Mac winch. The repair service is required to bring the winch to its original performance standards. The estimated value of this repair service is

Manufacturer: Okeanus Science & Technology Address: 11989-A FM 529, Houston TX 77041 Phone: 713-460-1400 POC: Darrell Troville Email: dtroville@okeanus.com

III. BASIS FOR DETERMINATION FOR USE OF OTHER THAN FULL & OPEN COMPETITION

Original manufacturer Sea-Mac has ceased operations, but former shop foreman and shop manager founded DT Marine Products, which was acquired by Okeanus Science & Technology. Based on market research and Okeanus’ Source Capability Statement (enclosed attachment “A27a Okeanus Letter), only Okeanus is qualified to repair and service Sea-Mac and OT Marine model winches.

A. BRAND NAME. The item required must be a brand name product, or feature of a product, particular to one manufacturer.

1. Restrictive Rights. The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.

2. Exclusive Licensing Agreements. The item or service is only available from the Original Equipment Manufacturer (OEM).

3. Federal Supply Schedule (FSS): IAW FAR 8.405-6(b).

4. Other Reasons.

NSWCCD SAP Non-Competitive Procurement Justification Memo Effective April 2025

B. SOLE SOURCE. (select all that apply)

1. Restrictive Rights.

Okeanus has established proprietary knowledge of the service required. Okeanus acquired OT Marine Products, including its designs, tooling, and intellectual property, and fully integrated them into Okeanus operations. DT Marine Products retained legacy personnel, proprietary knowledge, fixtures, and procedures required for complete system repair and testing of Sea-Mac products.

2. Exclusive Licensing Agreements. The item or service is only available from the Original Equipment Manufacturer (OEM), or there is only one authorized distributor or technical representative for the OEM.

3. Other Reasons. If the requirement is not solicited from Okeanus, there is a high risk that the repair will be inadequate due to proprietary knowledge. This could lead to system failure, project delays, and potential damage to other equipment or research findings, jeopardizing the mission of the organization.

4. Federal Supply Schedules (FSS): IAW FAR 8.405-6(a)(1)

a. An urgent and compelling need exists, and following the procedures would result in unacceptable delays;

b. Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or

c. In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal

Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order or BPA must not have been previously issued under sole-source or limited-sources procedures.
