Requirements for the contents of each of the submitted written technical proposals are identified below. The order of presentation in an Offeror’s submitted written proposal shall correspond to the order of the Factors discussed below.

The content requirements described below address major topics of concern to the Government. Failure to respond to any of these topics may be considered a “deficiency”. All proposal information provided must be relevant and clearly explain how the proposed item will meet the requirements of the solicitation. Each Offeror’s proposal must contain sufficient information to permit a detailed evaluation.

a) This acquisition is solicited for full and open competition.

b) This will be an acquisition effort utilizing a best value approach. Each Offeror’s proposal will be evaluated to ensure that the items being offered comply with the criteria listed in the solicitation.

c) Proposals shall not contain classified information.

d) Previously submitted data, if any, will not be used in the evaluation of the Offeror’s response to this solicitation and will not be assumed to exist by the Government during evaluation.

e) The Government will not assume an Offeror possesses any capability, understanding, or commitment not specified in the proposal.

f) Offerors are cautioned that the Government reserves the right to make award based on initial offers without discussions with Offerors. Therefore, it is imperative that the information provided in the Offeror’s response to the solicitation be complete and accurate and that the prices proposed be the Offeror’s best terms. Each initial offer should contain the Offeror’s best terms from a price and technical standpoint.

However, if considered necessary by the Contracting Officer, discussions may be conducted with those Offerors determined to be in the competitive range.

g) The Government reserves the right to reject any proposal that does not comply with these proposal preparation/submission instructions. OFFERS THAT DO NOT CONFORM TO THE

b. Description of Relevancy to this solicitation

c. Recency of Performance under Contract

viii. Past Performance Questionnaire (PPQ): Proposals must prove PPQs have been sent to each POC.

Failure to send the PPQ to each POC may render proposal deficient and may result in exclusion of the Offeror’s proposal from consideration for award. The Offeror shall exert its best efforts to ensure that references submit a completed Present/Past Performance Questionnaire directly to the contract specialist.

ix. Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used to assess Offeror past performance. Since the Government may not necessarily contact all of the sources provided by the Offerors, it is incumbent upon the Offeror to explain the relevance of the data provided. The Government does not assume the duty to search for data to cure problems it finds in proposals. The burden of providing thorough and complete past performance source data remains with the Offerors. Proposals that do not contain the information requested by this solicitation risk rejection or high-performance risk assessment by the Government. Offerors are notified that the Government will use the data provided in this volume that is determined to be recent and relevant to the effort at hand and data obtained from other sources in the development of performance risk assessments.

PRICE/COST PROPOSAL – Factor III (Volume III)

i. Technical and Past Performance information SHALL NOT be submitted as part of the Price/Cost Proposal.

ii. No cost/price information shall be included anywhere else in the Offeror’s proposal outside of Volume III.

iii. The cost/price proposal shall consist of the cost/price narrative including information for FFP and Cost type CLINs (NO PAGE LIMIT), completed Task Area 1 (Evaluation), Task Area 2 (Coating Processes and Repair) and Task Area 3 (Subassembly Overhaul and Reassembly) Pricing matrices for each system as provided in Section B of the solicitation. Additionally, Offerors shall complete and submit a completed the Section B Matrices and Prime Cost Summary Formats for Task Area 4 (Technical Support) and Task Area 5 (Supplemental Repairs). Subcontractor Cost Summary formats shall be completed for major subcontractors as applicable.

iv. Contract Data Requirements Lists (CDRLs) are not separately priced for all CLINs. Offerors shall not submit pricing for this CLIN.

v. The Offeror shall submit as Volume III a price/cost proposal to include the following:

Task Area 1 (Evaluation), Task Area 2 (Coating Processes and Repair), and Task Area 3 (Subassembly Overhaul and Reassembly CLINs 0001, 0002, 0003. (FFP)

i. Offerors shall submit pricing for the FFP CLINs listed in Section B. The prices shall include all shipping and be f.o.b destination. The prices are to be provided as separate unit prices for each item listed.

ii. The matrices included in Section B for each CLIN are to be completed. If more economical quantity breaks are available, the contractor is authorized to propose pricing for different quantity price breaks but shall provide pricing for the minimum quantities listed for each CLIN.

iii. The Price Proposal shall consist of a narrative supporting how the prices proposed were derived, escalation used, and the basis for escalation for the CLINs in Section B. Should there be any discrepancy between thepricing submitted in Section B and the Price Proposal, the Offeror’s Section B pricing will take precedence.

Task Area 5 (Supplemental Repairs) Labor CLINs 0005 (CPFF LOE)

i. The requirements of this section apply equally to the Offeror and any proposed subcontractors regardless of subcontract type. The prime contractor has the responsibility to ensure that ALL MAJOR SUBCONTRACTORS provide information at the same level of detail as required in this section regardless of the subcontract pricing arrangement. If subcontractors do not comply, this will be viewed as indicative of the prime contractor’s inability to control subcontractor performance and could impact the Management Approach (Factor I, Subfactor C) evaluation result.

In this procurement, the Government will perform a cost realism analysis of each Offeror’s proposed costs. The burden of cost credibility rests with the Offeror to demonstrate the realism of its proposed costs; as such, the Offeror must submit substantiating cost data for every cost element it proposes (e.g., direct labor, fringe rate, overhead rate, G&A rate, subcontract costs, etc.). Providing insufficient information to substantiate the realism of an Offeror’s proposed costs may result in a cost adjustment and/or the offer may no longer be considered for award.

The Offeror’s proposal should represent its best efforts to respond to the solicitation. Any inconsistency between promised performance – i.e., the technical or management proposals and the identified personnel resources – and the proposed cost/price must be explained in the proposal. For example, if the intended use of new and innovative techniques is the basis for an abnormally low estimate, the nature of these techniques and the impact on cost or price shall be explained; or, if a corporate policy decision has been made to absorb a portion of the estimated cost/price, that must be stated in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the Offeror’s understanding of the nature and scope of the work required and may adversely impact the evaluation of the Offeror’s proposal. The burden of proof as to cost/price credibility rests with the Offeror. Unrealistically low costs/prices may indicate an inability to understand requirements and a high-risk approach to contract performance.

Cost data provided separately by a subcontractor shall be received by the time and date specified for receipt of proposals using the same methods for submission. In accordance with FAR 15.404-3(b), the prime contractor shall conduct appropriate cost or price analysis to establish the reasonableness of proposed subcontractor prices, and the prime contractor’s cost narrative shall address how cost reasonableness was determined for each proposed subcontractor. An Offeror that fails to address how cost reasonableness was determined for each proposed subcontractor will be interpreted by the Government as the prime contractor’s lack of expertise in this area and could impact the Offeror’s overall evaluation result for the Management Approach Subfactor.

All proposed costs/prices within the Cost Summary format(s) shall be in whole dollars. The LOE in Section J includes both Prime and Subcontractor labor for each applicable Task Area. Costs unique to the implementation of the proposed transition plan shall be clearly identified in the cost/price proposal.

ii. Cost Summary: Prime / Subcontractor Cost Summaries shall be submitted using Microsoft Office Excel in the Cost Summary Format provided as an attachment in Section J. Offerors shall ensure Pricing for applicable CLINs in Section B pricing matches the Prime Cost Summary Report.

The Offeror shall complete the LOE breakout by Prime and Team Subcontractors that realistically reflects the Offeror’s Technical Proposal.

Prime and Subcontractor Cost Summaries shall utilize the labor categories identified per system/subsystem in Attachment 19, Supplemental Repair Estimated Level of Effort. The Offeror shall map proposed Contractor Labor Categories to the corresponding Government and eCraft Labor Categories identified in the Government LOE(s) within the Offeror’s Cost Summary. The Offeror shall complete the LOE breakout by Prime and Team Subcontractors that realistically reflects the Offeror’s Technical Proposal.

Prime Offeror(s) shall include the proposed hours and proposed costs per year in the Prime Offeror’s Cost Summary Subcontractor calculations for Subcontractors that are proposed using fixed rates or fixed prices (FFP or T&M).

Subcontractors proposed as FFP or T&M shall provide fixed rates or fixed prices for each contract year on the Subcontractor Cost Summary Attachment (Attachment 25), without breaking out direct labor and burdens, but the Offeror shall explicitly note that these costs or rates are fixed by describing the subcontract type (e.g., FFP or T&M).

NOTE: If an Offeror deems additional labor categories are required from the labor mix identified in Attachment 19, then the Offeror shall identify and provide a detailed description of the tasking to be performed by that labor category as well as justification that deems such tasking outside of the attached labor categories.

ii. Level Of Effort: The Government estimate is 91,339 man-hours for CLIN 0005 with the mix recommended in Attachment 19 in Section J. Offerors shall propose no fewer than the Government estimate provided herein. Proposal of fewer hours than the Government provided estimate may render the Offeror's proposal technically unacceptable.

The Government provided LOE does NOT include direct labor hours for labor categories for status and financial reporting (CDRLs A008 through A009). Direct labor hours for program management support required specifically for transition are also not included in the Government provided LOE. If the Offeror and any of its Subcontractors plan to direct charge hours for preparation and delivery of these data deliverables or transition costs, and it is in accordance with the Offerors standard practices and cost accounting system to do so, the Contractor(s) SHALL include additional hours in their proposal. Labor categories and additional hours SHALL be added to the Cost Summary for both the Prime & Subcontractor(s) as applicable (Attachment 24 & 25). Additional LOE proposed will be included in the total LOE awarded if appropriate. If labor categories and applicable hours are not specifically proposed for these deliverables/tasks, the contractor will NOT be authorized to direct charge for these tasks during performance of any resulting TOs based on the Offerors accepted proposal.

iii. Direct labor: Offeror/Subcontractors shall provide the basis for all labor rates proposed.

Offerors are advised that proposing lower cost personnel in technical labor categories without substantial justification will be an indication that the Offeror does not have a clear understanding of the technical labor needed to support the effort. In such cases, upward adjustments may be made to the proposed Direct Labor rates and cost risk evaluated accordingly

iv. FEE: Fee becomes a fixed dollar amount at the time of Task Order award and is subject to the provisions of the LOE clause (if applicable). Fee will be paid on a dollar per hour basis in accordance with H-216- H002, Level of Effort—Alternate I. The table within the clause will be filled out at award in accordance with the Fee tab within the Cost Summary Format.

Task Area 5 (Supplemental Repairs) ODCs CLIN 0006 (Cost Only)

i. Government estimates of ODCs are provided below, which include unburdened travel and incidental material expenses only. Estimates provided below do not account for any burdens such as material handling or G&A. Each offeror may apply appropriate burdens in accordance with their disclosure statements for individual Task Orders.

ii. ODC estimates do NOT include direct costs for Contractor facility requirements detailed in the SOW. The

Government considers facility costs indirect; however, if the Offeror proposes to direct charge facility costs, the Offeror shall propose such cost separately from ODC, provide rationale for direct charging such cost, and explain how the direct cost will be properly allocated to this requirement.

Table 5: ODC Estimates

CLIN 0006 Year 1 Year 2 Year 3 Year 4 Year 5 ODCs $66,267 $69,580 $73,059 $76,712 $79,338

iii. The Offeror’s proposed ODCs shall be included in Section B of the offer against each appropriate ODC

CLIN.

The management of Travel between Prime and any Subcontractors shall be described by the Prime Contractor within the Cost Narrative. In order for any additional expense categories to be allowed as a direct charge under the contract and resulting Task Order(s), it must be identified and described by the Prime Contractor within the Cost Narrative and be reflected in the applicable CLIN. Reimbursement for Travel will be in accordance with the Joint Travel Regulation (JTR) and the Federal Travel Regulations for OCONUS travel as applicable.

Contractor TDY expenses for access to equipment by employees authorized by the contractor to telework or live outside local travel distance will not be reimbursed by the Government. In order for any additional expense categories to be allowed as a direct charge under the resulting Task Order, it must be identified and described by the Prime Contractor within the Cost Narrative and be reflected in the applicable ODC CLIN both in Section “B” and the Cost Summary (Attachments 24 & 25).

Additional lines shall be added to the Cost Summaries as applicable to account for additional ODCs specifically related to the prime and subcontractors accounting practices.

Substantiating Information for CPFF CLINs

i. Current Named Individual Direct Rate Supporting Documentation

The Cost/Price Proposal shall reflect actual labor rates expected to be expended in performing the proposed Task Order; e.g., actual hourly rates for named personnel if such rates will be the basis for billing under the resultant contract and Task Order(s). Offerors or major cost reimbursement subcontractors shall provide a screen-capture from the employer's payroll system for each current employee named in the Offeror’s Labor Rate tab of the appropriate Cost Summary Format. The Offeror shall fully explain all pertinent data on a sample screen capture. The cost narrative shall include a description of the Offeror’s policy regarding Uncompensated Overtime (if any) (ref.

clause FAR 52.237-10). The Government must be able to derive the individual’s direct rate from the screen capture information provided by the Offeror.

ii. Unnamed Direct Labor Rate Supporting Documentation

For any proposed labor category direct labor rates that are unsupported by either a screen- capture or a contingent hiring agreement such as “To Be Determined” positions, the Offeror or its major cost reimbursement Subcontractors shall provide rationale supporting the proposed rates.

If the basis for estimate is a Forward Pricing Rate Agreement (FPRA) or Forward Pricing Rate Recommendation (FPRR) a copy shall be provided, and the Contractor s hall explain how the FPRA/FPRR was used to establish the proposed rates. If labor market analysis is used to determine labor rates proposed, the contractor shall identify the analytical tool utilized and the analysis conducted to derive the labor rates.
