VENDOR QUESTIONS 2
OFFERORS ARE REMINDED THAT THEY SHALL ACKNOWLEDGE EACH
SOLICITATION AMENDMENT IN ACCORDANCE WITH THE INSTRUCTION IN
BLOCK 11 ON THE COVER PAGE OF THE AMENDMENT.
QUESTION 1a: In Attachment 13 Estimated Level of Effort for CLIN 6001, the total estimated hours for each year equal 20,823 hours however the total listed on the attachment each year is 21,223 hours. Is 20,823 hours the correct amount to use as the total estimated hours per year?
QUESTION 1b: The total for each performance year provided in the reference attachment is not correct. The actual total hours by performance period is 20,823 verses the 21,223 total hours in Attachment 13. Although there is a note stipulating that summation inconsistencies are due to rounding, the delta between the actual period totals and the total in the table cannot be attributed to rounding. Please clarify.
ANSWER 1a and 1b: The correct number of hours is 20,823, and Attachment 13 has been revised to reflect that. Please note that this is only a Government estimate of the number of hours for CLIN 6001.
QUESTION 2: Please confirm that the following are the appropriate schedules and revisions for the locations listed in the Statement of Work and in the sample tasks:
North Carolina, Virginia: WD 15-4341 Rev 2 California County of San Diego: WD 15-5635 Rev 2 Florida County of Duval: WD 15-2115 Rev 2 Florida County of Bay: WD 05-3007 Rev 18 San Francisco, California: WD 15-5637 Rev 2 Charleston, South Carolina: WD 15-4427 Rev 1 ANSWER 2: The Government is not providing a wage determination for locations except for the one provided for Crane, IN and surrounding counties. Offerors may utilize the wages in wage determinations they believe are necessary ensuring that the cost narrative explains their use and rationale.
QUESTION 3: Beyond the fill-in blanks published in the RFP, itself, there is a very large number of clauses and documents included by reference. Individually, these inclusions-by-reference may or may not have fill-in spaces which may or may not be required or applicable for this proposal. The Government presumably has a list of which of the inclusions-by-reference, if any, have fill-ins or signatures that the Government expects to see returned with the proposal.
Would the Government please share this list to avoid extensive research by every bidder and numerous follow-up questions?
ANSWER 3: There are no fill-in requirements in clauses incorporated by reference that are known to the Government. The Government recommends, however, that potential offerors read every clause in the contract, including the clauses incorporated by reference, so that the clauses are understood.
QUESTION 4: Reference the Subject Solicitation, Paragraph f)2) on page 86 of the RFP specifies that pages will be one and one half inch spaced. Please verify this requirement.
If we assume the intent is to require 1.5 line spacing, this requirement results in a significant reduction in the number of lines of text that on each page. For example, 30 pages of 1.5 line spaced text is equivalent to only 20 pages of single spaced text (the government’s standard format). Request the government change the RFP to specify single spacing lines of text or increase the page limit of the technical proposal to 45 pages, the management proposal to 24 pages, and the past performance narratives to 1.5 pages for each reference.
ANSWER 4: The line spacing is 1.5 lines, and the solicitation has been edited so that 1.5 lines instead of one and one half inch spaced is stated. The Government believes that the page limits imposed on submitted offers provides offerors a sufficient number of pages to address the requirements of the solicitation.
QUESTION 5: In reference to the subject line solicitation, for task 1 the drawings 87-WPB-400- 002 list sheets 1-60 but the package only has sheets 1-19A and of those is missing sheet 2c.
Additionally some of the material lists say to see note 19 and 24 but the general notes list only references 1-18. Would it be possible to get these missing items posted?
ANSWER 5: The drawings provided for 87-WPB-400-002 contain all drawings the Government has, and offerors should utilize these drawings to note the general locations of each MARFLIR II component and the overall diagram of the MARFLIR II 87’ installation on page 14/14.
QUESTION 6: Will there be a validation step (the govt and contractor reviewing and agreeing
to) of both the GFE/GFM list and the procurement list before the contractor actually procures anything for the procurement list? Or are the lists provided by the govt to be accepted as is (without discussion or validation)?
ANSWER 6: There will be no validation step. The items the Government plans on providing as GFE/GFM are the large items such as the sensors the Government procures directly from the original equipment manufacturer that are to be installed on a particular ship. All other materials are intended to be Contractor Acquired Property (CAP) items, which will become the Government’s at the end of the contract.
QUESTION 7: We noted that there are no trade labor categories listed as part of the level of effort, so our assumption is that we are to just plug in the labor categories for trades specific to perform an AIT installation such as welders/ Fitters, electronic techs, electricians, fiber optic techs ect. I have looked through everything received but can’t identify trade labor. Is there supposed to be one?
ANSWER 7: The Level of Effort is for CLIN 6001 only and the labor categories for that CLIN was provided as an estimate. For all other labor CLINs, offerors should propose the labor categories they feel will be able to satisfy the Government's requirements. The Government didn't provide any labor categories other than the estimates for CLIN 6001.
SECTION H - SPECIAL CONTRACT REQUIREMENTS
The following have been modified:
5252.216-9122 LEVEL OF EFFORT – ALTERNATE I (MAY 2010)
(a) The Contractor agrees to provide the total level of effort specified in the next sentence in performance of the work described in Sections B and C of this contract. The total level of effort for the performance of this contract shall be CLIN 6001 – Estimated at 104,115 total man-hours of direct labor, including subcontractor direct labor for those subcontractors specifically identified in the Contractor's proposal as having hours included in the proposed level of effort.
(b) Of the total man-hours of direct labor set forth above, it is estimated that (Offeror to fill-in) man-hours are uncompensated effort.
Uncompensated effort is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no effort is indicated in the first sentence of this paragraph, uncompensated effort performed by the Contractor shall not be counted in fulfillment of the level of effort obligations under this contract.
(c) Effort performed in fulfilling the total level of effort obligations specified above shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as (local travel to and from an employee's usual work location), uncompensated effort while on travel status, truncated lunch periods, work (actual or inferred) at an employee's residence or other non-work locations (except as provided in paragraph (i) below), or other time and effort which does not have a specific and direct contribution to the tasks described in Sections B and C.
(d) The level of effort for this contract shall be expended at an average rate of approximately TBD hours per week. It is understood and agreed that the rate of man-hours per month may fluctuate in pursuit of the technical objective, provided such fluctuation does not result in the use of the total man-hours of effort prior to the expiration of the term hereof, except as provided in the following paragraph.
(e) If, during the term hereof, the Contractor finds it necessary to accelerate the expenditure of direct labor to such an extent that the total man-hours of effort specified above would be used prior to the expiration of the term, the Contractor shall notify the Contracting Officer in writing setting forth the acceleration required, the probable benefits which would result, and an offer to undertake the acceleration at no increase in the estimated cost or fee together with an offer, setting forth a proposed level of effort, cost breakdown, and proposed fee, for continuation of the work until expiration of the term hereof. The offer shall provide that the work proposed will be subject to the terms and conditions of this contract and any additions or changes required by then current law, regulations, or directives, and that the offer, with a written notice of acceptance by the Contracting Officer, shall constitute a binding contract. The Contractor shall not accelerate any effort until receipt of such written approval by the Contracting Officer. Any agreement to accelerate will be formalized by contract modification.
(f) The Contracting Officer may, by written order, direct the Contractor to accelerate the expenditure of direct labor such that the total man-hours of effort specified in paragraph (a) above would be used prior to the expiration of the term. This order shall specify the acceleration required and the resulting revised term. The Contractor shall acknowledge this order within five days of receipt.
(g) The Contractor shall provide and maintain an accounting system, acceptable to the Administrative Contracting Officer and the Defense Contract Audit Agency (DCAA), which collects costs incurred and effort (compensated and uncompensated, if any) provided in fulfillment of the level of effort obligations of this contract. The Contractor shall indicate on each invoice the total level of effort claimed during the period covered by the invoice, separately identifying compensated effort and uncompensated effort, if any.
(h) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and to the DCAA office to which vouchers are submitted: (1) the total number of man-hours of direct labor expended during the applicable period; (2) a breakdown of this total showing the number of man-hours expended in each direct labor classification and associated direct and indirect costs; (3) a breakdown of other costs incurred; and (4) the Contractor's estimate of the total allowable cost incurred under the contract for the period. Within 45 days after completion of the work under the contract, the Contractor shall submit, in addition, in the case of a cost underrun; (5) the amount by which the estimated cost of this contract may be reduced to recover excess funds. All submissions shall include subcontractor information.
(i) Unless the Contracting Officer determines that alternative worksite arrangements are detrimental to contract performance, the Contractor may perform up to 10% of the hours at an alternative worksite, provided the Contractor has a company-approved alternative worksite plan. The primary worksite is the traditional “main office” worksite. An alternative worksite means an employee’s residence or a telecommuting center. A telecommuting center is a geographically convenient office setting as an alternative to an employee’s main office. The Government reserves the right to review the Contractor’s alternative worksite plan. In the event performance becomes unacceptable, the Contractor will be prohibited from counting the hours performed at the alternative worksite in fulfilling the total level of effort obligations of the contract. Regardless of work location, all contract terms and conditions, including security requirements and labor laws, remain in effect. The Government shall not incur any additional cost nor provide additional equipment for contract performance as a result of the Contractor’s election to implement an alternative worksite plan.
(j) Notwithstanding any of the provisions in the above paragraphs and subject to the LIMITATION OF FUNDS or LIMITATION OF COST clauses, as applicable, the period of performance may be extended and the estimated cost may be increased in order to permit the Contractor to provide all of the man-hours listed in paragraph (a) above.
The contractor shall continue to be paid fee for each man-hour performed in accordance with the terms of the contract.

The offeror shall address the technical reason(s) for selecting each subcontract/consultants; identify the portions of the SOW that will be subcontracted; the contractual relation with the subcontract; and any previous working relationships with proposed subcontractors.
The offeror shall provide a Quality Control Plan (QCP) in accordance with the Quality Assurance Surveillance Plan (QASP) attached in Section J (Attachment 4). The offeror’s QCP shall set forth internal processes and procedures required to meet the standards and acceptable quality levels outlines in the QASP. Offerors shall discuss development and implementation of a performance management system with the processes used to assess and report its quality performance to the Contracting Officer’s Representative(s) (COR(s)).
The offeror shall provide the resume and Letter of Intent for the key personnel identified in Attachment 17. Key personnel are deemed essential to the performance of this effort and cannot be replaced without prior notice to the Government in accordance with NAVSEA Headquarters clause 5252.237-9106. Resume should demonstrate the experience and capabilities required for key personnel as outlined in Attachment 17.
Factor 2: Past Performance Narrative & Matrix (Volume III) – 1 page limit per reference for the narrative summary and 1 page limit for the matrix Offerors shall provide three (3) present/past performance references with their proposal within the last three Government fiscal years that reflect relevant experience. Offerors with significant subcontractors (10 percent or more of the total proposed cost) shall also submit one (1) past performance reference for said subcontractor(s). The contracts identified should demonstrate in-depth knowledge and successful implementation of contracts, of similar scope and complexity to this solicitation. Similar scope and complexity means have performed most of the types of support efforts identified in the SOW for this solicitation. The identified contracts can be with the Federal, commercial, or other customers. The Government reserves the right to limit or expand the number of references it decides to contact, and to contact other references than those provided by the Offeror. The Government reserves the right to use contract performance data obtained from other sources, such as the Government’s Federal Awardee Performance and Integrity Information System (FAPIIS) database.
Offerors are encouraged to supply contract reference information for which they are the prime contract holder or provide detailed clarification to the extent of which they contributed as a subcontractor to the referenced contract.
Failing to provide enough detail for a referenced contract for which the offeror was a subcontractor may result in the offeror’s references being determined not relevant.
For each contract, the offeror shall identify at least one of the following customer POCs: Program Manager; and PCO or COR. Offeror shall provide a matrix identifying the following information for each of the Present/Past Performance Questionnaires (Attachment 5 in Section J) sent to references of the prime and subcontractors, as applicable:
Organization/Customer
POC
Brief Description of Procurement Contract Number Telephone Number of Organization/Customer POC Email Address of Organization/Customer POC
Completed Present/Past Performance Questionnaires shall be submitted directly to jason.j.clark@navy.mil. Under no circumstances shall the questionnaires submitted to the offeror’s references be returned to the offeror. Offerors shall exert its best efforts to ensure that at least two POCs per relevant contract submit a completed Present/Past Performance Questionnaire directly to the Government. Any information provided by the offeror’s references is subject to verification/validation by the Government during the evaluation process. In the event references are not received by the close of the solicitation, the Government may make contact and follow up with the listed references identified on the Contractor Present/Past Performance Data matrix.
Offerors shall complete a narrative of each past performance reference submitted detailing the following:
a) Description and dates of work performed on the referenced contract.
b) Description of how the scope for the referenced contract relates to this effort in scope and complexity.
c) Description of the significant achievements, challenges or obstacles encountered and overcome during contract performance, to include measures taken to overcome any challenges or obstacles.
Factor 3: Cost Proposal (Volume IV)
Technical information SHALL NOT be submitted as part of the cost proposal. The requirements of this section apply equally to the offeror and any proposed subcontractors regardless of subcontract type. The prime contractor has the responsibility to ensure that ALL SUBCONTRACTORS provide information at the same level of detail as required in this section regardless of the subcontract pricing arrangement. If subcontractors do not comply, this will be viewed as indicative of the prime contractor’s inability to control subcontractor performance and could impact the Management Proposal (Factor 1 Subfactor B) evaluation result.
The Cost Proposal shall consist of the Cost Narrative, Overall Cost Summary, and Cost Summaries for Sample Task Orders 01 and 02. The Overall Cost Summary shall be in the format provided as Attachment 6 in Section J. The Cost Summary for Sample Task Order 01 shall be in the format provided as Attachment 8 in Section J. The Cost Summary for Sample Task Order 02 shall be in the format provided as Attachment 9 in Section J. The offeror shall provide sufficiently detailed information as to allow the Contracting Officer to determine the reasonableness of the proposed costs. The submitted cost summaries shall include ALL formulas that demonstrate how rates and burdens were applied. All proposed costs shall be in whole dollars. The level of effort in Section B for CLIN 6001 includes both prime and subcontractor labor. Should there be any discrepancy between the pricing submitted in Section B and the Cost Summaries/Cost Narrative documentation, the offeror’s Section B pricing will take precedence. For cost realism purposes, the higher cost will be used.
Offerors are advised that proposing lower level replacement in technical labor categories for CLIN 6001 without substantial justification will be an indication that the offeror does not have a clear understanding of the technical labor needed to support the effort and appropriate upper adjustments may be made by the Government.
Offerors are encouraged to propose a reasonable escalation factor for both Service Contract Act (SCA) and Non- SCA positions consistent with company practices and estimated future increases in wages. The basis for the escalation factor shall be addressed in the Cost Narrative. Although updated wage determinations will be included in future modifications to the resulting cost-reimbursable contract, the clause at 52.222-43 (SCA – Price Adjustment) does NOT apply due to this requirement not being fixed price, time-and-materials, or a labor-hour service contract as prescribed in FAR 22.1006(c)(1).
The Cost proposal shall reflect actual labor rates expected to be expended to satisfy the requirements of this effort (such as actual hourly rates for named personnel if such rates will be the basis for billing under the resultant contract). Offerors are advised that the Government will be requesting rate check information from their respective cognizant DCMA offices. Depending on the completeness or currency of recommendations received, offerors may be requested to provide copies of actual payroll data to substantiate current direct labor rates as well as indirect budgets to support proposed rates. This advisory note is provided so that offerors and their team members can have such documentation readily available if requested.
If the offeror has a Forward Pricing Rate Agreement (FPRA) with DCAA, a copy shall be furnished in addition to the cost proposal. If an offeror does not have an FPRA, the offeror shall provide rationale within the cost narrative as to how direct labor rates were calculated.
The Government Level of Effort by labor hours and labor category for CLIN 6001 is provided as Attachment 13 in Section J. Labor category descriptions for CLIN 6001 can be found as Attachment 14 in Section J. The labor category descriptions are provided for informational purposes only, and offerors shall make their independent assessment of labor categories applicable to the Service Contract Act Wage Determination found as Attachment 12 in Section J.
The level of effort provided is for work directly supporting the requirement of this contract and DOES NOT include contract administration or program management hours for prime or subcontractors. If any hours will be charged directly for program management, contract reporting and administration by any tier contractor it must be added to the specified level of effort list in Attachment 13. The offeror shall clearly state all program management and contract administrative support functions that are to be direct charged, including meetings and conference calls, word processing, reproduction, progress report preparation, invoicing, security administration, contract quality assurance, CDRL review and approval, etc. The hours/amounts proposed for each of these functions shall be fully explained and justified in the cost narrative for the prime and subcontractors. Support functions not proposed to be direct charged will be considered overhead in nature and will NOT be allowed as direct charges under this contract.
Government estimates of ODCs are provided below which include travel and material expenses. Estimates provided below do not account for any burdens such as material handling or G&A. Each offeror may apply appropriate burdens in accordance with their disclosure statements. ODCs are not subject to fee. The estimates below apply to all travel and material CLINs in Section B.
ODCs Year 1 Year 2 Year 3 Year 4 Year 5 Total Travel $322,000 $322,000 $322,000 $322,000 $322,000 $1,610,000 Material $3,960,000 $4,118,400 $4,266,912 $4,415,092 $4,591,695 $21,352,099
Offerors shall also include any additional ODC elements that are deemed appropriate or required in performance of this effort and shall provide a detailed explanation and basis for any ODCs proposed other than those identified above. The offeror’s proposed ODCs shall be included in Section B of the offer against each appropriate ODC
CLIN. The management of travel between prime and any subcontractors shall be described by the prime contractor within the Cost Narrative. Reimbursement for travel will be in accordance with the Joint Travel Regulation. If it is anticipated that subcontractors will need to incur ODCs, they shall be proposed as such and subject to the solicitation requirements with respect to ODCs. It is not acceptable for the prime contractor to include all travel and materials in their portion of the Cost Proposal if subcontractors or consultants will incur ODC expenses.
Subcontractors shall be addressed in the Cost Narrative. Subcontractor costs shall be included in the Overall Subcontractor Cost Summary provided as Attachment 7 in Section J. All cost data for subcontractors including FPRA/payroll data shall be provided in the same level of detail and format as required for the prime contractor. Cost data provided separately by a subcontractor shall be received by the time and date specified for receipt of proposals.
In accordance with FAR 15.404-3(b), the prime contractor shall conduct appropriate cost or price analysis to establish the reasonableness of proposed subcontractor prices, and the prime contractor’s Cost Narrative shall address how cost reasonableness was determined for each proposed subcontractor. An offeror that fails to address how cost reasonableness was determined for each proposed subcontractor will be interpreted by the Government as the prime contractor’s lack of expertise in this area and could impact the offeror’s overall evaluation result for the Management Proposal Subfactor.
The Cost Narrative shall include a description of the offeror’s policy regarding Uncompensated Overtime (if any) (ref. clause FAR 52.237-10).
CDRLs are not separately priced.
The following is required as part of the Overall Cost Summary:
a) The offeror shall map proposed contractor labor categories to the corresponding Government labor categories identified in the Government level of effort for CLIN 6001 found as Attachment 13 in Section J;
b) The offeror shall complete the man-hours breakout by prime and subcontractors that realistically reflects the offeror’s technical approach;
c) The offeror shall complete the overtime breakout by prime and subcontractor.
The following is required as part of the Overall Subcontractor Cost Summary if the offeror is proposing to utilize subcontractors:
a) The offeror shall map proposed contractor labor categories to the corresponding Government labor categories identified in the Government level of effort for CLIN 6001 found as Attachment 13 in Section J;
b) The offeror shall complete the man-hours breakout by prime and subcontractors that realistically reflects the offeror’s technical approach;
c) The offeror shall complete the overtime breakout by prime and subcontractor.
The following is required for both the Cost Summary for Sample Task Order 01 and Cost Summary for Sample Task Order 02:
a) The offeror shall complete the man-hours breakout by prime and subcontractor that realistically reflects the offeror’s technical approach;
b) The offeror shall complete the overtime breakout by prime and subcontractor;
The Cost Narrative shall contain the following information:
a) Rationale as to how direct labor rates were calculated if an FPRA is not in place;
b) Previous three-year history of actual rates incurred for each proposed indirect rate for the offeror and subcontractors including the most recently completed fiscal year even if the rates are considered preliminary and have not been submitted to DCAA for audit;
c) Note whether actual rates have been audited by DCAA or any independent organization;
d) Specifically state which indirect rates have been finalized by DCAA/DCMA;
e) Provide basis for any deviation between proposed rates and current actual rates being invoiced;
f) Provide a risk analysis and mitigation plan outlining the steps being taken to ensure actual rates are in line with proposed rates if history does not provide a high confidence in the contractor’s estimating process for indirect rates;
g) Provide rationale for any direct labor rate exceeding the equivalent to a GS-14 Step 10 in the areas of performance or the loaded tripwire labor rate of $156.00/hour – rationale shall include the duties to be performed, qualifications, comparison to industry averages for the same or similar positions, and any other information necessary to document the appropriateness of the labor rate being proposed;
h) Provide a basis and rationale for escalation rates used;
i) Describe how prime and subcontractor travel will be managed;
j) Describe how subcontractor cost reasonableness was determined for each proposed subcontractor;
k) Description of the offeror’s policy on Uncompensated Overtime (if any).
Completed Solicitation (Volume V)
