SECTION H - SPECIAL CONTRACT REQUIREMENTS

TWO PHASED APPROACH

a) As specified in the FAR 52.215-1 “Instructions to Offerors--Competitive Acquisition” provision, the

Government intends to evaluate proposals and award a contract without discussions. The Government reserves the right to conduct discussions if the Contracting Officer determines them to be necessary.

b) The Government intends to award a contract to the responsible Offeror whose proposal represents the best value to the Government after evaluation in accordance with the factors in the solicitation. The best value proposal will be selected using a tradeoff process, as defined in FAR 15.101-1, which permits tradeoffs among cost and non-cost factors. Accordingly, the Government may accept other than the lowest cost proposal where the additional benefits of the higher cost proposal merit the additional cost. Conversely, the Government may select a lower-cost, lower rated proposal if the Government determines that the premium associated with the higher-rated proposal is not justified. In making the best value determination, the Government will consider technical merit (e.g. all non-cost factors) to be significantly important than the Government Total Evaluated Price.

However, the importance of Total Evaluated Price calculated by the Government as an evaluation factor will increase with the degree of equality in overall technical merit of competing proposals, under the non-price factors.

c) A proposal must be acceptable for the offeror to be eligible for award. To be eligible for award, Offerors are required to meet all solicitation requirements, including terms and conditions and representations and certifications and to provide all information required by Section L of this solicitation. Failure to comply with all the solicitation requirements may result in the Offeror being removed from consideration for award.

PROPOSALS THAT DO NOT CONFORM TO THE REQUIREMENTS STATED HEREIN MAY BE

DETERMINED UNACCEPTABLE AND MAY BE REJECTED WITHOUT FURTHER

EVALUATION.

d) Offerors must meet the standard for FAR 9.105 for responsibility to be eligible for award. The Government may conduct a Pre-Award Survey as part of this source selection. Results of any survey will be evaluated to determine each Offeror’s capability to meet the requirements of the solicitation. Any such survey may also be used to verify statements and representations made in the Offeror’s proposal. The purpose of a preaward survey is to obtain information not available to the contracting officer to make a responsibility determination prior to contract award.

e) Proposals will be rated on the evaluation factors listed below. It should be noted that cost/price does not have a finite numerical weight. Evaluation factors Factor I and Factor II, and Factor IV when combined, are significantly more important than Factor III. However, cost/price is an important factor and should be considered when preparing proposals. The Government reserves the right to award to a lower cost offeror when the offers are considered essentially equal in terms of technical capability, or when specific strengths and/or benefits associated with a technically superior offer do not support any associated cost or price premium. In summary, cost/price/technical capability tradeoffs will be made.

NOTE: A finding of “Unacceptable” in one technical factor and/or subfactor may result in the entire proposal being determined unacceptable.

f) The source selection process will follow a two phased approach:

Phase I –Product Sample, Written Technical/Logistics Management Proposal, Price and Past

Performance Evaluation Phase II –Evaluation of Test Articles, Written Technical/Logistics Management Proposal, Price and Past Performance Evaluation

g) Up to two (2) vendors may be awarded a contract to deliver test articles (minimum contract quantity 2 each). If more than one contract is awarded Phase 2 of the evaluation will be conducted.

h) Up to three (3) test articles will be purchased by the Government under the first delivery order, and provided by the Contractor for evaluation by Naval Surface Warfare Center (NSWC) Crane and USSOCOM personnel against the performance specification identified in the solicitation. All test articles will be tested during the phase II technical evaluation. If one test article should fail, then the second test article shall continue testing from the point of failure of the initial unit. As part of the technical evaluation, laboratory measurements and field tests may be used to determine test article compliance with the performance specification and the offeror’s written proposal.

i) The Government does not anticipate conducting negotiations after test article testing. However, negotiations may be required to address failures of the test articles. If negotiations are required, final proposal revisions will be requested to include only those areas affected by negotiations. Final proposal revisions may include re-pricing of the contract CLINs.

j) A down select to one firm will be performed for the award of subsequent delivery orders under one Indefinite Delivery Indefinite Quantity contract. Competitors in Phase II will not be authorized to resubmit test articles as a result of negotiations; however the written technical proposal may be revised and submitted as part of a final proposal revision. The SSER will consider any updated written technical proposal as part of a finalized evaluation of the proposal.

k) Written proposals as well as the other factors and subfactors listed below will be evaluated, as applicable, if negotiations resulted in changes, in making the best value determination and resulting in a down select to one contract.

l) Past Performance information may be evaluated upon receipt prior to the closing date of the solicitation.

m) The offeror’s proposal shall be in the format prescribed by, and shall contain a response to, each of the areas identified in Section L. The order of relative importance for the evaluation factors is established as follows:

Technical Capability (Factor I) is significantly more important than Logistics & Management (Factor II).

Technical Capability (Factor I) is significantly more important than Price (Factor III). Technical Capability (Factor I) is significantly more important than Past Performance (Factor IV). Factor II is more important that Factor III and Factor IV. Factor III is more important than Factor IV. Factor I, Factor II, and Factor IV when combined, are significantly more important than Factor III. The price Factor becomes more important as the degree of equality of Factors Other Than Price increases, or when the price is so significantly high as to diminish the value of the technical superiority to the Government.

Under Factor I, Subfactors A, B, and C are listed in descending order of importance. Attachment 03, CCFLIR2 Requirements Ranking, provides the order of importance of the performance specification requirements. Under Factor II, Subfactors A, B, C, D, and E are listed in descending order of importance. Under Factor IV, price will not be rated, but will be considered in determining the "best value" to the Government. Past Performance information may be evaluated upon receipt prior to the closing date of the solicitation.

FACTOR I - Technical Capability SUBFACTORS

A1. Product Sample Capability Evaluation (Phase I) A2. Test Article Evaluation (Phase II) B. Written Performance Specification Compliance &

Objectives Met C. Open Architecture Design

FACTOR II – Logistics & Management SUBFACTORS

A. Warranty B. Life Cycle Maintenance and Repair Plan C. SOW Compliance D. Delivery/Production Schedule E. Subcontracting

FACTOR III – Price

FACTOR IV - Past Performance

n) The best value determination may result in the Government being willing to pay more for higher technical capability.

STANDARDS FOR EVALUATION:

FACTORS I & II-Technical/Logistics & Management Approach

A. PRODUCT SAMPLE (Phase I)

Contractors must show technology maturity by having the following capabilities demonstrated in the Product Sample submitted with the proposal. These capabilities are considered Go/No Go requirements.

1. Continuous Azimuth (AZ) movement

2. Auto-Track

3. Class 1 Eyesafe LRF (LASER Range Finder)

4. Max Class 3B LP (LASER Pointer)

5. Weight not to exceed 65 lb for the sample (Threshold in the performance specification is 56lb)

6. MWIR sensor in the 3-5 µm range

7. Color sensor

8. Require no constant Dry-Air Pressurization

The product sample failing the Go/No Go capabilities may be rejected and both; the product samples, and the written technical proposal, associated with the product sample will not be further evaluated, nor receive further consideration for award. Product samples that successfully pass this initial evaluation will continue with the full evaluation.

As part of the technical evaluation, laboratory measurements and field tests may be used to determine product compliance with the performance specification.

A. TEST ARTICLE EVALUATION (Phase II) Contractors selected for award shall deliver up to three (3) test articles, as required by delivery order 0001.

Operational testing will be conducted on the test articles for conformance to the specification, conformance to the written technical proposal submitted in Phase I, overall image clarity and human factor engineering.

Phase I & II

B. TECHNICAL APPROACH

The technical evaluation will be a subjective assessment of the offeror’s ability to meet the requirements of the technical data package, to include but not be limited to, the specification and statement of work. The evaluation will also consider the successful application of Government and industry standards and best practices and innovative approaches that added value to the project/program and benefitted the Government. The objective of the evaluation is to:

1. develop insight into the offeror’s relative capability and the relative risk associated with contracting with the offeror; and

2. determine the degree to which the offeror has previously encountered the kinds of work, uncertainties, challenges, and risks that it is likely to encounter under the prospective contract.

3. determine which system provides the best technical solution to the Government to meet current and future mission requirements utilizing the CCFLIR2 Requirements Ranking (Attachment 03) .

Each offeror will be evaluated on its capability to perform the requirements and objectives from the performance specification and statement of work based on relevant technical expertise and experience in the proposed functional areas. This shall include the offeror’s depth and breadth of experience performing the type of work covered by the statement of work, the offeror’s ability to perform the requirements, produce systems and sustain the system.

A subcontract participation data form shall be submitted in accordance with the requirements set forth in Section “L”. Evaluation of an offeror’s proposal shall be based on the information presented concerning the amount of participation of firms designated as part of the socio-economic programs as described in FAR Part 19. Ratings shall be assigned based on the amount of participation when subcontracting opportunities exist.

Each factor and subfactor will be assigned an adjectival rating as follows:

Table 1: Combined Technical/Risk Ratings for Phases I and II

Rating Description Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance.

Risk of unsuccessful performance is no worse than moderate.

Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.

Unacceptable Proposal does not meet requirements and contains one or more deficiencies. Proposal is unawardable.

Phase I & II

FACTOR III: PRICE

A Cost/Price Proposal shall be submitted for the supplies/services set forth in Section B of this solicitation. The information presented in the Cost/Price Proposal will be evaluated by the Government to determine (i) the extent to which the Offeror understands the Government’s requirements and (ii) what the Government will pay for the required CCFLIR2 systems and sustainment.

Evaluation of an offeror’s proposal shall be based on the information presented in the proposal and information available to the Contracting Office from sources deemed appropriate. Sources typically considered include Defense Contract Audit Agency office, Defense Contract Management Command, other contracts with the same firms for similar items or services, known commercial sources such as Global Insight Inc. (formally Data Resources, Inc.), Standard and Poor, etc. Proposals which are unrealistic in terms of technical or schedule commitments, or unrealistically high or low in terms of cost/price, may be deemed reflective of an inherent lack of technical competence, or indicative of a failure to comprehend the complexity of risks of the proposed work and may be grounds for rejection of the proposal. The quality of organization and attention to detail reflected in the business proposal will be considered to be an indication of the quality of organization and level of capability during contract performance. Subjective judgment on the part of the government evaluators is implicit in the entire process.

a) Proposals will be evaluated for price reasonableness. Pricing will be evaluated to determine the overall Total Ownership cost of the system versus just the cost of the system itself. PHASE I & II

FACTOR IV: PAST PERFORMANCE

The Government will assess each offeror’s and proposed significant subcontractor’s past performance. The assessment will be an unbiased judgment about the quality of an offeror’s past performance. The Government will use its subjective assessment to make a comparative assessment of an offeror’s capability. The Government will consider the offeror's record of conforming to specifications/commercial product descriptions and to standards of good workmanship; the offeror's adherence to contract schedules, including the administrative aspects of performance; the offeror's record of managing subcontractor delivery and performance; the offeror's record of controlling costs under cost-type contracts; the offeror's record of number and type of change orders under similar contracts; the offeror's reputation for reasonable and cooperative behavior and commitment to customer satisfaction;

and, generally, the offeror's business-like concern for the interests of the customer. Past performance is also a measure of the risk of performance associated with the offeror.

The assessment of the offeror's performance will be used as one means of evaluating the credibility of the offeror's proposal. A record of marginal or unacceptable past performance may be considered an indication that the ability of the contractor to perform the contract as proposed may be questionable. This increased performance risk may be reflected in the overall assessment of the offeror's proposal.

The assessment of the offeror's past performance will be used as one means of evaluating the relative capability of the offeror and other competitors to meet the performance requirements of the proposed contract. Thus, an offeror with an exceptional record of past performance may receive a more favorable assessment than another whose record is acceptable, even though both may have otherwise equally acceptable proposals.

Assessment of past performance will be a subjective assessment based on consideration of all relevant facts and circumstances. It will not be based on absolute standards of acceptable performance. The Government is seeking to determine whether the offeror has consistently demonstrated a commitment to customer satisfaction and timely delivery of quality goods and services at fair and reasonable prices. This is a matter of judgment. The Government may base its judgment about the quality of an offeror’s past performance on:

(1) Records of objective measurements and subjective ratings of specified performance attributes, if available, and

(2) Statements of opinion about the quality of specific aspects of an offeror’s performance, or about the quality of an offeror’s overall performance.

In addition to the sources identified by the offeror, the Government may review Contractor Performance Assessment Reporting System (CPARS) and/or DOD Past Performance Information Retrieval System ratings and other existing past performance ratings on relevant contracts. In addition, information obtained from other sources, such as past and present customers, cognizant contract administration offices, other Government agencies (including state and local Governments), consumer protection organizations, better business bureaus, and others who may have useful information. General trends in a contractor’s past performance will also be considered.

The Government reserves the right to limit the number of references it decides to contact and to contact references other than those provided by the offeror. The evaluation will take in account the same type of information regarding significant subcontractors proposed in the offeror’s proposal.

The Contracting Officer is not responsible for locating or securing any information not furnished with the offer.

The SSA/Contracting Officer may, however, utilize all available information, including information not provided by the offeror, in the past performance evaluation. The Government reserves the right to review less than all information submitted, and to only analyze sufficient information to make a reasonable determination of each offeror’s past performance rating. If insufficient information regarding the offeror’s corporate history is available, the offeror is encouraged to submit for evaluation, evidence of relevant past performance on the part of the offeror’s key/principal employees, as either a prime- or sub-contractor.

If discussions are held, offerors will be given an opportunity to address especially unfavorable reports of past performance for which they have not previously been provided an opportuity to comment and the offeror's response, or lack thereof, will be taken into consideration. In particular, recent contracts will be examined to ensure that corrective measures have been put in place to prevent the reoccurrence of past performance problems. Prompt actions taken to correct performance problems will be a reflection of management concern for customer satisfaction;

however, such action may not mitigate all negative performance trends.

Past performance is assessed by the SSA/Contracting Officer and is assigned adjectival ratings in the evaluation.

There are two aspects to the past performance evaluation:

Relevancy - The past performance relevancy rating, as defined in the table below, is the assessment of the offeror's demonstrated recent and relevant record of performance in supplying products and services that meet the contract's requirements.

PAST PERFORMANCE RELEVANCY RATING

Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved much of the magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Confidence - The past performance confidence rating, as defined in the table below, is the evaluation of the offeror’s demonstrated ability to successfully perform the contract’s requirements, based on past performance information.

PERFORMANCE CONFIDENCE ASSESSMENT

Rating Description

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral) No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

Offerors that have no record of past performance (i.e., new businesses) must submit a signed and dated statement to that effect. If an offer submits a certification statement and the Government has no information available regarding the offeror’s past performance, that offeror will receive a neutral rating (i.e., the offeror is evaluated neither favorably nor unfavorably) for past performance. If offerors (prime and significant subcontractors) provide reference information that is deemed not relevant and current as defined in Section L, the offeror will receive a neutral past performance rating for those contracts.

b) Access to classified information is required to respond to this solicitation and will be provided to prospective respondents upon verification of the appropriate facility clearance and safeguarding capability.

Individuals requesting access to the classified material shall complete Attachment 9, RFP Classified Material Request Form and submit to Rebecca Lingenfelter at rebecca.lingenfelter@navy.mil. Provide your name, title, phone number, cage code, and classified mailing address to include your security POC.

The Government will mail the document(s) to the provided classified mailing address/POC following verification of your facility clearance status. Companies that do not hold the required facility clearance will be denied via email. The classified documents provide pertinent information and must be obtained.

Proposals received from offerors that do not possess Attachment 5 (Appendix A Detection, Recognition and Identification Range Requirements and Appendix B Signature Requirements of PS/15/JXQQL/129), will not be considered. Responses to the solicitation may be either classified or unclassified and must be marked and transmitted accordingly.

c) COVER LETTER: The proposal shall include a cover letter signed by an individual authorized to commit the company to the proposal. The cover letter shall be submitted with Volume I. The cover letter shall identify all enclosures being transmitted as part of the proposal. The letter shall reference the solicitation number and acknowledge that it transmits an offer in response to the solicitation. The cover letter required by this paragraph super cedes and replaces the “First Page” requirements referred to in FAR 52.215-1, Subsection (c)(2). It shall state

Commercial and Government Entity (CAGE) number, Duns Number, Taxpayer Identification Number (TIN), Name, address and telephone number of the cognizant DCMA Office (can be found at http://www.dcma.mil/ ) Proposal validity through 30 September 2015.

Offerors shall also state if they have an established electronic invoice process in place. A copy of the SF1408 from DCAA and/or a copy of DCAA Audit Report should be included as an attachment to your proposal’s cover letter and also does not count toward page limitation.

NOTE: Since there are firm fixed price CLINs included in this solicitation, a DCAA approved accounting system is not required to be eligible for award of a prime contract. However, successful awardees would not be eligible to receive progress payments, or a cost type delivery order until DCAA has determined that their accounting system is adequate. The Government will initiate requests for accounting system reviews for any successful offeror that does not currently have an approved system after awards have been made from this solicitation. Documentation will be provided to the successful awardees that will need to be completed and returned to the Government before the audit request can be initiated. Financial capability reviews are now being conducted by DCMA instead of DCAA. Documentation for this review will need to be provided to DCMA upon request. This will be required after award has been made so no submission is required with the current proposal.
