About this file
This is a Justification and Approval (J&A) document from the Naval Sea Systems Command (NAVSEA) authorizing other than full and open competition for a contract award to Raytheon Technologies of St. Petersburg, Florida for Cooperative Engagement Capability (CEC) Design Agent/Engineering Support services for FY2024-FY2029.
The contract will provide engineering support for CEC, a sensor network system that improves strike force air and missile defense capabilities through coordinated measurement data from multiple sensors. The estimated contract value is $724 million over a base year plus four 12-month options, with work beginning April 1, 2024. The scope includes program management, systems engineering, software/hardware integration, maintenance of deployed systems, and test support. Raytheon was selected as the sole source provider under 10 U.S.C. 3204(a)(1) after a September 2022 RFI received responses from Raytheon, L3Harris, and Lockheed Martin. NAVSEA determined only Raytheon possessed the necessary technical knowledge and experience to meet requirements without causing unacceptable delays, estimated at 60 months for a new contractor to achieve proficiency. The contract includes provisions for future competition through Other Transaction Authority (OTA) solicitations for specific CEC Increment 2 functionality development.

4. Statutory Authority Permitting Other Than Full and Open Competition
10 U.S.C. 3204(a)(1), only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority
Pursuant to 10 U.S.C. 3204(a)(1), as implemented by FAR 6.302-1(a)(2)(ii)-(iii), Raytheon
Technologies is the only responsible source capable of providing the required systems engineering, system development, test, integration, and fielding of critical CEC capability improvements without causing unacceptable delays in fulfilling the Navy’s requirements.
Raytheon Technologies was the sole offeror for the previous competitively solicited N00024-19-
C-5200 DA/ES contract.

While the initial design/development of segments of CEC Increment 2 functionality will be competed via OTAs, Raytheon Technologies is currently the only known source that has the technical knowledge, insight, and experience to support the comprehensive system-level CEC maturation and system integration activities required to deliver the fully integrated CEC system for testing, certification, and fielding without unacceptable delays to the Fleet-approved SW baseline delivery schedule.
Raytheon Technologies is currently the only known source that can successfully integrate and fully deliver the required CEC Increment 2 functionality, initially designed and developed via competition, to achieve Full Operational Capability (FOC) in FY2026 without unacceptable schedule delays. The CEC Increment 2 functionality provides the key enabling technology required to support critical Navy timetables for fielding of Naval Integrated Fire Control (NIFC) and Project Overmatch (OM) goals, objectives, and advancements. The intricacies and complexities of the CEC Increment 2 capabilities require inherent knowledge of the CEC system, along with the interdependencies between internal system components and stakeholder host combat systems and sensors. The integration of CEC with host combat systems presents additional constraints to competition. While there are plans for future combat systems development, during the PoP of the follow-on CEC DA/ES contract (FY2024-FY2029), most of the integration efforts are anticipated to be with legacy/current combat system designs of which
Raytheon is the only source with the requisite knowledge and experience to integrate CEC with older non-supported and/or end-of-life combat system SW/HW and limitations. Foundational
CEC subject matter expertise is critical for the successful execution of these new capabilities.
Program Executive Office Integrated Warfare Systems (PEO IWS) 6.0 estimates a minimum 60-month delay in CEC development efforts in support of Increment 2 capabilities for a new Design
Agent contractor to familiarize themselves with the CEC SW/HW architectures, the CEC capabilities, the CEC development and test environment, and CEC integration with host platforms, platform sensors, and host combat systems. The overall potential schedule delay that would result from award to another source will negatively impact SW deliveries planned during this PoP to support NIFC missions, critical Project OM initiatives, and successful achievement of the required CEC Increment 2 functionality FOC.
Specifically, PEO IWS 6.0 estimates included consideration of the following factors described below. Of the tasks listed below, tasks 1 and 2 can be executed concurrently, while tasks 3 and 4 will need to be executed sequentially after completion of task 2. This translates into an estimated delay of 60 months.
Task 1: 36 months to develop the needed test facilities and ranges to support development, test, certification, and fielding of new CEC capabilities. This includes establishing an outdoor antenna range and test facility at the new Design Agent site for measuring network performance in controlled environments.
Task 2: 36 months for a new company to adequately familiarize itself with, and understand, the
CEC HW/SW architecture, and how it integrates with external sources (sensors, platforms, host combat systems). This includes:
erin.cooke Highlight erin.cooke Highlight erin.cooke Highlight erin.cooke Highlight erin.cooke Highlight
a. Gaining a working understanding on how to integrate the HW/SW components provided by the Government or other external sources and complete additional design, development, integration, test, and system maintenance tasks as required for all applicable baselines.
b. Gaining the understanding of the unique characteristics and capabilities of multiple
CEC SW baselines associated with multiple versions of host combat systems and sensors integrated with CEC and the technical details of CEC capabilities implemented across multiple CEC versions to be able to enhance them to support new requirements.
c. Gaining the understanding of how to integrate the current generation of CEC systems with multiple and unique measurement data sets associated with the various sensors previously mentioned.
d. Gaining the understanding of how to support the integration, testing and maintenance of CEC legacy HW/SW with specific combat systems and sensors that utilize specialized interfaces and custom HW/SW solutions.
Task 3: 12 months to understand the system interdependencies and capabilities needed to develop and incrementally deliver CEC Increment 2 SW capability. This includes:
a. Gaining the required knowledge and experience with the performance and specifications driving the interdependencies between internal CEC system components and those of the host combat systems and sensors; and how changes from new capabilities will affect a fully integrated CEC system.
b. Gaining the required knowledge and experience with the critical performance requirements for testing of CEC capabilities including an understanding of the unique lab and land-based testing environments, unique test equipment and procedures, and how CEC SW is tested and qualified for delivery to the Government.
Task 4: 12 months to design, develop, integrate, test, certify, and deliver the first SW release in support of CEC’s Increment 2 capability.
This engineering estimate is based on findings and conclusions from PEO IWS 6.0 and
Government subject matter experts of the time it would take senior engineers to review and understand all aspects of the CEC system to the level required to execute major program Design
Agent tasking. While some of these activities could be accomplished in parallel, the Navy would still experience unacceptable delays to planned SW releases necessary to support NIFC missions, critical OM initiatives, and critical CEC Increment 2 development milestones, including its FOC.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
A Request for Information (RFI) for the CEC DA/ES follow-on contract was posted on 30
September 2022 and received three responses on 24 October 2022, which included Raytheon
Technologies, L3Harris Technologies, and Lockheed Martin Corporation. Raytheon
Technologies was the sole offeror for the competitively solicited N00024-19-C-5200 DA/ES contract. In assessing a company’s capability to support the DA/ES efforts for the CEC system, there were three key technical areas evaluated: sensors, combat systems, and tactical erin.cooke Highlight erin.cooke Highlight erin.cooke Highlight communication. The CEC Design Agent requires an in-depth understanding of over twenty-five sensors and five disparate combat systems. While Lockheed Martin has experience with some of the sensors and combat systems, its minimal existing knowledge of the entire suite of sensors and combat systems makes it unable to execute the future DA/ES requirement. Additionally, L3Harris Technologies does not have any existing experience with the suite of sensors and combat systems. Furthermore, CEC Design Agent requires an in-depth understanding of a complex integration of high-performance directional radio communications via robust RF waveforms, sensor networking, data fusion and track management, which neither Lockheed
Martin Corporation nor L3Harris Technologies have.
This RFI was followed by the release of a synopsis for the proposed contract action on 23 March
2023 with no responses received.
7. Determination of Fair and Reasonable Costs
The Contracting Officer has determined that the anticipated cost to the Government for the supplies/services covered by this Justification and Approval (J&A) will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition
For the reasons set forth in paragraph 5, Raytheon Technologies is currently the only known source that has the technical knowledge, insight, and experience that can meet the Government’s requirements. The Government has, and will continue to obtain as a deliverable under this contract, a technical data package with Government Purpose Rights on all non-commercial software and hardware components in order to foster a competitive environment for CEC.
Additionally, the Government considers that the development of specific elements of CEC
Increment 2 functionality, to be competed via OTA solicitations in the FY2024-FY2029 time-frame, will provide other companies the opportunity to gain additional knowledge and insight into the CEC system and CEC Increment 2 capabilities. This will increase the likelihood of a larger pool of viable companies with the requisite skills and experience to support full and open competition in the future for design agent requirements.
