Draft Solicitation – Sections H

Why is PMS 300 interested in EPA?

• Problem: Contractors pricing material forward escalation between 5%-8% per year as a result of experienced inflation between 2021-2023. Contracting Officers required to find future pricing (2024-2030) fair and reasonable, however, DoD’s internal forecast projects a range of -2% to +3% for escalation.

• Cause: Recent (2021-2023) abnormal/unusual inflation has resulted in supply chain disruptions and general cost increases. Consensus does not exist on inflation outlook for 2024-2030.

• Solution: Incorporation of an EPA clause provides an opportunity to account for upward and downward revisions of the contract pricing above the DoD’s internal forecast of -2% to +3% for escalation. However, EPA clause, escalation and contractors’ pricing should be aligned.

– PGI 216.203-4(17): The contracting officer must obtain adequate data to establish the baseline from which adjustments will be made. The contracting officer may require verification of the data submitted to the extent necessary to permit reliance upon the data as a reasonable baseline.

• “DPC Guidance on Inflation and EPA”, dtd 25 May 22: “Including an EPA clause may enable a contractor to accept a fixed-price contract without having to develop pricing based on worst case projections to cover the cost risk attributable to unstable market conditions because of the EPA clause’s built-in mechanism to mitigate such risk.”

An EPA Clause is one tool to share pricing escalation risk over a 7 year contract.

20Distribution Statement A. Approved for public release: distribution unlimited.

• Via incorporation of an EPA contract clause, the Navy will use the Producer Price Index to allow for price adjustments on the three most volatile material items that impact the total cost of a 40PB:

25Distribution Statement A. Approved for public release: distribution unlimited.

Example of Application of Formula:

Assume an Ordering Period 3 base value subject to EPA of $87,729, $404,557, and $309,933 for Cx, Cy, and Cz, respectively. Assume contract award is Feb 2024, and option exercise/start of ordering period for Ordering Period 3 is February 2026. Further, assume the Feb 2026 IHS Markit Forecasts for Q1 2026 are as follows

X = 210 the Feb 2024 PPI331315 IHS Markit Forecast for Q12026

Y= 170 the Feb 2024 WPIP11 IHS Markit Forecast for Q12026

Z=324.03 the Feb 2024 PPI325211 IHS Markit Forecast for Q12026

Xb = 203.60 from Table 1

Yb= 176.96 from Table 1

Zb= 324.03 from Table 1

Cx = $87,729 from Table 1

Cy= $404,557 from Table 1

Cz=$309,933 from Table 1

Thus the government would make a $12,305 negative adjustment for Aluminum sheet, plate, and foil, Selected Equipment, and Unlaminated Polyethylene for Ordering Period 3

EPA Administrative Procedures

Administrative Procedures:

1) The amount of the economic price adjustment to the price of each individual CLIN determined above (whether a price increase or decrease) shall be set forth separately in a unilateral written modification to this contract, which also shall set forth the computation upon which each adjustment is based.

2) In the event that any amount pursuant to this clause and the Formula in respect to an Item is a negative figure, the adjustment pursuant to this clause shall reduce the price of the CLIN by said amount.

3) The Government anticipates the adjustment under this clause will be made within 3 months prior to option exercise/start of a given ordering period for the CLINs identified in Table 1 above. The adjustment made prior to option exercise or the start of an ordering period will have a proportional adjustment to the payments made under the Section H Payable Events Schedule.

4) The “Date of Adjustment” will be the quarter in which the Option is exercised or start of an ordering period.

5) The “Forecast for Date of Adjustment” will be the indices current IHS Markit Forecast for the“Date of Adjustment” at the time the Option is exercised or the Order is placed. (CHECK LANGUAGE)

4) Nothing contained in this contract requirement shall be considered as prohibiting changes in the contract prices made pursuant to any other provisions of this contract.

5) In the event the IHS Markit discontinues publication or changes the content of any index used in this contract requirement, the parties shall mutually agree on an appropriate substitute for the affected index for use in determining economic price adjustments in accordance with this contract requirement. In the event the IHS Markit alters its methods of calculating or reporting an index used in this requirement (including a change in the base period), the appropriate adjustments shall be made by the parties to put the revised index on a comparable basis with the index as calculated before the change.

6) Any dispute arising under this contract requirement shall be determined in accordance with and subject to the provisions of the “Disputes” clause of this contract.

28Distribution Statement A. Approved for public release: distribution unlimited.

Reflections on EPA

• Administratively burdensome

• Most material ordered within 60 days of order placement.

Index (general, universal, national) doesn’t always reflect prices available to small vendors.

• Could result in vendors giving $ back to the Government even though their vendor pricing does not reflect national escalation rates.

• Competitive ordering allows for vendors to reprice based on market escalation as long as pricing is under maximum unit prices in Note A of Section B.

• Open Discussion on EPA 29Distribution Statement A. Approved for public release: distribution unlimited.

Conclusion

• Industry ideas and inputs critical to program success

• If interested in this program, monitor the System for Award Management (SAM) website at https://sam.gov

• Any updates and/or changes to the RFI or Draft RFP will appear on the SAM website

• All interested parties will be required to submit a signed Non-Disclosure Agreement (NDA) in order to access additional technical documents.

• Questions to this Presentation and the Draft RFP are due by 23 Jun

• The Government will consider all comments/questions received

• The final RFP will be issued electronically via the Procurement Integrated Enterprise Environment (PIEE) Solicitation Module (https://piee.eb.mil) and all interested parties must respond to that solicitation announcement separately from the responses to the pre-solicitation notice.

• Final Solicitation to be released NLT 4th Qtr FY23

• Thank you for your interest and attendance! 30Distribution Statement A. Approved for public release: distribution unlimited.
