SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been added by full text:

5252.223-9114 MANAGEMENT AND DISPOSAL OF HAZARDOUS WASTE (NOV 1996)

(a) GENERAL

(1) The Contractor shall comply with the Resource Conservation and Recovery Act (RCRA), the Comprehensive Environmental Response, Compensation, and Liability Act of 1980 (CERCLA), 10 U.S.C. 7311 and all other applicable Federal, State and local laws, codes, ordinances and regulations for the management and disposal of hazardous waste.

(2) Nothing contained in this special contract requirement shall relieve the Contractor from complying with applicable Federal, State, and local Laws, codes, ordinances, and regulations, including obtaining licenses and permits, giving notices and submitting reports, in connection with hazardous waste management and disposal in the performance of this contract. Nothing contained herein shall serve to alter either party's liability or responsibility under CERCLA.

(3) Materials contained in ship systems are not waste until after removal from the system.

(b) IDENTIFICATION OF HAZARDOUS WASTES

* of this contract identifies the types and amounts of hazardous wastes that are required to be removed by the Contractor, or that are expected to be generated, during the performance of work under this contract.

*The amounts of hazardous waste that are estimated to be removed by the Contractor, or that may be generated during the performance of work under this contract, are expected to be de Minimis."

(c) GENERATOR IDENTIFICATION NUMBERS

(1) Documentation related to hazardous waste generated solely by the physical actions of ship's force or Navy employees on board the vessel shall only bear a generator identification number issued to the Navy pursuant to applicable law.

(2) Documentation related to hazardous waste generated solely by the physical actions of Contractor personnel shall only bear a generator identification number issued to the Contractor pursuant to applicable law. Regardless of the presence of other materials in or on the shipboard systems or structures which may have qualified a waste stream as hazardous, where the Contractor performs work on a system or structure using materials (whether or not the use of such materials was specified by the Navy) which by themselves would cause the waste from such work to be a hazardous waste, documentation related to such waste shall only bear a generator identification number issued to the Contractor.

(3) Documentation related to hazardous waste generated by the combined physical actions of Navy and Contractor personnel shall bear a generator identification number issued to the Contractor pursuant to applicable law and shall also cite in the remarks block a generator identification number issued to the Navy pursuant to applicable law.

(4) Notwithstanding paragraphs (c)(1) - (c)(3) above, hazardous wastes are considered to be co-generated in cases where: (a) the Contractor merely drains a system and such drainage creates hazardous waste or (b) the Contractor performs work on a system or structure using materials which by themselves would not cause the waste from such work to be hazardous waste but such work nonetheless creates a hazardous waste. Documentation related to such co-generated waste shall bear a generator identification number in accordance with the provisions of paragraph (c)(3) above.

(5) In the event of a failure by the parties to agree to the assignment of a generator identification number to any hazardous waste as set forth in paragraphs (c)(1) through (c)(4) above, the Government may direct which party or parties shall provide generator identification numbers for the waste and such number(s) shall be used on all required documentation. Any disagreement with this direction shall be a dispute within the meaning of clause of this contract entitled "DISPUTES" (FAR 52.233-1). However, the Contractor shall not stop any work but shall continue with performance of all work under this contract as specified in the "DISPUTES" clause.

(6) Hazardous Waste Manifests For wastes described in (c)(2), (c)(3), and (c)(4) above (and (c)(5) as applicable), the Contractor shall sign the generator certification on the Uniform Hazardous Waste Manifest whenever use of the Manifest is required for disposal. The Contractor shall obtain concurrence with the categorization of wastes under paragraphs (c)(3) and (c)(4) above before completion of the manifest. Manifests prepared pursuant to paragraph (c)(1) above shall be presented to the Contracting Officer’s Representative for completion after the hazardous waste has been identified.

(7) For purposes of paragraphs (c)(2) and (3) herein, if the Contractor, while performing work at a Government facility, cannot obtain a separate generator identification number from the State in which the availability will be performed, the Contractor shall notify Contracting Officer’s Representative within 3 business days of receipt of written notification by the State. After obtaining Contracting Officer’s Representative approval, the Contractor shall use the Navy site generator identification number and insert in the remarks block the contractor generator identification number issued for the site where his main facilities are located. For purposes of paragraph (c)(1) herein, if the work is being performed at a contractor facility and the Government cannot obtain a separate generator identification number for the State, the Government shall use the Contractor site generator identification number and shall cite in the remarks block a Navy generator identification number. In both instances described above, the Contractor shall prepare the Uniform Hazardous Waste Manifest described in paragraph (c)(6) above and present it to Contracting Officer’s Representative for completion.

5252.245-9102 GOVERNMENT FACILITIES ON A RENT FREE NON INTERFERENCE BASIS (SEP 1990)

Inspecting systems to determine if they are operating properly; Testing mechanical equipment to ensure proper functioning.

Minimum Requirements: Must be certified as a commercial diver in compliance with the most current standards set forth by ANSI/ACDE-01-2009, and/or a US military equivalent. Scuba training shall not be considered a sufficient qualifying standard.

LEVEL OF EFFORT – ALTERNATE I (MAY 2010)

(a) The Contractor agrees to provide the total level of effort specified in the next sentence in performance of the work described in Sections B and C of this contract. The total level of effort for the performance of this contract shall be 1,410,680* total man-hours of direct labor, including subcontractor direct labor for those subcontractors specifically identified in the Contractor's proposal as having hours included in the proposed level of effort.

(b) Of the total man-hours of direct labor set forth above, it is estimated that (Offeror to fill-in) man-hours are uncompensated effort.

Uncompensated effort is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no effort is indicated in the first sentence of this paragraph, uncompensated effort performed by the Contractor shall not be counted in fulfillment of the level of effort obligations under this contract.

(c) Effort performed in fulfilling the total level of effort obligations specified above shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as (local travel to and from an employee's usual work location), uncompensated effort while on travel status, truncated lunch periods, work (actual or inferred) at an employee's residence or other non-work locations (except as provided in paragraph (i) below), or other time and effort which does not have a specific and direct contribution to the tasks described in Sections B and C.

(d) The level of effort for this contract shall be expended at an average rate of approximately (offeror to fill in) hours per week. It is understood and agreed that the rate of man-hours per month may fluctuate in pursuit of the technical objective, provided such fluctuation does not result in the use of the total man-hours of effort prior to the expiration of the term hereof, except as provided in the following paragraph.

(e) If, during the term hereof, the Contractor finds it necessary to accelerate the expenditure of direct labor to such an extent that the total man-hours of effort specified above would be used prior to the expiration of the term, the Contractor shall notify the Contracting Officer in writing setting forth the acceleration required, the probable benefits which would result, and an offer to undertake the acceleration at no increase in the estimated cost or fee together with an offer, setting forth a proposed level of effort, cost breakdown, and proposed fee, for continuation of the work until expiration of the term hereof. The offer shall provide that the work proposed will be subject to the terms and conditions of this contract and any additions or changes required by then current law, regulations, or directives, and that the offer, with a written notice of acceptance by the Contracting Officer, shall constitute a binding contract. The Contractor shall not accelerate any effort until receipt of such written approval by the Contracting Officer. Any agreement to accelerate will be formalized by contract modification.

(f) The Contracting Officer may, by written order, direct the Contractor to accelerate the expenditure of direct labor such that the total man-hours of effort specified in paragraph (a) above would be used prior to the expiration of the term. This order shall specify the acceleration required and the resulting revised term. The Contractor shall acknowledge this order within five days of receipt.

(g) The Contractor shall provide and maintain an accounting system, acceptable to the Administrative Contracting Officer and the Defense Contract Audit Agency (DCAA), which collects costs incurred and effort (compensated and uncompensated, if any) provided in fulfillment of the level of effort obligations of this contract. The Contractor shall indicate on each invoice the total level of effort claimed during the period covered by the invoice, separately identifying compensated effort and uncompensated effort, if any.

(h) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and to the DCAA office to which vouchers are submitted: (1) the total number of man-hours of direct labor expended during the applicable period; (2) a breakdown of this total showing the number of man-hours expended in each direct labor classification and associated direct and indirect costs; (3) a breakdown of other costs incurred; and (4) the Contractor's estimate of the total allowable cost incurred under the contract for the period. Within 45 days after completion of the work under the contract, the Contractor shall submit, in addition, in the case of a cost underrun; (5) the amount by which the estimated cost of this contract may be reduced to recover excess funds. All submissions shall include subcontractor information.

(i) Unless the Contracting Officer determines that alternative worksite arrangements are detrimental to contract performance, the Contractor may perform up to 10% of the hours at an alternative worksite, provided the Contractor has a company-approved alternative worksite plan. The primary worksite is the traditional “main office” worksite. An alternative worksite means an employee’s residence or a telecommuting center. A telecommuting center is a geographically convenient office setting as an alternative to an employee’s main office. The Government reserves the right to review the Contractor’s alternative worksite plan. In the event performance becomes unacceptable, the Contractor will be prohibited from counting the hours performed at the alternative worksite in fulfilling the total level of effort obligations of the contract. Regardless of work location, all contract terms and conditions, including security requirements and labor laws, remain in effect. The Government shall not incur any additional cost nor provide additional equipment for contract performance as a result of the Contractor’s election to implement an alternative worksite plan.

(j) Notwithstanding any of the provisions in the above paragraphs and subject to the LIMITATION OF FUNDS or LIMITATION OF COST clauses, as applicable, the period of performance may be extended and the estimated cost may be increased in order to permit the Contractor to provide all of the man-hours listed in paragraph (a) above.

The contractor shall continue to be paid fee for each man-hour performed in accordance with the terms of the contract.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS TO OFFERORS

I. GENERAL

The Offeror’s proposal shall be based on the requirements contained in this solicitation. Offerors are required to submit a proposal encompassing all items listed in Section B herein. The Offeror’s proposal must consist of Volumes I and II, as noted in the Table below under paragraph II. Proposal Requirements. Volume I shall contain proposal information addressing the technical and past performance factors described below. Volume II shall contain the Offeror’s proposed cost and supporting cost data, as well as the solicitation documents, including the completed and signed SF33, as described below. Volumes I and II shall follow the instructions for content and format as described in Section L and shall fully address the requirements described in Section C, Statement of Work. Only one offer will be accepted from each Offeror. No alternative proposals will be accepted by the Government. Each Offeror shall submit only one proposal that represents its best approach to meeting the requirements of the solicitation.

The proposal must demonstrate an understanding of and ability to meet all of the requirements set forth in the Statement of Work (SOW) referenced herein. Throughout the proposal, the Offeror shall provide sufficient detail to substantiate the validity of all statements. The Offeror shall demonstrate that the proposal complies with the requirements, terms, and conditions of the solicitation.

Comprehensive responses to the requirements of this solicitation are required to enable the Government to evaluate the Offeror’s understanding of and capability to accomplish the requirements of the SOW. The proposal must clearly demonstrate the Offeror’s ability to meet the requirements of the solicitation and successfully accomplish and manage all requirements of the solicitation. General statements that the Offeror can or will comply with the requirements, that standard procedures will be used, that well known techniques will be used, or paraphrasing the solicitation’s requirements in whole or in part, will NOT constitute compliance. The Offeror shall submit all information required by this solicitation. Failure to conform to any of the requirements of the solicitation may form the basis for rejection of the proposal.

Offerors are advised to submit Proposals that are complete and clear in all respects without the need for additional explanation or information. Offerors are cautioned that, in accordance with the “Instruction to Offerors— Competitive Acquisitions” clause (FAR 52.215-1), the Government intends to award a contract on the basis of initial proposals received, without discussions. Therefore, each proposal shall contain the Offeror’s best terms from a cost/price and technical standpoint. The Government, however, reserves the right to conduct discussions and request proposal revisions, if necessary. Each factor will be evaluated on how well the response meets the requirements of the solicitation. The response that thoroughly addresses all of the solicitation requirements may be judged superior to the response that minimally addresses solicitation requirements under evaluation factors.

Since only the proposal submitted in response to this solicitation will be evaluated, Offerors should make certain that their proposal is complete with regard to the information provided. Data previously submitted, or presumed to be known, e.g., previous projects performed for the Government, will not be considered in the evaluation unless that information is physically contained in the proposal. However, in the evaluation of past performance, the Government may, in its sole discretion, consider information from sources outside the offeror’s proposal. (See Section M III of this Solicitation).

Offerors are advised that the Government may selectively verify any information provided in the proposal.

The opportunity for a site visit will be provided during 13 March- 17 March at NAVSEA Inactive Ship Maintenance Office Pearl Harbor. Inactive Ships Maintenance Office Pearl Harbor is located at 93-051 Waipio Point Access Road, Waipahu Hawaii 96797. All Offeror documentation, such as foldouts, charts, figures, or tables are included in the 50-page limit. All material in excess of the page limits will be neither read nor evaluated.

The Offeror is responsible for the condition of its delivered proposal. In the event that any portion of the proposal is written by anyone who is not a bona fide employee of the firm submitting the proposal, a certificate to this effect shall be furnished, which shall be signed by an authorized official of the Offeror and shall indicate the person’s name, employment capacity, firm name, relationship of that firm to the Offeror, and which portion of the proposal was written by that person.

Offerors are cautioned that they are responsible to ensure that material that they desire to have evaluated for a particular section is contained in that specific section. Each volume shall be written to the greatest extent possible on a stand-alone basis so that its content may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Information required for proposal evaluation, which is not found in its designated volume, may be assumed to have been omitted from the proposal.

This section of the proposal shall exclude any reference to the cost aspects of the proposal. Volume I shall be organized by Technical factor and the Past Performance factor in the following format as has a page limit of 50 pages.

The Offeror’s discussion shall specifically address, and clearly demonstrate the offeror’s knowledge of, the risks associated with the receipt, maintenance and disposal of vessels, and any techniques, methods and actions that will be used by the Offeror to mitigate the risk(s) associated with the SOW in these areas. The Offeror shall also provide an explanation of whether the techniques and methods identified for risk mitigation have been successfully used by the Offeror.

The Offeror ‘s technical and management approach shall also specifically address, and demonstrate a detailed understanding of, the health, safety and environmental issues involved in successfully accomplishing the receipt, maintenance and disposal of vessels, as well as a knowledge of the applicable statutes and regulations, and shall describe an effective approach for ensuring that all work is conducted in a safe manner and in compliance with all applicable statutes, and regulations such as OSHA, NIOSH, EPA and other federal, state and local laws and regulations, including Navy requirements referenced in Section C that deal with asbestos, industrial safety and operational risk management programs.

If the Offeror’s proposal includes subcontracting critical portions of the SOW, the Offeror shall provide a narrative discussing the work to be subcontracted, the subcontractors proposed, and the management approach to ensuring that the work is executed in accordance with the solicitation. A critical subcontractor is defined as one that performs more than 10% of the overall dollars proposed in Volume II.

FACTOR 2 - PERSONNEL RESOURCES

KEY PERSONNEL

The Offeror shall submit one resume for each full time key personnel position. Key personnel are those assigned to the following labor categories:

Labor Category Project Manager Safety Health Environmental Manager

The Offeror shall provide signed written letters of intent for all key personnel not currently employed by the Offeror. A written letter of intent is signed by the prospective employee stating their intent to accept employment in a stated position with the Offeror if the Offeror is awarded this contract. Any resume of a key person not currently employed by the Offeror or its subcontractor that is not covered by a signed written letter of intent shall not be evaluated.

Failure to submit any required resumes together with any applicable letters of intent will be taken to mean that the Offeror does not have sufficient key personnel to adequately fulfill the contract requirements, and the Offeror’s proposal may be found unacceptable.

Each resume shall be no more than two (2) pages. Written letters of intent will not be counted in the 2-page limit.

The resumes shall provide sufficient information to demonstrate the individual’s technical competence to perform the work associated with the labor category for which the individual is proposed, and shall address the individual’s current level of security clearance, education, training, and experience relevant to the labor category descriptions and requirements stated in Section H of the solicitation. The resumes shall demonstrate that the individual meets the minimum requirements specified in the solicitation. The failure of key personnel to meet the minimum requirements specified in the solicitation shall be considered a deficiency and shall result in a rating of unacceptable for this factor.

Additional labor categories (i.e., non-key personnel) identified in this solicitation will not be used for technical evaluation purposes and Offerors are not to submit resumes for those categories with their proposals. However, the Offeror shall include all labor categories in the compilation of its cost proposal, and its Staffing Plan which will be evaluated to the limited extent indicated below under the paragraph entitled “STAFFING PLAN.”

Offerors shall propose firm candidates for key personnel labor categories (consistent with the resumes provided, as required in the above paragraph) and shall attempt to minimize the number of non-key personnel labor categories for which candidates have not been identified. Additionally, strengths may be assigned to an offeror that proposes firm candidates that currently possess required security clearances, information provided in the Staffing Plan will not be used to evaluate the qualifications of personnel, but will be used to evaluate the degree to which the Staffing Plan is consistent with the Offeror’s proposal, and proposes firm candidates that clearly map to the labor categories and hours designated in the solicitation, and are consistent with the personnel, labor categories and hours listed in the Offeror’s Cost Proposal

FACTOR 3 - PAST PERFORMANCE

Offerors shall provide information (see Attachment S-2) on at least three (3) previous Government contracts whose effort is recent and relevant to the effort required by this solicitation. Recent is defined as a contract (or subcontract) in-progress or completed within the last five (5) years. If the Offeror has not had three (3) Government contracts within the last five (5) years, information on relevant subcontracts and/or commercial contracts may be submitted instead. The information must clearly show that the work by the Offeror was done as a prime Contractor or a subcontractor. Relevant is defined as a contract that is of similar scope, magnitude, and complexity to the requirements set forth in this solicitation. Offerors who describe similar contracts and subcontracts shall provide a detailed explanation demonstrating the similarity of the contracts, and the work that they performed on those contracts, to the requirements of this solicitation and SOW. This information shall be provided by the submission of Attachment S-2 (Past Performance Data). Failure to submit any past performance information shall be considered certification (by signature on the proposal) that the Offeror has no past performance for like or similar items for the Government to evaluate. Offerors shall verify accuracy of all data provided. Past performance information regarding subcontractors that will perform critical aspects of the requirement, shall also be provided. A critical subcontractor is defined as one that performs more than 10% of the overall dollars proposed in Volume II.

In addition to the information requested above, Offerors shall contact their past performance references indicated in Attachment S-2 and request that each reference complete Attachment S-3 (Past Performance Questionnaire) and e-mail the completed survey form directly to Ms. Lisa Carll at lisa.carll@navy.mil and Ms. Sheila Utz at sheila.utz1@navy.mil BY THE CLOSING DATE AS SPECIFIED IN SECTION A. These questionnaires, when filled out by the selected references, shall be sent by the reference directly to the POC, and SHALL NOT be sent via the Offeror or any other party. Any questionnaires received directly from the Offeror are NOT ACCEPTABLE, and will not be considered. It is the Offeror’s responsibility to ensure that its selected references submit the completed questionnaires to the POC for receipt on or before the required proposal due date. Any questionnaire received after the proposal due date will be late and may not be considered in the Offeror’s past performance evaluation. The Government, in its discretion, will determine whether to consider questionnaires received after the due date of the solicitation. The Government reserves the right to contact references for verification or additional information.

V. VOLUME II –COST PROPOSAL/FACTOR 4

All information relating to cost data shall be included in Volume II. The cost proposal shall cover all aspects of the proposed effort. Data contained in the cost proposal shall be consistent with data contained in technical proposal.

The cost data shall support the level of resources (products and services) required to complete the requirements of this solicitation. A monetary value has not been assigned for requirements where an offeror earns evaluation credit for performance above the stated minimum levels or capabilities of the solicitation; therefore, requirements will be evaluated based on the relative importance to other factors. The burden of proof as to cost/price credibility rests with the Offeror. Unrealistically low prices may indicate an inability to understand requirements.

Accordingly, the Government may consider the findings of such an analysis in evaluating an Offeror’s ability to perform and the risk of its approach.

The cost proposal evaluation will be based on an analysis of the realism of the cost proposal. The burden of demonstrating cost credibility rests with the Offeror. Any proposed cost not considered realistic will be adjusted accordingly by the Government so that the Government will arrive at a total evaluated cost, that being the cost plus fixed fee that the Government may reasonably expect to pay for performance. Only upward adjustments, if any, will be made. Cost adjustments are for evaluation purposes only, and award will be made at the proposed costs and fees of the successful Offeror.
