NOTE A: Offeror shall complete the "Price Group" and "Estimated Total Price" blocks of each data item on the Contract Data Requirements List(s), attached to individual Delivery Orders.
NOTE B: Because there are firm fixed price (FFP) CLINs included in this solicitation, a DCAA approved cost accounting system is not required to be eligible for award of a prime contract. However, it is contemplated that cost type orders will be issued. Successful awardees would not be eligible to receive a cost plus fixed fee (CPFF) or flexibly priced delivery order, in accordance with FAR 16.301-3, unless they have a DCAA approved cost accounting system. For those offerors without a DCAA approved cost accounting, a pre-award survey of the offeror’s accounting system will be initiated Documentation will be provided to the successful awardees that will need to be completed and returned to the Government before the audit request can be initiated. Financial capability reviews are now being conducted by DCMA instead of DCAA. Documentation for this review will need to be provided to DCMA upon request by the Government. This will be required after award has been made so no submission is required with the current proposal. A DCAA approved cost accounting system is not required to use Travel cost reimbursement CLINs 0X07 and 0X08.
NOTE C: CPFF CLINs 0X02, 0X04, 0X06, 0X10 will remain unpriced without a NTE Ceiling. Orders may be placed against these CPFF CLINs using the remaining ceiling limits of Sister FFP CLINs. For example: if the NTE ceiling on CLIN 0003 is $10,000,000 then that ceiling is shared with CLIN 0004.
NOTE D: The Facilities Capital Cost of Money (FCCOM) is not a fee bearing cost under this contract. However, such amount is included in the total estimated cost for the purpose of the “LIMITATION OF COST” clause in this contract.
NOTE E: For ordering Kitting Material in support of CLINs 0X01, through 0X06, see Section C Provisioned Items Order (PIO) Alternate I (NAVSEA) (MAR 2001). The fixed fee in any COST PIO shall be no greater than (5%) of the total estimated cost.
NOTE F: Supplies/services under all CLINs are subject to Special Contract Requirements entitled “FAIR
OPPORTUNITY PROCESS (ORDERING PROCEDURES):
NOTE G: Orders for these cost reimbursable items may be incrementally funded, see FAR 52.232.22 LIMITATION OF FUNDS (Apr 1984) and NAVSEA 5252.232-9104 ALLOTMENT OF FUNDS (JAN 2008)
NOTE H: Travel costs are not fee-bearing costs under this solicitation and subsequent orders. The Contractor shall obtain prior written approval by the ACO per trip occurrence. All estimated and incurred travel costs shall be in accordance with FAR 31.205-46.
NOTE I: Contract Data Requirements List (CDRLs), DD Form 1423, will be issued under each Delivery Order when required.
NOTE J: FIXED SHIP REPAIR LABOR AND MATERIAL BURDEN RATES (CEILING RATES)
1. The Contractor’s proposed fully burdened ship repair labor rate will be used as a ceiling for negotiating Firm Fixed Price (FFP) delivery orders, growth work, and new work to be performed under this IDIQ-MAC for each delivery order. The fully burdened ship repair labor rate is a fixed hourly rate that includes all wages, overhead, general and administrative expenses, Facilities Capital Cost of Money (FCCOM) and profit. The fully burdened ship repair labor rates (straight time) represent the respective ceilings for the blended labor rates of the offeror, including labor transferred between divisions, subsidiaries, or affiliates of the offeror under a common control.
Delivery order modifications shall include only direct production man-hours as the fully burdened ship repair labor rate includes all production support functions (whether charged directly or indirectly by the offeror’s accounting systems). For these purposes, direct production man-hours are those hours expended in direct production as exemplified but not limited to the following functions:
Abrasive cleaning/blasting Boiler-making Brazing Burning Carpentry Design Support Diesel Mechanics Electrical Work Engineering Fire Watch General Labor Lagging Painting Pipefitting Rigging Sheetmetal Work Shipfitting Staging/Scaffolding
Welding Machinists (inside and outside)
Labor hours for production support functions shall not be separately proposed. Examples of production support functions include but are not limited to:
Administration Cleaning (except tank cleaning) Execution Planning Lofting Material handling & Warehousing Project Management Purchasing Staff Quality Assurance Safety/Environmental Scheduling Security Supervision Surveying Testing Transportation
Note: Offers shall provide the list the labor categories used to price Attachment J-2 under each CLIN Section (see Attachment J-2).
2. Consumable materials are goods used in the ordinary course of work performance such as office supplies, paper, rags, vehicle or equipment fuel costs, cleaning chemicals, disposable tools, welding rods, paint buckets, paint brushes, protective clothing, etc. that are consumed/used in the process of repair and do not become an integral part of the repaired vessel. Consumable material shall not be separately priced but shall be included in the contractor’s proposed fully burdened ship repair labor rate (Attachment J-2).
3. Physical materials are goods that become an integral part of the repaired vessel in the course of the repair, such as equipment, replacement steel, pipes, paint, and fasteners. The material mark-up rates apply to physical materials but not to consumable materials. The mark-up will be applied to the actual cost of the physical material. Actual cost does not include handling charges, general and administrative cost, overhead, profit, or any other indirect cost.
4. For changes to FFP delivery orders involving subcontractors, subcontractor quotes will be treated as Other Direct Costs (ODCs) and will be subject to the delivery order specific material markup rate. Subcontractor quotes must be competitively acquired and submitted with the Change Order Price Analysis (COPA) submitted by the contractor in response to a Request for Contract Change (RCC) issued by the Contracting Officer (see Section C-3.4 Paragraph 2). This does not apply to the procurement of work performed by Original Equipment Manufacturers (OEMs) and Government directed subcontractors.
5. Fully Burdened Ship Repair Labor and Material Rate Schedule, (transcribed from J-2, Labor and Material Burden Price Rates Sheets):

CLAUSES INCORPORATED BY FULL TEXT
HQ B-2-0004 EXPEDITING CONTRACT CLOSEOUT (NAVSEA) (DEC 1995)
(a) As part of the negotiated fixed price or total estimated amount of this contact, both the Government and the Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $500 or less at the time of final contract closeout. The term “residual dollar amount” shall include all money that would otherwise be owed to either party at the end of the contract, except that, amounts connected in any way with taxation, allegations of fraud and/or antitrust violations shall be excluded. For purposes of determining residual dollar amounts, offsets of money owed by one party against money that would otherwise be paid by that party may be considered to the extent permitted by law.
(b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.
HQ B-2-0007 LIMITATION OF COST/LIMITATION OF FUNDS (NAVSEA) (SEP 1990)
The clause entitled "LIMITATION OF COST" (FAR 52.232-20) or "LIMITATION OF FUNDS" (FAR 52.232-22), as appropriate, shall apply separately and independently to each separately identified estimated cost.
HQ B-2-0008 LIMITATIONS ON INDIRECT COST RATES (NAVSEA) (OCT 1990)
(a) Pursuant to FAR 42.707, an indirect cost rate ceiling is incorporated into the contract. "Indirect cost" is defined as set forth at FAR 31.001 and 31.203. "Indirect cost rate" is defined as set forth at FAR 42.701.
(b) Notwithstanding the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), the allowable indirect cost under this contract shall be obtained by applying limitations on indirect cost rates to bases agreed upon by the parties, as specified below.
(c) Allowability of costs and acceptability of cost allocation methods shall be determined in accordance with FAR Subpart 31.2 in effect on the date of this contract, as limited by the indirect cost rates established by this requirement.
(d) For the first three Contractor fiscal years, the indirect cost rates contained in the Contractor's accepted contract proposal shall be incorporated into the contract schedule as limitations on indirect cost rates for each Contractor fiscal year of contract performance. The bases to which the indirect cost rates apply shall be those contained in the Contractor's accepted contract proposal and hereby, incorporated into the contract schedule, in accordance with the Contractor's accounting system upon which its proposal was based.
(e) After the first three Contractor fiscal years, the Contracting Officer and Contractor shall negotiate the limitations on indirect cost rates for subsequent Contractor fiscal years (unless the parties agree to a different period) and execute a written indirect cost rate limitation agreement setting forth the results. The agreement shall specify (1) the agreed-upon indirect cost rates, (2) the bases to which the rates apply, (3) the fiscal year (unless the parties agree to a different period) for which the rate applies, and (4) the specific items treated as direct costs or any change in the items previously agreed to be direct costs. The agreement is incorporated into this contract upon execution.
(f) Pending establishment of indirect cost rates for any subsequent Contractor fiscal year (or other period agreed to by the parties), the Contractor shall be reimbursed either at the rates fixed for the previous fiscal year or at billing rates acceptable to the Contracting Officer, subject to appropriate adjustment when the final indirect cost rates for that period are established.
(g) The Government will not be obligated to pay any additional amount should any final indirect cost rates for any Contractor fiscal year (or for any different period agreed to by the parties) after the first three fiscal years) of contract performance exceed the indirect rates incorporated into the contract schedule. In the event any of the Contractor's final indirect cost rates are less than the indirect cost rates incorporated into the contract schedule, the incorporated rates shall be reduced to conform with the lower rates.
(h) The limitations on indirect cost rate shall not change any monetary ceiling, contract obligation, or specific cost allowance or disallowance provided for in this contract. If facilities capital cost of money is proposed as an allowable cost, the rates proposed shall be subject to the limitations imposed by this requirement.
(i) The limitations on the indirect cost rate shall apply to all work performed under the contract, and to all change orders and supplemental agreements, including changes due to growth, supplemental, emergent and new work.
(j) Notwithstanding any of the terms of this requirement, should the Contractor initiate a change to its accounting systems which would alter the composition of any overhead base or pool effected by this requirement, the Contracting
Officer and Contractor shall negotiate to determine the rate ceilings to be applied to the new overhead pools, provided that no agreement shall be made which would increase the costs paid by the United States under this contract.
(k) The limitation on indirect cost rates specified in the Contractor's cost proposal shall be the rates used to compute the costs in the Contractor's cost proposal upon which the award is based.
HQ B-2-0014 PAYMENTS OF FEE (S) (COMPLETION) (NAVSEA) (MAY 1993)
(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, "fixed fee" in cost-plus-fixed-fee type contracts for completion and phase type contracts.
(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be equal to * percent (*%) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216- 7), subject to the withholding terms and conditions of the "FIXED FEE" or "INCENTIVE FEE" clause, as applicable (percentage of fee is based on fee dollars divided by estimated cost dollars, including facilities capital cost of money). Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.
(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, in accordance with the clause of this contract entitled "LIMITATION OF FUNDS" (FAR 52.232-22) or "LIMITATION OF COST" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.
(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) in accordance with paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.
To be determined in each Delivery Order, as applicable.
HQ B-2-0016 PROVISIONING TECHNICAL DOCUMENTATION – WITHHOLDING OF PAYMENT
(NAVSEA) (SEP 1990)
(a) For the purpose of paragraph (c) of the "PROGRESS PAYMENTS" clause of this contract, if included, the requirement that the Contractor develop and deliver Provisioning Technical Documentation (PTD) is considered to be a "material requirement of this contract," and Contractor failure to make adequate progress in the development of PTD, or to deliver acceptable PTD on a timely basis, may result in reduction or suspension of Progress Payments as provided in said paragraph.
(b) The PTD is considered to be a part of the "Technical Data" specified to be delivered under this contract for the purposes of the "TECHNICAL DATA--WITHHOLDING OF PAYMENT" (DFARS 252.227-7030) clause. The terms and conditions of the clause entitled "LIMITATION ON WITHHOLDING OF PAYMENTS (FAR 52.232-9), if included in this contract, shall not apply to withholding of payment for failure to make timely delivery of the PTD or delivery of deficient PTD.
HQ B-2-0017 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA) (SEP 1990)
(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will only be made for the difference between the intrinsic value of the item at the time an agreement on price was reached and the contract price. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (beyond economic purchase quantity considerations) or changes in market conditions.
(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:
(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.
(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.
(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.
(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.
(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor. Modification to existing ship system/configuration to increase dependability, reliability, maintainability, and lethality;
Increases to the ability to defend the ship/battle groups/ally forces, US assets and interests through increased communication and detection;
Modernization efforts are not restricted to availability types. All efforts will be made to perform the modernization during CNO Availabilities. Modernization is not limited to hull mechanical and electrical (HM&E) changes, as upgrades, changes, and improvements to systems (new or existing) from other SYSCOMs other than NAVSEA will be accomplished as necessary.
The Contractor shall utilize an Enterprise Asset Management (EAM) database or equivalent system such as MAXIMO as an example.
The Contractor and its subcontractors shall use DoD Supply systems as the first source(s) to identify and procure material. The prime contractor and subcontractors shall prepare and submit transactions to the DoD Supply System via DLATS/DAAS in standard MILSTRIP/MILSTRAP format using Routing Identifier “NRP”. The preferred method of submission of material requisitions to the DoD Supply systems is via NAVSUP’s One Touch Support (OTS). The prime contractor and sub-contractors shall determine if material supports the requisite timeframe(s) to successfully execute the performance of work, as defined in this contract, to meet cost and schedule goals.
The contractor and sub-contractors shall record all usage demand data including material procured outside the DoD supply system, during the period of performance of this contract. Submissions of the MILSTRAP DHA and BHJ documents for material procured outside the DoD supply system shall be submitted monthly by maintenance availability and shall be in accordance with Attachment J-15 “MILSTRAP DHA/BHJ Desk Guide for Demand Only Transaction Reporting dtd 12 May 2016”.
MILSTRAP DHA and BHJ demand submission data count information shall be provided quarterly by the prime contractor for all prime and sub-contractor data submissions in accordance with CDRL Exhibit A.
The Contractor and subcontractors shall ensure compliance with OPNAVINST 4790.4F, Ships’ Maintenance and Material Management (3-M) System Policy, and OPNAVINST 4700.7L Maintenance Policy For United States Navy Ships. Data submissions shall be in accordance with Attachment J-16 “Desk Guide for Ships’ 3-M Parts Usage Reporting dtd 25 May 2016”.
Data count submission reporting of this maintenance material in the Ships’ 3-M/OARS database shall be provided quarterly by the prime contractor for all prime and sub-contractor material database submissions in accordance with CDRL Exhibit A.
The Contractor shall coordinate with the Planning Yard (PY) for class design, specifications, material identification, and material ordering. This coordination shall include all material management issues such as obsolescence; and Command, Control, Communications, Computer, Combat Systems and Intelligence (C5I)/Software Support Activities’ installations.
Procurement includes identification and procurement services in support of initial and sustainment spares for loadout and facilities maintenance and management of these items in Realtime Outfitting Management Information System (ROMIS) or other approved management software. These include identification of potential sources, receiving and evaluating quotations, preparing, executing, and tracking purchase orders.
The Contractor shall submit CDRLs as directed in the individual delivery orders.
