In the event the Contractor fails to remove any employee from the contract work whom the Contracting Officer or the Contracting Officer's designated representative deems incompetent, careless, insubordinate, unfit, objectionable or whose continued employment on the work is deemed by the Government to be detrimental to the Government's mission, the Contracting Officer or the Contracting Officer's designated representative may require, inwriting, the Contractor to remove the employee from work under this contract and any other contract awarded to Contractor by WHS.

The Contractor agrees to use and examine this information exclusively in the performance of this contract and to take the necessary steps in accordance with Government regulations to prevent disclosure of such information to any party outside the Government or Government-designated support Contractors possessing appropriate proprietary agreements, as listed in paragraphs a. through c.
below.
a. Indoctrination of Personnel. The Contractor agrees to indoctrinate its personnel who have access as to the sensitive nature of the information and the relationship under which the Contractor has possession of or access to the information. Contractor personnel shall not engage in any other action, venture or employment wherein sensitive information will be used for the profit of any party other than those furnishing the information. The Nondisclosure Agreement for Contractor Employees shall be signed by all indoctrinated personnel and forwarded to the Task Order Monitor (TOM) for retention, prior to commencement of work.
The Contractor shall restrict access to sensitive/proprietary information to the minimum number of employees necessary for contract performance.
b. In addition, the Contractor shall be required to coordinate and exchange directly with other Government Contractors (OGC) as designated by the Government for information pertinent and essential to performance of task orders issued under this contract. The Contractor shall discuss and attempt to resolve any problems between the Contractor and OGC designated by the Government. The CO shall be notified in writing of any disagreement(s) which has(have) not been resolved in a timely manner and furnish the CO copies of communications between the Contractor and OGC(s)relative to contract performance. Further, the close interchange with between Contractor(s) may require access to or release of proprietary data. In such an event, the Contractor shall enter into agreement(s) with the OGC(s) to

adequately protect such proprietary data from unauthorized use or disclosure so long as it remains proprietary. A copy of such agreement shall be provided to the
CO.
c. Remedy for Breach. The Contractor agrees that any breach or violation of the certifications or restrictions of this clause shall constitute a material and substantial breach of the terms, conditions, and provisions of the contract and that the Government may, in addition to any other remedy available, terminate this contract for default in accordance with the provisions of FAR.
H.7 RELEASEOF NEWS INFORMATION
No news release (including photographs and films, public announcements, denial, or confirmation of same) on any part of the subject matter of this contract or any phase of any program hereunder shall be made without the prior written approval of the Contracting Officer and Program Executive Officer, Enterprise Information Systems (PEOEIS) Public Affairs Office (PAO). Thirty (30) days prior to the end of the task order period of performance, or upon termination of the task order, the contractor shall furnish to the COR a complete inventory of all Government Property in his possession under the task order that has not been tested to destruction, completely expended in performance, or incorporated and made a part of a deliverable end item. The COR will furnish disposition instructions on all listed property which was furnished or purchased under the Task Order.
d. Leasing of Real and Personal Property. The Government contemplates that leases may be part of a solution offered by a Contractor, but the Government, where the Offeror's solution includes leasing, will not be the Lessee. Under no circumstances on any Order issued under this Basic Contract shall (a) the Government be deemed to have privity-of-contract with the owner/lessor of the leased items; or (b) The Government be held liable for early termination/cancellation damages if the Government decides not to exercise an Option period under an Order unless the Contractor has specifically disclosed the amount of such damages (or the formula by which such damages would be calculated) as part of its Proposal and the Contracting Officer has specifically approved/allowed such damages as part of the Award. The Basic Contract strictly prohibits the use of lease-like payment arrangements, which purport to permit the Government to receive delivery of items and then pay for the full cost of the items over time, even if such arrangements are not technically a lease transaction because the Government is not the lessee.
H.9 AUTHORIZEDCHANGES ONLY BY THE CONTRACTDING OFFICER
Except as specified in paragraph (b) below, no order, statement, or conduct of Government personnel who visit the Contractor's facilities or in any other manner communicates with Contractor personnel during the performance of this contract shall constitute a change under the Changes clause of this contract.
b. The Contractor shall not comply with any order, direction, or request of Government personnel unless it is issued in writing and signed by the Contracting Officer, or is pursuant to specific authority otherwise included as a part of this contract.
c. The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and notwithstanding provisions contained elsewhere in this contract, the said authority remains solely the Contracting Officer's. In the event the Contractor effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in charges incurred as a result thereof.
H.10 NONDISCLOSURE OF SENSITIVE AND/OR PROPRIETARY DATA

The contractor shall restrict access to sensitive/ proprietary information to the minimum number of employees necessary for contract performance.

The contractor shall discuss and attempt to resolve any problems between the contractor and OGC designated by the Government. The Contracting Officer shall be notified in writing of any disagreement (s) which has (have) not been resolved in a timely manner and furnish the Contracting Officer copies of communications between the contractor and OGC(s) relative to contract performance. Further, the close interchange with between contractor(s) may require access to or release of proprietary data. In such an event, the contractor shall enter into agreement(s) with the OGC(s) to adequately protect such proprietary data from unauthorized use or disclosure so long as it remains proprietary. A copy of such agreement shall be provided to the Contracting Officer.
c. Remedy for Breach. The Contractor agrees that any breach or violation of the certifications or restrictions contained in the Basic Contract or individual task order(s) shall constitute a material breach and substantial breach of the terms and conditions and provisions of the individual Task Order(s), as well as the Basic Contract. The Government may, in addition to any other remedy available, terminate the individual task order(s), as well as the Basic Contract, in accordance with the provisions of the FAR and DFARS. Nothing in this clause, Basic Contract, or individual Task Order(s) shall be construed to mean that the Government shall be liable to the owners of proprietary information in any way for the unauthorized release or use of proprietary information by the Contractor, its subcontractors or affiliates. Both the Government and the contractor will be responsible for its own acts and the results thereof and shall not be responsible for the acts of the other party and its subcontractors, or affiliates.

Contractor and/or contractor personnel shall not divulge, or release data or information developed or obtained in performance of this effort, until made public by the Government, except to authorized Government personnel or upon written approval of the Contracting Officer. The contractor will not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as required in the performance of efforts within this TO. Nothing herein will preclude the use of any data independently acquired by the contractor without such limitations or prohibit an agreement at no cost to the Government between the contractor and the data owner which provides for greater rights to the contractor.
The contractor agrees to assume responsibility for protecting the confidentiality of Government records, which are not considered public information. Each contractor or employee of the contractor to whom information may be made available or disclosed, shall be notified in writing by the contractor that such information may be disclosed only for purposes and to the extent authorized within the individual task order. The contractor shall not release any information received through any task order to the public, media or other unauthorized persons or organizations unless the Government has conducted the appropriate security review and granted written approval (e.g. posting information to a public website). Performance of this effort may require the contractor to access and use data and information proprietary to a government agency or Government contractor, which is of such a nature that its dissemination or use, other than in performance of this effort, would be averse to the interests of the Government and/or others. H16. ON-RAMP/OFF-RAMP PROVISIONS
Consistent with FAR Overhaul Part 16.504-4, the PCO has determined that it is in the Government's best interest that at all times during the term of the Basic Contract, there remain an adequate number of contractors eligible to compete for Orders. Over time, the total number of contractors may fluctuate due to various reasons including significant changes in the marketplace or advances in technology, general economic conditions, the Government's exercise of the off-ramp process, or other reasons. Recognizing this, WHS intends to periodically review and determine whether it would be in the Government's best interest to initiate on-ramping to add new contractors to the Basic Contract. This is a discretionary unilateral authority of the Government. The Government is under no obligation to solicit or establish additional IDIQ.
The Government reserves the right to announce and issue anew solicitation for the purposes of "on ramping": (i) adding additional Contractors to expeditiously meet the requirement as the need for increased assessments materialize; and (ii) increase the small business pool of Contractors; and/or (iii) increase competition.
In the event that additional IDIQs are established as a result of on ramping, the period of performance of the new "on-ramped" IDIQs will extend to the end of the ordering period established at the original IDIQ award. The period of performance for any new awards is coterminous with the existing term for all other contractors.
The basis of the competition during on-ramping may rely upon substantially the same methodology as in the original solicitation. However, WHS reserves the right to update the evaluation criteria with consideration to market conditions, the utility of the criteria, and the specific needs being sought through the on-ramping event.
This will be informed by agency's assessment of its requirements. Any resulting IDIQ(s) awarded will include the same terms and conditions as the current basic contract. No set schedule will be established as to if/when an "open season" will be considered or implemented, and there is no guarantee that an "open Season" will be executed during the term of the Master Contract.
The open season for on ramp will not affect the status of the other established IDIQs. The on-ramping competition is considered a separate and distinct open procurement. Any Protests raised during anon-ramping event will not interfere with any new and/or existing Order requirements from being reviewed, competed, and/or issued with the original or current Contractor awardee pool. In the event of a protest during an on-ramping competition, the previously established IDIQs shall continue to compete for and receive orders.
WHS reserves the unilateral right to off-ramp contractors who are no longer needed to meet program objectives. Contractors may be off ramped from new work even while continuing current work. Off-ramping may occur due to business size issues, performance issues, general lack of competitiveness, or any other reason where the Government determines the off-ramping (thus the end of the agreement) to be in its best interest. With a 30 days' notice, an IDIQ awardee may be off ramped at the sole discretion of the Government.
